Mari Centla, Vice President and Chief Accunting Officer f Six Flags Entertainment Crpratin (the "Cmpany"), will becme Vice President, Internatinal Operatins and Business Develpment, effective June 15, Taylr Brks, 31, will be prmted t Vice President and Chief Accunting Officer f the Cmpany effective June 15, Mr. Brks will be respnsible fr verseeing the Cmpany's accunting functin. Mr. Brks jined the Cmpany in 2013 as the Financial Reprting Manager and in 2015 was named Directr f Accunting and Assistant Cntrller. Prir t jining the Cmpany, Mr. Brks was the Financial Reprting and Technical Research Senir Accuntant at DynCrp Internatinal LLC, and prir t DynCrp he wrked at Ernst & Yung LLP. Mr. Brks hlds a Bachelr's degree and a Master's degree in Accunting frm Abilene Christian University and is a Certified Public Accuntant. In cnnectin with Mr. Brks' prmtin, his base salary will be at least $210,000 per year and he will be eligible fr an annual bnus with a target f $100,000. In additin, Mr. Brks received an additinal award under the Cmpany s Prject 600 Prgram with a target award f 2,000 shares fr a ttal target award (including his existing award) under the Cmpany s Prject 600 Prgram f 9,000 shares. Mr. Brks received an additinal award under the Cmpany s Prject 750 Prgram with a target award f 3,500 shares fr a ttal target award (including his existing award) under the Cmpany s Prject 750 Prgram f 6,250 shares. Mr. Brks is als entitled t participate in r receive benefits under the emplyee benefit prgrams f the Cmpany, including the Cmpany s life, health and disability prgrams, as well as t receive reimbursement f certain expenses incurred during his emplyment. On May 22, 2018, the Cmpany annunced it has entered int a purchase agreement with affiliates f Premier Parks, LLC t acquire the lease rights t perate five parks wned by EPR Prperties. The parks have previusly been perated by Premier Parks, LLC f Oklahma City and include: Wet n Wild Splashtwn in Hustn, Texas; Wet n Wild Phenix in Arizna; Darien Lake, lcated between Buffal and Rchester, New Yrk; and Frntier City and White Water Bay, in Oklahma City, Oklahma. These latest acquisitins will expand the Cmpany s prtfli f Nrth American parks t twenty-five. A cpy f the press release is furnished as Exhibit 99.1 heret. The purchase price is apprximately $23 millin (subject t custmary adjustments). In recgnitin f the additinal capital being deplyed fr the transactin, the Cmpany s Cmpensatin Cmmittee determined in accrdance with the Cmpany s Prject 600 prgram award agreements that as an equitable adjustment under the Cmpany s Prject 600 prgram the target Mdified EBITDA will be increased by $4.2 millin t $605.3 millin as f the clsing.
