10 Terms and Conditions DATES Ontario Water Works Association (OWWA), Ontario Municipa Water Association (OMWA) and Ontario Water Works Equipment Association (OWWEA), herein referred to as Ontario s Water Conference & Trade Show, reserves the right, at its soe discretion, to change the date or dates upon which the show is hed or to cance the show and sha not be iabe in damages or otherwise by reason of any such change or canceation, other than to refund in fu any amounts paid by the Exhibitor/Partner to Ontario s Water Conference & Trade Show. ASSIGNMENT The Exhibitor/Partner sha not assign this contract or subet the space or any part thereof or permit same to be used by any other person, without the prior written consent of Ontario s Water Conference & Trade Show. Any attempt to do so is nu and void and wi resut in immediate canceation of this contract with no refund. RULES & REGULATIONS The Exhibitor/Partner sha compy with a rues and reguations set by Ontario s Water Conference & Trade Show for the show and agrees that Ontario s Water Conference & Trade Show decision to adopt and enforce any such rue or reguation sha be fina and binding. LOSS OR DAMAGE In consideration of the Exhibitor/Partner s participation in the show, Exhibitor/Partner hereby reeases Ontario s Water Conference & Trade Show, Absoute Conferences & Events Inc., their directors, officers, agents and empoyees from any and a caims, osses, or damages whatsoever suffered or sustained by the Exhibitor/ Partner in connection with the show, incuding, without imitation, any caims for oss or theft of property, persona injury, or oss of business or profits, whether arising from any act of Ontario s Water Conference & Trade Show or otherwise. CANCELLATION This contract may be canceed by either party provided written notice is received before March 29, 2016 in which case a monies paid by the Exhibitor/Partner wi be refunded ess an administration fee of $ per booth/partnership. If the Exhibitor/Partner cances after such date, it wi be responsibe for the fu contract price. Canceations must be made in writing, on company etterhead. CONDUCT Ontario s Water Conference & Trade Show reserves the right at any time to ater or remove exhibits or any part thereof, incuding printed materia, products, signs, ights or sound and to expe exhibitors/partners or their personne if, in Ontario s Water Conference & Trade Show opinion, their conduct or presentation is objectionabe to Ontario s Water Conference & Trade Show or to other exhibit participants. DISPLAY Exhibitor/Partner s dispay must compy with a requirements of Ontario s Water Conference & Trade Show and of the owner of the buiding, incuding maximum height requirements. STAFF Exhibitors/Partners must provide at east one person per booth, during exhibition hours. The Exhibitor/Partner agrees to confine its presentation to the contracted space ony. SHIPPING Goods must not be shipped to the show with any shipping charges to be paid on arriva and any such goods wi not be accepted by Ontario s Water Conference & Trade Show. Ontario s Water Conference & Trade Show wi assume no responsibiity for oss or damage to the Exhibitor/Partners goods or property before, during or after the show. INSURANCE The Exhibitor/Partner is responsibe for the pacement and cost of insurance reating to its participation in the show. The Exhibitor/ Partner agrees to furnish immediatey to Ontario s Water Conference & Trade Show, upon request, certificates of insurance pertaining to a poicies of insurance carried by the Exhibitor/Partner together with satisfactory evidence from the insurers of the continuation of such poicies. If the Exhibitor/Partner fais to compy with any of the foregoing, in addition to any other rights or remedies avaiabe to Ontario s Water Conference & Trade Show at aw or under this contract, Ontario s Water Conference & Trade Show sha have the right to take possession of the dispay space for such purposes as it sees fit and the Exhibitor/Partner wi be hed iabe for the fu contract price for the said space. MOVE OUT The Exhibitor/Partner agrees that no dispay may be dismanted or goods removed during the schedued time of the exhibition. The Exhibitor/Partner agrees to remove the exhibit, a equipment and accessories from the event buiding by the fina move-out time. In the event of faiure to do so, the Exhibitor/Partner agrees to pay for such additiona costs as may be incurred by Ontario s Water Conference & Trade Show. UNION LABOUR The Exhibitor/Partner wi compy with the rues and reguations of any unionized contractors that may be seected by Ontario s Water Conference & Trade Show to service the exhibitors/partners. Any dispute between the Exhibitor/Partner and any such contractor or union representative wi be referred to Ontario s Water Conference & Trade Show for resoution, whose decision sha be fina and binding on a parties.
