4 In rder t develp a web site that fulfills all the gals f yur prject, the prpsed web develpment will take place in several distinct phases: Planning Here the scpe, requirements, and descriptin f the final prject will be determined and dcumented, including the verarching prject gals, number f pages, cding cmplexity, site hierarchy, merchandizing needs, language and web tls used, plus frms, animatins/graphics, and ther specialized cntent. 7 TERMS & CONDITIONS THESE ARE THE STANDARD TERMS AND CONDITIONS REFERRED TO IN THE FOREGOING CONTRACT BETWEEN RED SHARK DIGITAL AND THE CITY OF ASHEVILLE. 1. DEFINITION OF TERMS RED SHARK DIGITAL Having its principal place f business at 2710 E 10th St, Greenville, NC The Client - the entity which enters int a cntract with RED SHARK DIGITAL Dmain Name - the rt address f a website, e.g. All such names must be registered with the apprpriate naming authrity, which will usually charge a fee. Dwntime - time when the website is nt accessible via the Internet. This may be because f a technical failure f the Hst r because wrk is being carried ut n the site. Hst - the cmpany n whse system the Website physically resides. Link, Hyperlink - a 'clickable' link embedded n a web page which may take the frm f a graphic r text. Search Engine - a website which cntains a directry f websites n the Internet enabling users t find websites by subject matter classificatin. Website - a cllectin f web pages and assciated cde which frms an integrated presence. The Wrk - the subject matter f the cntract between the Client and RED SHARK DIGITAL. 2. FEES 2.1 Fee Payable A nn-refundable depsit f 50% f the ttal fee payable under the cntract is due immediately upn the signing f the cntract. The remaining 50% shall becme due when the Wrk is cmpleted t the reasnable satisfactin f the Client but subject t the terms f Clause 4.3 Apprval f Wrk and Clause 4.4 Rejected Wrk heref. RED SHARK DIGITAL reserves the right nt t begin the Wrk until the said depsit has been paid in full. The fee quted in the cntract des nt include the cst f dmain registratin, hsting set up fee r hsting. 2.2 Maintenance Fees Maintenance, if included in the cntract, shall be n an as needed basis, with a minimum f $75 payable in any mnth where updating is necessary. Fees will be assessed n an hurly basis at $75 per hur r part theref. N fee will be required in a mnth where n updating is necessary. Search engine re-submissins, ther than the riginal submissin included in the cntract fee, shall be included in the maintenance fee. 3. DISCLAIMERS 3.1 Third Parties RED SHARK DIGITAL can take n respnsibility fr services prvided by third parties thrugh us r therwise, including the Hsting f the Client's Website, althugh RED SHARK DIGITAL will

8 endeavur t ensure that Website dwntime is kept t a minimum. RED SHARK DIGITAL hsting has an average up-time f 99.9%. 3.2 Maintenance and Crrectin f Errrs RED SHARK DIGITAL takes n respnsibility fr the functinality r maintenance (unless a maintenance cntract is in place) f the Website after the Wrk has been cmpleted. Errrs (bth technical and typgraphical) attributable t RED SHARK DIGITAL will be crrected free f charge, but RED SHARK DIGITAL reserves the right t charge a reasnable fee fr crrectin f errrs fr which RED SHARK DIGITAL is nt respnsible, including, but nt limited t malicius mdificatin f the Website by a third party and typgraphical errrs cntained in materials prvided t RED SHARK DIGITAL by the Client. 3.3 Extent f Wrk Installatin n the Internet is limited t the uplading f all necessary files t the Hst, and testing f functinality. N registratin f the Website with Search Engines will be undertaken unless therwise agreed with the Client. 3.4 Cnsequential Lss Under n circumstances will RED SHARK DIGITAL be respnsible r liable fr financial r ther lss r damage caused by the failure r use r misuse f its sftware. The Client shuld ensure that data n their site is regularly backed up and that a cntingency plan is in place t minimize pssible lsses as a result f sftware failure. A hsting cntract will ensure that all data is backed up. 3.5 Status and Duratin f Offers Prpsals and ffers are valid fr a perid f ne mnth frm the date issued. RED SHARK DIGITAL is nt bund t hnur ffers that have expired. Offers are nt legally binding until an acceptable timetable fr the wrk has been agreed by bth parties. This timetable must be agreed within the mnth that the ffer is valid. If an acceptable timetable has nt been apprved by bth parties within ne mnth f the ffer being made, the ffer is deemed t have expired. 3.6 Search Engine Listings RED SHARK DIGITAL des nt guarantee listings n Search Engines and the Client accepts that it is Search Engines and nt RED SHARK DIGITAL wh determine whm they list and whm they will nt. The Client further understands there is n guaranteed placement r rank n the Search Engines and that a new website may never even appear n Search Engines at all. RED SHARK DIGITAL des nt cntrl Search Engines algrithms and huge shifts can appear daily, weekly and even hurly. 4. COMPLETION OF WORK AND PAYMENT 4.1 Cmpletin f Wrk RED SHARK DIGITAL warrants cmpleting the Wrk in accrdance with its Standard Terms and Cnditins t the specificatins previusly agreed with the Client. RED SHARK DIGITAL will nt charge mre than the amunt previusly agreed unless the Client has varied the specificatins f the Wrk since the agreement. RED SHARK DIGITAL will nt undertake changes t the specificatins f the Wrk which wuld increase the cst, withut prir written authrizatin frm the Client. 4.2

9 Supply f Materials The Client is t supply all materials and infrmatin required fr RED SHARK DIGITAL t cmplete the Wrk in accrdance with the agreed specificatin. Such materials may include, but are nt limited t, phtgraphs, written-cpy, lgs and ther printed materials. Where the Client's failure t supply such materials leads t a delay in cmpletin f the wrk, RED SHARK DIGITAL has the right t extend previusly agreed deadlines fr the cmpletin f the Wrk by a reasnable amunt. Where the Client's failure t supply materials prevents prgress n the Wrk fr mre than 21 days, RED SHARK DIGITAL has the right t invice the Client fr any part r parts f the Wrk already cmpleted. 4.3 Apprval f Wrk On cmpletin f the Wrk, the Client will be ntified and have the pprtunity t review it. The Client shuld ntify RED SHARK DIGITAL, in writing, f any unsatisfactry pints within 10 days f receipt f such ntificatin. Any f the Wrk which has nt been reprted in writing t RED SHARK DIGITAL as unsatisfactry within the 10 day review perid will be deemed t have been apprved. Once apprved, r deemed apprved, wrk cannt subsequently be rejected, and the cntract will be deemed t have been cmpleted and the 50% balancing payment under Clause 2.1 Fee Payable will becme due. The Cntract will remain in effect until all bligatins have been cmpleted in terms f this Clause. 4.4 Rejected Wrk If the Client rejects the Wrk within the 10 day review perid, r will nt apprve subsequent Wrk perfrmed by RED SHARK DIGITAL t remedy any pints reprted by the Client as unsatisfactry, and RED SHARK DIGITAL cnsiders that the Client is unreasnable in his repeated rejectin f the Wrk, the cntract will be deemed t have expired and RED SHARK DIGITAL can take any legal measures t recver bth payment fr the cmpleted Wrk and reasnable expenses incurred in recvering payment. 4.5 Payment Upn cmpletin f 7 day review perid, RED SHARK DIGITAL will invice the Client fr the 50% balancing payment in accrdance with Clause 2.1 Fee Payable heref, which, in the absence f agreement t the cntrary, is t be paid by the Client within 14 days f the date that the invice was issued. 4.6 Remedies fr Overdue Payment If payment has nt been received by the due date, RED SHARK DIGITAL has the right t suspend n-ging wrk fr Client, until such time that full payment f the utstanding balance has been received. If full payment has still nt been received 14 days after the due date, RED SHARK DIGITAL has the right t replace, mdify r remve the Website and revke the Client's licence f the Wrk until full payment has been received. By revking the Client's licence f the Wrk r remving the web site frm the Internet, RED SHARK DIGITAL des nt remve the Client's bligatin t pay any utstanding mnies wing. 5. INTELLECTUAL PROPERTY 5.1 Offers and Prpsals Offers and prpsals made by RED SHARK DIGITAL t ptential clients shuld be treated as trade secrets and remain the prperty f RED SHARK DIGITAL. Such ffers and prpsals r the

10 infrmatin cntained within them must nt be passed t third parties r publicly disseminated withut prir written authrizatin frm RED SHARK DIGITAL. This includes, but is nt limited t, technical features, functinality, aspects f the design and pricing infrmatin. 5.2 Warranty by Client as t Ownership f Intellectual Prperty Rights The Client will btain all the necessary permissins and authrities in respect f the use f all cpy, graphic images, registered cmpany lgs, names and trademarks r any ther material it supplies t RED SHARK DIGITAL fr inclusin n the Website. The cnclusin f a cntract between RED SHARK DIGITAL and the Client shall be regarded as a guarantee by the Client t RED SHARK DIGITAL that all such permissins and authrities have been btained and that the inclusin f such material n the Website wuld nt cnstitute a criminal ffence r civil delict. By agreeing t these terms and cnditins, the Client remves the legal respnsibility f RED SHARK DIGITAL and indemnifies the same frm any claims r legal actins hwever related t the cntent f the Client's site. 5.3 Dmain Name Any Dmain Name btained will belng t the Client. The Client agrees t indemnify RED SHARK DIGITAL, including any incidental csts, against any claims that a Dmain Name applied fr, r btained, vilates the intellectual prperty rights f a third party. The Client warrants that the dmain name sught is nt a trademark f a third party. If RED SHARK DIGITAL registered yur dmain name, an annual fee f $20 will be charged t renew the dmain with the registrar unless RED SHARK DIGITAL receives a cancelatin ntice within 60 day prir t the dmain expiratin date. 5.4 Licensing Once RED SHARK DIGITAL has received full payment f all utstanding invices and the Wrk has been apprved by the Client in accrdance with Clause 4.3 heref, the Client will be granted a licence t use the Website and its cntents. 5.5 Trade Secrets Any cde that is nt freely accessible t third parties and nt in the public dmain, and t which RED SHARK DIGITAL r their suppliers wns the cpyright, may nt be cpied, published, distributed r passed t any third parties in any frm withut prir written cnsent frm RED SHARK DIGITAL. Unless previusly agreed therwise in writing, n mdificatins may be made by the Client r any third party t cde t which RED SHARK DIGITAL r their suppliers wns the cpyright. RED SHARK DIGITAL acknwledges the intellectual prperty rights f the Client. Infrmatin passed in written frm t RED SHARK DIGITAL, and that the Client has indicated is cnfidential r a trade secret, will nt be published r made available in any ther way t third parties withut the prir written cnsent f the Client. 6. RIGHTS AND RESPONSIBILITIES 6.1 Right t Terminate RED SHARK DIGITAL reserves the right t refuse r break a cntract withut prir ntice, if it is believed that the Client, their Website, r any material is illegal, immral r therwise unacceptable. 6.2 Events Beynd the Cntrl f RED SHARK DIGITAL

11 RED SHARK DIGITAL will nt be liable fr breach f cntract where that breach was due t sftware, hardware r electrical failure, natural events such as fire r ther events beynd the cntrl f RED SHARK DIGITAL. 6.3 Supply and Pricing f Services RED SHARK DIGITAL reserves the right t use whever it feels apprpriate at the time fr third party sftware and services, and t alter its prices as necessary withut prir ntice and withut affecting existing cntractual pricing agreements. 7. INTERPRETATION 7.1 Jurisdictin This Agreement shall be gverned by the laws f Nrth Carlina, which shall claim venue and jurisdictin fr any legal actin r claim arising frm the cntract between RED SHARK DIGITAL and the Client. The said cntract is vid where prhibited by law. 7.2 Survival f Cntract Where ne r mre terms f the said cntract are held t be vid r unenfrceable fr whatever reasn, any ther terms f the cntract nt s held will remain valid and enfrceable at law. 7.3 Change f Terms and Cnditins These terms & cnditins may change frm time t time. The Client will be infrmed f revisins as and when they are issued.
