3 INTRODUCTION NICHOLSON Y CANO S EXPERTISE IN INFRASTRUCTURE In the specific field of the area of major infrastructure, construction and engineering projects, our law firm has a significant background experience, with the advantage of having recognized partners with proven practical experience, who have also participated and/or advised in institutional forums (as the Construction and Infrastructure Committee of the International Bar Association -IBA-, Infrastructure and Real Estate Committee of the American Chamber in Argentina -AMCHAM-, UK Society of Construction Law, European Society of Construction Law, etc.). Nicholson y Cano offers a comprehensive range of services from setting up the legal structure of infrastructure and construction projects to their financing and operation, including Public and Private Works and, in general, PPP, PFI, BOT, BOO, BO, BOOT, DBOM, DBFO, O&M, EPC, and EPCM s contracts, among others. We have been involved in different public and private projects within the framework of the abovementioned infrastructure contracts, long term contracts that incorporate finance, design, building, operating and maintaining public infrastructure projects. The Firm also provides specialized advice related to power plants, petrochemical and geothermal plants, T-Lines, pipelines, dredging works, gas plants, highways, trains, subways, ports and marine terminals and also the applicable operation and maintenance agreements as needed. The legal counseling also comprises the follow-up of these contracts, project management, claims management, risks assessments, and all types of financial mechanisms (Public and Private). Our firm and team members have provided advise in more than 100 projects both in Argentina and in the rest of Latin America (Chile, Brazil, Colombia, Mexico, Perú, Venezuela and Uruguay), during their different stages and throughout the project s life, from risk assessment and management, to preparing RFPs, participating in bidding processes, negotiation, contract management and dealing with judicial and extrajudicial claims and arbitration. We also have experience as counsel to the different parties that may be involved in this type of projects (sponsors, developers, clients, construction companies, banks, trustees). 36 ENERGY Tender Process Transmission Expansion Plan Projects * The tenders for transmission works for the expansion processes scheduled for 2017 on the National Grid will be held. The purpose of these bid processes is to award the construction and subsequent exploitation of a total of 16 projects on the national transmission system, valued at over US$ 390 million, as well as 98 projects for the zonal transmission system, valued at over US$ 760 million; Tenders will be held on the national transmission system in 2017 for both new and expansion works. This system consists of the transportation network supporting power transmission to supply the entire country; Tenders for new works include the concession for executing and subsequently exploiting the transmission project, with annual income corresponding to the value awarded in the bid. The Coordinator is holding the tenders for new works; Tenders for expansion works under EPC contract, include the construction of the transmission project, with a payment corresponding to the value awarded in the bid. These tenders are being held by the owner of the facilities that will be expanded. * Information as published by the Coordinator.
37 ENERGY Tender Process Transmission Expansion Plan Projects * National and foreign transmission companies that operate existing transmission facilities in Chile or other countries may submit tenders for new works. National or foreign companies with experience executing power transmission works in Chile or other countries may submit tenders for expansion works. Bidding companies may submit tenders individually or as a consortium which, in the latter case, must be established in Chile. The system for remunerations and payment of transmission works is stipulated in the law and in more specific regulations. For new works, the successful bidder s remuneration will consist of the Annual Value of Transmission per Section (AVTS or VATT in Spanish, Valor Anual de la Transmisión por Tramo) based on its financial bid and indexation formula, which will be applied during a 20-year period starting with the startup date. After that time, the facilities and their valuation will be reviewed and updated in the Existing Facility Valuation Study, which is performed every four years according to law The AVTS will be paid by the end consumers to their respective suppliers through a Single Rate previously set by the regulator. The suppliers will collect the amounts of this Single Rate and will pay the transmission facility owners according to a monthly payment calculation determined by the Coordinator. For expansion works, the successful bidder must receive the investment value (I.V.) based on its financial bid for executing the works or group of works. The payments will be made during the execution of the works according to the schedules defined in the Bid.
