2 25th Annual California/Western StateS Chapter Conference A GATHERING OF CHAMPIONS A Gathering of Champions is set for October 2-4, 2013, at the Hotel Nikko in the championship city of San Francisco. The location provides the perfect setting to celebrate the Champions of ESOP and the Chapter s 25th Annual Conference. This conference includes educational sessions ranging from ESOP basics to advanced issues and also includes several sessions for internal fiduciaries. We also have a full track developed for the most important part of an ESOP company: Its employee ownership culture. Join us to network with fellow ESOP companies and to learn how we can keep our ESOP companies and the employee ownership movement in the winner s circle. CONFERENCE TRACKS Rookies (A Sessions): New to ESOPs If you are new to the wonderful world of ESOPS, this track is right for you. The sessions in this track will help you to gain (or refresh) a basic technical understanding of how ESOPS work. Veterans (B Sessions): Experience with ESOPs Once you complete basic training, it s time to move up. In this track, you will expand your technical ESOP skills with such sessions as advanced ESOP valuation issues and dealing with the Internal Revenue Service (IRS) and Department of Labor (DOL). Broadcasters (C Sessions): Communication and Employee Ownership Track A successful Communications Committee builds winning teams. This track highlights communications and the building of an employee ownership culture. Learn how to foster and keep alive the championship ESOP spirit. Agents (D Sessions): Internal Fiduciaries This new track at the Chapter Conference focuses on fiduciary issues. What is your responsibility to the players in your ESOP? ESOP Communications Fair Visit the ESOP Hall of Fame as the ESOP community displays their pride of Employee Ownership. Searching for new ideas to communicate the benefits of your ESOP to your employees and customers? Looking for ways to motivate your employeeowners, have some fun, and expand your ownership culture? Come to the Communications Fair and check out the views of other companies until you find the perfect platform for your ESOP stance. View the videos, newsletters, training materials, websites, annual ESOP meeting materials and employee manuals to learn how top ESOP companies convey the message of employee ownership. The Communications Fair exhibits will feature displays from nominees for the Chapter s 2013 Communication Excellence Award program, past winners and exhibits from other successful ESOP companies. The Communications Fair opens during the Welcome Reception on Wednesday evening and continues throughout Thursday and Friday. There is no cost to participate and all ESOP companies are encouraged to join the Communications Fair. Thursday 2:00 p.m. 4:30 p.m. Intensive Session for Senior Managers Pre-Registration Required Limited to Senior Management The Senior Manager session will focus on Independent Board Members. We will discuss the role of independent directors and their use as members of compensation, audit and governance committees. Consideration will be given to the method of selecting independent directors and determining the best fit for a company. Additional specific situations that will be addressed through live examples: How is an independent director different from an independent ESOP trustee? How does an independent director interact with senior management? What is the director s role in the ESOP valuation? What are the most common conflict-of-interest situations that ESOP companies encounter and how can the independent director help? This session is intended to help those companies considering the addition of their first independent director, as well as those companies already employing independent directors. Step in to the arena for your first lesson on the basics of ESOPs. This session will focus on the basic mechanics of a leveraged and non-leveraged ESOP and defining ESOP terminology. Session 1B: Legislative Regulatory Update Champions are made and can be recognized through the legal system. The creation process includes legislation and regulations as interpreted by the courts. This session will provide attendees with the latest information on the legal and regulatory proposals and court cases that shape the operation of champion employee-owned companies. Karen Ng, Sedgwick LLP Jeremy Pelphrey, Fox Rothschild LLP Session 1C: ESOP Champions: Hall of Committees Effective ESOP Committees promote, cultivate and celebrate ownership culture all while educating employees on the benefits of the ESOP and employee ownership. The key to success in ESOP communication begins with your ESOP Committee. Learn from these ESOP champions on how to form an effective ESOP Committee and how they engage and educate their employee owners. We re committed! Listen to this session on Corporate Governance, so you can learn how these champions relate and intertwine in an ESOP company. This session will include a panel consisting of an internal trustee that will discuss the differences between the trustee or fiduciary and the company sponsor (or settlor) of the ESOP. What are each of their roles and how do they help create champions? Winning takes a keen understanding of the game and a coordinated effort of many! In an ESOP company, it is up to the employee-owners to push the share value up and keep it up. This heavy lifting takes knowledge. Explore the most significant factors that affect value and learn how employee-owners can influence company value. In this session, we ll remove some of the mystery of the valuation game as our panelists take you through basic training and gear you up for victory at the buzzer. Session 3B: ESOP Accounting and Annual Audits ESOPs with 100 or more participants are required to have their financial statements audited by an independent CPA. Our session will focus on preparing for and completing the audit, including the types of information required by the CPA, form of representations letter, coordination with legal counsel and the top 5 issues that generally arise in the course of the audit. We will also provide an update on the Financial Accounting Standards Board decision to defer implementation of additional valuation disclosure requirements in paragraph of the FASB Accounting Standards Codification. Sandy Shoemaker, Ehrhardt Keefe Steiner & Hottman PC Session 3C: ESOP Champions: Hall of Generations Baby boomers, Generation X, Gen Y/Millennials, and the Generation Z/Virtual Generation are mixing it up in the workplace. Learn from these ESOP Champions on how they communicate ESOPs to the different generations and get buy-in or engagement in the ownership culture. Close the gap! The panel includes both inside and independent trustees to share their experience and engage the audience in a lively discussion of this interesting area. During this session on Basic ESOP Administration, you will gain (or refresh) your basic technical understanding of how outside administrators and in-house personnel interact over the course of the year to complete the ESOP administration process. You ll gain valuable knowledge about what the process looks like for our professionals and what clients can do to make the process a smooth race to the finish line! 4 Section 4C: ESOP Champions: Hall of Long Distance These ESOP champions will discuss how to s and tips on ESOP education, celebration, and communication with multiple locations/offices and remote employees. To do so, perfect your understanding of participant rights and outline a game plan for participant distributions, with an understanding of what you are required to provide, and where you have flexibility. In fact, it can be argued that the benefit distribution is the reason ESOPs exist. However, there is also an extremely complex set of rules to follow if those distributions are to be done correctly and create the best outcome for both the participant and the company. This session is structured to help provide you with the basics of the distribution rule book from the legal requirements to the best practice on processing these important transactions. Section 5B: Dealing with IRS Audits and DOL Investigations The U.S. Department of Labor ( DOL ) and the Internal Revenue Service ( IRS ) are charged with enforcements of laws and regulations governing ESOPs, just like the Commissioners who regulate the sports leagues. This session will provide guidance on what to expect and how to respond to DOL and IRS investigations, audits and examinations of ESOPs and proactive measures, when they call you in for review. Although often painted as a potential pitfall, we mustn t forget that the true Champion in ESOPs is the repurchase obligation and why the ESOP exists. It is the tangible evidence that the ESOP is succeeding in spreading wealth to places where it would not automatically exist on its own. For true success we must learn how to balance the competing interests between the cash needs of the company, the requirement to fund benefits to terminated employees as well as the need to provide value and benefits to current employees. This session will help you understand the basics of planning and managing this critical component. Our session will walk you through real life sticky ESOP administration issues and the analysis used to resolve the issues. Some do it because it is their job and some do it just for the good of their ESOPs, but in all cases these people are the principal protectors of ESOP benefits. This session is a chance for the attendees to witness a conversation among and interact with a panel of fiduciary champions representing both professional and non-professional practitioners. The panel will engage in a wide ranging conversation about issues and outcomes from their individual perspectives and invite the audience to share their experiences. Neil M. 5 Annual Duffers to Dazzlers Golf Tournament Wednesday, October 2, :30 a.m. (consecutive tee times) Presidio Golf Course 300 Finley Rd., San Francisco Separate registration is required. $150/player Proceeds benefit the Employee Ownership Foundation The 2013 Duffers to Dazzlers Golf Tournament to benefit the Employee Ownership Foundation is on again! The tournament will be played at the beautiful location of the Presidio Golf Course, just a few miles from Hotel Nikko. The price for golf is a very reasonable $ which includes green fees, a delicious boxed lunch, a nice contribution to the Employee Ownership Foundation and a chance to win some excellent prizes. As always, the Tournament will be conducted according to our time honored rules: 1) We may not play well, but we play fast. 2) Golf is a game; we play it to have fun; we may take it seriously sometimes but never ourselves. 3) When we get together, no matter what we are doing, the real winner is employee ownership, and finally, 4) For the right price we could be influenced not to wear Nike logos when we play (just in case Phil Knight is listening and would like to avoid that embarrassment). Transportation Hotel Nikko is located at 222 Mason Street, San Francisco, CA. If using GPS to drive to the hotel, please input 180 Ellis Street, San Francisco, CA to arrive at the entrance. Valet parking is available at the hotel for a fee of $45 per 24 hour period. Several self-park garages are available within a few blocks (rates will vary). For a map and directions visit San Francisco International Airport is the closest airport about 14 miles away. Taxis and shuttles are available, although rates may vary. BART is available from the SF airport to the Powell St. station (3 blocks from Hotel Nikko). Get off at Powell Street and head towards 5th Street. Turn right on 5th for 2 blocks and arrive at Hotel Nikko (approximately 30min ride). Oakland International Airport is the next closest airport about 20 miles away. Taxis and shuttles are available, although rates may vary and include a bridge toll fee. To take BART from the Oakland Airport, take the Air Bart bus to the Coliseum/Oakland Airport Station. Take the Daly City line and get off at Powell Street. Head towards 5th Street and turn right on 5th. Walk 2 blocks and arrive at Hotel Nikko (approximately 45 min ride). North Beach: Come to Little Italy and savor a great meal, relax with a cappuccino in a cozy café, and soak up the sun in Washington Square Park.
