7 CONTRACTUAL AGREEMENT It is understood that the following information is accepted as part of the contract between the American Psychological Association and those who secure exhibit space in the 2018 APA Exhibit Hall. It is agreed that the exhibitor will abide by all APA Exhibit Hall Rules, Regulations, and Policies before, during, and after the APA Annual Convention, and by other reasonable rules considered necessary by the American Psychological Association or Moscone Center, provided these rules do not materially alter the exhibitor s contractual rights. All matters and questions not covered by these regulations are at the decision of APA Annual Convention management. These regulations may be amended at any time by APA Annual Convention management, and all amendments that may be so made shall be equally binding upon publication on all parties affected by them, as are the original regulations. The 2018 APA Application for Exhibit Space for the 126th APA Annual Convention and any agreement incorporated in it shall be governed by the laws of the city of San Francisco, CA. APA EXHIBIT HALL RULES, REGULATIONS, AND POLICIES Upon submission of an APA Application for Exhibit Space and confirmation by APA of 2018 APA Exhibit booth space, it is agreed that the APA Exhibitor or Employer Sponsor/Exhibitor will abide by all APA Annual Convention policies and official APA Exhibit Hall Rules and Regulations, detailed at exhibitors/rules-regulations and by other reasonable rules considered necessary by the American Psychological Association or the Moscone Center, provided that these rules do not materially alter the APA Exhibitor s contractual rights. At no time are confirmed APA Exhibitors and Employer Sponsors/Exhibitors at liberty to adjust any portion of APA Annual Convention or APA Exhibit Hall policies, rules, or regulations to suit individual schedules, preferences, or needs. APA Annual Convention policy requires that all booths in the APA Exhibit Hall be staffed by at least one exhibitor representative during all official APA Exhibit Hall dates and hours. At no time during official APA Exhibit Hall hours should a booth be unstaffed. Neither APA nor the Moscone Center is responsible for items removed from unstaffed exhibit booths. For many reasons including significant liability concerns APA Exhibitors and Employer Sponsors/Exhibitors are restricted from dismantling or vacating their exhibit booth space prior to the official close of the 2018 APA Exhibit Hall at 5:00pm on Saturday, August 11, Hence, APA Exhibitors and Employer Sponsors/Exhibitors are expected to plan their participation accordingly in terms of booth personnel, travel dates and times, hotel reservations, etc. APA Exhibitors and Employer Sponsors/Exhibitors that violate any APA Annual Convention policies or APA Exhibit Hall Rules and Regulations will be included on a list maintained by APA Exhibit Hall management for annual review by APA Annual Convention management and may be subject to restriction from participating in the APA Exhibit Hall to be held the following year and/or all future APA Exhibit Halls. All matters and questions not covered by these regulations are at the decision of APA Annual Convention management. These regulations may be amended at any time by APA Annual Convention management, and all amendments that may be so made shall be equally binding upon publication on all parties affected by them, as are the original regulations. The Application for Exhibit Space at the 2018 APA Annual Convention and any agreement incorporated in it shall be governed by the laws of the city of San Francisco, California. Unethical conduct or infraction of rules on the part of the APA Exhibitor or the APA Exhibitor s representatives, or both, will subject the APA Exhibitor or said representatives to dismissal from the exhibition area, in which event it is agreed that no refund shall be made by the American Psychological Association and, further, that no demand for redress will be made by the APA Exhibitor or the APA Exhibitor s representatives. LIABILITY & INSURANCE / HOLD HARMLESS POLICY The APA Exhibitor or Employer Sponsor/Exhibitor, upon contracting to exhibit, expressly releases the APA or any of its officers, directors, employees, or committee members; the APA Board of Convention Affairs; or the owners, employees, or representatives of the Moscone Center (hereafter collectively referred to as the APA and the Center) from any responsibility or liability for any injury, loss, or damage that may occur to the APA Exhibitor or to the exhibitor s employees or property prior to, during, or subsequent to the period covered by the APA Exhibitor s contract, including, but not limited to, any responsibility or liability for negligently caused injury, loss, or damage; and further, the APA Exhibitor agrees to hold harmless and indemnify the APA and the Center against any and all claims made against the APA and/or the Center by any person and arising out of the APA Exhibitor s acts or omissions. APA EXHIBIT HALL SECURITY As a courtesy, APA will provide security for the exhibit area on a 24-hour basis during the entire exhibit period. The furnishing of such service is in no case to be understood or interpreted by exhibitors as a guarantee to them against loss or theft of any kind. Neither the Moscone Center nor the APA is liable for, or carries any insurance on, exhibitor property or fixtures. For this reason, exhibitors are encouraged to carry insurance coverage on their goods, including transit to and from the show location. Exhibitors who wish to carry items out with them at the end of the day will be required to fill out a Property Removal Slip available from the security staff or APA Exhibit Management. After the official opening of the APA Exhibit Hall on Thursday, August 9, 2018, no one, including exhibitors, will be allowed to enter the APA Exhibit Hall prior to 7:30am. (This excludes the days designated for installation). APA EXHIBIT SPACE CANCELLATION & REFUND POLICY Cancellations received prior to March 2, 2018: 100% refund Cancellations received from March 3 May 15, 2018: 50% refund Cancellations received after May 15, 2018: No refund If the APA Exhibit Hall is canceled due to circumstances beyond the control of the American Psychological Association or the Moscone Center, all payments submitted by APA Exhibitors and Employer Sponsors/Exhibitors for exhibit space will be refunded. ACCREDITATION REQUIREMENT FOR EDUCATIONAL PROGRAMS The exhibiting of educational programs in the APA Exhibit Hall is restricted to those schools or other institutions fully accredited by regional or other institutional accrediting associations recognized by the U.S. Department of Education. In addition, for those areas of professional psychology where APA or CPA accreditation is currently provided (e.g., clinical, counseling, school, combined), APA will restrict exhibiting to only APA- and CPA-accredited programs. Programs accredited by either the American Psychological Association or the Canadian Psychological Association must state in their exhibit materials that they are APA- or CPA-accredited and include contact information for the APA or CPA Accreditation Office. FDA-APPROVAL REQUIREMENT The following product types must conform to all federal regulations and policies of the Food and Drug Administration (FDA) to be displayed and/or sold in the APA Exhibit Hall and the relevant FDA certificate must be provided at the time the APA Application for Exhibit Space is submitted. Additionally, during all official APA Exhibit Hall hours a copy of the FDA certificate must be displayed in the exhibitor s booth and visible to attendees. 1) Medical Devices of any type, including those designed for the treatment of pain. 2) Pharmaceuticals. It should be noted that the regulations of the Food and Drug Administration provide exacting legal controls over the claims that drug manufacturers may make for their products and require them to state contraindications, hazards, etc., unless "reminder advertising" makes no product claims. Adherence to legal requirements concerning the content of drug advertising is the manufacturer's responsibility. The disorder or symptom for which a drug or other product is being recommended must be prominently stated in materials to be displayed in the exhibit space, except in reminder advertisements, as provided by the FDA regulations. Materials to be displayed may not suggest in any way the use of a medication or other substance for the relief of the tensions or problems of everyday life rather than for the relief of symptoms of illness or disorders. In pharmaceutical advertising copy, the full generic name of each active ingredient shall appear. Pharmaceutical products for which approval of a New Drug Application by the Food and Drug Administration is a prerequisite for marketing are not be eligible for display in the APA Exhibit Hall until such approval has been granted.
