3 CHAIRMAN S STATEMENT CHAIRMAN: MICHAEL SHANLY Welcome to the Shanly Group 2016 Summary. Both the residential and commercial divisions made further progress in 2016 with overall group turnover rising by 11% to 206m. This represented sound progress in markets that were generally receptive in terms of demand even if the residential operations were sometimes hampered by supply chain shortages, construction and planning delays. The commercial portfolio continued to register steady growth augmented by selective acquisitions. Our balance sheet remains strong, suggesting the Group remains well placed to fund its growth over the foreseeable future. Whilst underlying fundamentals in the housing market continue to appear attractive, we are conscious that operating conditions remain heavily influenced by unusually low borrowing rates and subsidised demand, factors that may not be sustainable over the longer term. Along with the Brexit uncertainties and generally lower levels of consumer confidence, we anticipate somewhat less favourable residential market conditions over the next year or so. In commercial markets, conditions will remain testing, with yields influenced by the weight of investment funds seeking relatively attractive income, tempered by uncertain tenant demand. The retail sector remains highly competitive and our portfolio will respond, where necessary, to the changing demands of the high street. As a flexible, well-established and entrepreneurial business, we remain well placed to manage the business through any potentially challenging markets and times. I very much appreciate the commitment from our employees and thank them for their dedication and hard work. It is also noteworthy that again the Shanly Foundation has been able to offer support to a large number of good causes. I look forward to the future and thank all stakeholders, contractors, suppliers and partners for their continuing support. 3

5 GROUP PROFILE The privately owned Shanly Group of companies was founded by Michael Shanly in It operates in property markets and consists of two main divisions, residential property development and commercial property investment. Based in Beaconsfield, Buckinghamshire and Leatherhead, Surrey, the main areas of operations are in the South East of England and the Thames Valley. The Shanly Foundation has its origins in the founder s desire to help those in society that are less well placed through no fault of their own. Shanly Homes: is an award-winning regional housebuilder bringing well designed homes to desirable locations in the South East of England. Shanly Homes is organised into three regions each with their own management teams. In 2016, the divisions operated out of 30 sites. Shanly Partnership Homes: established in 2012 and awarded Registered Provider status to offer Shanly-quality new homes to the shared ownership and shared equity markets. Sorbon Estates: represents the commercial property interests operating predominately in the Thames Valley region. The Estate has in excess of 1,200 tenants across retail, office, residential and leisure sectors in over 200 locations. Shanly Foundation: Since inception, the Group has been a strong supporter of charitable and community causes. In 1997 this was formalised via the Michael Shanly Charitable Trust which in 2012 became the Shanly Foundation. 5

7 STRATEGY & AIMS The Shanly Group operates in a flexible and timely manner in assessing potential new residential development sites and commercial investments. It is also mindful of the opportunities in improving its commercial properties and continually seeks to optimise the long term potential of the Estate. The Group is also keen to operate collaboratively with all stakeholders when assessing developments and aims to be a responsible and caring employer. While the Group is conscious of the need to optimise financial returns for the long term prosperity of the Group, it is also aware of its responsibilities as a regional employer and the need to cooperate with all relevant interested parties when embarking on new developments. The Group also adopts a cautious stance when it comes to financing and endeavours to maintain a sound balance sheet in order to help safeguard the long term future. It is also conscious of the need to attract and retain a creative body of employees that adhere to and help craft the underlying values and ethics of the Shanly Group. We pride ourselves in maintaining an excellent record of health and safety and employee welfare at all our development sites and strive to ensure we continually seek to improve such standards. Hand in hand with these aspirations is the Group s commitment to deliver high environmental and sustainability standards at all of its developments. Reflecting the keen interest in its local communities, the Shanly Group is also proud to be able to offer support to a variety of worthy causes via the Shanly Foundation. This compassionate quality is also reflected among our employees who regularly participate in fundraising events and support the Foundation. 7

8 SHARED OWNERSHIP HOMES Established in 2012 and granted Registered Provider status from the Homes and Communities Agency, Shanly Partnership Homes enables us to build Shanly quality homes to offer to the expanding shared ownership housing sector. We were proud to be one of the first housebuilders to be registered and we remain one of only a small number of housebuilders able to offer shared ownership homes to our customers. 9 OUR COMMITMENT Shanly Homes aim to deliver new homes that are attractive, well designed, complement their surroundings and adopt sustainable features where possible. Sorbon Estates invests in towns in order to support and enhance the local community and environment. Our staff are committed and work hard but also are encouraged to enjoy themselves in the Group s endeavours to enhance the built environment. They also are proud and supportive of the workings of the Shanly Foundation. The Group has forged relationships with The Woodland Trust, RSPB, Freshwater Habitats Trust and many other charities to actively encourage and sustain the natural environment. Additionally, as part of the Woodland Trust Partnership we fund the planting of 20 native trees for every house we build and 10 trees for every apartment. Freshwater Habitats Trust 9

10 MAIN DIRECTORS Chairman: Michael Shanly Our chairman began his career in the construction industry in the mid-1960s building his first Shanly Homes development in Pinner, Middlesex in The business steadily grew and was complemented some 10 years later with a commercial property operation which is now Sorbon Estates. Michael s keen architectural and design interests are reflected in the Group s distinctive and characterful new homes and refurbished commercial properties. Operations Director: Tamra Booth Since 2004 Tamra has been responsible for implementing some key strategies such as marketing, human resources and customer facing policies. Tamra is also managing director of Sorbon Estates, the commercial property arm of the Group. Finance Director: Nick Trott Nick joined the Group in 2000 as group finance director having previously been employed as a regional finance director at Berkeley Homes. With a long history in the property development sector, Nick is an integral member of the executive team. Residential Managing Director: Mark Evans After joining in 2006 as a regional managing director, Mark progressed through the business to become managing director of Shanly Homes in His all-round experience and industry knowledge has contributed to the steady and reliable growth of Shanly Homes. Non-Executive Director: Don Tucker Don was appointed a non-executive director in 2013 having previously been the Group s managing director. Don s considerable experience offers the Board a deep insight into not only the property industry but also the workings of the Group as a whole. Non-Executive Director: Tim Potter Tim joined the Group in 2008 having previously worked in the financial services industry for over 30 years. Rivertime Boat Trust Henley-on-Thames, Oxfordshire Enabling the disadvantaged and disabled to enjoy the River Thames. Thomley Activity Centre Worminghall, Buckinghamshire Offering fun days out for disabled people of all ages. Thames Hospice Windsor, Berkshire Providing vital adult hospice services in East Berkshire and South Buckinghamshire. The Traditional Boat Festival Henley-on-Thames, Oxfordshire The largest display of traditional boats in Europe plus the biggest gathering of Dunkirk little ships. Scouts Nationwide Helping over 450,000 young people in the UK enjoy new adventures. The Colostomy Association Reading, Berkshire Providing support, reassurance and practical advice to anyone who has, or is about to have, stoma surgery. Home-Start Leicester, Leicestershire Leading family support charity helping families with young children to deal with the challenges they face.
