Helping ESOP officers and their advisors understand the accounting and tax treatment of ongoing ESOP activities, such as contributions and distributions, will be covered, as well as connecting the financials with the tax return.

4 II (T~B) ESOP DISTRIBUTIONS 101: THE BASICS Cara Benningfield, BKD, LLP, Bowling Green, KY (Moderator) Mark Swanson, Crowe LLP, Columbus, OH This session will cover the fundamentals of ESOP distributions, including who is eligible for a distribution from the Plan, the timing requirements, methods available (lump sum or installments), and the form of distribution (cash or stock). The session will include topics such as QDROs, required minimum distributions, and diversification. We will also discuss considerations when designing your distribution policy or making updates. The speakers will share real life examples of how companies are designing their distribution policies and communicating their policies with employees. This session is intended for those who want to obtain a basic understanding of ESOP distributions or anyone who would like a refresher. V (T~I) CORPORATE GOVERNANCE IN AN ESOP COMPANY Fenton D. This session will explore the responsibilities and authorities of an ESOP company s board of directors, board-appointed committees, and trustee; discuss the interplay between corporate governance and ESOP governance; and explain how that interplay should promote the interests of all stakeholders. This session is appropriate for board members, management team and committee members, trustees, and professional service providers.
