3 Minutes of the 13 th Annual General Meeting of the Association of Multimodal Transport Operators of India (AMTOI) held on September 17, 2012 at 4.00 p.m. at Vivanta By Taj - President Hotel, Cuffe Parade, Mumbai The Thirteenth Annual General Meeting of the Association was held on Monday, September 17, 2012 at 4.00 p.m., at Vivanta By Taj President, Cuffe Parade, Mumbai under the Chairmanship of President, Mr. Anand Sheth, which was attended by Members, the list is appended to the minutes as Annexure. Mr. R. K. Rubin read the Agenda for the meeting and requested the President to preside over the meeting. Agenda Item No. 1 : Welcome Address by the President, Mr. Anand Sheth At the outset President, Mr. Anand Sheth extended a warm welcome to all the members at the 13 th Annual General Meeting of the Association. Mr. Anand Sheth, President in his address to the members detailed the work done by the Association during the last year as well briefed members on various matters. He presented the developments with the Port of Antwerp which has culminated in an MOU being signed between POA and AMTOI on Mr. Marc Van Peel, Chairman and Eddy Bruyninckx, CEO on behalf of POA and Mr. Anand Sheth, President and Mr. Tushar Jani, Immediate Past President on behalf of AMTOI signed the MOU to create and to jointly develop a Portal, called Indian Natie, to share information about Indian as well Belgium companies which will be of great assistance to develop trade between the two countries. He further stated that a working group for this purpose has been created by nominating individuals from both sides. He referred to creation of Grievance Redressal Forum (GRF) which is being headed by Mr. Tushar Jani as Convenor and is working well since its inception. He was happy to confirm that many of the Grievances were redressed and resolved through discussion and mediation of the representatives of various associations who are constituent of GRF. He thanked Mr. Tushar Jani, Immediate Past President & Convenor of GRF for the excellent work done. 2
4 Our Association represented to the Ministry of Finance, Central Board of Excise and Customs on matter relating to Service Tax and its impediments to the Trade due to lack of clarity in its application. Further representations were made jointly with other Associations who had similar problems so as to bring about a change by appropriate clarification by the government. Moving on to the draft of Shipping Trade Practice Bill (STP) the same has been finalized by the DGS office and forwarded to MoS for necessary action. It was observed that the draft of STP was in variance to the text agreed by the drafting committee; hence AMTOI has brought it to the notice of the government to make necessary amendment as per the drafting committee proposal. It did mention about the inclusion of fine & penalty including imprisonment in the draft which was not agreed by AMTOI. We now await a future development of this bill being put through parliamentary process for having it passed during the winter session. Moving on to infrastructure, he emphasised that infrastructure development have always been short of requirement all over the country particularly in Port, Road and Rail sector because of which the country is suffering delay, high cost, etc. He drew the attention of the government to vigorously pursue the pending projects through to their completion and infuse more funds in this sector for speedy development. He referred to the JNPT situation arising out of a decision taken by TAMP in respect of charges levied by Port Terminals. The matter is in the Court and subjudice hence hoped something good will emerge in the near future which will benefit the trade at large and the port operators. AMTOI was offered a very prominent position in the Indian Maritime Week held in Delhi on 20 th Jan The entire session called AMTOI Business Forum was allocated a panel discussion, Q&A session was held with a large participation from a cross section of shipping and logistics industries. The Forum s recommendation was to be sent to various ministries for redressal. AMTOI Day 2011 held on 2 nd Nov 2011, with Shri K Mohandas, Secretary Shipping as the Chief Guest and was attended by several Maritime Industries leaders. Highlight of the suggestions made by the Industries is to form a Maritime Forum with representation of all sections of industry so that joint representation may be made to the Government. Two meetings have been held in this regard. The President recorded his gratitude to all the members of the Managing Committee for their support and cooperation. He also thanked all the members of the association for their support and contribution. He thanked the Special Invitees from various other Associations for contributing to the Association and 3
5 the AMTOI Secretariat for their continued support and co-operation. With this he concluded his welcome address. Agenda Item No. 2 : To confirm the Minutes of the last Annual General Meeting held on September 20, 2011 The minutes of the last Annual General Meeting held on September 20, 2011 were read, confirmed and signed. RESOLVED that the Minutes of the 12 th Annual General Meeting held on September 20, 2011 was circulated to the members and presented before the meeting are approved and adopted. The Hon. Treasurer, Mr. Shashi Tanna briefed the members on the Balance Sheet and Income and Expenditure Account for the year ended March 31, 2012 and the Auditor s report. After due discussions and deliberations on the accounts the same were approved and the following resolution was passed: RESOLVED that the Annual Accounts together with the Managing Committee Report and Auditors Report of the Association for the year ended March 31, 2012 presented before the meeting and circulated to the members be and are approved and adopted. 6 Agenda Item No. 4 : To appoint Auditors for the year & fix their remuneration The Hon. Treasurer informed the members that the present Auditors M/s. B.M. Mehta & Co. hold office until the conclusion of the Annual General Meeting and are recommended for re-appointment. The Auditors have given their consent for re-appointment with a request to increase their Audit Fee s for the current term. The matter was put forth to the General Body who confirmed appointment of M/s. B M Mehta & Co. with an increase in Audit Fee s to Rs.15,000/- the House unanimously approved the same. Teamglobal Logsitics Pvt Ltd : Unanimously Agenda Item No. 5: To announce results of the Election of Managing Committee Members for the year The President informed the members that in response to circular dated August 23, 2012 sent to all members, the Association had received nomination forms of: 1. Mr. Shantanu Bhadkamkar, M/s. ATC (Shipping & Clearing) Agency Pvt Ltd. 2. Mr. Anand Sheth, M/s. Axis Shipping Agencies Pvt Ltd 3. Mr. Shankar Chatterjee, M/s. Bertling Logistics India Pvt Ltd The Association had three nomination forms for two posts of Managing Committee Members. Mr. Shankar Chatterjee from Bertling Logistics India Pvt Ltd & Mr. Anand Sheth from Axis Shipping Agencies Pvt Ltd withdrew their candidature from the election, hence the following one member was elected unopposed: 1. Mr. Shantanu Bhadkamkar, M/s. ATC (Shipping & Clearing) Agency Pvt. Ltd. The newly elected Managing Committee member was presented with a Bouquet. 5
7 Agenda Item No. 6 : Any other matter with the permission of the Chair Matters relating to the MOU with POA were explained after specific request by members. It s a portal jointly developed by both the parties with intentions to provide detailed information about both the countries in regard to logistics /customs regulations/port availability/tariff /train operators/truck operators, etc so that logistics players from both sides can take advantage of the same. Further explore possibilities to exhibit products of Indian origin to European customers may be devised. Mr. Tushar Jani, Immediate Past President informed the House that AMTOI has grown up since its formation by the elders of the industries and the Founder members. During the last two years Mr. Anand Sheth, President with his vision and leadership elevated AMTOI s position to the next level. AMTOI has become a powerful force as several references have been made to the Association by the Ministry and DGS for matters relating to the Industry. AMTOI has always been a part of DGS/MoS interaction for matters relating to the trade where the matters such as STP, Cabotage Policy, etc. were discussed before making a policy pronounment. Members, particularly M/S Tushar Jani, Shantanu Bhadkamkar and Rajen Bhatia appreciated the contributions of the Committee in general and Mr. Anand Sheth, the outgoing President in particular. Mr. Shantanu Bhadkamkar also expressed concern over the attendance and felt that AGM is not just an annual event but also a platform for sharing with the members the work done during the year and a platform for the members to share their view and express their expectations from the association. He, therefore expected that members should participate in such events in greater number particularly at value added events such as presentation of white paper by Ernst & Young on Future of Logistics in India. Agenda Item No 7: A Vote of Thanks by the Hon. Secretary Mr. R. K. Rubin, Hon. Secretary in his Vote of Thanks, on behalf of entire Managing Committee, extended thanks to all the members who attended the AGM. He also recorded a Vote of Thanks to the Government Departments, Customs Officials, Press, Auditors and Special Invitees of various other Associations on the AMTOI Managing Committee. He concluded by thanking the Managing Committee Members and the AMTOI Secretariat for their continued support and co-operation. 6

SUB-COMMITTEE ACTVITIES AMTOI ANNUAL DAY The Managing Committee decided to hold the Annual Day in the month of October CHAPTER The Association has been able to enroll number of members from southern region through Chennai chapter. The Chennai Chapter is active in taking up issues faced by the Members in South India on a regular basis. 18
20 TRAINING PROGRAM & SEMINAR The Association in co-operation with Ernst & Young Pvt. Ltd. arranged presentation on 17 th September 2012 of White Paper Logi(sti)cally Speaking on the way forward for Multimodal and Logistics industry. The presentation was made by Mr. Biren Parekh, Partner, Advisory Services, Ernst & Young Pvt. Ltd. The Association in co-operation with Mediterranean Shipping Company arranged a training session on Hazardous Cargo for MTO s on 12 th December 2012, at MSC Office, Mumbai. The training was for all Members of AMTOI & Non Members. The Association in cooperation with Mr. John Maffet, Gallen Marine Insurance Agency & Mr. Utpal Kapadia from Athena Insurance arranged a seminar on insurance and claim handling procedure for MTO s on 6 th March 2013 at Yacht Club, Mumbai. Mr. Hetan Patel, from PHD Associates was invited to make a presentation on Tax Residence Certificate on 02 nd Feb 2013 at Yacht Club, Mumbai. CUSTOMS (PTFC) AMTOI representative s represented to the different Custom Commissionerates to ease the day to day operational difficulties of our Members. The Sub Committee s continues to represent all matters brought forward by its members at Nhava Sheva, Mumbai Airport, Hyderabad, Pune & Chennai. DIRECT / INDIRECT TAX The association has appointed a consultant for advising the association and members with regard to queries on direct / indirect taxes. In addition AMTOI has appointed consultants to help prepare, submit and pursue representation on Service Tax issues. The representation has been submitted to Chairperson, CBEC, Ministry of Finance, Department of Revenue, Director General of Service Tax, Mumbai, Addl. Commissioner of Service Tax, Mumbai & Joint Secretary, CBEC (Tax Research Unit II), Ministry of Finance, Department of Revenue for issuance of clarification on non-imposition of service tax on international freight, margin earned on freight and revenue from ancillary activities. 19
21 WEBSITE The AMTOI website is very informative, useful and interactive for Members. Members/ Non Members are regular visitors to the website and have been successful in inviting new members. The Website has been re-engineered with more features which will be useful to Members. MEMBERSHIP The Sub-Committee has been actively increasing the Member strength which has grown 197 members. MMTG AMTOI continues to pursue various amendments in the MMTG Act and meetings have been held to pursue the amendments. AMTOI submitted the comments to the Final Draft of MMTG Amendments. MTO LICENSE RENEWAL The Committee has assisted various members in the renewal process of their MTO licence by representing the matter to the office of Director General of Shipping as well as guiding members in the correct interpretation of the act. AMTOI has established a system to remind Members and offer assistance for renewal of licenses, held up for more than 60 days at DGS office. TAMP / PORTS AMTOI continues to participate in the various TAMP hearings. AMTOI also made representations to port authorities on the difficulties faced by its members on a day to day basis. AMTOI also actively pursued port related issues with the MOS independently & jointly with other Associations. SCOPE AMTOI is a member of SCOPE shipping and SCOPE Air Forum of Ministry of Commerce. AMTOI attended meeting of SCOPE Shipping & Air held on 12 th December 2012 at New Delhi. 20
22 INDIA NATIE Following initial visit of AMTOI to Port of Antwerp and the signing of the MOU, more detailed discussions took place with the Port of Antwerp in June 2012 during visit of M/S Tushar Jani, Anand Sheth and Ravindra Gandhi specifically for this purpose. Discussions were initiated with vendors, ensuring the various concerns of Port of Antwerp concerning programming be done in Drupal. The proposals submitted by the vendors were put across to the Port of Antwerp. During the visit of Mr. Luc Arnauts, a full day workshop was conducted in November 2012, to finalise on the structure of the platform, proposals received from vendors, ideas and to narrow down on vendors who were best suited for the purpose. The event was hosted by Mr. Tushar Jani and attended by POA representative Mr. Raj Khalid, our IPP Mr. Anand Sheth, President Mr. Shashi Tanna, VP Mr. Shantanu Bhadkamkar and Mr. Ravindra Gandhi. Further meetings with vendors, based on discussions with POA, were conducted by our Hon. Secretary Mr. Vivek Kele and Mr. Ravindra Gandhi and three vendors were short listed and tabled during meeting held with POA on 8 th Feb in Mumbai. The meeting was attended by the Chairman, Port of Antwerp and after due deliberations, it was decided to award the contract to M/S Digit 9.0- Web Marketing Pvt. Ltd, who seemed to meet all requirements of POA. AMTOI signed a formal contract on 25 th March 2013 with Digit 9.0- Web Marketing Pvt. Ltd on behalf of India Natie and the programme is currently at an advanced designing stage. Mr. Ravi Gandhi alongwith Mr. Vivek Kele are spearheading the project from the AMTOI side. GRF Under the Convenership of AMTOI, 06 GRF Meetings were held during the Term with the participation of respective constituents. We are pleased to place it on record that 05 cases of grievances were received out of which 01 were resolved amicably. 01 case is subjudice and 03 are under process. Out of the 06 Grievances Redressal Forum meeting held during the Term , AMTOI as Convenor attended all the 06 Meetings, ACAAI - 5, BCHAA - 2, CAI - 5, CSLA - 5, FEDSAI/MANSA - 2 and FFFAI
23 MISCELLANEOUS 1) AMTOI continues to pursue consumer complaint filed against Corporation Bank. 2) AMTOI is circulating Weekly Newsletter by on important news and information on Shipping & Logistics industry to all its members. 3) AMTOI invited Mr. Gautam Chatterjee, Director General of Shipping to address the Extended Board Meeting held on 5 th February ) AMTOI has been invited by various Trade Bodies to be a part of their respective governing council / Managing Committee. 5) AMTOI was invited as guest speaker at the Indo-Belgium Luxemburg Chamber of Commerce Ashit Mehta Memorial Seminar held at yacht Club, Mumbai. 8) AMTOI raised objection with Competition Commission of India, New Delhi against the notification issued by Cathay Pacific Airways, regarding unjustified levy of Airport Landing Charges. 9) AMTOI made a submission to Director General of Shipping regarding fraudulent use of forged bill of lading for bill discounting under letter of credit. 10) AMTOI raised the issue with APM Terminal regarding the stoppage of work by NSCOWA and MHVICOA. 11) AMTOI submitted agenda points to Ministry of Shipping (MG Section) regarding meeting of the committee on Redressal of Grievances. 12) AMTOI communicated to Director General of Shipping regarding the necessity of registration of person issuing of bill of lading. 13) AMTOI submitted to Director General of Shipping views of its members on the points raised in agenda for 1 st Meeting of the sub-group on logistics services under IMG. 22
24 MANAGING COMMITTEE MEMBERS RESPONSIBILITY STATEMENT Pursuant to Section 217 (2AA) of the Companies Amendment Act, 2001 the Managing Committee Members confirm that i) in preparation of the annual accounts, the applicable Accounting Standards have been followed; ii) iii) iv) appropriate accounting policies have been selected and applied consistently and have judgment and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Association as on March 31, 2013 and there is excess Income over Expenditure for the year ended March 31, proper and sufficient care has been taken for the maintenance of adequate accounting records in accordance with the provision of the Companies Act, 1956 for safeguarding the assets of the Association and for preventing and detecting fraud and other irregularities; and Sub-clause (iv) is not applicable to our Association. AUDITORS The present Auditors M/s. B M Mehta & Co. hold office till the conclusion of the ensuing Annual General Meeting and is recommended for re-appointment. The auditors have given their consent for their appointment.
