1 Northstar Sportsmens Club MAY 21, 2014 Board Meeting Meeting start time: 7:00 pm-north Star Sportsmen Club Pledge of Allegiance Officers Present: President: Bonnie Conrad Vice President: Doug Braker Secretary: Char Moore Treasurer : Carl Berg Board Members Present: Bonnie Conrad, Doug Braker, Char Moore, Carl Berg Brian DeGrote, Paul Blegen, John Eaton Membership Present: Larry Streamer, Duane Marty, Hank Conrad, Will and Dar Pehling, George Jurgenson, Jim Dean, John? Secretary report: Motion made to accept secretary report. M/John/S/Bonnie/P/All Treasurers report: M/Char/S/Brian/P/All Discussion: Brian asks if this is treasure report from March as listed or from April? Carl clarifies that it is April Questions: if financial report includes annual banquet figures, Carl 2 nd sheet includes all deposits. Will Pehling asks about what club pays sales tax on, Carl replies Tax exempt on things we resell. Char asks what $ to Bonnie and Hank Conrad was for and Bonnie replied for food for Kids gun safety. 114 Paid members as of 5/21/14 Doug explains WHA Wolves is under NSSC 501c3 for start up of organization. Carl comments club started with $ start up fee to get them going. Doug is working on getting WHA Wolves Trapshooting there own 501c3. Hank said he heard at Reeds that WHA Wolves hasn t asked local Walker Business s for sponsorships. Doug explains to Hank were they are at. Walker and Hackensack Legion, Reed s Sporting goods (Vests), Turkey Federation, Ducks unlimited, Walker Ford with Drive 4ur community, Charlie s UP North spaghetti feed and many others. Hank then said he thought this is a sport where the school would award them a letter, Doug explains to Hank the ages of some 11 yrs old to 12 yrs old with there
2 hunter safety cards. And yes it s a letter sport for WHA School with kids that qualify. Will Pehling then said that 5 students have been out to the club to practice and compliments the WHA Wolves Trap Team leaders for a job well done. Doug comments next stop kids go to State Championship. Carl continues with Building Insurance- Quote $ for $15000 building insurance. Carl will set up appointment with Brian Hein from First National Bank Insurance to come to club and do a walk around and make sure all equipment and contents will be included. John moves to purchase insurance for $ for $15000 coverage. M/John/S/Brain/P/All Carl sent Thank you cards to Hackensack Fire arm safety for $ donation and to Scott Storm for Print donation for the NSSC Fundraiser banquet. Scholarships : Carl received two Garret Owen and Grace Smith, club rules to hand out two per year. $ each Char makes motion to give these two students Scholarships M/Char/S/john/P/ all. SECRETARIES REPORT Bonnie has questions on what line said, Char replied Weak I s on motion passed. $80.00 sales tax change to $36.00 sales tax Doug never ed Bonnie Job application which states on minutes, Char will them to Bonnie. Motion by John to accept minutes with above changes M/John/S/Brian/P/All OLD BUSINESS Bonnie comments club is up and running, calls on Hank for update. Hank states that all workers are DNR certified. Club in need of 25 shooters patches Cash register doesn t work. Hank feels that the Trap-Skeet machine was left on something is wrong with it, on Tuesday. Doug assures that it was turned off and states there is a problem with east trap machine. Birds not throwing correct. Making a grumbling sound. Hank-Rifle range-replace post down-50 post need replacement. Road needs grading. Storage housing for sporting clays need work. Hank has a list of things needed for the club. Hank took inventory on birds 6 pallets left. Deep Portage wants to borrow targets, Doug states sporting clays targets, Paul states he talked to them and they only want Bat 2, they have there targets on order and will return to us ASAP.
3 Hank states that we need new tables at the clubhouse and Menards has them on sale for $ Hank states present tables are very hard to move around when cleaning clubhouse, and are pretty beat up. Carl states you get what you pay for and we should look for good quality tables. Bonnie said they have them on sale frequently. Char suggests that we shop local and call Jeff Holly at Walker Home center because he has always been good to the club and has been good on purchase s that she made for the Fire Department Hall. Bonnie instructs Hank to keep his lists and we should move on. BANQUET DISCUSSION-DOUG & JOHN 2014 Annual Banquet Gross Income Adult Dinner Tickets Child Dinner Tickets 18. (material for two gun $68.00 boards).... Hummingbird Press (tickets, flyers, $ postage).... Newspaper $ Ad... Guns for $9, Raffle.. Start-up money (returned to checking $ acct).... $17, $ Gross Income $ Expenses $ Net Income Donations Doris Mitchell Quilt???...Ice Chisel Backus Corner Store T-shirt & Hat Northland Tackle Fishing Lures Doug Braker Daisey Red Riders Anonymous Ruger 10/22 FOG Firearms Ammo John Eaton 2 tanks of gas from running around Scott Storm Print Amy from BlueWater Lodge and Banquets did an excellent job including her crew to help NSSC with there needs for everything. John states that they were counting on 140 people and needed them to set up more tables to accommodate NSSC needs for more people attending. Bonnie comments that Gun boards very nice this year and people had nice comments about them. Committee wanted to dress up fundraiser and make it classier. Incentive for selling Gun Raffle tickets with free meal ticket reward seemed to go over well this year. Dar Pehling questions what was the free tickets for? Doug states that was the incentive for members selling raffle tickets. Questions from Hank about Pilot ad and Newspaper ad just a typo and listed
5 twice by mistake, so net profit add on $ John states last year Charlie helped NSSC out with cost of Banquet Hall. This year we were on our own with cost. Will Pehling commented it was the worst Prime Rib he ever had, two raw, maybe because there table was at the end. Doug agreed he heard and experienced the same. Will states that Charlie should be told about the food. Doug said he would handle the situation. Hank suggests rearrangement of the food line, should be two lines in future and maybe Prime Rib cutting table separate. John was running around a lot selling tickets approaching business people to buy a ticket instead of donating. John states in order to get the attendance need to go around to business and sell tickets. Bonnie thanks them for a good job and Char comments thanks for trying something new for the past two years and getting out of the box for NSSC fundraiser. Great Job!! Out of Town Shooters: 12 shooters have made reservations for Saturday May 31 st. 3 workers will be helping them, says Will Pehling. They will be shooting Trap-Skeet- Sporting Clays. Coming from the Cities and $ deposit has been received. Reservations are for 10am, NEW BUSINESS Larry Streamer asks board for Punch cards instead of pay, John Asks how is that calculated out, Will Pehling answers Punch cards are $40.00 so it s like getting paid $10.00 per hour. How will we keep records of this? Bonnie requests a motion, Carl suggests this need not be in minutes>(need board approval to not include in minutes-when approving minutes board needs to vote to leave out!) Will and Larry explain the work of refurbishing the lawn mower, sharpening blades, motor maintain etc. Brian asks about progress on pouring apron and finishing project. Volunteers to bring crew out to help finish project if he has a ½ day extra in schedule. Funds are leftover from building project. Cash Register Too complicated for new workers this year. They can t figure out how to properly operate it. Law for non-profits need yearly financial statement and this register if used properly gives the information state requires for yearly report at Annual membership meeting. Rich Hansen set it up, workers should contact Rich and ask him to come to club and train employee s how to use the register properly. Nothing is wrong with Register s Workers just need to learn and be trained how to use it properly. This helps with Treasury work for reports and easy audit from board if requested and state and federal audits. Other options get a new register which now are even more complicated because most are computers. Hank questions labor signs that are posted are out of date. Will tells Hank he just put the posters up, Will states that those are the new ones. Doug: Hiring Policy /By Laws-at last board meeting under impression that ad would be put in paper to hire a new manager. John sent out an to entire board asking what our steps would be about
6 hiring a new manager. No reply from President Bonnie Conrad. Carl states that local conservation officer during his term requested that Fred not be allowed to be present at Fire Arm safety. Carl ignored request. Carl said that on Monday April 21 st when John Paurus came to club for DNR Hibbing training, he informed Carl that Fred Otto didn t pass background check by DNR for Fire Arm safety instructor. Will Pehling states that John Paurus told him the same about Fred Otto on phone during conversation about Fire Arm s safety conversation. to board No reply from President Bonnie Conrad John Eaton reply below As a result of carefully reading the bylaws immediately after the last meeting (my wife also) two weeks ago, I agree with Doug. Its time to be fair and honest about what we're doing here. sent from Doug. From: Doug Braker Sent: Sunday, May 04, :15 AM To: Bob and Char ; Bonnie Conrad ; Brian DeGrote ; Carl ; Carl Berg ; John Eaton Subject: Letter Attn: All Board Members Fred handed me this letter Tuesday night (April 29th) and asked me to it to the board. (attached) I did not know that Fred was terminated after the meeting on April 21st. The only discussion that took place at the meeting was replacing the manager and acquiring another employee to replace Jim Bergum. The president can temporarily appoint someone to fill these positions, but any permanent position must be approved by the board of directors, as well as the termination of employees. Hiring and firing has been the responsibility of the club manager. Since no policy has been adopted otherwise, any action taken must also be approved by the board of directors. The topic of Fred's termination should be on the agenda for the next meeting May 19th, for the board to discuss and a motion made for a vote.
7 BY-LAWS Article 6 OFFICERS SECTION 6.2 PRESIDENT. The president shall be the chief executive officer of this corporation. He or she will preside at all meetings of the board of directors. He or she will be responsible for the general supervision, direction and management of the affairs, employees, and business of this corporation as detailed by the policies of the board of directors.he or she may execute on behalf of this corporation all contracts, deeds conveyances and other instruments in writing which may be required or authorized by the board of directors for the proper and necessary transactions of the business of this corporation -- Doug's Gunsmith Shop info@dougsgunsmithshop.com George Jurgenson suggests we don t talk about Fred Otto being Fired for no reason shouldn t be talked about without Fred being present to defend himself. Brian agrees. Doug states that letter was sent to board with Fred wanting reasons why Bonnie fired him. Hank states that they didn t embarrass Fred at meeting by not talking about at April s meeting. So Hank said Bonnie fired him after meeting. Hank said Bob should have been told about the findings when he was manager, but was not communicated with about the situation. Will Pehling states there was a lot of complaints about Fred Otto. (Never reported to Board??) Carl tells the board to go home and think about this and we can talk later about situation. Give everyone a chance to cool down. John feels we as a board should have been talked to about situation. Motion to adjorned by John M/John/S/Brian/P/?Not passed by all- Doug was cut off by Carl and Bonnie.
