1 SFO San Francisco International Airport Foreign Currency Exchange Service Lease Request for Proposal Addendum No. 1 June 13, 2014 To: Subject: Previously- Issued RFP: Respondents to Letter of Interest for the Lease referenced below Addendum No. 1 to the Foreign Currency Exchange Service Lease Request for Proposals Request for Proposals dated May 2014 (the "RFP") On behalf of the San Francisco International Airport, we invite you to participate in the selection process for this Concession Opportunity pursuant to the RFP, supplemented by this Addendum. Please review the RFP, this Addendum, and any other addenda carefully. Attached is a compilation of written comments and suggestions made by interested parties and Airport staffs response. The first table. Interested Parties' Questions/Suggestions and Airport Staffs Recommendation, provides Airport staffs recommendation to the interested party's suggestion. Once the Airport Commission approves the Airport staffs recommendations, staff will issue a formal response in another addendum. The second table, Interested Parties' Questions/Suggestions and Airport Staffs Response, provides the clarifications to the business terms. We plan to go before the Airport Commission seeking authorization to accept proposals for the Foreign Currency Exchange Service Lease on June 17, 2014, and issue an addendum with approved changes to the RFP during the week of June 23, Should you have any questions, please contact Gigi R. 2 Foreign Currency Exchange Lease Request for Proposal INTERESTED PARTIES QUESTIONS/SUGGESTIONS AND AIRPORT STAFF S RECOMMENDATION Section Interested Party Question or Suggestion Airport Recommendation Minimum Acceptable Offer We would like to ask SFO to reconsider the MAG level which is high in line with other major airports in North America. If a permanent location in Terminal 3 is not required, reduce Minimum Acceptable Offer to $3,800, If given an optimal permanent location in Terminal 3 where revenues return to 2013 levels, we suggest a MAG of $4,000, The Airport is not prepared at this time to provide the permanent location in Terminal 3 nor can it guarantee of future revenues and traffic. Airport staff will recommend to the Airport Commission to reduce the Minimum Acceptable Offer to $4,200, Proposal Bond Lower the proposal bond amount substantially so it s in line with that requested by major airports in the U.S. or globally. The proposal bond is currently set at $1,500,000. Proposal bond amount required from other airports are as follows: Airport Amount Miami $10,000 Chicago O Hare No bond Dallas Ft. Worth $10,000 Boston-Logan $50,000 Orlando No bond Montreal No bond Frankfurt No bond Airport staff will recommend to the Airport Commission to lower the Proposal Bond Amount to $100,000. Minimum Qualification Requirements The lease states the successful proposer will need an operating fund of $1,000,000. We would like to request for this fund to be decreased to a minimum of $400,000. Use and Operation Most ATM providers receive a $3.00 minimum fee for each non-bank member cash withdrawal. Can the airport change the pricing structure to reflect this? Airport staff will recommend to the Airport Commission to retain current specifications. The Airport has established a ceiling of $2.50 for an ATM surcharge. 4. Rent The minimum acceptable percentage rent of foreign transaction is at the top for percentage rent. Will the Airport consider reducing it? We suggest that SFO considers changing the percentage rent to match the current market at 8%. Airport staff will recommend to the Airport Commission to retain percentage rent for foreign currency exchange transactions at 10%. We would request that SFO reconsider the minimum 10% turnover rent, as it is felt that this is significant in the current climate and with the potential passenger disruption through the construction period of the international terminal. Yes. Airport Commission will formally approve award of the Lease to the successful proposer, after which time, the Board of Supervisors will approve the Lease, after which the Mayor will ratify the Board of Supervisors resolution approving the Lease. Projected Air Traffic Can the Airport provide any forecasted passenger projections for the new contract period, ideally split between domestic and international passengers? The Airport projects a flat or a slight increase in air traffic. Sales Report Please provide sales per location per month for 2011, and year to date 2014 The current tenant does not provide its sales per location. See attached monthly sales reports. Submittals Under Submittal 2, B2iii, the RFP asks to consider including organizational documents such as corporate articles/bylaws and financial statements. Since these documents tend to be extremely long, we would like to request to add an appendix to the overall proposal where these documents can be referenced instead of in Section B2iii. Agree. Minimum Qualification Requirements Will SFO consider setting a minimum goal for DBE participation Due to the nature of the service this Lease provides, the Airport did not see any viable subcontracting DBE opportunity. Premises The RFP states the mobile unit in Terminal 3 will be removed. Would the successful proposer be able to maintain a mobile unit in Terminal 3, while adequate permanent space is found? The Airport will make best efforts to provide a space for the foreign currency exchange unit in Terminal 3, which is in flux with major renovation work. 1. Premises As this is an existing concession, with the same premises as in the current lease, we would like to request clarification of these terms. The lease states, that if temporary stores are used during construction, then 10% of Gross Revenues would be due. This implies that the existing lease would terminate on the day the new lease becomes effective. Please confirm that this is correct. The current lease will expire, and soon thereafter, the new lease will take into effect. The Airport and successful proposer will establish a plan to provide services on a temporary basis until the tenant improvement work during the Development Term is completed. Rent during the Development Term (from Commencement Date to date prior to Rent Commencement Date) shall be 10% of gross revenues. 1. Premises Please confirm that the successful proposer will accept all the units and that the MAG will not kick in before the last unit is completely renovated. The Airport and the successful proposer will agree to a full Rent Commencement Date, which shall be no later than 120 days from the Commencement Date. 2. Term The definition of Commencement Date is the date which Tenant takes possession of some or all of the Premises. The RFP does not refer to continuous operations and therefore clarification is needed. Does SFO intend on handing over one or two premises, having those renovated or will it be deemed the Premises have been delivered immediately and therefore the Rental Commencement date of the premise will be the same as the Commencement Date? The Airport plans on turning over all of the Premises to the successful proposer at once. The Airport and the successful proposer will establish a plan for temporary operation so that there is continuous foreign currency exchange service during this Development Term and Operating Term in key areas of the International Terminal Building departures and arrivals levels, Boarding Area A and Boarding Area G Page 2 of 7 - Foreign Currency Exchange Service Lease RFP

Term Term. Note extension option contradictions - The RFP Part I Section 3. Term states: The base term for this Lease is approximately five (5) years, plus three (3) one-year options. The last sentence in the Lease Summary Term section states: The Airport Commission, in its sole and absolute discretion will have three options to extend the term by one year. The Expiration Date section states: The Airport Commission, in its sole and absolute discretion will have two options to extend the term by one year. Can the airport please amend this to 3 years? Agree. To clarify, the Term is five years with three one-year options at the Airport s sole discretion. 2.5 City s Right to Extend Term. City shall have one (1) option to extend the Term by three (3) years, on the terms and conditions of this Section 2.5 (the Extension Option ). contradicts RFP Term and Lease Summary Term. Can the Airport confirm/amend the discrepancies in the term? 2. Term Please note contradictions in definitions of Rent Commencement Date, Commencement Date and Full Rent Commencement Date in Lease. Can the Airport please clarify and amend these start dates? To clarify, Rent Commencement is the date the MAG is effective. The MAG may be prorated based on the square footage of the Premises that are opened. Per Section 4.2 (c) of the Lease, MAG shall be prorated (based on the square footage of those Premises open or required to be open), and compared to the aggregate Gross Revenues achieved from Full Rent Commencement Date I the date when full MAG is effective, and the start of the Page 3 of 7 - Foreign Currency Exchange Service Lease RFP

Commencement Date is the date in which the Airport Director Tenant possession one or more spaces of the Premises. 2. Term The lease has an early termination right in the Director s sole and absolute discretion during the operating term to terminate the lease, if the use of the space(s) is required to support the Airport's or Capital Plan as published annually. We would like to request a copy of the latest plan. Please see attached. A revised Airport's Five- Year or Capital Plan should be made available in the next month or so. 3. Use and Operation Extent of Leasehold. In no event will Tenant engage in any activity on the Airport outside the Premises for the recruitment or solicitation of business. We would like to ask the Airport to amend the extent of the leasehold to ensure/allow the proactive sales ambassadors to facilitate the sale/transactions. The Airport does not allow for tenant and its employees to vocally reach out to its potentially customers. Tenant is allowed to place appropriate marketing materials within its Premises, which requires Airport s review and approval. 3. Use and Operation The Airport specifies that the tenant accepts four credit cards. Can it be any combination of credit cards, i.e., MasterCard, China Union Pay, etc. The Airport requires that tenant accepts at least four major credit cards including Visa, MasterCard, American Express and Discover. Tenant may add more cards. 3. Use and Operation Can the Airport confirm that Exhibit B Use and Operations will mirror the submitted proposal for product and services offering along with margins, surcharges and fees? The Airport will review successful proposer s proposed products and services offering with margins, surcharges and fees prior to incorporating into the lease. Use and Operation Submittal 4 requires submission of all foreign currency exchange rates to countries that have direct flights from SFO. However, in Exhibit B of the lease, SFO requests to include margins and not exchange rates. Can we include margins instead of exchange rates in Submittal 4? Please clarify that Exhibit B will be updated as per the information provided in the successful proposal. The proposer is required to provide the margin of its exchange rates and its most current exchange rates for countries that have direct service from SFO. Submittal 4 and Exhibit B of the RFP will be revised. 3. Use and Operation Current observed spreads do not match the spreads as mandated under other operational requirements. Is it SFO s intent to amend this operational requirement or should proponents base their business case on the mentioned spreads? The Airport will take into consideration proposed spreads from Proposer s submittal. 3. Use and Operation Will SFO consider using a professional service such as Reuters or Bloomberg for benchmarking the spot rate, rather than the San Francisco Chronicle? Yes. 4. Rent Section 3d ( Rent ) of the RFP states that rent should be structured as 70% of gross revenues achieved from U.S. currency ATM Over the counter transactions for foreign currency are applied under the percentage rent of 10% of gross revenues. It is not clear what percentage rent will apply to over the counter transactions. Please clarify this point. 4. Rent Will the Airport accept electronic payment via ACH for rent payments? Yes, arrangements can be made with Airport Accounting. 4. Rent Please clarify the definition of Gross revenue in the lease section 4.1. Basically, the Airport is looking at revenue tenant has made or generated from its premises. Revenue can be generated from a commission or fixed fee on a currency exchange transaction, ATM transaction surcharge, sales from insurance or business service offerings, or pre-paid debit card sales. 4. Rent 4.4 Construction Period Operations. ( c ) As rent for the interim period, Tenant shall pay to City Twenty Percent (20%) of all Gross Revenues achieved from such designated area during each month of such interim period. We would like ask the Airport to amend this to the 10% as specified in the Term Sheet. The Airport will strike rent during interim period in Section 4.4 Construction Period Operations. Rent Will the Airport allow a separate rental term for transactions done online where customers pre-order their currency and pick it up at the airport? No. 4. Section 4.14 Severe Decline in Enplanements includes provision for MAG relief when there is a decline in international enplanements. Section 1.2 Relocation, Expansion, Contraction includes provision if there is a change in the tenant s premises by more or less than ten percent (10%). 5. Assignment or Subletting 5.2 Changes in Tenant. We would like to ask the Airport to allow transfer of the lease in the event of a change in ownership due a sale or acquisition of the entire business. Staff shall retain current specifications. The Airport will review for approval any transfer of the business, including this Lease. 9. Investments; Alterations Lease specifies 90 days to complete all build outs. This is not adequate to build some of the new locations. Please extend this to at least 120 days. Airport staff will revise the build-out period (Development Term) from 90 to 120 days. Construction time frame allowed of 90 days is too short as all the spaces need to be designed and installed without the loss of service; we propose that SFO increase the time to 180 days 15. Default; Remedies 15.9 City Lien. We would like to request for this section to be edited to exclude any working capital/inventory that is on the premises or within our assets. 20 Executive Summary The San Francisco International Airport (SFO) creates a five-year Capital Plan to identify its highest priority capital needs and provides a schedule for a coordinated plan of finance. The Fiscal Year (FY) 2013/14 Capital Plan (Plan) includes projects that will build new facilities, improve existing facilities, renovate buildings, repair or replace infrastructure, preserve assets, enhance safety and security, develop systems functionality and perform needed maintenance. SFO s increasing investment reflects the economic recovery and continual traffic growth over the past five years. In FY 2012/13, SFO surpassed its previous year record for passenger traffic, serving 44.3 million passengers. The Plan reflects the need to improve facilities to handle a higher number of passengers and to meet the customer service standard established with the re-development of Terminal 2, which opened in April New projects in the Plan include the redevelopment of Terminal 1, an On-Airport Hotel and a Consolidated Administration Campus. Continuing projects include the Redevelopment of Boarding Area E, Terminal 3 East Checkpoint Improvements, the Runway Safety Area Project, the new Air Traffic Control Tower (ATCT), the Secure Connector from Terminal 1 to Terminal 2, and the Baggage Handling System (BHS) Improvement and Checked Baggage Inspection System (CBIS) Modernization Project. Air Traffic For the past few years, domestic air traffic has been strong, while international air traffic has been slower to recover from the economic downturn. In FY 2012/13, SFO enplanements reached 22.3 million, an increase of 4.0% from the prior fiscal year. Most of the passenger traffic growth has been in the domestic sector, with United Airlines and Virgin America increasing service. The Airport is now experiencing very little growth in the domestic sector and moderate growth in international air traffic. For FY 2013/14, overall enplanements are forecast to increase by approximately 0.6% 1. FY 13/14 Capital Plan The Airport Capital Plan for FY 2013/14 has a budget of $2.1 billion and contains 45 projects. This Plan summary includes a brief description of each project, shows the project budget, and outlines the funding sources. The Plan is based on a revised evaluation of projects included in previous capital plans as well as newly identified needs. The San Francisco Administrative Code requires the Airport to develop a Plan. In the development of the FY 13/14 Capital Plan, the Airport continued its structured planning process, including zero based budgeting and ranking of every project. Only the highest ranked projects were included in the Plan. The flow chart of the Capital Plan development process is shown in Appendix 3. P a g e 6

22 CIP Working Group In Fiscal Year 2011/12, the Airport established the CIP Working Group. This nine person committee, consisting of Senior Managers from across the Airport, reviews and evaluates all capital project submissions. Using a detailed scoring and prioritization matrix, the CIP Working Group ranks all of the proposed projects. The following Airport Divisions are members of the CIP Working Group: Architecture Aviation Management Capital Finance Engineering Facilities Maintenance Information Technology and Telecommunications Planning Project Management Safety and Security Finance staff evaluates available funding sources, including General Airport Revenue Bond (GARB) proceeds, grants, and passenger facility charges (PFC) and estimates the financial impact of the Plan on Airport rates and charges. After reviewing the rankings and financial impact, the CIP Working Group creates a five-year and ten-year capital plan proposal for the Airport s Capital Project Review Committee (CPRC). Capital Project Review Committee (CPRC) The CPRC, composed of executive management staff, reviews the proposed Capital Plan and makes a final recommendation before submitting the Plan to the Airport Director and the Airport Commission for review and approval. City and County of San Francisco Capital Planning Committee The Airport Plan is the basis for the Airport s Capital and Facilities Maintenance Plan, an annual requirement by the San Francisco Administrative Code ( 3.20 Capital Expenditure Plan). The City and County of San Francisco Capital Planning Committee (CPC) reviews the annual updates to the Airport Capital Plan and any appropriation or bond authorization requested by the Airport. Other Plan Reviewers The Airport Financial Advisory Committee, which includes financial officers from other departments of the City and County of San Francisco and members from the financial services industry, reviews the Airport Capital Plan and plan of finance. 23 MII Process Under the 2011 Airport Airline Lease and Use Agreement, proposed capital improvement projects are subject to review by the Signatory Airlines. The Signatory Airlines have 45 days to respond to the Airport s request. This procedure allows a majority-in-interest (MII) of the Signatory Airlines to defer a proposed capital improvement for a period not to exceed six months, allowing time for additional discussion between the airlines and the Airport. Majority-in-interest is defined as more than 50 percent of the number of scheduled airlines, who, on the date in question, account for more than 50 percent of the aggregate revenue aircraft landed weight by the Signatory Airlines at the Airport during the immediately preceding Fiscal Year. The Airport will often request MII review for the initial phase of a multi-year capital project. Reviewing capital projects in phases allows the Airport to refine the costs and scope of projects. Timeline for Approval Airport staff prepares the Plan every fall and submits the annual appropriations request in February with the operating budget. The proposed revision to the Plan is usually presented to the Airlines for review in January and to the Airport Commission for approval in February, but these timelines have been extended in some years if Plan changes are significant and require more time for review and discussion. Plan of Finance The plan of finance includes debt financing, grant funds, Passenger Facility Charges (PFC), and other sources. The funding sources for the Plan are shown below. 24 The Plan includes $1.9 billion in bond proceeds to fund projects. The Airport is currently in the second year of a $502.2 million appropriation approved by the Mayor and the Board of Supervisors on September 12, 2012 and will seek additional appropriation and bond authorization within the five-year time period to support the capital projects included in this plan. The majority of grant funds are from the Airport Improvement Program (AIP) of the Federal Aviation Administration (FAA). However, the Plan also includes FAA operating funds for the Air Traffic Control Tower and Transportation Security Administration (TSA) funds for Checked Baggage Inspection System (CBIS) upgrades in the International Terminal and Terminal 3 Boarding Area F. The Plan projects $30.0 million from other sources, including the transfer of Airport operating funds for capital projects. This five-year plan does not project using PFCs to pay directly for project expenses. Capital Plan Overview The Plan contains 45 projects that address a variety of needs, such as terminal renovation, system upgrades, and infrastructure improvements. 31 9) Terminal 3 Boarding Area E Redevelopment The $139 million Boarding Area E (BAE) Project was first funded in the FY 2010/11 capital plan. This project will repair and enhance the Boarding Area, extending its useful life for an additional 35 years. The project will enhance the functionality of the Boarding Area and replace components and systems that are obsolete or at the end of useful life. The BAE Project will increase the concourse floor area by approximately 18,000 square feet. The Airport plans to expand hold rooms with more seating for passengers, add revenuegenerating concession space for food and retail; provide room for passenger amenities, including a children s play area and recompose area; and expand the airline clubroom. The BAE Project includes the addition of clerestory windows throughout the terminal to provide plentiful natural light. The BAE Project will connect the baggage handling systems of BAE and Boarding Area F (BAF), which will allow passengers to check in at ticket counters near BAE and BAF and have their bags routed to the appropriate pier. With this improved baggage system, airlines will be able to expand services and scale gate assignments according to future demands. The SFO Shuttle Bus vehicles also serve as alternative ground transportation in the event of an AirTrain system outage and provide other Airport emergency support. This project will upgrade the Wi-Fi system to meet customer demand for robust services in all Airport terminals and the Rental Car Center, by increasing Wi-Fi speed and coverage, removing advertisements, and providing a more user-friendly interface. 5, ,680 5,680 18) Fire Station Improvements This project will retrofit the bathrooms and locker rooms in Airport Fire Stations to meet the needs of male and female fire fighters. This project will also complete the build out of a 2,500 sq. ft. area in Fire Station #2 that will serve as a workout and training facility. The Fire Department does not have a dedicated facility for these activities. Because Fire Department staff work a 24-hour shift, sufficient bathroom and locker room facilities are a necessity. Firehouse #2 is located on the airfield adjacent to Super Bay Hanger and does not have a dedicated fitness area. Firefighters currently use the apparatus parking and maintenance area for fitness activity. This area is congested and exposes personnel to fumes, exhaust, and toxic chemicals used for cleaning and maintaining apparatus, equipment, and floors. P a g e 20

The Asset Management System is funded for initial development of a comprehensive asset management system to track the Airport s assets and life cycle costs.
