4 Board of Directors Meeting January 21, 2015 Page 2 of 6 I. CALL TO ORDER Mr. Fugate called the December 17, 2014, LexTran Board meeting to order. II. RECOGNITION OF ROCKY BURKE Mr. Rocky Burke has resigned as LexTran s General Manager to take a similar position in Sarasota, FL. Mr. Fugate thanked Mr. Burke for his service and presented him with a gift card on behalf of the LexTran Board of Directors and staff. III. APPROVAL OF MINUTES Mr. Fugate called for a motion to approve the November 19, 2014, Board meeting minutes. A motion was made by Mr. Humphrey and seconded by Dr. Miller. Under section VIII, the statement LexTran will begin principle and interest payments will be changed to LexTran will begin principal and interest payments. This is a spelling correction only. The amended minutes were approved unanimously. Mr. Fugate called for a motion to approve the December 2, 2014, Work Session minutes. A motion was made by Mr. Christman and seconded by Mr. Humphrey. The minutes were approved unanimously. IV. PUBLIC HEARING There was no public hearing. V. CHAIR S REPORT There was no Chair s report. VI. FACILITY COMMITTEE REPORT Mr. Fugate gave a summary. Council Member Ford and Mayor Gray attended the ground breaking for the new LexTran headquarters on December 9, Messer Construction has rebid much of the subcontractor work, and the preliminary bids are over budget. The guaranteed maximum price (GMP) was accepted at the November Board meeting, so these bids will not affect the overall cost to LexTran. 3

5 Board of Directors Meeting January 21, 2015 Page 3 of 6 VII. FINANCE COMMITTEE REPORT Mr. Humphrey presented a draft forecast of the sources and uses of funds. The annual operating cost to administer the New Markets Tax Credit (NMTC) program is $132,000 per year for seven years. The finance committee will meet on January 5, 2015, to discuss the option of borrowing funds as well as the sale proceeds of 101 Loudon (Old Greyhound Building). VIII. ACTION ITEMS Resolution No Contract for Copier, Scanner and Fax Machine. Mr. Burke gave a summary, and Mr. Fugate called for a motion. A motion was made by Dr. Julian and seconded by Mr. Ratchford. The motion carried unanimously. Resolution No Contract for Painting Services. Mr. Burke gave a summary, and Mr. Fugate called for a motion. There is a missing decimal for the price of painting the transit center customer waiting areas. The resolution will be amended to add the decimal. A motion was made by Mr. Humphrey and seconded by Dr. Herman. The motion carried unanimously. Resolution No Change Order for Stites and Harbison. Mr. Burke gave a summary, and Mr. Fugate called for a motion. A motion was made by Dr. Julian and seconded by Dr. Miller. The motion carried unanimously. Resolution No Contract for IT Support Services. Mr. Burke gave a summary, and Mr. Fugate called for a motion. A motion was made by Mr. Humphrey and seconded by Mr. Ratchford. The motion carried unanimously. Resolution No Approve General Manager and Assistant General Manager. Mr. Srutowski gave a summary, and Mr. Fugate called for a motion. A motion was made by Dr. Herman and seconded by Dr. Miller. The motion carried unanimously. Resolution No Designation of Signatory. Ms. Falconbury gave a summary, and Mr. Fugate called for a motion. A motion was made by Dr. Herman and seconded by Mr. Humphrey. The motion carried unanimously. Resolution No Authorization for General Manager to File and Execute Grants. Ms. Falconbury gave a summary, and Mr. Fugate called for a motion. A motion was made by Mr. Christman and seconded by Mr. Humphrey. The motion carried unanimously. 4

OLD BUSINESS Employee Health Insurance Mr. Ratchford met with the LexTran procurement staff on December 12 and TransDev staff on December 15 to review the historical background on the current insurance plan and information on the proposed plan. There was discussion regarding the $1,500 deductible plan and the $500 plan as well as the expected excise tax. The LexTran staff will bring a recommendation to the full Board. Update on COA Mr. Thomas gave an update. University of Kentucky (UK) is completing a Comprehensive Operational Analysis (COA) that includes a transit component. The university is LexTran s highest producing route. LexTran will partner with UK to review UK s COA for recommendations on how to best serve the student population. Parsons Brinkerhoff (PB) will distribute a copy of their summary of recommendations on fixed route, trolley service, employment bus and paratransit service to the Board for discussion at a work session to prioritize the recommendations. Public meetings will be held to announce any proposed route modifications. Implementation of changes could be done in August to coincide with run cut changes. Ms. Butler and Mr. Thomas will develop a schedule and set appropriate meetings. X. NEW BUSINESS There was no new business. XI. MANAGER S REPORT Mr. Burke presented highlights from the Wheels performance indicators. Ms. Falconbury presented the highlights from the November YTD financials. $11,000,000 was collected in property tax in November. Another $1,000,000 was collected in December. Mr. Burke reviewed the General Manager's report which included the following subjects: Budget Process Groundbreaking Ceremony Pedestrian Accident on Liberty Road Mr. Burke presented highlights from the LexTran performance indicators. Mr. Michael Chambers addressed the Board regarding the pedestrian accident on Liberty Road. Mr. Chambers is a member of the LexTran Passenger Advisory Board and is featured in a 5

7 Board of Directors Meeting January 21, 2015 Page 5 of 6 LexTran commercial. He offered congratulations to Mr. Burke on his new job and said that there has been real improvement in the system due to his dedication to passengers. Mr. Chambers stated that the incident resulting in the death of a pedestrian clarifies that the safety of bus stops should be extremely important to the Board, the city and the state. When speaking to Council or state representative about improvements, they will be receptive. LexTran should use opportunities to appeal to new council members and senators or state representatives to make stops safer for pedestrians. Last summer, a pedestrian died at Gainesway, and the Senator and Mayor talked to Jared Forte to make that stop safer. Safety needs to be improved. Mr. Chambers hopes his message is well received. XII. MPO REPORT by Joseph David Mr. David responded to Mr. Chambers saying that the city is very aware of the shortcomings in the infrastructure, especially closer to the downtown core. The rules and regulations have changed since portions of the city were built. The city tries to find land owners that want to contribute land and right of way for ADA accessible walkways. The new traffic engineer is aware of safety issues. Mr. Burke added amenities for shelters and benches. LexTran has a good planning staff who recognizes the importance of pedestrian infrastructure. The MPO had a great relationship with Mr. Burke and received accolades from federal reviews regarding that relationship. The support LexTran has given Art in Motion is appreciated. Mr. David personally saw compassionate interplays in public meetings. From the MPO and the city, he wished Mr. Burke the best. The MPO is excited to work with new people. Mr. Max Conyers would like to get LexTran involved with a new committee set up by the traffic engineer to coordinate and collaborate on making amenities better. XIII. CHANGE ORDER REPORT A change order was issued to Bluegrass Cab to extend the contract for the Employment Bus Service from December 14, 2014, to February 1, XIV. PUBLIC COMMENT Ms. Karen Devin addressed the Board. At the last meeting, Ms. Devin requested bus service on Man O War and was told that it was deemed unsafe because of the speed limit. A whole segment of population on Man O War is not being served by LexTran. Nicholasville Road, Harrodsburg Road and other areas in the city also have 45 mile per hour speed limits, so she doesn t see the problem with servicing Man O War. Ms. Devin has been told by four separate 6

8 Board of Directors Meeting January 21, 2015 Page 6 of 6 employees of LexTran that the wealthy people have influenced the decision because they don t want buses near their neighborhoods. She asks that LexTran please look into serving that side of the city. Ms. Devin also thinks there is a disconnect between the Board and passenger input. The LexTran advisory board was told they would have representation on the Board of Directors. Those on the advisory board should have a separate item on the agenda to speak freely every month without going through a new filter every month. She does not feel a member of the advisory board should have to go through a filter and ask permission to direct the Board. It should be granted by the agenda. XV. CLOSED SESSION Mr. Humphrey made a motion to go into closed session pursuant to KRS (1)(e) for the purpose of discussing collective bargaining negotiations between public employers and their employees or their representatives. Dr. Miller seconded the motion. The motion was approved unanimously, and the Board of Directors and LexTran staff entered into executive session at 6:15 p.m. The Board took no action while in closed session. Dr. Miller made a motion to return to open session and Mr. Humphrey seconded. The motion was approved unanimously, and the Board of Directors and LexTran staff returned to open session at 6:51 p.m. XVII. ADJOURNMENT Mr. Fugate called for a motion to adjourn the meeting. A motion was made by Mr. Humphrey and seconded by Dr. Miller. The motion was approved unanimously. The meeting concluded at 6:52 p.m. 7

Review Construction Budget Mr. Jason Wright presented information on Bid Package 2. The bids are $1.2 million over budget due to contractors not filling out paperwork properly. The final projected cost is $21.3 million. Three general areas are high due to competition: mechanical, masonry, and general trades. Messer Construction will ask for rebids due back by December 9. New prices will be evaluated before exploring the option of self-performing. The guaranteed maximum price (GMP) is $21.3 million. A resolution will be presented to the full Board at the November 19 meeting to approve the GMP. 2. Review Revenue Forecasting - A written term letter from CHHS will award LexTran over $5 million in new markets tax credits (NMTC). A term letter is forthcoming from a Community Development Entity (CDE) in New Orleans that will bring the balance of Kentucky NMTC to $10 million. On the federal side, LexTran has a verbal commitment from Community Ventures for $9 million, not the $15 million initially anticipated. Fifth Third Bank has been awarded the contract to be LexTran s Lender. Based on the reduction of expected NMTC allocations, the increase in the construction budget, and increases in the NMTC transactions costs, if the owner s contingency is borrowed, we would need approximately $9.3 million. 10 Finance Committee Meeting November 14, 2014 Page 2 of 3 The forecast is based on borrowing $10 million at 3.5% for 10 years. One deciding factor for not using bonds was the additional cost. A 20 year bond from the Kentucky League of Cities (KLC) will cost approximately 3.7% in annual interest. Based on findings in the triennial review, LexTran must present the FTA with a five year cash forecast showing that we can meet the operating budget and take on this project. They want a cash neutral budget. Ms. Falconbury is concerned about taking on so much debt and expressed the following concerns: We do not want to be sitting at a new building at 200 Loudon while cutting service and laying people off. Why does the project have to be so big? Why can t we build something with the $11 million we have in the federal grant? Mr. Fugate recommended showing a cash forecast for five years that would include a $.50 increase in fares, COA savings of $836K, and savings from labor negotiations. For the November 19 Board meeting, Messer will be given direction regarding the construction project. The options for the project are: A) let Messer fix the bids and come back in December; B) give go ahead to proceed with the site; or, C) approve a resolution to accept the GMP of $21.3 million. Mr. Humphrey and Mr. Tyra prefer option C. 3. Minutes The minutes from the September 16, 2014, finance committee meeting were approved. 4. Crowe Horwath The contract will be extended. 5. Re-investment on fixed route Mr. Thomas recommended that two suggestions from the COA be implemented. The Airport/Keeneland route and routes 2, 4, 6 and 12 will have a bigger benefit in savings by reinvesting in the service. 6. Employment Bus The contract ends in December. Mr. Thomas will find out if a public hearing is necessary to end the service. The taxi cab service can run the program with no subsidy from LexTran. We will give a 60 day notice to terminate the program K match The program with Kentucky Deferred Comp has been discontinued. LexTran employees were receiving a 5% match. A 457B plan is available for government agencies that is similar to the KY Deferred Comp program but does have some limits. KY Deferred Comp will not accept any matches beginning January 1, Mr. Burke will work with Ms. Davidson, Mr. Marx and Mr. Christman on details for a viable plan that can be implemented by January Mr. Derek Breun will be here next Wednesday. Attached is a resolution requesting authority to purchase two (2) 40-foot and five (5) 35-foot CNG buses from Gillig. Resolution , which was approved on May 15, 2013, awarded a contract to Gillig, based upon their proposal in response to RFP 1302, to supply as many as thirty-five (35) buses over a five-year period depending upon the availability of funding. Lextran will receive $2,502,000 through a Congestion Mitigation and Air Quality Improvement (CMAQ) grant. These funds, along with $572,279 from Lextran s reserves, will be used to purchase two (2) 40-foot CNG buses at a cost of $423,642 each and five (5) 35-foot CNG buses at a cost of $416,142 each from Gillig for a total of $2,927,994. The installation of cameras and other Avail technology will be $140,000 and delivery will be $44,506. I apologized to the rider for the delay and spoke to the dispatcher to reinforce that we try and give accurate ETA's for pickups. I apologized to the caller and counseled the driver on ensuring plenty of room before pulling out into traffic. I watched the video which showed the driver getting out of the vehicle and going to the door. 28 General Manager s Report January 21, 2015 Page 1 of 2 Memorandum To: Board of Directors Transit Authority of Lexington, Kentucky From: Carrie Butler, General Manager Date: January 21, 2015 Re: General Manager s Status Report for the Period of December 1, 2014 December 31, 2014 Budget Statistics Total revenue for December 2014, was $2,176,072 and the expenditures totaled $1,921,920. This resulted in a difference of $254,152 for the month. Along with Lextran representatives, Mayor Jim Gray and 1 st District Councilman Chris Ford participated in the ceremony. Representatives from Senator McConnell and Congressman Barr s office attended as well. Holiday Giving Opportunities Lextran provided transportation to various Lexington businesses to pick up Salvation Army Angel Tree gifts and helped drop the items off to the Salvation Army Christmas Center. Lextran employees also participated in Reindeer Express, donating more than $700 of new clothes and toys for some of The Nest s deserving families. Key Performance Indicators (KPIs) Lextran management is examining the presentation of key performance indicators. In next month s report to the Board, the KPIs will be provided in an alternate format. Special Events Policy Lextran management and staff are in discussions regarding a special events policy. 30 Budget vs. Actual Year-to-date December 31, 2014 I. Overview Year-to-date revenue is over budget by $1,070,782 and expenses are under budget by $1,102,058. The overall year-to-date adjusted variance is $2,172,840. II. Revenue Passenger revenue from farebox receipts is under budget by $64,286. Property tax collections year to date are more than the same period last year by $165,491. III. Expenses Total wages are under budget by $276,004. This is due to overtime reduction, timing of sick/vacation and turnover. Fringes are under budget by $227,124. This is primarily due to turnover and new employees that are not eligible for benefits during their probationary period. Professional services are under budget by $59,793. Professional services include management fees, audit services, legal services and contract maintenance. The under budget variance is primarily due to the timing of contract maintenance projects. Materials and supplies are under budget by $167,371. This is due to the timing of purchasing bus parts and posting work orders. Diesel fuel expense is under budget by $163,078. This is due to average fuel prices remaining lower than the budgeted cost of $3.50 per gallon. The year to date average for FY 2015 is $2.76 per gallon. I have spoken to each of the Route 14 operators individually. This particular stop is located at Upper and Scott Street, which is a stop for Routes 5, 12, and 15. Each operator stated that the only possibility of "missing" a passenger is if another coach is making the service stop and obstructing view of the stop. I instructed each Route 14 operator that they are to make this service stop on each trip regardless if there another bus sitting there or not. Today when I got on the bus, as soon as I tapped my card, she drive off, causing me to trip since I hadn't had time to take a seat or grab a railing. This has been happening the past couple weeks, but today was especially bad. She also starts moving the bus while people are still getting off, which is a real danger. I've noticed this same incident happen with others as well. She tends to drive angrily (drive really fast, brake suddenly) unlike any of the other drivers. It's gotten to the point that whenever I get on the bus and see she is driving, I am tempted to just wait until the next bus arrives. I spoke to the operator involved and coached them regarding this situation and I coached them on proper procedure for their service stops both entering and departing. I first rode Lextran upon entering Shepherd's House, a halfway house treatment program here in Lexington. Since I was 16, I always had a vehicle for my use. However, these past 2 years, I had to rely on friends with cars and the service of Lextran. I have stood waiting in all kinds of weather and walked to my job in the same kinds of weather. I have always been greeted with a kind hello and a smile by the drivers. Some even engaged in conversation with me and offered encouragement to me as I went through various stages of my recovery. Some drivers I saw daily on either the Woodhill or Nicholasville Road routes and got to know very well. I must commend them for the way they conduct themselves and represent Lextran to the community. No amount of thanks on my part will ever be able to make up for the tremendous job all of your drivers, staff, and other employees do on a daily basis. I found sympathetic and empathic ears on your buses and have no doubt the drivers I had contact with contributed greatly to my recovery and aided in my time at Shepherd's House. Though yesterday I purchased a vehicle and was very happy to have my own transportation again, I am sad about not being able to see my friendly drivers every day on my commute to or from work. They truly had an impact in my life beyond just driving me around to and from work and for that I will be forever grateful. 12/18/2014 I called and thanked the passenger for her kind words. The 13-acre site on West Loudon Avenue will house Lextran's administration, operations and maintenance departments, according to a news release. Lextran's board of directors unanimously approved plans to go ahead with the facility on Nov. 19. The new buildings will have 54,000 square feet of space, including an administration building with room for community meetings; a maintenance facility with seven repair bays rather than the two now available; a facility to wash the fleet of 72 buses and fueling stations, including a station for fueling compressed natural gas buses. "Having administrative, operations and maintenance staff at the same locations will enhance communication, collaboration and coordination between all departments and staff," said Lextran general manager Rocky Burke, who has resigned effective Dec. 19 to take a position as director of Sarasota County Area Transit in Florida. The project is estimated to cost $26.3 million, which includes the land, said Lextran spokeswoman Jill Barnett. Lextran has leveraged federal grants and tax credits, "which reduces the total local portion of the project to about 25 percent," according to the release. Site work and construction are scheduled to begin this month or in January. The project is expected to be finished by April 2016, Barnett said. 64 FOCUS ON THE FIRST MONTHLY CONSTITUENT NEWSLETTER COUNCILMAN CHRIS FORD 1ST COUNCIL DISTRICT LEXINGTON-FAYETTE URBAN COUNTY GOVERNMENT VOLUME II, ISSUE 2 DECEMBER 2014 / JANUARY 2015 GRATZ PARK FOUNTAIN RESTORATION PROJECT The Gratz Park Neighborhood Association and the Division of Parks and Recreation will utilize the upcoming winter months to make long awaited progress on a special community project. The Gratz Park Fountain Restoration project will replace the utility infrastructure associated with the fountain located in the northern area of Gratz Park. The declining condition of the fountain & utilities has become a managerial challenge and burden for the Division of Parks & Recreation. The improvements to operational efficiency include electrical, plumbing & pumping systems, as well as structural foundation reconstruction. The restoration of the fountain has functional & historical significance, as the fountain in nearly 80 years old. The construction of the fountain was a gift to the youth of Lexington, from nationally acclaimed writer & Lexington native James Lane Allen. The Gratz Park Neighborhood Association has raised a significant sum in private contributions to be dedicated to this project. In addition and in support of the project, Council approved $150,000 from the FY14 Budget toward the restoration costs. After several administrative delays associated with bidding requirements, the restoration of the sculpture has begun. In late November, the sculpture was removed to an off-site location and is scheduled to return once the project is complete in late spring CHARLES YOUNG CENTER NOMINATED FOR NATIONAL REGISTER OF HISTORIC PLACES In 2011, I was fortunate to lead a citizen-based task force in advocacy of redeveloping the Charles Young Center. With Council approval, the Department of General Services and the Division of Grants & Special Programs led renovations which culminated in re-opening of the center in fall In the interim, the LFUCG Division of Historic Preservation has been working with our 1 st District Council Office and the Kentucky Heritage Council on documenting the historical significance, both architecturally & socially, of the center. As a result, the Kentucky State Historic Preservation Board recently approved the nomination for the Charles Young Center to be added to the National Register of Historic Places. If given final approval by the US Department of Interior, this will indeed be a high honor for the facility which has stood proudly at 540 East Third Street for nearly 80 years. I commend Ms. Bettie Kerr & Mr. Randy Shipp of our local Historic Preservation Office for their resource & dedication to this process. 65 PAGE 2 MONTHLY CONSTITUENT NEWSLETTER POLICE CHIEF PROMOTED TO PUBLIC SAFETY COMMISSIONER LEXTRAN HEADQUARTERS COMPLEX GROUNDBREAKING Mayor Jim Gray recently promoted and Urban County Council confirmed Police Chief Ronnie Bastin as Lexington s new Public Safety Commissioner. Bastin, a 30-year veteran of Lexington s Division of Police, was named Chief on Jan. 7, 2008, by then Mayor Jim Newberry. As Public Safety Commissioner, Bastin will lead the City s Divisions of Police, Fire Emergency Chief Ronnie Bastin Services, Enhanced 911, Emergency Management and Community Corrections. I congratulate Chief Bastin on his promotion to Commissioner s Office. As a Council Member, I ve been fortunate to have a direct line of communication and working partnership with Chief Bastin and the Police Department. I am confident he will transfer this proven leadership to his administrative role in the Department of Public Safety. Bastin s new role will create a vacancy in the role of Chief of Police. The mayor, who will appoint a new Chief, has formed a search committee, tasked with making recommendations to the Mayor. We anticipate the committee s recommendation and the Mayor s appointment very soon. On December 9 th, Lextran General Manager Rocky Burke led groundbreaking of its new Headquarters Facility Complex at 200 W. Loudon Avenue. The project will enable Lextran to relocate from its current site at 109 W. Loudon, just across North Broadway, to the former the GE Lighting Kentucky Glass Plant site. This project is designed for Lextran to consolidate all of its administrative, operational and maintenance functions to a centralized site. The nearly 14 acre property will include space to accommodate Lextran s 187 employees and fleet of over 70 buses. The project is funded partially with a grant from the Federal Transit Administration of nearly $11 million. Project completion is expected in spring Lastly, the groundbreaking was the final official ceremony for Rocky Burke at Lextran. He will soon begin a new role as General Manager of the Sarasota County (Fla.) Area Transit. Good luck Rocky & thanks for leading Lextran to the construction phase of this transformative project. Rocky Burke (Lextran GM), Mayor Jim Gray & Councilman Ford Lextran executives and LFUCG officials turning dirt at the groundbreaking COUNCIL APPROVES MIDLAND AVENUE TIF DISTRICT Midland Avenue TIF District boundary The Urban County Council recently gave final approval for the establishment of the Midland Avenue Tax Increment Financing (TIF) District. The Midland Avenue TIF is projected to further spur economic development associated with new mixed-use retail & housing development in the East End and downtown areas. A portion, or increment, of the additional tax revenue to be generated within the boundaries of the TIF District may be recaptured by the project development team for reimbursement of public infrastructure costs benefitting the project area. Proposed infrastructure includes traffic and streetscape improvements, utility relocation and park amenity enhancements. With local approval by LFUCG now secured, the Midland TIF will undergo further review for final approval by state Economic Development officials. The Community Ventures Corporation is a lead partner in the Midland TIF. In addition, a new public parking garage is slated for construction at the intersection of East Main & East Vine (at the western boundary of the district). 64

66 VOLUME II, ISSUE 2 PAGE 3 INTRODUCING NEW COUNCIL MEMBERS AT-LARGE The Urban County Council will be led by a new team of Council Members At-Large beginning January Each Council Member will bring valuable local government experience to their new roles. Council Member Kay is currently completing his first term as an At-Large Member. He will succeed retiring Vice Mayor Linda Gorton as the leader of the Urban County Council. Council Member Stinnett has represented the 6 th District for the past 10 years, and will now serve constituents citywide. Council Member elect Moloney has previously represented the 11 th Council District for several terms, and has also served as the city s Chief Administrative Officer. The At-Large Council Members will serve a term of 4 years, ending in December I look forward to partnering with our new Vice Mayor & At-Large Council Members in addressing the needs of our city, including areas throughout the 1 st District.
