1 The Aena Group is a Group of companies devoted to airport management and aerial navigation services. Aena Aeropuertos S.A. (of which Aena holds 100% of the capital) manages 46 airports and 2 heliports in Spain and participates directly and indirectly in the management of 24 additional airports across the world. It is the first airport operator worldwide by number of passengers, with more than 194 million passengers. The public entity Aena supplies aerial navigation services. Aena is the fourth supplier of aerial navigation services in Europe and participates importantly and actively in all projects of the European Union related with the implementation of the Single European Sky. 2 7 Progressing towards the future Aena works with the main objective of materializing the new airport management model, putting Aena Airports into value as a leading company in airport management, supplier of high quality services, efficient and with the capacity for its international projection. We are convinced that Aena Airports is more worth than the sum its different parts; for this reason, the Board of Directors of the Company decided in 2012 to strengthen all airports as a whole, with the purpose of assuring the general interest, the cohesion and the territorial structuring of our country, contributing to their international competitiveness. In this context, in the area of aerial navigation, the target has been to achieve that Aena is an efficient, competitive company, able to offer services of the highest quality and, of course, with the maximum safety. Key features of airports 2012 has been characterized by the rethinking of the new Aena Aeropuertos. Criteria: - Aena Aeropuertos is more worth than the sum of its parts. - We work to lay the groundwork allowing the process of entry private capital in the mod-term. The public entity Aena (EPE Aena) is the public supplier of aerial transport services in Spain. Its main target is offering the maximum safety, quality and efficiency in the development and operation of the Spanish aerial navigation system. Aena Aeropuertos S.A. is a state owned commercial Plc company, entrusted with the ordination, direction, coordination, operation, preservation, administration and management of the airports and heliports operated by Aena.

3 8 Aena Aeropuertos is the largest airport operator in the world Aena Aeropuertos is a state owned commercial Plc, as foreseen in Article of Law 33/2003, of November, 3rd, on Patrimony of the Public Administration, operation under the name Aena Aeropuertos, S.A. The Company is governed by its Articles of Association, Law 33/2003, of November, 3rd, of November, 3rd, on Patrimony of the Public Administration; Law 47/2003, of November, 26th, on the Public Budget; Royal Decree 13/2010, of December, 3rd, on Actions areas of taxes, labour relationship and liberalization to enhance investment and job creation; Chapter VI of the Law on Aerial Safety, in the version given by the Law, adopting the Program of Operational Safety of the State, modified by Law 21/2001 and the provisions set forth on the legal regimes of Plcs and the general applicable laws. To coordinate, operate, preserve, administer and manage the civil areas of the military bases and airports of conjoined use. To project, execute, direct and control the investments in airports. Aena Aeropuertos is a leading company thanks to its experience and professional team in management of airport services. We offer our customers and users an integral and efficient service of the highest quality to make their stay at our airports a pleasant experience. Aena Aeropuertos is a responsible company, aware that it has to play its role as economic motor of the areas of influence of the airports, with a permanent commitment with development and sustainability.

Its revenue comes from the fees and considerations derived from the activities carried out in compliance with its social object. The current and capital transfers coming from the public administration, including the European Union. The rest of the products and rents derived from the goods and values in its patrimony. It is highly important to highlight the growth of international passengers and operations during 2012 at different airports, like Barcelona-El Prat, Palma de Mallorca, Bilbao, Menorca, La Palma and Almería. They are equipped with state-of-the-art technologies, which are designed in order to facilitate the passenger s stay at the airport and have a wide offer of commercial and gastronomic services of the highest quality. Likewise, they have been conceived for everyone, with full accessibility and a good customer service for individuals with reduced mobility.

7 12 Aena is the public supplier of aerial transit services in Spain Navegación Aérea is entrusted with the operation and designof the Spanish aerial space and with the supply of aterial transit services, as foreseen by 9/2010, which regulates the supply of aerial transit services. This means that Aena is the entity supply to supply aerial transit services of area control and apprach control in Spain, as well as the services of flight information, alert and advise associated with the volumes of aerial soace in which these service are rendered. As supplier of services of aerial navigation, Aena is certified by the State Agency of Aerial Safety, a certifucate covering the services of aerial transit, of flow management, of aeronautical information, of communication, of navigation, of surveillance and of aerial terminal information (ATIS/DATIS). The total traffic handled in the Flight Information Region (FIR) reached more than 1.8 million movements. 8 13 The functions of Navegación Aérea are the following: > > Planning, management, coordination, operation, preservation and administration of the aerial traffic, telecommunication services and aeronautical information, as well as infrastructures, premises and communication networks of the aerial navigation system, with the aim that airplanes in the Spanish aerial space obtain the maximum safety, fluidity, efficacy and punctuality. > > The elaboration and approval of the different kinds of projects, as well as the execution and control of the investments. > > The evaluation of the needs on proposals for new infrastructures, as well as possible changes in the ordination of the aerial space. > > The participation in specific aeronautical training activities, subject to the concession of official licences. The Management of NA supplies the different services through five regional departments: Centre North, East, Canary Islands, South and Balearic Islands, the venues of which are located, respectively, in the control centres (ACC) of Madrid, Barcelona, Sevilla and Gran Canaria, and in the terminal area control centre (TACC) of Palma de Mallorca. From these strategic control centres, Aena assures the safety and permanent management of the aerial traffic. To provide Navegación Aérea services, Aena owns the following equipments and premises: > > 136 radio-aids offering in-route guidance support, 88 of them property of NA and 46 of AE. > > 50 radio-aids offering gudiance support in the airports, property of AE. Flight information region: Aerial Space in which Aena supplies the services of Aerial Navigation Aena supplies the aerial transit services from 5 control centres and 35 towers (including Lleida and Ciudad Real until May 2012).

9 14 > > 49 TMA in-route and Ground surveillance sustems, from which 6 are operated by the General Staff of the Spanish Airforce, 3 by Portugal and 3 by France. 30 are property of NA and 7 are property of AE. > > 18 communication centres. > > 83 REDAN nodes. RELEVANT DATA: Operative Support Departments: each control centre (ACC) has several operational support units: > > Flow Management Position (FMP) of aerial transit, directly coordinating with Eurocontrol in Brussels the aerial transit flow and the aspects related with traffic load and overload, as well as eventual anomalies. > > Operative Aerial Control (CAO), which depends from the Ministry of Public Works, for the civil-military coordination of the aerial traffic. > > Fixed Service Station, in charge of communicating the flight plans and the eventual incidences, both in its own area and the collaterals. The evolution of the traffic handled by Navegación Aérea in 2012 decreased -7.15% compared to 2011 of the total traffic handled in the Flight Information Region in Spain. NAVEGACIÓN AÉREA. The Management of Navegación Aérea is part of the process launched by Aena Aeropuertos for the change of suppliers of aerial transit services of 12 airports of the network of Aena. During 2012, after training the flight controllers of the new nominated suppliers, Navegación Aérea has abandoned these services in the airports of La Palma, Sabadell, Madrid-Cuatro Vientos and Vigo.

10 15 Presence of Aena Airports abroad 1 Since the Company launched its activity in 1998, Aena International handles airport infrastructures outside Spain. It is currently present in eight countries in Europe, America and Africa, a presence that consolidates Aena Airports as the largest airport operator worldwide. The activity of Aena International takes place through different management schemes, ranging from the property of the airports assets to terminal management contracts or services and airport concessions. Aena Aeropuertos is currently present in 24 airports outside Spain (12 in Mexico, 2 in Colombia, 2 in the United Kingdom, 1 in Sweden, 1 in Angola and 6 in the USA, from which 5 are management contracts). From these 24, nine are airports managed through the TBI Ltd. consortium, formed by Abertis (90%) and Aena (10%). In addition, Aena International supplies consultancy services to the Cuban Airport company. 13 18 Social, economic and strategic impact of the Spanish airports: relevant data Aerial transport is a strategic industry for Spain, given its economic importance (representing 7% of GDP) and its social contribution in terms of connectivity, accessibility, cohesion and territorial structuring. It is estimated that the airports of Aena, serviced by approx. 6,200 companies, generate 140,000 direct jobs and 440,000 total jobs, equivalent to 2% of the active workforce. Spain, the 3rd European country by volume of aerial traffic in airports, is also the 2nd destination of tourists in the world by revenues. Tourism represents 10.2% of the Spanish GDP. Of the 56.9 million foreign tourists (non-residents) travelling to Spain in 2011, 44.6 million (78.7%) used the airplane for transportation, according to the data of the Instituto de Estudios Turísticos (IET). Aena (Aena EPE/NA + Aena Aeropuertos) has an operative staff of 13,564 employees: Accident rate 2012: 7.54 accidents X 1,000 employees. A reduction of 31.5% 2012 vs Absenteeism rate 2012: 4.56 hours/year. A reduction of 39% 2012 vs Number of overtime hours (total 2012): 176,506 hours. 14 19 Main investments of Aena The Aena Group (Aena Aeropuertos + EPE Aena) executed in 2012 investments of 938 million Euros in total, of which 815,196,139 correspond to Aena Aeropuertos and the rest to EPE Aena (Navegación Aérea + Corporate). Planned Investment The launched program of rationalization of investments is oriented towards only making the necessary investments based on a real demand; reducing the cost of investments; progressively adapting the investment efforts to the demand; as well as making the available capacity profitable, optimizing it % -22.4% -26.7% 5.9% 5.3% For this reason, the investments of the Aena Group planned for 2013 are 709,5 million, as compared with the 938,1 million of the previous year. This figure corresponds to the net amount of the grant, equivalent to 70% of the gross value. Therefore, the accrued gross amount corresponds to 32.5 M. During 2010, the capital grants registered by AENA totally correspond to capital grants by European official Organisms (FEDER grants). Total capital grants, net of taxes, pending of accrual in the results on amount to 643 million Euros.
