2 Company Information The company Zagreb Airport Ltd. (ZAL) operated the Zagreb Airport since its inauguration on April 20 th, Due to increasing traffic volumes, the infrastructure of Zagreb Airport underwent several stages of expansion with the aim of achieving capacity and service quality in line with international best practice. As a result of development and continuously growing demand for airport services, the existing passenger terminal was no longer able to accommodate the growing market demands. Due to the fact that the passenger terminal had become insufficient to handle the increased number of passengers in terms of space, a Decision on the Project for the Construction of a New Passenger Terminal (NPT) was adopted in An international invitation to tender for the architectural design of the NPT was published, followed by a tender for the selection of a concessionaire. The project was envisioned as a concession with the characteristics of a public-private partnership. The international tender for the concession to build and operate the Zagreb Airport was won by ZAIC Ltd., a consortium composed of distinguished international companies Aeroports de Paris Management (ADPM) and Bouygues Bâtiment International (BBI), later joined by Marguerite Fund, IFC, TAV Airports and Viadukt. ZAIC Ltd. established a new company, Zagreb International Airport Jsc. (ZIA), for the purpose of implementing the project in the Republic of Croatia. The rights and obligations under the Concession Agreement have been transferred to the ZIA, and the new company took over the management of Zagreb Airport for the concession period of 30 years. Zagreb Airport Ltd. has remained active as a legal entity with an expanded scope of activities, providing professional and technical assistance for the monitoring of the implementation of the Concession Agreement relating to the Construction and Operation of Zagreb Airport to the Government of the Republic of Croatia as the concession grantor. In view of the fact that Zagreb Airport Ltd. has retained ownership of the existing infrastructure and equipment, the company will continue managing the assets which are not the subject matter of the concession. Furthermore, due to the strategic importance of Zagreb Airport, Zagreb Airport Ltd. has to be prepared to take over the employees and the activity at any moment and to continue providing airport services without interruption in case of termination or expiry of the concession agreement. Zagreb Airport Ltd. is also tasked with developing new projects. The main purpose of the existence and activities of Zagreb Airport Ltd. is to protect the interests of the Republic of Croatia as the concession grantor as well as the interests of the company founders and co-owners. The organisational structure has been adapted to the new role and tasks performed by Zagreb Airport Ltd. under the newly arisen circumstances, and the company now comprises the following organisational units: Office of the CEO, Department for Asset Management, Department for Concession Monitoring, and New Project Development Department. Location Zagreb Airport Ltd. Mission To maintain the level of development of the management system which facilitates the provision of professional and technical assistance to the Grantor for the monitoring of the implementation of the Concession Agreement as well as the takeover of airport operation and employees at any time in case of termination or expiry of the Concession Agreement. 3 Miroslav Drljača, PhD CEO Doctor of Economics, research associate, with 30 years of work experience in the field of air transport (airline, airport), whereof 25 years in management positions. He specialises in management systems, and has completed numerous training courses organised by the EOQ-European Organisation for Quality, obtaining world-renowned diplomas: EOQ Quality Systems Manager, EOQ Quality Auditor, EOQ Environmental Systems Manager, EOQ Environmental System Auditor, EOQ Project Manager, EOQ Management System Senior Consultant, EOQ Risk Manager and others. Mr. Drljača is a member of various scientific and professional associations in Croatia and abroad, including the American Society for Quality, as well as a member of the Scientific Council for Traffic of the Croatian Academy of Sciences and Arts. Author of more than a hundred scientific and professional papers published in Croatia and abroad, he is a guest lecturer at several universities in the Republic of Croatia as well as president of the Croatian Quality Managers Society. Radmila Sovina, oecc. Associate of Administrative and Financial Accounting Affairs The economist with 28 years of work experience with Zagreb Airport Ltd. performs the following tasks: organizing, planning and performing work tasks at the Office of the CEO; creating periodic reports; contacting service users; administrative and financial accounting tasks; payment operations; legal administrative work; administrative and operative participation in the process of preparing official company documents and work procedures; communicating with government bodies and institutions as well as with clients and partners; participating in project development. She has successfully completed several educational programs: Internal Quality Auditor, Business Administrative Assistant Specialisation, and ISO 9001 Quality Management System and ISO Environmental Management System Training Courses on setting up, auditing and document control. Damir Vince, MSc,, IAP, AvMP Economic and Financial Affairs Expert Master of Economics with 34 years of work experience in the field of air transport (airlines and airports). He served as Assistant Minister for Air Transport for two years. Over the years, he has completed a number of national and international professional training programmes, including the Airport Management Professional Accreditation Programme (AMPAP-IAP), ACI Airports Operations Diploma, Stanford-IATA Aviation Management Diploma (AvMP), and IATA-Harvard Leadership & Management Diploma. His work focuses on transport and economic segments of air transport, negotiations with air carriers, and aeronautical and non-aeronautical charges. He authored several scientific and professional papers published in Croatia and abroad. He is currently pursuing a postgraduate doctoral programme at the Faculty of Transport and Traffic Sciences in Zagreb. Igor Štimac, MSc, IAP, AvMP Airport Technology and Safety Expert Master of Science in Transport and Traffic with 10 years of work experience in the field of airport operations and middle management. Over the years, he has completed a number of specialist training programmes, including the Airport Management Professional Accreditation Programme (AMPAP-IAP), ACI Airports Operations Diploma, Stanford-IATA Aviation Management Diploma (AvMP) and IATA-Harvard Leadership & Management Diploma. His work focuses on technical and technological systems in air transport, airport infrastructure and capacities, traffic flows, airline business models, and environmental impact of air transport. Furthermore, he works as Assistant-Lecturer at the Faculty of Transport and Traffic Sciences, Department of Air Transport. He authored more than 20 scientific and professional papers published in Croatia and abroad. He is currently pursuing a postgraduate doctoral programme at the Faculty of Transport and Traffic Sciences in Zagreb. Krunoslav Šams, M.Econ. Concession Expert Manager Professional Team Master of Economics with 35 years of work experience in the fields of foreign trade, production and representation, as well as project finance, public-private partnerships and concessions. For the last 14 years, he has coordinated the structuring, contracting, financial close and implementation of big and complex transport infrastructure projects based on public-private partnership and concession models. His most significant projects include the Zagreb-Macelj Motorway, the Istrian Y, the Rijeka- Zagreb Motorway, and the recently started project of the concession for the construction and operation of Zagreb Airport, winner of the European Airport Deal of the Year 2013 award. 3

5 Activities After being taken over by the Concessionaire, Zagreb Airport Ltd. no longer provides airport services; however, the company has significantly expanded its scope of activities. 7 IT Solutions for Airports In partnership with Zagreb Airport Ltd., AI-MS has developed special methods and software applications which can be customized and tailored to local market conditions and specific user requirements. These IT planning tools support the applicable methods and provide numerous customization options. Supporting instruments and tools for data collection, analysis and evaluation are also integrated into the planning modules. All planning tools are available as licenced applications to be used by specially trained experts within office premises. maps is a computer-assisted tool which has been developed based on long-standing, practical experience from a large number of international airport development projects within the scope of specialised research and innovation projects, and is constantly updated based on the newest findings in the industry. For all elementary airport operation planning and management areas, separate partial solutions have been provided and can either be integrated or used independently. The Quadrangle of Airport Management (traffic development capacity financing environmental compatibility) forms a complex system of conflicting objectives, which must simultaneously be pursued and brought into harmony. Finding a homogeneous balance is a difficult task which places high demands on the strategic management of the company. With the help of maps, striking a balance is much simpler. As application development partner, Zagreb Airport Ltd. is also the exclusive representative of AI-MS in SE Europe. 7
8 IT Solutions for Airports Zagreb Airport Ltd. has concluded a partnership agreement for the promotion and distribution of specialist airport planning software developed by the company Transoft Solutions/Simtra, as follows: In partnership with The PathPlanner series: airside design and planning software The number one choice for airport planners, architects and engineers worldwide, the CAD-based PathPlanner Airside and PathPlanner Airside+applications are the ultimate tools for any airside planning, design or operations task. With these applications, it is possible to design push back procedures, parking positions or taxiway fillets. AeroTURN Pro series: airside design and planning The AeroTURN Pro 3D and AeroTURN Pro are CAD-based applications used for reliable, safe and cost-effective evaluation of aircraft movement at airports. With an extensive library of passenger, cargo and military aircraft, engineers and planners can use the software to assess space requirements for aircraft movement, jet blast areas, aircraft parking positions, taxiway traffic and terminal layout. Obstacle Surface Planner: airport obstacle analysis software The CAD-based software is a tool to control the multitude of obstacles around the airport that need to be addressed in order to ensure safe air traffic. Available in both the basic and the advanced version, the software can create the various limitation surfaces as defined by FAA and ICAO as well as any obstacle that may be present in the operational environment. Aircraft Data Viewer: aircraft specifications database An electronic database for anyone in need of quick and easy access to aircraft specifications. The software presents data such as dimensions, steering characteristics and door locations from over 450 aircraft. 8
9 Symposium Organisation Zagreb Airport Ltd. plans to organise and arrange scientific and professional conferences (symposia, conferences, roundtables etc.). Over the years, the airport employees have actively participated in numerous international scientific and professional conferences at home and abroad, in different roles: as organisers, coordinators, partners, moderators, authors, reviewers, publication editors, speakers and so forth. In accordance with the strategy of Zagreb Airport Ltd., the aim is to achieve synergy between the air transport industry on one side and science on the other, for the purpose of contributing to the development of air transport in the Republic of Croatia. The employees of Zagreb Airport Ltd. have gained valuable experience in organizing and managing scientific and professional conferences both at home and abroad. 10 Project Implementation Monitoring On April 11 th, 2012, the Concession Agreement relating to the Construction and Operation of Zagreb Airport (ZA) was concluded between the Republic of Croatia as the Concession Grantor and ZAIC LIMITED as the Concessionaire (hereinafter Concession Agreement ) for the construction of the new passenger terminal (NPT) and operation of Zagreb Airport. On September 28 th, 2012, in accordance with the provisions of the Concession Agreement, ZAIC LIMITED transferred its rights and obligations under the Agreement to a newly established company registered in the Republic of Croatia ZAGREB INTERNATIONAL AIRPORT Jsc. (ZIA), with its registered office in Zagreb, Rudolfa Fizira 1 Velika Gorica, Zagreb, Personal ID No. - OIB , which took over all of the rights and obligations of the Concessionaire under the Concession Agreement. On December 5 th, 2013 as the day when all the handover conditions precedent had been fulfilled, the ZIA JSc. took over the operation of Zagreb Airport in accordance with the Concession Agreement. At the same time, the employees have been transferred from Zagreb Airport Ltd. and associated companies to the ZIA Jsc. In accordance with the Decision of the Assembly of the ZIA Jsc. on the Formation of the Company Zagreb Airport Ltd after Takeover of Operation by the Concessionaire, Zagreb Airport Ltd. has remained in existence as an active legal entity with the same company name, but with a different function. Zagreb Airport Ltd. will retain ownership of the existing assets throughout the entire concession period of 30 years and, as the owner of transport infrastructure assets of strategic importance, it will continue in business with a modified scope of activities, but it will have to be ready to take over the provision of airport services as well as all employees in case of termination or expiry of the Concession Agreement. In view of the complexity and specificity of the Concession Agreement, efficient project monitoring has to be provided for. In accordance with the recommendation by the lead consultant and the European Investment Bank (EIB) regarding public-private partnership projects, a Project Management Unit (PMU), i.e. a unit responsible for project monitoring, was established. It will be located at Zagreb Airport due to the need for a permanent on-site presence. With Zagreb Airport Ltd. continuing in business, a concession implementation monitoring unit has been established within Zagreb Airport Ltd. with the purpose of providing professional and technical assistance to the Concession Grantor, i.e. to the Ministry of Maritime Affairs, Transport and Infrastructure (MMATI), with regard to the implementation of the Concession Agreement. Pursuant to the above, Zagreb Airport Ltd. and the MMATI have concluded the Protocol Governing the Manner of Organizing Project Implementation Monitoring and Provision of Professional and Technical Assistance to the Ministry in Relation to the Implementation of the Zagreb Airport Concession. In view of the above circumstances and due to the fact that it is necessary to continue managing the assets which are not the subjectmatter of the concession as well developing new projects, the Rulebook on the Organization of Zagreb Airport Ltd. has been adopted, establishing three organizational units: 1) Department for Asset Management, 2) Department for Concession Monitoring, and 3) New Project Development Department. 10
11 New Project Development Airport City The hitherto existing infrastructure comprising just the passenger terminal is no longer sufficient to support sustainable development and business operations of the main airport and its positioning as a regional leader. Today, due to increasing user demands for commercial and business facilities, airports are no longer just simple transport hubs where transport modes are exchanged. The focus has therefore shifted to the development of additional commercial facilities for all passengers and airport users in form of hotel accommodation, conference centres and shopping malls. In this way, the airports are turning into centres of economic development of the cities as well as the surrounding areas. In line with these developments, Zagreb Airport Ltd. has continuously been keeping up with the trends with the purpose of creating general preconditions for the provision of high level of service quality to its users, and it has included the preparation and implementation of the Zagreb Airport City Project encompassing the above described facilities among its projects. Cargo City In the last 20 years, Zagreb Airport Ltd. has handled 85.35% of total cargo air traffic in Croatia on average. International cargo traffic accounts for 84.19% of total traffic volumes, with inbound cargo traffic accounting for 70.23%. As to domestic traffic, cargo accounts for 95.05% of total departing traffic. In terms of workforce and technological capacity, the airport is able to handle even the largest cargo planes, as demonstrated by the successful handling of the world s largest cargo plane, the Antonov (AN 225), in November Technology and cargo infrastructure development has been envisioned within the scope of the Zagreb Airport Cargo City Project (ZACCP). The aim of the project is to create infrastructural and technological preconditions for integrating Zagreb Airport into the common EU transport system based on intermodality and sustainability principles, positioning the airport as the regional cargo centre for Southeast Europe, and ensuring continuous development and profitable business operations. If developed within the concession area, the project will be developed in cooperation with Zagreb International Airport Jsc., and should the need for additional capacities arise, Zagreb Airport Ltd. will develop the project outside the concession area. Railway Traffic connections between the airport and the city of Zagreb, the city of Velika Gorica and the wider region are of great significance for the development of the airport. A railroad connection between the airport and the above-mentioned two cities would facilitate faster travel time for passengers arriving from and departing to these cities, and serve as an additional mode of transport which would make it easier for the general population to travel between the two cities. It would increase the number of potential users of the services and facilities provided at Zagreb Airport, which is especially significant for its business operations, growth and development. In cooperation with the competent institutions, Zagreb Airport Ltd. has launched an initiative to prepare the project and define the manner of its implementation. Ongoing Project - Project Wings Zagreb Airport Ltd. has adopted a proactive approach to funding applications and implementation of projects to be co-funded by the European Union (EU). In view of significant funding opportunities available and the possibility of project co-funding through EU funds, it was in 2012 that the Management of Zagreb Airport Ltd. arranged for a one-year programme to provide the employees with the skills necessary for preparing EU project applications, and its successful outcome has become evident as early as with the first grant application for a project which is currently in course - Project Wings.
