Dear Sir, We refer to your letter and subsequent meetings, we are pleased to confirm that you have been selected as preferred service provider for CDMA mobile phone connections. We are pleased to accept your offer for TATA Indicom Post Paid Mobile connections for the Taj Hotels. The principal terms and conditions will be as per Annexure A attached. Validity : Validity of these terms and conditions between TTML/TTSL and the Indian Hotels Co. Ltd & its associates/subsidiary/joint Venture companies under the Taj Group of Hotels will be valid from the date of this letter up to 31 st August The roll out plan will be carried out in a phased manner, you will coordinate this with the Corporate I. T. Department & Corporate H. R. Department. All Mobile handsets and connections will be under the ownership of The Taj Group of Hotels (IHCL, it s subsidiaries, Joint Venture companies and Associate companies). This offer will be applicable for all CDMA connections of Tata Teleservices (Maharashtra) Ltd. (TTML) & Tata Teleservices Ltd. (TTSL). As and when TTML/TTSL introduces new models/brands of handsets the same will be offered to the Taj Group at a preferred price from time to time. All the disputes arising on account of this agreement are subject to Mumbai jurisdiction. Code of Conduct : Any offers, direct or indirect, any illegal payments, remuneration, gifts donations or comparable benefits to any Taj employee which are intended to or perceived to obtain business or uncompetitive favors for the conduct of business, excepting nominal gifts which are customarily given and are of commemorative nature for special events, are strictly prohibited ARA FOR TATA INDICOM POST PAID MOBILE CONNECTIONS Page 1 of 6

2 The Supplier/Contractor represents that it does not employ any child labour in the manufacture or supply of goods & services under this contract. The Supplier/Contractor represents that it has complied with and shall comply with all rules and regulations of the Child Labour (Prohibition and Regulation) Act, IHCL shall have the right to terminate the Agreement forthwith in the event the Supplier/Contractor does any act or thing which shall contravene any provision of the Child Labour (Prohibition and Regulation) Act, The Supplier/Contractor shall be liable to IHCL for any loss and damage caused to IHCL due to failure on the part of the Supplier/Contractor due to this. Termination : The Taj Group of Hotels (IHCL, its subsidiaries and associated companies) reserves the right to terminate this agreement with a notice period of 30 days in the event the services do not meet with the standards and specifications mentioned in the agreement. Whilst the Indian Hotels Co. Ltd and its associates/subsidiary companies under the Taj Group has entered into an agreement with Tata Teleservices (Maharashtra) Limited. It reserves the right to consider any similar services for use at its hotel units, thereby reserving the right for not giving any exclusivity. 5 The TTML Service Edge By associating with TTML the Taj Group will receive a host of benefits such as: Dedicated account management team : A dedicated account management team, which will cater exclusively to Taj Group requirement. Special Toll-Free number for Tata Group of Companies: Customer will be allotted a number to access TTML's 24-hour / 7-day customer call centre ( ). Customer friendly billing: An example of this would be consolidated billing. As of now gets CHPL multiple bills, at different points in time, from different exchanges. TTML proposes to provide a consolidated monthly bill, which will save time & resources for Taj Group in monitoring receipts & payments of telephone bills. 6 Special Service For IHCL Tata Teleservices (Maharashtra) Limited will also offer Indian Hotels Co Ltd an overall discount of 11 % on a National Basis. This discount is applicable on all charges billed excluding EMI s and Monthly rentals. Tata Teleservices (Maharashtra) Limited will also pay the IBS as per the commercial agreed between Indian Hotels Co. Ltd and Tata Indicom. (Attached is the IBS agreed commercial) All downward revisions in tariff will be passed on IHCL when ever applicable 20% of handsets for the senior management will be changed every year. This is a National deal and will be acceptable across the country. TTML is front ending in Maharashtra and TTSL in other circles. Sales support through services camps, escalation matrix, account managers at each location. Calling from Tata Indicom PRI will be 180 sec pulse to Tata Indicom mobiles and the same pulse will be applicable on Dels once worked out. Nokia Handset provided will have a year warranty and can be extended with Nokia service station.
