(Jointly Administered) MOTION TO WAIVE REQUIREMENT OF LOCAL BANKRUPTCY RULE FOR DESIGNATION OF LOCAL COUNSEL TO THE HONORABLE UNITED STATES BANKRUPTCY JUDGE: Dr. Martin I. Kalish M.D., CEO of Quality of Care Solutions, LLC ( Dr. Kalish ), the duly appointed Patient Care Ombudsman in this Chapter 11 case (the Ombudsman ), and Morris D. Weiss ( Weiss ) and the firm of Waller Lansden Dortch & Davis, LLP (the Firm ), proposed Texas counsel for the Ombudsman, file this Motion to Waive Requirement of Local Bankruptcy Rule for Designation of Local Counsel (the Motion ), and would respectfully show the Court as follows: 1. On or about December 4, 2018 (the Petition Date ), the Debtors Senior Care Centers, LLC et al, (the Debtors ) filed a voluntary petition for relief under Chapter 11 of the Title 11 United States Code (the Bankruptcy Code ). 1 A list of the Debtors in these chapter 11 cases, along with the last four digits of each Debtor s federal tax identification number, is attached hereto as Exhibit A. On December 31, 2018, the Court entered its Order Directing The Appointment of a Patient Care Ombudsman (Doc. 233) in accordance with Bankruptcy Code On January 2, 2019, the Assistant United States Trustee contacted Dr. Kalish and informed him he had been appointed by the United States Trustee as the Ombudsman. 5. On January 7, 2019, the United States Trustee filed its Notice of Appointment of Patient care Ombudsman Under 11 U.S.C. 333 appointed Dr. Kalish as the Ombudsman. (Doc. 261). 6. Concurrently herewith, the Ombudsman has filed an application to employ lead counsel Nelson Mullins Riley & Scarborough LLP, along with Weiss and the Firm as Texas counsel. The Firm is located in Austin, Texas, and does not maintain offices within 50 miles of the Northern District. 7. Local Bankruptcy Rule requires that any attorney appearing in a case who does not reside or maintain an office in this district must designate local counsel that resides or maintains an office within 50 miles of the division in which the case is pending and is admitted to practice before the Court. 8. Weiss is admitted to practice in this Court. Pursuant to Local Bankruptcy Rule , the requirement to associate with local counsel may, on motion, be waived by the Court on a case by case basis. It is believed that good cause exists for such waiver here. 9. Weiss has appeared in cases before the U.S. Bankruptcy Court, Northern District of Texas. Counsel is an experienced Chapter 11 representative having appeared on behalf of debtors, creditors committees and creditors in bankruptcies in the State of Texas. It is believed that counsel s experience lessens the requirement for local counsel / Page 2

3 Case bjh11 Doc 303 Filed 01/10/19 Entered 01/10/19 16:05:17 Page 3 of Any attorney from the Firm appearing in these cases would be able to travel to the Dallas/Fort Worth area within 6 hours. Thus, the attorneys at the Firm are available to attend any hearing which may be set on short notice. 11. Orders granting complex case chapter 11 bankruptcy treatment and directing joint administration of the cases have been entered, and the Court will hold regularly scheduled hearing dates in these cases. This will reduce the number of hearing dates required in these cases by consolidating multiple hearings on one date. Because of the fluid nature of these cases, Weiss expects that most hearing dates will include hearings on one or more motions which will not be routine and may require an evidentiary presentation. 12. The Ombudsman intends to submit his reports in a manner consistent with section 333 of the Bankruptcy Code and does anticipate the need for frequent appearances in Court either in person or through counsel. As such, to the extent counsel attendance is required, it will either be handled in person or via telephonic appearance, and adding local counsel would needlessly contribute to the fees and expenses in the case. 13. A proposed order approving the relief requested herein is attached hereto as Exhibit B. WHEREFORE, Dr. Martin I. Kalish M.D., Morris D. Weiss and the firm of Waller Lansden Dortch & Davis, LLP request that Court waive the necessity of Local Bankruptcy Rule for association with local counsel in these cases and grant such other and further relief as is just / Page 3
