1 Meeting called to order at 10:00 AM. All Board Members present: Tracy Moseley - President and Pool John (Bubba) Murphy- Vice President and Maintenance Ray Shepard - Architecture/Beautification, Communications and Assistance Secretary Anne Singleton - Entertainment Oliver Dunn - Treasurer Mike Matthews - Golf Course Don Derrico- Security and Secretary The following information was observed and discussed during the BoD Meeting: 1. MOTION 1: Tracey Moseley put motion forward to approve the February 2019 Meeting Minutes. Unanimously passed with Board. TREASURER REPORT- OLLIE DUNN: 1. February 28, 2019 a. Operations Checking: $34, b. Operations Money Market Savings: $168, c. User Fee 2 Checking: $112, d. User Fee 2 Money Market: $127, e. Boat Escrow Checking: $91, f. Sewer Escrow Money Market: $63, g. Water Escrow Money Market: $149, Sewer License Checking: $19, i. Reserved Accounts: $386, j. Golf Club: $3, BoD Members were requested to put in their 2019 budget requirements COMMUNICATIONS- RAY SHEPARD 1. Please get your address displayed; this is in your OWN interest and safety. 2. River Ridge News Letter will go out in May Officer Baird from Mecklenburg County attended to interact with community. Introduction by Ray Shepard was conducted. 4. MOTION 2: Ray Shepard put a motion forward in the best interest of the community to quickly authorize an Audit/Forensic Audit. Motion is suspense: a. Ray Shepard presented in true transparency to the Owners a document ( ) (received between Board Working Session and Board Meeting) for Board Members. Ray Shepard expressed that based on this /paper and in the best interest of the Owners we conduct an audit/forensic audit as soon as feasible. b. Anne Singleton provided second motion c. Motion was then open for discussion: i. Tracey Moseley recommended we investigate cost, and other factors before moving forward. We need the entire Board to come together and discuss. ii. Attending Owners requested copy of the paper h.

2 iii. Ollie Dunn expressed he is trying to get his arms around the budget and how the numbers are arrived at. Ray Shepard stabbed him in the back by sharing the personal /paper. iv. Ray Shepard indicated several areas where good financial practices where not being followed (e.g. roll-over dollars from year to year, roads, etc.). We have been on the Board in our positions for approximately 7 months and that an Audit/Forensic Audit is to identify where our processes may have broken down or where we did not follow good accounting practices. Audit will identify discrepancies in the funding and Forensic Audit will identify where we River Ridge need process improvements going forward. v. Ollie Dunn indicated he is working on it, does not believe any money is missing but is working with Al Freer vi. Tracey Moseley tabled the motion to investigate with the Board and bring back to the community. Tracey Moseley is really trying to get the Board to work together even if they don't like each other. 5. MOTION 3: Ray Shepard put a motion forward per Blue Rules the Board Votes on the members of the Tribunal Committee. Motion passed by all Board Members. a. Ray Shepard as Communications Director received a lot of communications from Owners. Ray Shepard read the By Rules about members have not been voted into the Tribunal Committees by the Board. b. Tracey Moseley indicated there is not one person on the Tribunal that was voted on. That is left to the Chairman to decide. Tracey Moseley indicated she was on the Tribunal and was not voted in. i. Tracey Moseley acknowledged the rules are to vote. ii. Terry Mulligan indicated Ray Shepard is 100 percent correct but we don't always follow the rules to the letter of the law iii. MOTION: Vote in the following members: 1. Terry Mulligan 2. Darlene Quesenberry 3. Donny Beck 4. Charles Nelson 5. Cathy 6. Debbie 7. Howard Powell iv. MOTION: Tracey Moseley put motion forward to vote in the members identified by Terry Mulligan. Voted unanimously 6. MOTION 4: Ray Shepard put a motion forward to dismiss any Tribunals cases since Election period because the attending members of the Tribunal did not have proper approval/authorization as Tribunal Members per River Ridge Blue Rules and Roberts Rules of Order. Motion did not carry. i. Tracey Moseley said any decision of the Tribunal are final 1. Ray Shepard pointed out that per our Blue Rules that BoD Members cannot question or rebut any infraction for Security or Safety. However,

3 any other infraction areas can be retracted, investigated and is permissible per the Blue Rules. 2. Bubba Murphy I am not going to rebut that the Tribunal is illegal. If not they are stupid. 3. Ray Shepard again stated; Tribunal Members were not authorized to carry out the duties of Tribunal without being assigned/voted on by the Board per Blue Rules and Roberts Rules of Order. I don't make the rules, I follow them. n. Tracey Moseley put the Motion forward to dismiss any cases that the Tribunal had heard since Election. 6 opposed and 1 affirmative (Ray Shepard). Motion did not carry. 7. Position Description Form for the Common Area Custodian a. Read contents of form b. Start date March /April 2019 c. Treasurer expressed we need to get the budget worked out before allocating money. Recommend holding until we have finalized budgets. d. Mike Mathews requested we add Pool Bathhouses. Ray Shepard indicated he would add the Bathhouses. e. Owner asked if this person would be pulled off for mowing and other things. Tracey Moseley indicated this person would be full time. Tracey Moseley confirmed requirements of the position for Owners and confirmed it is a full time job. BOATING AND FISHING - JOHN MURPHY 1. MOTION 5: Bubba Murphy placed a motion to accept bid by Carl's Construction and landscaping for $1,500 Car Port 12'x16'x8' / rails at 3' for labor and installation in Deer Chase to accommodate the fishing tournaments. Carport was placed not to interfere and allow the fish to live because they were dying in the sun. a. Ray Shepard indicated his motion for an Audit/Forensic Audit - do we have the money? Bubba indicates Boating and Fishing is completely separate from all other budgets. b. Ollie Dunn indicated any purchase over $1,100 must be voted on. This is coming out of the Boating Fund and does not come out of the budget. Money comes from the rentals and stickers for the boats. Dues do not go into Boating and Fishing. c. Tracey Moseley indicated money generated by the Owners dues has nothing to do with Boating and Fishing. d. Al Freer stepped up explained all dues, special assessment fees are tax exempt. Boating Fishing, Entertainment zero themselves out. All financial data is available to any Owner at any time. e. Ray Shepard asked Al Freer a question on taxes - does Boating and Fishing get rolled into the overall River Ridge Taxes - Al Freer indicated he is unsure, we have an accounting firm for taxes. Al Freer indicated River Ridge has an CPA every year, River Ridge had an IRS audit several years ago, the auditor said "there is no way no one could swindle any money out of River Ridge". f. Motion placed - 6 Board Members voted affirmative and 1 Board Member opposed (Ray Shepard)

4 i. Ray Shepard expressed the need for the audit and review of financials before spending money. 2. Owners are reminded to obtain their boat decals for the 2019 season. Issuance of tickets will commence 1 May ARCHITECTURAL/ BEAUTIFICATION CONTROL- RAY SHEPARD 1. "'206 lots without sewage in River Ridge. Assessment is ongoing to understand the impact and to ensure there are no "safety" concerns. 2. Numerous Work Orders were submitted to Maintenance. Maintenance has completed all but three items; these include replacement/repair of entrance center island lights, Indian Village drainage (sand bags should remain until a solution can be found} and land grading near the tetherball court/across from pool entrance. 3. Park Modules and Building Code compliance was discussed. BoD has been discussing changes in Mecklenburg Building Codes with City Officials. Due to Building Code changes, the BoD is standing up a temporary committee to address Park Module compliance within River Ridge via the Yellow Rules. ENTERTAINMENT -ANNE SINGLETON 1. Dart Tournament tonight, beautiful trophy's 2. St. Patrick's Day Adult Dance 16 March pm-12am at the Clubhouse 3. Kids Kite Day - Golf Course Driving Range 23 March 12-2pm 4. There will be a Fishing Tournament late 23 March Texas Hold'Em Tournament April 5 th and 5 th Elvis Concert Tickets are for sale June 22, Spm, $10.00 a ticket. Ordained minister if any one desires to get married - God help them. 7. Looking for Donations for the kids Easter Party, candy and soft toys. Darlene Quesenberry, Anne Singleton can be called for pickup or leave it at the Security Office. 8. Clubhouse rental. 30 days' notice is requested to let the people know that attend every Thursday, Friday and Saturday. I've already received death threats from some of the players (laughs) 9. Tracey Moseley acknowledged clubhouse is good for weddings. Clubhouse is not off limits it can be worked out. 10. Anne Singleton expressed an entertainment survey in the mail with water bill, want to know how many kids etc. 11. Tracey Moseley expressed how well used the Clubhouse is being used - more than ever before seen. MAINTENANCE -BUBBA MURPHY 1. Maintenance is trying to maintain the roads in Leisure but really cannot place rock down because the water will wash it away. Still on schedule but will speed up if weather permits. 2. Painted Rita Office and Security Office. Big Inspection on May 29, Tracey Moseley emphasized if you see something put in a work order. Leisure area being worked is a construction site, please use Bubba Murphy and Alan Rhodes if you are not happy about something. Please do not anger the crews in anyway 4. Owner requested a meeting on Leisure to understand what is going on? Bubba Murphy indicated it is more than possible. Get the word out.

5 5. Bubba Murphy requested if you have any issues with employees, please see Bubba Murphy and/or Alan Rhodes. Please do not confront the maintenance people, come see us. Don Derrico indicated we lost one employee because someone through something at them. 6. Bathhouse renovations continue, however weather does impact schedule. 7. Maintenance is waiting for total renovation estimate for bathhouses. Bathhouses are very old and require more work than what Maintenance can perform 8. MOTION 6: Bubba Murphy put a motion forward for a new roof on Adventure Bathhouse, all new wood and vinyl. B&M Roofing lives in River Ridge which is good for the warranty. Grand Total is $7,000. a. Motion passed 6 affirmative and 1 opposed (Ray Shepard) i. Ray Shepard expressed the need for the audit and review of financials before spending money. POOL-TRACEY MOSELEYMOSELEY 1. Working on getting new tables in the snack shack, industrial tables and have already lined up two Managers. Last year showed two Managers are required. 2. New Flag Pole is coming in. Volunteers have offered to assist with flowers etc. 3. New chairs are in and have been delivered. 4. Some small repairs to doors and things. Ladies Room area will be improved some to give extra space. 5. Open the pool the weekend before Memorial Day 18 May if possible. Pool will be chlorine. Owner asked if the dues will go down the $100.00? Tracey Moseley indicated it was only for the one time. 6. GOLF COURSE - MIKE MATHEWS 1. Gold Course has been closed because of weather. 2. Band coming out May 25 th, Band is the BEZ Band. Had Connection Band last time, trying to get them in September. Hamburger and hotdogs will be available. 15 April 2019 Not Serious Golfers (Monday) Event May Spring Tournament 5. Anne Singleton - anyone has anything for calendar, please give it to me early next week Pavilion has about another days' worth of work to completion 7. Golf Course may procure some grills contingent on budget SECURITY - DON DERRICO Several emergency 911 calls, 4 at one time the other day. 2. If Owners see something, please say something - we will do what we can. Batteries, Gas, etc. have been being stolen. Tony rides around late at night, if you see something please let us know. We need 1. Owners help. 3. Gold Carts need to have numbers, numbers also on covers. 4. Tickets will be given to Tribunal for passing gate cards. Please check in all guests. We can check the card reader and video. You can call the Office and let them know who your guest is. 5. We are experiencing the continued problem of Owners not signing their guests into the park. River Ridge policy dictates that all guests will be signed into the park for the safety of all Owners.

6 6. Tracey Moseley thanked the Mecklenburg Sherriff for all they do for our community and attending. Large applause by attending members. OWNERS DISCUSSION POINTS: 1. Bill Phelps: a. Members of the Boards were voted on, and don't feel like all 1500 properties are being represented properly. b. Ways and Means lost 4 tables and would like them returned c. Clubhouse is not the game room, the game room is at the pool Ways and Means gave to River Ridge: i. Lights in center island for entrance ii. Fence dividing golf course and private properties iii. Vinyl, ceiling outside clubhouse iv. Large picnic area constructed v. KK - built the deck and flower beds vi. Chapel vinyl siding vii. KK - Inside stove, refrigerator, cabinets, sink and walls viii. Pool - put tables and chairs in recreation room ix. Pool - Chairs and shelving d. x. lounge chairs at the pool xi. Donated for Toys for Tots, Kids Parties, Halloween and Christmas xii. Donated chairs in KK (64) e. Board did not vote on changing the clubhouse to a game room f. Tracey Moseley indicated River Ridge appreciates all Way and Means does. Things are donated they belong to River Ridge. Clubhouse is here for the enjoyment for each and every property Owner. Bill Phelps said; it's not just for SO or 60 people. g. Bill Phelps said don't let me catch people drinking in there - I will call the police. Tracey Moseley said it is not illegal. h. Al Freer says Ways and Means is not part of River Ridge. Ray Shepard asked if donations are reported in River Ridge taxes? No answer was given. i. Owner (87F) expressed how happy they are the clubhouse is open and doing things. This is our community we are family. Clubhouse is for everyone (Applause) 2. 44L: a. At the work session the other day and Anne was reading of the other activities. Ways and means got run over. Ways and Means will work with the Board', appreciates if all the committees work with Ways and Means. 3. Al Freer a. On Social Media Al Freer seen on Facebook the riff between camping section and modular home section. All went back to 2008/9 and 2019/2020 Budget Year election years collected all cost associated with electrical upgrades: $1,825, b. 100 percent of the benefit goes to camping section percent is camping lots, remaining is modular homes {29.1).

7 4. 49L a. c. User Fee 1 Dues and Assessments cover Bathhouses. User Fee 2 is for upgrades of electrical upgrades and maintenance. User Fee 1 and remainder of User Fee 2 which equaled $5,673, and mobile home section $427,574,00 included resurfacing of roads twice. d. Camping Section received 93 percent of the funding and mobile homes received 7 percent. What did the mobile home lots contribute; $3, per mobile home lot. e. People keep saying the camping section is not represented. Start voting and working together. Al Freer proposes we stop all this garbage and work together. f. Al Freer defines Forensic Audit. Ray Shepard challenged the definition and indicated it is also used to identify process violations to improve future efforts. g. Bubba Murphy asked if he noticed anything wrong. Al Freer indicated he has found irregularities but nothing significant. Tracey Moseley said we are not hiding anything. Can we do something about the cat situation? Tracey Moseley said Mecklenburg does not have a cat leash law and recommended calling animal control. i. Don Derrico indicated he is working on finding homes for all the cats. County will not take cats. Just moving through the park removing cats. ii. Bubba Murphy has been through this before. You can get a big time fine for hurting the cats or relocating them. b. Change Machine? Tracey Moseley indicated the change machine is being moved c. Can we get more washer and dryers? Tracey Moseley said we will look into this. d. i. Owners indicates people abuse the machines Drainage pipes in front of Owners lots, who is responsible? i. Do we put a work order in? ii. Tracey Moseley said if it's for the "drainage pipe", put in a work order e. Will we have an opportunity to read the that was given to the Board for the Motion of the Audit? i. Tracey Moseley said yes L a. Owner expressed smoking in the clubhouse is prohibiting attendance at events. For health reasons. Anne Singleton says most people are smokers at a 99 percent ratio. At the dances if I shut down the smoking we will not make money. Another Owner said there are people who don't smoke and don't attend. c. Owner asked if things can be done by asking the smokers to go outside. Anne Singleton said we will then have smokers outside and cigarette butts will be all over the place. d. Al Freer says smokers are pushing there will upon me. Smoking went away on airplanes and bars. Come to find out the bars made more money after they banned smoking. It's b. your decision. e. Another Owner recommended putting the smoking question is the survey. let's get facts.

8 6. Owner a. b. c. d. e. f. Property Owners are not cleaning up their yards. I don't even bring friends in here anymore. Ray Shepard explained the infraction and Tribunal process. Ray Shepard indicated Leisure is a mess all the way around. It will improve after the upgrades are done. Owners would like harder rules in place to get Owners to clean up their lots Bubba Murphy knows from personal experience you can't trespass on the property Has anyone contacted the Health Department - We have talked to Officials and they said it would take at least a year. 7. Ollie Dunn Update on Covenants a. Original covenants were written in 1972 b the Covenants were written for the developer and to protect the developer c. A lot has changed in 47 years d. We found a study in 2014 where a lawyer had reviewed and made recommendations. Finished the rough draft of the Covenants last Wednesday. Terry Mulligan is going to talk to the lady. Owners expressed being upset over the fact we paid a lawyer in 2014 and did nothing with it. Why? Tracey Moseley said the Board dropped the ball. e. The Covenants Committee is busting their butts, please be patient and communicate with us. Really every ten years these should have been updated - the Boards dropped the ball. The lawyer when contacted, asked "how are the Covenants coming?-/ast I heard from you was 2014 H. 8. Tracey Moseley a.
