The Chairman noted the apologies and asked that they be recorded. 2 MINUTES 2.1 Minutes of previous meeting That the minutes of the 32 nd Annual General Meeting held on 20 November 2014 be accepted as a true and correct record of the meeting's proceedings and discussion. Moved: Emma Sherry (Director) Seconded: Stuart Craig (Director) 3 PRESENTATION OF ANNUAL REPORT The Chairman proposed that the Election of Directors agenda item will be moved to earlier in the meeting to allow vote counting while other reports are presented. There was consensus support for this proposal. The Chairman also proposed that Vicsport Strategic Projects Manager Anthony Bowd be appointed as the Returning Officer and Events and Administration Coordinator Seb Zancan be appointed as a Scrutineer to count the votes and return with the outcome. The Chairman invited a motion in this regard. That Anthony Bowd be appointed as the Returning Officer and Seb Zancan appointed as Scrutineer for the Election of Directors. Moved: Warwick Waters (Director) Seconded: David Lamb (Director)

3 The Chairman then said that as per Vicsport s rules three (3) Directors positions become vacant at this meeting and two (2) nominations were received by the due date for these positions. As per Vicsport rule, 22.1(2): If insufficient nominations are received to fill all vacancies on the Board the candidates nominated shall be deemed to be elected and further nominations shall be received at the Annual General Meeting. Therefore the two candidates deemed elected were existing Vicsport Directors Stuart Craig and Stephanie Beltrame. The Chairman congratulated them both on their election. The Chairman then called for nominations from the floor for the remaining vacant position and clarified that nominations must be received from Full Vicsport Members and seconded by a Full Vicsport Member. The CEO clarified that Vicsport Full Members are State Sporting Associations and Regional Sports Assemblies. Tony Dodemaide (Cricket Victoria) said he would like to nominate Andrew Walton. He stated that Andrew is a Director of Interact Sport which provides online sport management services to many sports and also has a strong history as a senior cricket coach and a sport volunteer. Tony said that he believed that Andrew s experience in the Information Technology area and his relationship with many Vicsport members would make him a valuable contributor on the Vicsport Board. The Chairman thanked Tony for the nomination and asked if any Full Members would second the nomination. Andrew Skillern (Hockey Victoria) seconded Andrew s nomination. The Chairman asked Andrew if he accepted the nomination, which he did. The Chairman then asked if there were any other nominations. As there were no other nominations the Chairman declared Andrew elected to the Board. The Chairman also acknowledged the contribution of Anne King who served 4 years as a Director and whose term finished at this AGM. 4 PRESENTATION OF ANNUAL REPORT The Chairman referred Members to the joint Chairman s and CEO s report in the hard copy Annual Report and went on to report the following; That 2014/15 was a significant year in delivering the initiatives featured in the Vicsport Strategic Plan. It was also a year of consolidating Vicsport s role as the peak organisation for the promotion, development of and support for sport and active recreation in Victoria.

4 Vicsport continues to be driven to deliver and provide programs, support and services of the highest quality. The Vicsport Strategic Plan has provided the Board and staff with a clear and strong direction for the future. It has provided the reference point for decision making, funding submissions, policy development and operational activities. In March 2015, the half way point for the current strategic plan the Board and staff reset goals and refreshed the plan to ensure Vicsport continued on the right track. The Chairman acknowledged of member organisations for their support of Vicsport and its programs. Thanks were also extended to the Board Members Richard Amon, Stephanie Beltrame, Stuart Craig, Ben Hartung, Anne King, David Lamb, Emma Sherry and Warwick Waters, the Vicsport staff, Preferred Suppliers, State Government, Minister Eren, SRV and VicHealth. Having consolidated its strategic direction Vicsport looks forward to working even more closely with members, stakeholders and partners to encourage and assist more Victorians to enjoy the benefits that sport and active recreation can provide. The Chairman then asked the CEO to speak to Vicsport s operational activities in 2014/15. The CEO provided a review of the major initiatives for 2014/15 as follows; Industry Development The quality and quantity of Vicsport communications have increased with the Sportsview newsletter and regular updates containing more unique content and an enhanced design. Social media reach has also increased with greater followers on Twitter, Facebook and LinkedIn. The Are You On Board Diversity and Inclusion Campaign also continued throughout 2014/15 with new videos and fact sheets produced. Vicsport engaged with 152 members/stakeholders via 692 engagements of over 30 minutes Vicsport represented the industry on 16 cross sector panels/working groups, published the Vicsport Policy Agenda and developed 2 major submissions in response to public consultations. The following Forums were also conducted throughout the year; o LGA Forum o State Election Forum o CEO Retreat o Forward Thinking Series Organisation Development Through support from SRV Vicsport conducted 16 SSA major strategic support projects, 36 SSA projects and initiatives as part of the Women In Sport And Recreation (WISAR) program, 28 SSA projects and initiatives through the Access for All Abilities program. Vicsport supported 21 SSAs involved in the VicHealth State Sport Association Participation Program. Vicsport also delivered 7 major organisation development projects for sporting organisations and LGAs Individual (People) Development

5 The Vicsport Professionals Network was introduced and activities included 3 major events and the awarding of 4 Latrobe University Scholarships. Vicsport conducted three Professional Development & Mentoring Programs supported by SRV as follows; o The Professional Development and Mentoring Program (PDMP) for female sport administrators which had 11 administrators participate in the program. o The Professional Development for Inclusion Professionals (PDIP) program for administrators working in the diversity and inclusion area which had 10 administrators participate. o The Professional Development and Mentoring Program Extension program for past PDMP participants wishing to undertake further professional development which had 7 administrators take part. o As an extension of Vicsport s partnership with La Trobe University those undertaking the PDMP and PDIP were offered the opportunity to be recognised for prior learning within Latrobe s Masters of Management course. 248 industry professionals & board members have increased their knowledge & capacity through education workshops that Vicsport conducted during 2014/15. Victorian Sport Awards Vicsport received a high number of quality of nominations which included 8 World Champions The Event itself was a great success with 350 people attending the MCC Dining Room and many more watching the live stream coverage. The CEO then acknowledged the support of Members, Preferred Suppliers, Victorian State Government, Minister Eren / Minister s Office, Sport & Recreation Victoria, VicHealth, Victorian Awards Panel Members, Finance Sub Committee, Vicsport Board and the Vicsport Staff. The CEO thanked everyone for their attendance at the AGM and said he looked forward to the exciting year ahead for Vicsport and Victorian sport. The Chairman thanked the CEO for his report and called for the adoption of the report. That the 2014/15 Vicsport Annual Report as circulated be adopted. Moved: David Berry (Wimmera Sports Assembly) Seconded: Matthew Brown (Calisthenics Victoria) 5 PRESENTATION OF AUDITED FINANCIAL STATEMENT The Chairman requested that the CEO present the audited statement of accounts. The CEO then highlighted the following; Vicsport s business has changed in line with the direction of the Strategic plan. Vicsport s government funded revenue made up 75% of total revenue in , was 67% in & is budgeted at 67% for 2015/16

6 Total Income increased from 2013/14 by $140K $40k increase in grants, $50K increase through preferred supplier partnerships, increased consultancy work $35k. Total Expenses approx. $35K higher than the previous year. Higher salaries but decreased contractors and consultants, increased meeting expenses due to the additional events that Vicsport ran. Cash reserves $185K is ahead of Board policy. The Board has resolved that it wants to carry a minimum of $150K in reserve. The financial result included the finishing of a couple of items that dragged on and were more costly than budgeted from last year, namely the website upgrade. So we were hoping for a break even position this year but slightly fell short budget aims for a profit of $7K+, it includes further expansion of key revenue generating activities namely Vicsport consultancy work, the Preferred Suppliers program and Vicsport Professionals Network. The Finance Sub Committee which was established two years ago has provided excellent support to management and Board. The FSC was presented the audited financials which they endorsed and recommended that the Vicsport Board approve which they subsequently did. The Chairman invited questions regarding the finance report. As there were no questions arising in response to the Chairman s invitation, the Chair then requested that the 2014/2015 financials be adopted. That the statement of accounts for the year ended 30 June 2015, audited by Accru, as circulated, be adopted. Moved: Stuart Craig (Director) Seconded: Steve Walker (Yachting Victoria) 7 APPOINTMENT OF AUDITOR FOR The Chairman stated that 2014/15 was the fifth year that Accru completed the Vicsport audit. Accru is a mid-sized accounting practice which has many sport related clients. Vicsport has been satisfied with the service that Accru has provided. That Accru Chartered Accountants be appointed as auditor of Vicsport for the 2015/16 financial year. Moved: Emma Sherry (Director) Seconded: Fiona Young (Squash & Racquetball Victoria)
