3 Board of Directors Our Board of Directors, who have overall responsibility for governance of the Trust, bring strong business acumen and experience to the board table to ensure that Grassroots Trust Limited operates as a compliant and responsible industry leader. Martin Bradley Chairman Martin has been the Chairman of Grassroots Trust since He has been a practicing lawyer for 23 years and is a partner at the Hamilton based law firm Norris Ward Mckinnon. Martin is a member of the NZ Cricket Players Association having played First Class Cricket for Auckland; and was recently appointed Chairman of Northern Districts Cricket Board of Directors. He is also a keen rugby enthusiast. Kevin Burgess Director Kevin Burgess is a pharmacist and co-owner of three pharmacies in the Waikato. He has had a long and active involvement within the Cambridge community, serving on both sporting and community organisations. Kevin is also a partner in Inside Running, a sports management company. He has been a Grassroots Trustee since Jeff Freeman Director Jeff is principal of Knighton Normal School in Hamilton. He was Chairman of the Board of Northern Districts cricket from and is a member of the NZ Cricket Players Association having played First Class Cricket for Northern Districts. He also played hockey for Waikato and is a keen golfer. Craig Sanders Director Craig is a partner of Kelly & Bryant Chartered Accountants Limited in Te Awamutu. He is also a trustee for Waipa Networks Trust & Te Awamutu Primary School Board of Trustees. Craig plays rugby for the Te Awamutu Sports Club Reserves and is a keen supporter of all sports. Tracey Gunn Director Tracey is a Family Lawyer based in Hamilton and has a wealth of Governance experience. She is currently a Trustee of Hamilton Garden Arts Festival. Tracey has a keen interest in education and the arts. Jeremy O Rourke Director Jeremy is the Managing Director of Lodge Real Estate in Hamilton. He is also the Chairman of NZ Realtors Ltd and a Parent Rep on the Waikato Diocesan School for Girls Board of Trustees. Jeremy is a keen supporter of all sport particularly rugby and netball and still actively plays tennis and squash.

5 Authorised Purpose Grassroots Trust Limited is authorised to operate gaming machines to raise money for the following authorised purpose: a. Any charitable purpose b. Any non-commercial purpose that is beneficial to the whole or a section of the community The above authorised purpose includes (but are not limited to): The promotion and development of amateur rugby union football, within rugby provincial unions and clubs affiliated to the New Zealand Rugby Football Union Incorporated deemed to have subscribed to and be bound by the constitution and rules of the New Zealand Rugby Football Union Incorporated. The promotion and development of any other amateur sport through direct support of amateur sporting bodies. Grants only issued to sports bodies which are formally established and/or legally constituted; Promotion and development of community organisations which are established for charitable purposes or cultural purposes beneficial to the community or a section of it or any other purpose beneficial to the community or a section of it. The Grassroots Trust Board of Directors meet monthly to review grant applications and are committed to acting as responsible stewards of available funds. Great care is taken to ensure that funds are granted to the Trust s authorised purpose and returned to the communities in which our venues operate. It is a key objective to the Directors to support a wide range of sports and charitable causes across sport, education and community sectors.
