1 HELLENIC STEEL Co S.A. in Liquidation Invitation for Expression of Interest INTRODUCTION Hellenic Steel Co. S.A. (hereinafter the Company ) presently in Liquidation, was established in 1963 and was engaged in the production of steel coils and sheets. Its plant and offices are located in Thessaloniki, Northern Greece, at a distance of 6km from the Port of Thessaloniki. The main products of the Company are cold rolled steel uncoated, cold rolled steel galvanized and electrolytic tinplate (tinplate production was interrupted in 2013). Pursuant to a Resolution of the Company s General Shareholders Meeting dated 24 October, 2014 the Company was dissolved and was officially put in Liquidation as from November 1 st, Mr. Dimitrios Panozachos and Mr. Ioannis Verginis, domiciled in Thessaloniki (Greece), are the present Company s Liquidators, acting jointly. OVERVIEW The Company s plant includes also complete finishing lines that allow cutting and slitting coils into sheet and strips forms. Furthermore, the Continuous Galvanizing Line is complete with a leveler system and a skin pass mill online. The Company s mill production is max ton per annum. The Company s geographic location close to Thessaloniki Industrial Zone of Sindos and to the Port of Thessaloniki, having always a dock available, offers ease of access by sea, while it is also close to the markets in South Eastern Europe and the Middle East. The premises location are easily accessible by road (Egnatia Odos and the National Road) and offer railroad infrastructure inside the Factory, connected with the Greek Railroads network. The ideal geographic location of the Company enhances not only its advantages and possibilities but its fully organized distribution network in Greece and abroad as well. During its 50 years of operation, Hellenic Steel had secured its permanent presence in Greek and major international steel markets. 1

2 The Liquidators acting within the frame of their legal duties announce by virtue hereof the international tender for the sale as a whole of the following Company s property (Land Site, Plant Building and Other Facilities and Networks). The assets will be sold free from any liens and encumbrances on the Company s property. The purchaser shall acquire the Company s property as it is. The Company shall be exonerated from any costs resulting from the restart, the replacement or the modernization of the equipment, as well as from any future claims. THE PROPERTY a) Land site The Company operates in a m2 area and currently only m2 area are used as buildings The remaining part can be used for various purposes including: 1) Developing complementary facilities for the vertical integration of the company 2) Construction of logistic facilities serving the entire South Eastern Europe and the Middle East. b) Buildings b.1)main Building The main building of m2 ( m2 along with basements) houses all the production lines. HCI ACID Network 7. Fire protection Network 8. Protective Atmosphere Network 9. Industrial Liquid Wastes Network 10. Sewage Network Details regarding the Property, Production Lines, Other Facilities and Networks shall be provided to parties which express their serious interest in submitting an Offer. 5 The Offer should include Company s profile, operation plan and financial offer. The Offer will be submitted in both Greek and English Language The Liquidators shall in due time after February 24 st, 2017 address a written answer to all interested parties who will have submitted offers and shall invite for further negotiations at the Company s premises, in Thessaloniki, the parties whose offers shall be considered to be more interesting. The issuance of this Invitation in no way commits the Liquidators to proceed with the Process in case of failure of agreement during the negotiations with any of the interested parties.
