Report by Miss Mulliner, Acting State Secretary 2 RESOLVED: That the report be noted Leave of Absence Mr W.T. COMPLIANCE REPORT: 14/ sub-branch Compliance Report Report by Mr Boyle, Business Services Manager RESOLVED: That the report be noted. 3. PROPERTY: 15/ Bombala sub-branch Seeking approval to transfer $350, from Westpac to an Australian Defence Credit Union term deposit for 12 months at 3.25%pa. 3 Rockdale sub-branch Seeking approval for the Trustees to sell sub-branch property 45 Bay Street, Rockdale to the Rockdale sub-branch Club Limited for $5,600, (plus GST). The members postal vote results were 34 in favour and nil against. RESOLVED: That approval be given for the Trustees to sell sub-branch property 45 Bay Street, Rockdale to the Rockdale Sub-Branch Club Ltd, on the following terms; (i) Purchase price is $5,600,000 (plus GST). (ii) The sale is a taxable supply under the GST legislation and that GST is payable in addition to the purchase price. The sub-branch will need to be registered for GST purposes on or behalf completion of the Contract. (iii) A 5% Deposit of $280,000is now payable on exchange of contracts instead of the usual 10%. (iv) Settlement is to now be eighteen (18) months from exchange of exchange of contracts not forty-two (42) days. (v) The consideration for the deferred settlement period of eighteen (18) months is the payment by the Club of a sum of $150,000 per annum pro rata, being $12,500 per calendar month payable monthly in advance not in arrears ( the settlement extension fee ). The monthly payments vest absolutely in the Vendor at the time required for payment and do not form part of the Deposit or purchase price payable under the Contract. A default in the payment of any monthly instalment of the settlement extension fee would be deemed a default of an essential provision of the Contract, entitling the Vendor to terminate the Contract for Sale by notice of termination. (vi) Completion of the Contract is subject to and conditional upon an agreed form of Deed for the Provision of Accommodation Services and Recognising Existing Obligations being executed by the Club, the sub-branch trustees and NSW. This deed provides for the ongoing services and licensed sub-branch office space to be provided by the Club for the benefit of the sub-branch. (vii) The Club no longer requires a Licence Agreement for the use of Indicia as the Club does not intend to use the name or Marks after settlement. The Contract will include a special condition obligating the Club to effect a change of name to remove the letters (and to also cease using the marks), effective as at the date of completion of the Contract. (viii) The Contract is otherwise unconditional and is in a form as prepared by and approved by the sub-branch solicitors. AND That Custodian Pty Ltd be appointed an additional trustee together with the three sub-branch Trustees for the sale proceeds.

RESOLVED: That approval be given for changes to the Balgowlah-Seaforth-Clontarf sub- Branch Investment Portfolio Taree sub-branch Seeking confirmation for changing bank accounts from the National Australia Bank to Money. RESOLVED: That approval be given to Taree sub-branch to change bank accounts from the National Australia Bank to Money Coogee Randwick Clovelly sub-branch Seeking approval to expend $16, to replace the roof area above the sub-branch office in the Coogee Diggers Club. RESOLVED: That approval be given to expend $16, to replace the roof area above the sub- Branch office in the Coogee Diggers Club. Mr Harrigan declared a conflict of interest in the following matter and excused himself from the discussion and vote Bondi Junction-Waverley sub-branch Seeking approval in principle to sell the sub-branch property known as Bronte Road & part 1-9 Gray Street Bondi Junction to the Bondi Junction-Waverley sub- Branch Club Limited for $6,500, RESOLVED: That approval be given in principle for the Trustees of the Bondi Junction- Waverley sub-branch to sell the property known as 28, 30, 32 and 34 Bronte Road being the whole of Lot one in deposited Plan at Bondi Junction to the Bondi Junction-Waverley sub-branch Club Limited for $6,500, providing the Trustees are satisfied that the terms and conditions of the sale does not bring them into breach of their fiduciary responsibilities. AND
5 5 That such consent is given on the condition that the sub-branch conduct a ballot of all members, then holding of a further meeting to confirm the results of the ballot and to pass a resolution to sell and to seek the consent of State Council being given. AND SUBJECT TO 1. That Custodian Pty Ltd be appointed an additional trustee together with the three sub-branch Trustees for the sale proceeds. 2. Accommodation Services Agreement. 3. That the contract of sale is to include all appropriate requirements to protect and preserve the Name and Indicia, including the obligation for the Club to effect the removal of the letters from the Club s Name. 3.8 Port Kembla sub-branch Report by Mr Boyle Business Services Manager RESOLVED: That the report be noted. 4. FINANCE: 16/ Report on the Finance Meeting 15 July 2015 Report by Mr Harrigan, Acting Honorary State Treasurer RESOLVED: 1. That the report be noted. 2. That Mr Harrigan will remain as Acting Honorary State Treasurer until the return of Mr Hardman from leave. 5. GENERAL BUSINESS: 17/ ANZAC Art Awards Major Prize Report by Mr White, State President RESOLVED: That costings be investigated with a view to awarding a substitute prize to either Darwin or Singapore for last year s winner who is physically unable to travel to Kokoda.
