2 Agenda Notes: Call to Order and Roll Call 1. Consider Minutes for January 10, 2017, Meeting 2. Consider Agreement with Lyft, Inc. for the operation of a transportation network company (TNC) at the Airport. (Kevin) This operating agreement authorizes Lyft, Inc. to operate a transportation network company (TNC) at the Airport. The network provided by Lyft, Inc. will be used by independent contract drivers to connect passengers with pre-arranged commercial ground transportation services. This agreement establishes an Authority approved geo-fence in the operator s mobile app to track vehicle activity for reporting purposes. The operator must comply with Authority Rules & Regulations. Staff Recommendation: Approve the agreement with Lyft, Inc. for the operation of a transportation network company (TNC) at the Airport. 3. Consider Contract for Airport Parking Revenue Control Management System Support Services with Baker Group (Bryan) This contract provides for secondary support and maintenance services in connection with the Airport s parking revenue control management system, SkiData. The current contract for these services terminated February 1, This is a sole source contract in the amount of $45, for the first year, with annual adjustments based on the Employment Cost Index in subsequent years. It is a three-year agreement and is included in the 2017 budget. Staff Recommendation: Approve the contract for Airport Parking Revenue Control Management System Support Services with Baker Group. 4. Consider a lease amendment to Real Estate Lease and Asset Transfer agreement (Bryan) On August 9, 2016, the Airport Authority Board approved the sale of property, Tract 8C, Parcel A, No. 120/ to Glen and April Brown. Consequently, there is a reduction of 2.31 acres in the Real Estate Lease between the Des Moines Airport Authority and the City of Des Moines requiring an amendment to the lease. Staff recommendation: Approve the lease amendment to Real Estate Lease and Asset Transfer agreement between City of Des Moines and Des Moines Airport Authority for the approved sale of Tract No. 8C by the Des Moines City Council. 2

3 5. Consider contract with GCR, Inc. for providing and implementing Safety Management System and Airport Operations Management Software. (Kevin) This contract will provide professional services for providing and implementing Safety Management System (SMS) and Airport Operations Management Software that will support compliance with FAA regulations, International Civil Aviation Organization (ICAO) standards and industry best practices. Airport staff solicited qualified consultants through a Request for Proposal (RFP) process. GCR, Inc. was ranked the highest by Airport staff. The cost of software implementation and first year warranty support is $245,580. Warranty and maintenance cost for years 2-5 will be included in the respective operating budget: Year 2: $16,000 Year 3: $16,800 Year 4: $17,640 Year 5: $18,522 Note: This software project is one component of SMS implementation which began in 2016 and was estimated to cost $525,000 in total. With this contract, the total cost of implementing SMS will be less than $539, which is funded through PFCs. Staff Recommendation: Approve a contract with GCR, Inc in the amount of $245,580 for the project and authorize the Director of Operations to accept and close out this contract when completed in accordance with the contract documents. 6. Consider a Farm Lease with MLF Farms for approximately 852 acres of agricultural land. (Brian and Kevin) Approximately 852 acres of Airport property remains in agricultural production. The property was let for bid three years ago with the highest bidder being MLF Farms. The rental agreement was set to expire and rental rates have decreased dramatically since that time. In addition, the Airport worked with Iowa State University (ISU) to develop plans that would minimize wildlife attractants and agricultural runoff, but maximize revenue per acre giving those two restrictions. Staff has negotiated a new contract with MLF Farms that implements the agricultural plan developed by ISU and sets rental rates at the average rental rates in Polk County, Iowa, as published by ISU annually. Staff Recommendation: Approve a Farm Lease with MLF Farms for approximately 852 acres of agricultural property in the amount of $118, for the 2017 production year. 7. Consider Task Order 33 with Foth Infrastructure & Environment, LLC for site development planning of the south quadrant of the Airport. (Bryan) To prepare for Terminal Project enabling projects on the south side of the Airport, in depth site development planning will be necessary. Identifying current utility locations and siting future utilities, siting storm water detention, detailing site topography 3

4 requirements and layouts of future FBO apron, hangars, corporate hangars & associated apron, phasing, stakeholder meetings, street naming and addressing, and updating cost estimates for enabling projects will be necessary. We currently have only a site plan which must be refined to allow for orderly development of the South Quadrant. The cost of this site development planning is included in the total $500 million estimate for the terminal project. Staff Recommendation: Approve Task Order No. 33 for South Quadrant Development Planning with Foth Infrastructure & Environment, LLC for $246, Consider the Iowa Department of Transportation (IDOT) State Vertical Infrastructure Grant Application for FY 2018 (Bryan) The level of eligibility for Commercial Service Vertical Infrastructure Grant monies is based on the annual number of enplanements at commercial service airports. Currently, Des Moines Airport is eligible for an estimated $579, annually. The grant application provides partial funding for a future fixed base operator (FBO) facility and/or General Aviation Hangar facilities. Staff Recommendation: Approve the IDOT Vertical Infrastructure Grant Application for FY Allow the Executive Director to sign grant application once received from IDOT. 9. Consider Supplement Number 7 to the Agreement Between the City of Des Moines and the Des Moines Airport Authority for the Provision of City Services (Kevin) The current agreement between the City of Des Moines and the Des Moines Airport Authority for the Provision of City Services had a termination date of October 31, The Airport Authority Board approved an amendment on October 11, 2016, extending the termination date to November 30, 2016, allowing Airport staff and City of Des Moines staff additional time to complete negotiations on a new agreement. Des Moines City Manager and Airport Executive Director, Scott Sanders and Kevin Foley, did meet and agreed to changes for a new agreement. However, the new services agreement was not completed by the November 8, 2016, Airport Board meeting and a fourth amendment was approved extending the termination date to December 31, In the December, 2016, Board meeting a fifth amendment was approved extending the termination date to January 31, In the January Board meeting a sixth amendment was approved extending the termination date to February 28, There has been no formal reply to the Airport Authority s draft proposed Services Agreement and in a February 2, 2017, meeting with City of Des Moines staff another extension was requested. Staff Recommendation: Approve Supplement Number 7 to the agreement between the City of Des Moines and the Des Moines Airport Authority for the Provision of City Services, extending the termination date to May 31, Financial Report (Brian) 11.
