7 TERMS OF SALE These general terms of sale apply to services provided by Aéroports de Lyon S.A. and prevail over any other document emanating from the user. The prices applicable to services provided by Aéroports de Lyon S.A. are the subject of a guide to Lyon-Saint Exupéry and Lyon-Bron charges, a guide to the prices applied by the Business Centre and a guide applicable to users of the Privilys card; these are attached as appendices to these general terms of sale. Please download the airport fees at the following address: Fees and payments are due to Aéroports de Lyon S.A. further to the sole use of its services or the sole occupation of its facilities, sites, premises, Business Centre, car parks and grounds, properties of Aéroports de Lyon S.A. The general terms of sale apply separately to users of the airports (I) and users of the car parks (II). Down payments and deposits are not discounted by La société Aéroports de Lyon S.A. and do not bear interest. 2 SPECIAL PROVISIONS: FULL PAYMENT Users of the Lyon-Bron airport based at, or with premises at the airport or subscribed to store their aircraft shall be invoiced periodically. For other users, aviation fees shall be invoiced for each movement and must be paid before take-off. In the event of nonpayment, the invoice shall be sent to the user at the end of the month, increased by a fixed sum for «invoicing fees» of 10 excl. tax. This flat-rate sum does not provide an exemption for the recovery costs or disputes provided for in the chapter «procedure in the event of delay or non-payment.» Users of the Lyon-Bron airport shall pay in full fees and prices relating to aircraft not based at Bron. For any non-regular air carrier or charter company: prepayment based on a pro forma invoice is required and shall be adjusted on the next invoice. For users in insolvency proceedings, full payment is required. Aéroports de Lyon S.A. reserve the possibility to demand, in the event of late payment, full payment for all new services until debts have been settled in full. Aéroports de Lyon S.A. reserve the possibility to demand full payment for all services for any new user for a six-month trial period. Business Centre services beneth a minimum amount set in the price guide shall be settled in full. 7

8 TERMS OF SALE PROCEDURE IN THE EVENT OF DELAY OR NON-PAYMENT 1 GENERAL PROVISIONS Reminders: Any invoice issued by Aéroports de Lyon S.A. and unpaid at the due date shall generate the sending of a reminder letter. Penalties for delay: In the event of delay or non-payment, late penalties shall be payable as from the day following the date of payment appearing on the invoice, at a rate of 3 times the official legal interest rate and without the need for any reminder (Art. L441-6, French Commercial Code [Code de Commerce]). Recovery costs: a flat-rate benefit for recovery costs is due in the event of late payment and goes up to 40 per invoice (as per Decree no of 2 October 2012). If the actual recovery costs incurred are higher, supplementary compensation may be requested. Disputes: In the event of non-payment within the time limit and after sending a recorded delivery letter, the matter will be referred to the litigation department, recovery fees and late penalties being at the expense of the client. Independently of the recovery fees and late penalties stipulated above, referral of an unpaid invoice to the litigation department may involve the application of special measures, and particularly the cancellation, as a penalty, of the agreements and authorizations from which the debtor benefits. 2 SPECIAL PROVISIONS: FULL PAYMENT Provisional seizure of aircraft: For airport fees due from airline companies: implementation of the procedure stipulated in article L123-4 of the French Civil Aviation Code (code de l aviation civile): in the event of non-payment or incomplete payment of airport fees, road charges, fees for terminal air traffic services or administrative fines imposed by the Controlling authority for airport noise pollution, the airport operator or appropriate administrative authority of the State may, after issue of a formal notice to regularise the situation, request the provisional seizure of an aircraft operated by the debtor or belonging thereto from the judge in the location where the measure is to be executed. The judge s execution order shall be transmitted to the authorities responsible for air traffic at the airport in order to immobilise the aircraft. The order shall be notified to the debtor and to the owner of the aircraft when the debtor is its operator. The costs involved in the provisional seizure shall be at the expense of the debtor. Payment of the sums due shall result in the lifting of the provisional seizure. Revocation of occupation agreement: For state fees (fixed portion and variable portion) and rental charges payable by occupants: application of article 27 of the General Terms and Conditions for Authorisation of Occupation: revocation of the agreement shall occur after a formal notice to comply by recorded delivery letter has remained without effect within the time allowed, which, except in emergency, shall be not less than 15 days. It shall be effected by decision of Aéroports de Lyon S.A. without the need for any formality before the courts and shall take full effect as of the date this decision is notified by recorded delivery letter. PAYMENT GUARANTEES 1 GENERAL PROVISIONS All users shall be obliged to provide sufficient guarantees. These shall correspond either to deposits, the presentation of a first demand guarantee or a bank guarantee. The guarantees provided may be called upon and deposits called in on formal notice to comply by recorded delivery letter. Aéroports de Lyon S.A. reserves the right to require the provision of financial statements for the last three complete financial years. 2 SPECIAL PROVISIONS AIRPORT FEES Regular air carrier, provider of stopover assistance services. - Regular air carrier of the airport and provider of assistance services with an airfield occupation agreement: one month s estimated airport fees in the form of a first demand bank guarantee or security deposit. Such deposit or guarantee may be restored at the end of a three-year period on presentation of the last three profitable operating results. - Regular air carrier of the airport and provider of assistance services without an airfield occupation agreement: two months estimated airport fees in the form of a first demand bank guarantee or security deposit. ESTATE FEES Occupants and users of public areas. - Fixed portion of estate fees: guarantee equal to 3 months minimum of occupation fees in the form of an updatable security deposit, a first demand guarantee or a bank guarantee. - Variable portion of estate fees: guarantee equal to 3 months minimum of variable fees in the form of an updatable security deposit, a first demand guarantee or a security estimated upon the signing of the agreement and revisable during the agreement. USERS IN INSOLVENCY PROCEEDINGS OR OVER THREE MONTHS LATE IN PAYMENT 8 - Guarantee equal to 3 months of fees in the form of a security deposit that may be updated annually.

9 INCENTIVE PRICING - REDUCTIONS No reductions, rebates or discounts shall apply other than those stipulated on the price list. PRICE MODIFICATIONS Prices are subject to revisions; any modifications shall be displayed pursuant to the regulations. CLAIMS 1 GENERAL PROVISIONS Claims shall not cause any suspension of payment. They must be addressed in writing by recorded delivery letter with acknowledgment of receipt for the attention of the invoicing department of Aéroports de Lyon S.A. The claimant should lodge its claim before the invoice concerned falls due. For Lyon Saint Exupéry airport: Aéroports de Lyon S.A. Service Facturation Aéroport de Bron BRON FRANCE All claims shall include: the number of the invoice concerned the date and number of the flight (where appropriate) the service(s) in dispute In respect of airport fees, the user shall inform Aéroports de Lyon S.A. of any modification made to its fleet in respect of any aircraft using or that may use the Aéroports de Lyon S.A., at the risk of being invoiced for services at erroneous rates. In such a case, the claimant shall not be able to avail itself of adjustment to invoices already issued. Modifications shall be effective only as from the date the airworthiness certificate is received. 2 SPECIAL PROVISIONS Fixed and variable state fees: claims to be addressed to: Aéroports de Lyon S.A. CDR Commerces et Immobilier BP Lyon-Saint Exupéry Aéroport France Any disputes concerning the number or prices of the Business Centre s various services must be made on the same day in the lobby of the ARC building. APPLICABLE LAW - SETTLEMENT OF DISPUTES Any issue relating to the general terms of sale and to sales or provisions of service governed by these general terms of sale shall be subject to French law, to the exclusion of any other. Only the French version of these general terms of sale is legally binding in the event of a dispute. Any dispute concerning the interpretation or execution of these general terms of sale or the sales and services governed hereby shall fall within the jurisdiction of the administrative courts of Lyon. 9

11 AVIATION FEES, CHARGES AND TAXES (EXCL.VAT) LANDING FEES AND CHARGES Landing fees and charges are charged to any aircraft landing at airports open to public air traffic. Fees are calculated based on the maximum take-off weight shown on the Airworthiness Certificate, rounded up to the nearest metric ton. The basic airport landing fee is multiplied by a coefficient, specified below, which is calculated for the acoustic group of the aircraft and landing time. Acoustic groups are defined by the French decree issued on 26 February If an aircraft group is not declared, the fee will be invoiced at the highest coefficient, i.e. Group 1. Government aircraft on technical missions as ordered by the Minister responsible for Civil Aviation. Aircraft forced to return to the airport due to technical incidents or poor weather conditions. SPECIAL RATES The helicopters benefit a reduction of 50%. Landing fees for aircraft on Go Around training are reduced by 75 %. Landing fees for aircraft on Touch & Go training are reduced by 50 %. LANDING FEES AND CHARGES Landing fees are charged to any aircraft landing at airports open to public air traffic. Fees are calculated based on the maximum take-off weight shown on the Airworthiness Certificate, rounded up to the nearest metric ton. This fee is payable for aircraft over 6 tonnes as well as for aircraft under 6 tonnes that are not eligible for the flat-rate fee. 12 AVIATION FEES, CHARGES AND TAXES (EXCL.VAT) FLATE RATE FEES These fees are for aircraft landing and parking with a maximum take-off weight below 6 metric tons, helicopters and flying clubs without subscription. This fee includes terminal services (pilot desk, met report computer) and a shuttle courtesy service for a 5 km radius travel subject to availability. Ground lighting may be lit at night, or if visibility is bad, or as requested by the aircraft Captain, either for safety reasons or as ordered by the authority responsible for the operating of ground lighting. Unit price per operation PARKING FEES Parking fees are paid by all aircraft parking on parking or terminal aprons. They are calculated per metric ton and per hour based on the maximum take-off weight shown on the aircraft Certificate of Airworthiness. Every hour started must be paid for. On parking aprons, the first hour of parking is free of charge. PASSENGERS FEES This fee is paid for the use of the structures and general facilities used for the boarding, landing and reception of passengers using all terminals. The fee is paid for every passenger departing aboard an aircraft operated for commercial purposes and on aircraft with a maximum take-off weight of, or exceeding 6 metric tons that is not used for commercial purposes. 12

13 Passenger fee is waived for: Aircraft crew members, Passengers in direct transit making a stop en route at the airport, disembarking and departing with the same aircraft and flight number, Passengers on aircraft making technical stop, Passengers on aircraft forced to return to the airport due to technical incidents or poor weather conditions, Children under two. (2) Non Schengen passengers : Bulgaria, Cyprus, Ireland, Romania, United Kindom. FUEL TAX This tax is calculated based on the amount of aircraft fuel, excluding lubricants, sold and supplied by the distributor from permanent installations located at the airport. TAX PER 100 LITRES AvGas Jet Fuel EXTENSIONS AIR TERMINAL EXTENSION This fee offers an air terminal extension beyond the published schedules. Tariff rebates for flights with an FBO handling subscription. Premises are provided with normal connections: electricity, telephone and heating. Occupants pay for any modifications made to partition walls and connections. Aéroports de Lyon S.A. revise occupancy charges every year. Occupancy charges are invoiced three months in advance. VAT) ACCESS CONTROL TO RESTRICTED AREA All personnel required to perform professional activities in Aéroports de Lyon S.A. restricted areas absolutely must be in possession of a pass (access badge). All applications for access badges will automatically be invoiced. GENERAL PROCEDURE For users with premises in the airport, access badges are invoiced at the end of every month and payable on receipt of the invoice. For other users, immediate payment by cheque is required. The corresponding cheque must be encloses in all badge or vehicle sticker request file submissions. Access badge Vehicule sticker 8.29 This rates applies to the current training module which may be modified with a possible impact on pricing. THE PRESTIGE LOUNGE Rates effective as of 1 September 2015 Access to the Prestige lounge for business aviation is free. Lounge rental possible. Per hour Half day Per day Heating and air conditioning are invoiced per occupied square metre, according to expenses incurred over the year in the relevant building. Different rates for heating and air conditioning have been established for each: Building Type of service supplied The invoicing procedure will be as follows, based on the calendar year: Two instalments in March and September 2015, each at 25% of the estimated amount of total 2014 fees. - In December of 2015, the outstanding effective balance will be invoiced. This statement as well as the flight plans transmitted by the companies will supplement the preparation flight folder. (3) Temsi charts, win temp charts (FL50 to FL 410). 23 PACKAGES RATES Rates effective as of 1 January 2015 Rates are calculated from the maximum take-off weight shown on the Airworthiness Certificate, rounded up to the nearest metric ton above. Cat. Handling Operations programmed or carried out from 22h30 to 06h30 (local time) and on Sunday and holidays, will be extra charged 50 %. 50 % increase for flights subject to a Security Check as per General Application Rules 50 % of the selected fixed price will be Invoice in the event of handling request not cancelled by the customer. 100 % catering will be invoiced in case of cancellation bellow 12h before schedule time.
