On March 10, 2016, the Bankruptcy Court entered the Order (I) Establishing Sale Procedures, (II) Scheduling an Auction and a Sale Hearing in Connection with the Sale of Substantially All of Debtors Assets Pursuant to 11 U.S.C. 105, 363 And 365, (III) Setting Certain Dates and Deadlines in Connection Therewith, (IV) Approving the Form of the Purchase and Sale Agreement, Including the Termination Fee, and (V) Granting Related Relief ( Sale Procedures Order, Doc. No. 235). Pursuant to paragraph 9(a) of the Sale Procedures Order, the Debtors filed a schedule identifying executory contracts and unexpired leases that potentially might be assumed and assigned, along with the amount the Debtors believed was necessary to cure each contract and lease where necessary (the Cure Schedule, Doc. No. 238). A buyer for the Debtors assets (the Buyer ) has been identified in accordance with the Sales Procedure Order. On May 18, 2016, the Bankruptcy Court entered the Order Approving Sale of Assets Pursuant to 11 U.S.C. 363 ( Sale Order, Doc. No. 405), approving the sale of the Debtors assets to the Buyer. As part of this process, the Buyer has the right to designate which executory contracts and unexpired leases it wishes to have the Debtors cure, assume, and assign to the Buyer. On May 27, 2016, pursuant to paragraph 9(e) of the Sale Procedures Order and recital M of the Sale Order, the Buyer filed a second amended Cure Schedule ( Amended Cure Schedule, Doc. No. 430). The Amended Cure Schedule lists the contracts and leases the Buyer wishes to have cured, assumed, and assigned to it. The contracts and leases shown on Exhibit A to this letter were on the original Cure Schedule but do not appear on the Amended Cure Schedule upon the Buyer s directions and thus will not be assumed and assigned. 1 The Debtors are Great Lakes Comnet, Inc.
