Case No (JTG) (Jointly Administered) / Honorable John T. Gregg DEBTORS MOTION TO REJECT EXECUTORY CONTRACTS Great Lakes Comnet, Inc. ( GLC ) and Comlink, L.L.C. ( Comlink ; and collectively with GLC, the Debtors ), by and through their counsel, Miller, Canfield, Paddock and Stone, P.L.C., each moves this Court for entry of an order, in the form attached as Exhibit A, approving the Debtors rejection of the executory contracts listed on Exhibit D ( Motion ). In support of their Motion, the Debtors respectfully state as follows. GENERAL BACKGROUND AND JURISDICTION 1. On January 25, 2016 (the Petition Date ), the Debtors filed voluntary petitions for relief under chapter 11 of the Bankruptcy Code, 11 U.S.C. 101, et seq. (the Bankruptcy Code ). The Debtors continue in possession of their property and operate and manage their businesses pursuant to 1107 and 1108 of the Bankruptcy Code. An Official Committee of Unsecured Creditors was appointed on January 29, (Doc. No. 68.) 2. This Court has jurisdiction over this matter pursuant to 28 U.S.C. 157 and Venue of this case and this Motion in this District is proper pursuant to 28 U.S.C and This is a core proceeding pursuant to 28 U.S.C. 157(b)(A). 3. The Debtors moved to sell substantially all of their assets to a stalking horse bidder. The Court approved the sale, and the sale closed on June 1, (Notice of Sale Closing of Substantially All of Debtors Assets, Doc. No. 446.) 1 The Debtors are Great Lakes Comnet, Inc. 2 Case: jtg Doc #:586 Filed: 10/14/16 Page 2 of As part of the sale process, many of the Debtors contracts were assumed and assigned to the purchaser of the Debtors assets. The sale rendered most of the remaining contracts superfluous. For this reason, the Debtors have filed their Motion. ARGUMENT 5. A debtor in possession may reject contracts with court permission. 11 U.S.C. 365(a) ( Except as provided in sections 765 and 766 of this title and in subsections (b), (c), and (d) of this section, the trustee, subject to the court s approval, may assume or reject any executory contract or unexpired lease of the debtor. ). Chapter 11 debtors in possession have until confirmation of a plan to do so. 11 U.S.C. 365(d)(2). 6. The first step in determining whether a particular contract may be rejected is to determine whether it is an executory contract. The Sixth Circuit has explained the criteria for this determination. The definition of executory contract, proposed by Professor V. Countryman in Executory Contracts in Bankruptcy, Part I, 57 Minn. L.Rev. 439, 460, is a contract under which the obligation of both the bankrupt and the other party to the contract are so far unperformed that the failure of either to complete performance would constitute a material breach excusing the performance of the other. This definition was found by this court to be helpful but not controlling in the resolution of what is an executory contract. In re Jolly, 574 F.2d 349 (6th Cir. 1978). Rather, this court suggested that in determining whether the contract is executory, we should work backward from an examination of the purposes to be accomplished by rejection and, if they have already been accomplished, then the contract cannot be said to be executory. Reiser v. Dayton Country Club Co. (In re Magness), 972 F.2d 689, 693 (6th Cir. 1992). For the most part, they are generally agreements where performance remains due to some extent on both sides. In re FKA FC, LLC, 545 B.R. 567, 573 (Bankr. W.D. Mich. 2016). 7. Once a contract has been determined to be executory and a debtor moves to reject it, a court will approve the decision unless the counterparty objects and proves that rejection is \

3 Case: jtg Doc #:586 Filed: 10/14/16 Page 3 of 15 not a reasonable exercise of the debtor s business judgment. Cadillac Vending Co. v. Haynes (In re Haynes), 19 B.R. 849, 852 (Bankr. E.D. Mich. 1982) ( A debtor or trustee may reject an unfavorable contract under section 365(a) on no other grounds than that to do so is a reasonable exercise of its business judgment. ) (citation omitted). 8. The Debtors have reviewed the contracts on the attached Exhibit D and have concluded that they no longer benefit the estate now that the Debtors have completed the sale of substantially all of their assets. CONCLUSION WHEREFORE, GLC respectfully asks the Court to authorize it to reject the contracts listed on Exhibit D by entering the order attached as Exhibit A.
