Air India make no representation or warranty and shall have no liability to any person, including any applicant or bidder under any law, statute, rules or regulations or tort, principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or be incurred or suffered on account of anything contained in this RFQ or otherwise, including the accuracy, adequacy, correctness, completeness or reliability of the RFQ and any assessment, assumption, statement or information contained therein or deemed to form part of this RFQ or arising in any way in the RFQ process. Air India also accepts no liability of any nature whether resulting from negligence or otherwise howsoever caused arising from reliance of any applicant or bidder upon the statements contained in this RFQ. Air India Ltd. invites quotations from Advertising Companies under Two Bid Systems (Technical Bid & Commercial Bid) for the printing & supply of Cabin/Hand Baggage Tags with third party advertisement rights on reverse side of Air India Cabin/Hand Baggage Tags, complying with mandatory detailed specifications at Annexure II. The expected total quantity of such Air India cabin/hand baggage tags are Qty. 60 Lakhs, but there is no minimum guarantee for this volume, as such periodic quantity can be varied during the term as per the requirements of Air India. Selected party will enter into a contract for one year agreed terms & conditions as per the following annexure and terms and conditions: S. Price/Commercial bid format VII Submission of Bids: Sealed/closed Bids are to be submitted in a Two-Bid system (Technical Bid and Commercial Bid) in separate envelopes as detailed below: 1. SEALED / CLOSED ENVELOPE I (TECHNICAL BID) : The Envelope to be superscribed with TECHNICAL BID for RFQ No. RO/MM/18/CABIN TAGS/ENQ-001 (TECHNICAL BID), due to be opened on at at 1500 hrs. IST. 2. SEALED / CLOSED ENVELOPE II (COMMERCIAL BID): The Envelope to be super scribed with COMMERCIAL BID for RFQ No. RO/MM/18/CABIN TAGS/ENQ-001 (COMMERCIAL BID), and must contain Commercial \ Offer as per Annexure VII.The Commercial Bid Must be submitted in a hard copy duly signed/ stamped. 3. MASTER ENVELOPE: THE TWO SEPARATELY SEALED/CLOSED ENVELOPES (i.e. ONE CONTAINING THE TECHNICAL BID, AND THE OTHER CONTAINING THE COMMERCIAL BID) SHOULD BE FURTHER PUT IN A MASTER ENVELOPE SUPERSCRIBED WITH Name of Principal bidder, RFQ No. RO/MM/18/CABIN TAGS/ENQ-001 DUE on at 1500 hrs. The Commercial Bids of only those bidders, who qualify in the Technical Bid evaluation, would be opened at a later date, which would be notified in advance to the successful bidders. The bidder or their authorized representatives would be permitted to attend the opening of the RFQ. Such authorized representatives must carry a letter of authority in the format given at Annexure VI authorizing them to attend the bid opening, failing which they will not be permitted to participate in this process. TERMS & CONDITIONS OF THE RFQ 1. GENERAL TERMS 1.1 Air India RFQ in TWO BID for printing with third party advertisement rights on reverse side of Air India Cabin/Hand Baggage Tags & supply of Cabin/Hand Baggage Tags with the bidder bearing all (direct and indirect) costs towards arranging advertisements, printing and supply of Air India Cabin/Hand Baggage Tags as per AI specifications and requirements 1.2 Bids received after closing date & time will not be considered. 1.3 In case the Commercial Bid and the Technical Bid are enclosed in the same envelope in an open condition instead of in two separate sealed / closed envelopes, such Bids will be rejected. 1.4 The Bids should be neatly presented. Corrections, if any, should be duly authenticated with full signature of the person who has signed the Bids, failing which such Bids are liable to be rejected. 1.5 In the event of default in supply, AI reserves the right to cancel the order and to claim damages from the successful bidder, and also reserves the right to award the contract to another vendor at the cost and risk of the successful bidder. 1.6 The Technical Bid should not contain any indication of the price. In case any indication of the price quoted is included in the Technical Bid, such Bids will be rejected without any reference to the bidder. No correspondence will be entertained in this regard. 1.7 Amendments and clarifications, if any, to this RFQ will be hosted on the website of AI at and AI will not intimate the bidder individually of the same. The bidders are, therefore, advised to visit the AI website regularly till the date of closing of the RFQ. The last amendment, if any, will be hosted a minimum of seven days before the closing date of the RFQ. 2. EARNEST MONEY DEPOSIT (EMD): Page 3 of 18

4 2.1 EMD amount Rs.35,000 /- (Rupees Thirty Five Thousand) EMD by way of Demand Draft / Pay Order / Banker's Cheque in favour of Air India Limited, payable at Delhi should be submitted along with the Technical Bid. Foreign bidder may submit equivalent amount in foreign currency. Payment can be made through RTGS as per following details: Name : Air India Limited Bank : State Bank of India Branch : Sansad Marg, New Delhi, India Account No.: IFSC : SBIN Proof of RTGS should be submitted alongwith Technical Bid. 2.2 No other mode of payment other than what is specified above is acceptable. 2.3 EMD will not carry any interest. 2.4 EMD in case of unsuccessful bidders will be refunded within 45 days of award of contract to the successful bidder. 2.5 EMD of the successful bidders will be returned without any interest, after receipt of Security Deposit or Bank Guarantee in lieu thereof, as detailed under point 3 below. 2.6 EMD will be forfeited in the event of a bidders withdrawing or modifying his bid after opening of the RFQ and till completion of the RFQ process, and / or in the event of the successful bidder declining to accept the Contract, or to pay the Security Deposit. 2.7 The Technical Bid would be rejected if it has been received without EMD, or proof of submission / details thereof (in the case of EMD remitted through Wire Transfer), or the EMD has been submitted in a mode other than as specified above, or a valid proof Exemption from submission of EMD has not been provided. 3. SECURITY DEPOSIT: 3.1 The bidders who qualifies for award of contract will have to deposit with Air India 5% of the total Royalty amount, payable to Air India as interest free Security Deposit, within 2 weeks of receipt of the Contract. The Security Deposit is to be paid by a Wire Transfer, Bank Draft or Banker s Cheque in favour of the Air India Ltd., New Delhi or by way of execution of a Bank Guarantee for an equivalent amount. In case of submission of Security Deposit by Bank Guarantee, it may please be noted that the original Bank Guarantee has to be forwarded by the Bank directly to AI through registered AD as per the detailed procedure, which will be advised to the Successful bidder. The expenses incurred towards submission of Security Deposit / Bank Guarantee will have to be borne by the bidder. 3.2 The Security Deposit / Bank Guarantee will be refunded / returned after two Page 4 of 18

5 months of successful completion of deliveries against the Contract after adjusting for penalties, if any, that may be imposed under the terms of the Contract. 3.3 The SD/BG would be invokable upon notice of 15 days to the awarded bidder, fully or partially for delays/defaults/shortfall in royalty payments to enable Air India to recoup such delinquencies/non-compliances of bidder. In the event of such SD/BG adjusted towards AI recoverable, selected party would have to be ensuring that the SD/BG is immediately restored to its full value as at the start of the contract as per the requirements of the contract. 4. BENEFIT TO MICRO AND SMALL ENTERPRISES (MSEs): 4.1 As per Public Procurement Policy for Micro and Small Enterprises (MSEs) Order, 2012 issued vide Gazette Notification No. 503 dated by Ministry of Micro, Small and Medium Enterprise of Govt. of India, MSEs must be registered with any of the following in order to avail the benefits/preference available vide Public Procurement Policy MSEs Order, i) District Industries Centres (DIC) ii) Khadi and Village Industries Commission (KVIC) iii) Khadi and Village Industries Board iv) Coir Board v) National Small Industries Corporation (NSIC) vi) Directorate of Handicraft and Handloom vii) Any other body specified by Ministry of MSME 4.2 MSEs participating in the RFQ must submit the certificate of registration with any one of the above agencies indicating the details of the particular RFQ item along with their bid. 4.3 The MSEs registered with District Industries Centres must submit the Acknowledgement of Entrepreneur Memorandum (EM) Part-II along with their bid. The MSEs registered with National Small Industries Corporation (NSIC) must submit the valid NSIC registration certificate along with their bid. 4.4 The Micro and Small Enterprises not registered for the particular trade/item for which the RFQ is relevant, would not be eligible for exemption/preference. 4.5 The registration certificate issued from any one of the above agencies must be valid as on close date of the RFQ. The successful bidder should ensure that the same is valid till the end of the contract period. 4.6 The MSEs, who have applied for registration or renewal of registration with any of the above agencies/bodies, but have not obtained the valid certificate as on close date of the RFQ, are not eligible for exemption/preference. 4.7 Exemption from submission of Earnest Money Deposit (EMD) - The MSEs registered with above mentioned agencies/bodies are exempted from payment of Earnest Money Deposit (EMD). 4.8 Price Preference The MSEs registered with above mentioned agencies/bodies for the RFQ item and quoting price within a price band of Page 5 of 18

6 H1+15 percent shall be allowed to supply a portion of requirement by bringing down their price to H1 price in a situation where H1 price is from other than a MSE and such MSE shall be allowed to supply upto 20 percent of total RFQ quantity. In case of more than one such MSEs are in the price band of H1+15% and matches the H1 price, the supply shall be shared proportionately (to RFQ quantity). 4.9 Preference for MSEs owned by Scheduled Castes or Scheduled Tribes 20% from the 20% quantity (i.e. 4% of the RFQ quantity) offered to the MSE s shall be reserved for MSE s owned by SC/STs. In event of failure of such MSE to participate in RFQ process or meet RFQ requirements and H1price, 4 percent quantity for MSEs owned by SC/ST entrepreneurs shall be met from other MSEs. 5. PRINTING & SUPPLY COSTS, INVOICING AND PAYMENT TERMS: All costs shall be borne by the bidder towards printing of Cabin/Hand Baggage Tags as per Air India specifications and design, arranging advertisers and printing of such advertisement material on the reverse of the Air India Cabin/Hand Baggage Tags, packing, shipping, supply and delivering the ordered Air India Cabin/Hand Baggage Tags as per the quantities and unto quality standards and specifications of such Air India Cabin/Hand Baggage Tags as advised by Air India at Annexure-II or such other specifications as may be advised by Air India from time to time in this regard. Selected bidder upon award would have to advise on monthly basis nos. of actually printed Air India Cabin/Hand Baggage Tags with the advertisers details to CC/MMD with the quantities delivered to the Air India designated locations/stations and arrange to provide such details with delivery Challans acknowledging receipt by Air India officials of the delivered Cabin/Hand Baggage Tags quantities. Such details to be provided on or before 5 th of the next month in respect of the supplies delivered for the previous month. Such information and details have to be provided to Air India - Finance, Stores Accounts Department. Based on such details, Air India would prepare a Invoice which would have the adequate relevant details for the contemplated transactions. The value for the purpose of invoicing would be divided by 12 months to arrive at average monthly billing rate as agreed with the selected bidder after financial bid evaluation of the H-1 offer upon which the applicable GST would be added for settlement and payment by the selected bidder. Payments to Air India towards the Royalty amount will have to be made by way of Demand Draft / Banker s Cheque/RTGS only. For the entire term of the contract all payments as invoiced by Air India would be made unconditionally and regularly on 7 th of the next month with respect to the previously completed month. The royalty amounts should be remitted to Air India without applying deductions (other than applicable tax deduction at source when AI does not provide TDS exemption certificate). The first two months Royalty payments will have to be made in advance within 15 Page 6 of 18

7 days from the date of issue of PO/LOI. For subsequent month royalty payment will be made by 7 th of every month in advance. Delay in such payment amounts for which no grace period for delayed payment is allowed will require the selected bidder to pay 18% p.a. on the delay/default amount from the due date till the date of receipt of payment. 6. RELEASE OF CONTRACT. Contract will be valid for supply of Cabin/Hand Baggage Tags for requirement and will be finalized from the office of ED (MM), Air India Ltd, New Delhi. 7. PRICE NEGOTIATION: As it is not the general norm for AI to carry out price negotiations following evaluation of the Commercial Bids, the bidders are advised to submit their best quotes in response to this RFQ. AI however, reserves the right to carry out negotiations in exceptional cases with the bidder who has been evaluated by AI as having offered the highest revenue for AI in response to the RFQ. 8. VALIDITY OF PRICES: 8.1 Quotations should be valid for a period of 180 days from the closing date for submission of bids. 8.2 The price offered should remain firm till completion of the contract. No request for decrease in price shall be entertained during this period. 9. DOCUMENTATION: All relevant documents required are to be submitted by the successful bidder at their own cost. 10. SUBMISSION OF SAMPLES & EVALUATION OF SAMPLES SUBMITTED ALONG WITH THE RFQ The bidders are required to submit samples along with the RFQ, samples of similar printing jobs being carried out in the past. The quality & material of the samples need not be exactly as per the Technical specifications given in Annexure II of the RFQ. The sample is required to see the workmanship, feel and finish. It is to be noted that all costs incurred in the preparation and submission of the RFQ including any development, recurring and non-recurring costs related to production of the samples and the cost of shipment of samples to AIR INDIA LIMITED for submission along with the Technical Bid are to be borne by the bidder. 11. SUBMISSION & ACCEPTANCE OF PRODUCTION SAMPLE AND DELIVERY 11.1 Bulk production should be undertaken only after the production sample, complying with the RFQ specifications, has been approved by AIR INDIA LIMITED The first lot should reach after approval of sample/proof to all Air India metro stations within 15 days. Subsequently delivery would have to be made on monthly basis by Page 7 of 18

8 5 th of every month to all metro stations directly i.e. Delhi / Mumbai / Chennai / Kolkata / Hyderabad / Bangalore after receipt of matter/approval from AIR INDIA LIMITED Successful bidder has to ensure the supplies are made every month irrespective of availability of advertisement matter The quantity for each subsequent lot, as mentioned above may increase or decrease depending upon the actual consumption and the delivery schedule will be staggered accordingly during the pendency of the contract. 12. QUALITY INSPECTION & REJECTION AFTER RELEASE OF CONTRACT 12.1 Advertisements not meeting the specifications, or deficient in any other respect, shall be rejected at the time of inspection and returned to the bidder at his cost. If the supplied lot is rejected due to poor quality/any other reason the supplier must supply their fresh material within 15 days of rejection AI also reserves the right to cancel the Contract in case of complaints, if any, received regarding quality, subsequent to receipt of the item against the Contract, which have been established as due to defaults on the part of the bidder. If the party defaults on the payment for two months Air India reserves the rights to cancel the contract. 13. VALIDITY OF THE CONTRACT Selected party will enter into a contract for one year with agreed terms & conditions. 14. SUPPLY WITH REVISED SPECIFICATIONS: If there is change in IATA specifications of Cabin/Hand Baggage Tags the bidder has to agree to supply the Cabin/Hand Baggage Tags with new specifications as approved by IATA during the validity of the contract. 15. EXIT CLAUSE / TERMINATION OF CONTRACT: The Contract may be terminated under the following circumstances: a) In the event of unsatisfactory performance the Contract shall be terminated by Air India with three month's advance notice. b) The successful bidder can also terminate the contract with a 3 months notice after the first six months. However in the first six months the bidder cannot terminate the contract. 16. PENALTY CLAUSE: Liquidated Damages: The RFQ item is required for the purpose of passenger service. Timely delivery is, therefore, the essence of the Purchase Order. In case of delay in delivery, liquidated damages will be charged from the defaulting bidder at the rate of 1/2% (half percent) per week or part thereof of the value of undelivered portion (excluding taxes and delivery charges), subject to a maximum of 10% (ten percent) of the value of the undelivered part. AIR INDIA LIMITED further reserves the right to cancel the Purchase Order in the event of delayed deliveries, and to issue a fresh Purchase Order on any other source at the risk and cost of the bidder who has been awarded the contract. 9 Quality: After the acceptance of delivery, in case of any complaint received from our staff, then AIR INDIA LIMITED reserves the right to deduct the complete cost from Security Deposit & later on vendor has to deposit the deducted amount to Air India and if complaints continue to persist and if there is no remedial action to our satisfaction, then receipts / acceptance of supplies will be stopped forthwith, Contract will be cancelled and penal action will be invoked as per the terms of the Contract. 17. REJECTION OF BIDS (TECHNICAL BID & COMMERCIAL BID The response to the Technical Bid & Commercial Bid will be rejected forthwith without evaluation of the RFQ response on the following grounds: i) If the Technical bid or the Commercial bid has been received after due date and time of closing of the RFQ. ii) iii) iv) If only the Technical bid has been received and commercial bid has not been received, and vice versa. If the Technical bid or the Commercial bid has been received by fax or . If the Technical bid has been received without samples. v) If the Technical bid or the Commercial bid has been received unsigned. vi) vii) If the Commercial bid has been received in an open condition in the master envelope containing the Technical bid or if both the Technical bid & Commercial bid are received in an open condition in a single envelope. If the Technical Bid has been received without EMD, or the EMD has been submitted in a mode other than specified in the RFQ, or a valid proof of exemption from submission of EMD has not been provided. 18. EVALUATION CRITERIA: TECHNICAL BID 18.1 The Technical Bids would be evaluated for their, Compliance to the Technical Requirement of the RFQ as indicated at Annexure I to VI. AI reserves the right at its sole discretion to seek whatever information, documents etc. from the bidder, as it may consider necessary for the purpose of evaluation of the bids COMMERCIAL BID The Commercial Bids of only those bidders who qualify and are short listed on evaluation of their Technical Bids would be opened. The date and time of opening of the Commercial Bids would be intimated in advance to the bidders who have qualified in the Technical Bid evaluation, and their authorized representatives only would be permitted to participate in the opening of the Commercial Bids Commercial Bids should be submitted strictly as per the format given at Annexure VII only. The selection of successful bidder would be based on the bidders qualifying in the Page 9 of 18

10 technical bids and quoting the highest royalty. The net earnings to AIR INDIA will be evaluation criteria for selection of the successful bidder. 19. ARBITRATION: Any dispute arising between the parties in respect of the construction, interpretation, application, meaning, scope, operation or effect of this document or the validity or breach thereof, shall first be settled by mutual consultation. If the dispute remains unresolved after a period of 90 days from the date when the mutual consultation has started, the matter shall be referred for settlement to SCOPE FORUM OF CONCILIATION AND ARBITRATION', Govt. of India, and the award made in pursuance thereof shall be binding on the parties. 20. JURISDICTION Any dispute whatsoever shall be subject to the jurisdiction of the courts of New Delhi, India, only. ************** PRE-QUALIFICATION CRITERIA ANNEXURE I Page 10 of 18

11 Bids of the bidders who fulfill the following pre-qualification requirements, and submit documentary proof thereof along with the technical bid, will only be eligible for evaluation of the technical bids. 1. The bidder should have minimum Two years of experience in advertising Business / Direct Marketing activities. The Agency must also have infrastructure and network for obtaining advertising business. 2. The bidder must have a Permanent Account Number (PAN) or applicable Income Tax registration in the country of registration. A copy of the PAN / registration is to be submitted. 2. The bidder must have a currently valid GST / Sales Tax / VAT / Service Tax Registration Certificate or applicable certification in their country of registration. A copy of the Certificate is to be submitted. 3. Min. average annual Turnover from advertising business of Rs.20 Lakhs in audited accounts of last 3 financial years. 4. Copy of Annual Report / Balance Sheet / Profit & Loss Account of the last three financial years duly certified by a Chartered Accountant, is to be submitted 5. Copies of Income Tax (IT) returns for the last three financial years are to be submitted. 6. A certificate accepting all the terms and conditions unconditionally of the bidder should be submitted on the bidder's letter head in the format as given at Annexure- IV. 7. An Earnest Money Deposit (EMD) of Rs. 35,000/- (Thirty Five Thousand only) must be enclosed along with the technical bid in the form of a Bank Draft / Bankers cheque / RTGS in favour of Air India Ltd, payable at New Delhi. No other mode of EMD will be accepted. In case a bidder is eligible for exemption from the payment of EMD / Security deposit, a copy of valid documentary proof to this effect must be enclosed. ************ ANNEXURE II Page 11 of 18

12 SPECIFICATIONS: HAND / CABIN BAGGAGE TAGS Total approx. qty. is required 60 lakhs Hand/Cabin Baggage Tags to be printed for Economy class and Executive class in the ratio of 85:15 respectively. A) Size : cms to 4.50 cms (approx.) B) Paper to be used : Both side coated Sinarmass Art Card (Matt) 250 gms C) Printing - Both side in four colour Printing as per design provided by AI. Front side as per Air India design. Back side design may change as we intend releasing advertisement for generating revenue. i) Fine print quality to be ensured and there should be no smudging of ink. D) Fabrication: Baggage Tags to be laminated on front side with BOPP Film. Each tag to be provided with AB Alumninium eyeleting with white colour elastic band of 2 mm thickness and folded length of 10 cms with a knot at the end. E) Packing : A packet of 1000 baggage tags to be wrapped in strong brown paper and 10 such packets to be further packed in 3 ply corrugated box. A label to be pasted on each box indicating Air India Item description and bidder name. The boxes should be of suitable quality meeting international shipping standards and must be individually shrink-wrapped in plastic to make them totally moisture and waterproof. NOTE: In order to qualify for evaluation of the Commercial Bid, the bidder has to meet all the technical requirements listed in this Annexure II above and terms and conditions of the RFQ. 13 Instructions regarding the quality of Advertisements 1. The advertisements will be printed in multi colour. 2. The successful bidder would supply the printed Cabin/Hand Baggage Tags to AI. Final artwork to be approved by AI as per the time lines stated on the contract. Proof of advertisement have to be got approved from Department of Corporate Communications before bulk supplies. 3. The advertisement will be subject to the normal restrictions in respect of certain categories of advertisements such as cigarettes, liquor, erotic content, advertisements from competitors, from Private insurance companies offering policies against air accidents etc. The advertisements should not propagate any religion or religious belief or have picture of the leaders of the particular sector of religion. Advertisements that are considered objectionable in the eye of law or otherwise shall not be printed. Advertisements prohibited under various acts and laws of Central / State Governments and various local government bodies shall not be printed. There shall not be any sort of obscenity in the design and matter of advertisement material. The bidder will be fully liable for any contravention in this regard and will be liable under the law of the land. The H-1 would be evaluated based on calculating the total unconditional royalty amount (excluding applicable GST) quoted by a bidder for the period. RATE SHOULD BE QUOTED IN THE FOLLOWING FORMAT :-(Figures in Indian Rupees) The approximate total annual requirement of cabin/hand baggage tags would be Qty. 60 lakhs per annum for Economy and Executive class (Bifurcations of each type of BP to be advised later to the successful bidder). If the number of cabin/hand baggage tags increased / decreased the royalty paid to Air India will be also calculated on pro-rata basis and the amount will be increased / reduced accordingly based on the quoted royalty rates for the expected indicative quantity as above. There is however no minimum guarantee in terms of the aforesaid quantity which is based on the expected requirement volumes. NOTE: The following points are to be noted while submitting the commercial Bid: 1. The prices quoted should be all inclusive for delivery up to nearest AI operative Airport to the Tenderer s facility. AI would provide free booking Letter of Authority for arranging dispatch of consignment to respective locations by Air India flight. The successful bidder would supply the cabin/hand baggage tags free of cost + offer annual royalty (payable on monthly basis to Air India). The selection of successful bidder would be based on the bidder s quoting the highest amount of royalty payable to Air India after absorbing the cost of printing and supply of Cabin/Hand Baggage Tags (in lieu of the third party advertisements rights) i.e. the net earnings to AI will be evaluation criteria for selection of the successful bidder. 2. The rates offered excluding applicable i.e. GST which would need to pay to AI based on the monthly invoices as indicated at Art. 5 above in the General Terms. No TDS to be deducted if Air India provides the exemption certificates from Indian income tax authorities. In the event no such certificate is provided, applicable TDS as per Income tax rules for contract would be deductible from the royalty amount for which TDS certificates are required to be provided to Air India periodically. No other deduction from the royalty amounts would be acceptable by Air India. 3. Air India will not accept inclusion of any additional costs, if requested for after opening of the RFQ. Page 17 of 18

Submission of incorrect or incomplete information or with arithmetical errors in compilation of the data would be at the bidder s sole risk, and the decision of Air India in such cases would be final and binding.
