The purpose of this Tender is to provide all Bidders with the information that may be useful to them in the formulation of their proposals/ bids ( Bid(s) ) in response to this Tender. The information provided in this Tender to the applicants is on a wide range of matters, some of which depends upon interpretation of law. The Tender does not imply that AIL is bound to select a Bidder or to appoint the Successful Bidder, as the case may be, and AIL reserves the right to reject all or any of the proposals without assigning any reason at any time. The Bidder shall bear any and all its costs associated with or relating to the preparation and submission of its Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by AIL or any other costs incurred in connection with or relating to its Bid. All such costs and expenses shall remain with the Bidder and AIL shall not be liable in any manner whatsoever for the same or any other costs or other expenses incurred by the Bidder in preparation or submission of the Bid, regardless of the conduct or outcome of the Bid selection process as contained herein

3 Page 3 of 25 General Information Air India is a wholly owned company of the Government of India incorporated under the Companies Act, 1956 and having its registered office at Airlines House, 113, Gurudwara Rakabganj Road, New Delhi , is a scheduled full service airline and the national carrier of India. Air India has been publishing its in-flight magazine for over thirty years. The monthly magazine is bilingual and published in English and Hindi. Shubh Yatra (Bon Voyage) is available to passengers for on board reading on all domestic and international flights covering the entire network of Air India. This magazine also placed at Air India lounges (both domestic and international) at various airports and offices. With its fleet of over 118 aircrafts, Air India, flies around 20 million passengers annually to over 110 destinations worldwide. Substantial growth in global network and passenger carriage is expected in the next few years as Air India continues to induct more new state-of-the-art aircraft during this period. Air India flies one of the youngest, state-of-the-art, fleet of aircraft, comprising a mix of the wide-body Boeing B777s, B747s, the latest acquisition- the B787 Dreamliner and the narrow body Airbus A321s, A320s and A319s. CONTENTS Shubh Yatra (Bon Voyage) (hereinafter referred as the Magazine ), in addition to the pages devoted to passenger related information of Air India, also contains features on tourism related subjects - including destinations in India and abroad, articles on Indian cuisine, fashion & lifestyle, industry, economic development, etc., which can help boost tourism and project India globally. The editorial policy will be as laid down by the Air India Management. Reputed and experienced magazine publishers with national presence, desirous of undertaking contract for production of the Magazine on turn-key and royalty payment basis are required to submit their offers for this in-flight Magazine. The Selected Bidder (as defined below) shall be required to produce the Magazine which will consist of 100 pages (50 sheets) excluding the cover, but including pages of Air India s information, in any form such as editorials, advertisements (Air India advertisements or joint promotion advertisements with third party i.e. various tourism boards or Star Alliance member airline or code share partner airline etc), messages or graphics (route map, network description - double spread if required), in-flight entertainment programme, etc. The publisher, selected for Air India s in-flight magazine ShubhYatra (Bon Voyage), will make available to Air India, 75,000 copies of the Magazine every month, free of cost, during the duration of the Contract. The publisher can recover all costs associated with the production of the Magazine editorial, designing, paper, printing, etc., through advertising revenue. Air India s royalty payment will be payable in advance in the first week of the month (but not later than 6 th of the month). Air India hereby invites Bids under the Two-Bid tender process, from eligible Bidders for selection of a publisher for production of the Magazine on turnkey basis - Publication of Shubh Yatra (Bon Voyage) is a totally turnkey job from sourcing articles, photographs, editing, preparing editorials, design, layout, printing and supplying of final printed copies as per the international standards and as per specifications mentioned in this Tender.

4 Page 4 of 25 Submission of bids: Interested Bidders may submit their bids as follows: Sealed/closed bids are to be submitted by the interested Bidders in separate envelopes as detailed below: (a) (b) Envelope - I (Technical Bid) : Envelope to be super-scribed Technical Bid for Tender Number: CCD/TNDR/SHUBH YATRA/ /01 Envelope - II (Commercial Bid) : Envelope to be super-scribed Price Bid for Tender Number: CCD/TNDR/SHUBHYATRA/ /01 The two separate envelopes shall further be put in a master envelope, sealed and super-scribed Name of Bidder, Tender No CCD/TNDR/SHUBHYATRA/ /01 for Publication of Air India In-Flight Magazine Shubh Yatra (Bon Voyage) and submitted within the time frame detailed hereinabove. The master envelope should be sealed / closed, addressed and submitted at the address given below: Sr Manager- Corporate Communications Air India Ltd Airlines House 113, Gurudwara Rakabganj Road New Delhi The Bidders in their own interest should check Air India website regularly for any amendment / corrigendum in the Tender Document. If the envelopes are not sealed and marked as instructed above, Air India assumes no responsibility for the misplacement or premature opening of the contents of the Bids submitted and consequent losses, if any, suffered by the Bidder. For the purpose of submission of Bids against this Tender, the following are to be noted: (a) Bids that are not sealed, closed and marked as instructed above, will summarily be disqualified. Bids received by Air India after the date and time specified above shall not be eligible for consideration and shall be summarily rejected. (b)the entire submission of documents along with relevant support sheets in A4 size should be properly hard bound (spiral bound pages shall be rejected), each page duly serial numbered, and all the pages duly signed by the authorised signatory along with the stamp of the Bidder and the date. No loose / separate sheets shall be accepted. Information flow should be strictly as per the data sheet provided and no deviation shall be entertained. Deviation may attract rejection of Bids and no clarification shall be accepted in this regard from any Bidder. (c) Air India reserves the right to accept or reject any or all of the Bids without assigning any reason(s) whatsoever.

5 Page 5 of 25 Evaluation Process and Criteria: (A) Technical Evaluation The Technical Bids will be evaluated for ensuring the compliance to the technical requirement of the Tender as indicated in Annexure I, II and III. Air India reserves the right to seek whatever clarifications, information, documents, etc. from the Bidder, as it may consider necessary at its sole discretion for the purpose of evaluation of the bids. Bidders not meeting the essential Pre-Qualification Criteria as listed at Annexure-II will be summarily rejected. The remaining Bids would qualify for participating in further evaluation of Bids as per the terms of the Tender (B) Commercial Bids Evaluation The Commercial Bids of only those Bidders who qualify and are short listed after complete Technical Evaluation would be opened. The date and time of opening of the Commercial Bids would be intimated in advance to the Bidders who have qualified in the Technical Bid evaluation, and their authorized representatives only would be permitted to participate in the opening of the Commercial Bids. The party who bids the highest royalty will be awarded the Contract. The Bidder(s) are requested to submit their quotations as per the requirements given in the annexures, and terms and conditions of the Tender. 7 Page 7 of General Terms: TERMS & CONDITIONS OF THE TENDER 1.1 Air India invites Bids under two bid system for publishing and printing of its in-flight magazine Shubh Yatra (Bon Voyage) for a period of two (2) years, which can be further extended by Air India for another one or two years at its sole discretion, subject to satisfactory performance of services by the Selected Bidder and increase in royalty by 10 % (ten percent) w.r.t the last year royalty. 1.2 Definitions as used in the Tender a) The term Bidder or Applicant, as used in the Tender, shall mean the one who has signed the Tender form and submitted the quotation in response to this Tender. b) The term Contract shall mean the agreement to be entered into between AIL and the Successful Bidder, confirming its acceptance of the Tender, on the terms and conditions mentioned therein. c) The term Successful Bidder shall mean the Bidder who has been awarded the Contract to carry out the Services contemplated in this Tender. 1.3 Bids received after the Bid Due Date shall not be considered by Air India and will be summarily rejected. 1.4 The Bids should be neatly presented. Corrections, if any, should be duly authenticated with full signature of the authorized signatory who has signed the Bid, failing which such Bids shall be liable to be rejected. 1.5 The Technical Bid should not contain any indication of the price. In case any indication of the price quoted is included in the Technical Bid, such Bid(s) will be rejected without any reference to the Bidder. No correspondence/clarification will be entertained by Air India in this regard. 1.6 Amendments and clarifications, if any, to this Tender, will be hosted on the website of Air India at The Bidders are, therefore, advised to visit the Air India website regularly till the Bid Due Date. The last amendment, if any, will be hosted a minimum of seven (7) days before the Bid Due Date. Air India will not intimate the Bidders individually of the same. In order to afford reasonable time to the Bidders to take such amendments into account for preparation and submission of their Bids, AIL may, at its discretion, extend the last date for the submission of Bids through an announcement on its website. 1.7 No Bidder shall submit more than one Bid (Technical and Commercial Bid) for the purposes herein contained.

8 Page 8 of No consortium may apply for the Bid i.e. only the legal entity full filling the criteria for the project will be considered and not group/sister companies/jvs etc. 1.9 The Bidders shall be responsible for all the costs associated with the preparation of their Bids and their participation in the Tender process. Air India shall not be responsible or in any way be liable for such costs, regardless of the conduct or outcome of the Tender process It shall be deemed that by submitting the Bid, the Bidder has made a complete and careful examination of the terms and conditions of the Tender, received all relevant information requested from Air India, accepted the risk of inadequacy, error or mistake in the information provided in the Tender or furnished by or on behalf of Air India; and agreed to be bound by the undertakings provided by it under and in terms hereof It shall be deemed that by submitting the Bid, the Bidder hereby agrees and releases Air India, its employees, agents and advisers, irrevocably, unconditionally, fully and finally from any and all liability for claims, losses, damages, costs, expenses or liabilities in any way related to or arising from the exercise of any rights and/or performance of any obligations hereunder and/ or in connection with the bidding process, to the fullest extent permitted by applicable law, and waives any and all rights and / or claims it may have in this respect, whether actual or contingent, whether present or in future Air India shall not be liable for any omission, mistake or error in respect of any of the above or on account of any matter or thing arising out of or concerning or relating to the Tender or the bidding process, including any error or mistake therein or in any information or data given by Air India The Bidder hereby agrees to provide all the information sought under this Tender. Air India will evaluate only those Bids that are received in the required formats and complete in all respects as per the terms of the Tender. Incomplete and / or conditional Bids shall be summarily rejected The Bidders shall not be entitled to alter, modify, etc. their Bids once the same are received by Air India. Further, no correspondence in that regard from the Bidders shall be entertained by Air India Any information contained in the Bid submitted by the Bidder(s) shall not in any way be construed as binding on Air India, its agents, successors or assigns, but shall be binding against the Bidder(s), if any project is subsequently awarded to it under the bidding process on the basis of such information The issue of this Tender does not imply that Air India is bound to select a Bidder. Air India reserves the right not to proceed with the Tender process at any time without notice or liability and to reject any or all bids without assigning any reasons whatsoever All documents and other information supplied by Air India or submitted by any Bidder to Air India during the bidding process shall remain or shall become the property of Air India. Bidders shall treat all information as provided by Air India to the Bidder, as strictly confidential and shall not use it for any purpose other than for preparation and submission of their Bids. It shall be deemed that by submitting the Bid, the Bidder agrees that Air India shall not be liable to return any Bid or any information provided by a Bidder along with its Bid and the Bidder by submitting its Bid waives any claim towards the same against Air India.

9 Page 9 of A Bidder should not have any conflicts of interests with regard to the submission of their Bids and performance of the services mentioned hereinunder. Any Bidder found to have such conflicts of interests, at any time, shall be liable to be disqualified. A Bidder may be considered to have a conflict of interest with one or more Bidders in this bidding process, if including but not limited to: a) they have controlling partners in common; or b) they have the same legal representative for purposes of their Bid; or c) such Bidder has a relationship with another Bidder directly or through common third party/ parties, that puts either or both of them in a position to have access to each others information about, or to influence the Bid of either or each other; or influence the decisions of Air India regarding this bidding process; or d) a Bidder participates in more than one Bid in this bidding process. Participation by a Bidder in more than one Bid will result in the disqualification of all Bids in which such Bidder is involved; or e) a Bidder participated as a consultant to Air India in the preparation of the design or technical specifications of the works that are the subject of the Bid The employees or relatives of employees of Air India office are disqualified from participation in this Tender. The relatives of employees of Air India office are defined as follows: (a) Members of Hindu undivided family. (b) Their husband or wife. (c) Relatives in the manner as father, mother, son(s), son s wife, daughter(s). (d) Daughter s husband, brothers, brother s wife, sister and sister s husband Notwithstanding anything contained in this Tender, Air India reserves the right to accept or reject any / all offers and to annul the Tender process at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof. In the event that Air India rejects or annuls all the Bids, it may, in its sole discretion, invite all eligible Bidders to submit fresh Bids hereunder Save and except as provided in this Tender, Air India shall not entertain any correspondence with any Bidder in relation to the acceptance or rejection of any Bid Notwithstanding anything to the contrary contained in this Tender, the detailed terms to be specified in the Contract shall have overriding effect; provided, however, that any conditions or obligations imposed on the Bidder hereunder shall continue to have effect in addition to its obligations under the Contract The Bid should be furnished in the format as provided, clearly indicating the amounts in both figures and words, in Indian Rupees, and signed by the Bidder s authorised signatory. In the event of any difference between figures and words, the amount indicated in words shall be taken into account.

10 Page 10 of Bids received after the specified time on the Bid Due Date shall not be eligible for consideration and shall be summarily rejected. However, Air India may, in its sole discretion, extend the Bid Due Date by issuing an Addendum uniformly for all Bidders. 2. Contract Period: 2.1 The term of the Contract to be entered between Air India and the Selected Bidder (the Contract ) shall be 2 (Two) years from the date of signing of the Contract (the Term of the Contract ). 2.2 The Contract may be extended by Air India for another one or two years at its sole discretion, subject to satisfactory performance of services by the Selected Bidder and increase in royalty by 10 % w.r.t last year royalty. 3. Earnest Money Deposit (EMD): 3.1. The Technical Bid shall be accompanied by an EMD of Rs.2,00,000/- (Rupees Two Lakh Only) by way of demand draft / pay order /RTGS/ banker's cheque in favor of Air India Limited, payable at Delhi. Bank details of Air India account is as under:- Beneficiary:- Air India Limited Bank: State Bank of India A/ C no IFSC Code- SBIN No other mode of payment other than what is specified above shall be accepted In case EMD is not found attached with the Technical Bid, or not submitted in the mode specified as mentioned above, such Bid shall be summarily rejected EMD deposited by a Bidder shall not carry any interest EMD of the unsuccessful Bidders will be returned by Air India, without any interest, within 30 (thirty) days after completion of the Tender process and after the award of the Contract or when the Tender process is cancelled by Air India. The refund of EMD shall be in the form of an account payee cheque / bank draft/rtgs in favor of the unsuccessful Bidders. The Bidders may by specific instructions in writing to Air India give the name and address of the person in whose favor the said cheque / bank draft shall be drawn by Air India for refund, failing which it shall be drawn in the name of the unsuccessful Bidders and shall be mailed to the address given in the Technical Bid EMD of the Selected Bidder will be returned, without any interest, within 60 (Sixty) days of the Selected Bidder signing the Contract and furnishing the Security Deposit (as defined below) or Bank Guarantee in lieu thereof, as detailed under point 4 below. EMD may be adjusted against Security Deposit Air India shall be entitled to forfeit and appropriate the EMD as mutually agreed genuine pre-estimated loss and damage likely to be suffered and incurred by Air India and not by way of penalty for, inter alia, the time, cost and effort of Air India, including consideration of such Bidder s proposal (the Damages ), without prejudice to any other

11 Page 11 of 25 right or remedy that may be available to Air India under the Tender documents or otherwise, under the following conditions: a) If a Bidder withdraws/modifies its Bid after opening of the Bids but before the award of the Contract. b) In case of Selected Bidder, if it fails within the specified time limit i) to sign and return the duplicate copy of the letter of intent; or ii) iii) iv) to sign the Contract; or to furnish the Security Deposit / Bank Guarantee, as the case may be, within the period prescribed in the Contract; or If the Bidder engages in any corrupt or fraudulent practice. c) In case the Selected Bidder, having signed the Contract, commits any breach thereof prior to furnishing the Security Deposit / Bank Guarantee, as the case may be. d) At any time a material misrepresentation is made or uncovered in the Bid or any information provided by a Bidder; e) No clarification(s), information is provided by a Bidder, upon being required to do so by Air India. 4. Security Deposit / Bank Guarantee: Successful Bidder should deposit a security deposit in the form of Cheque / Demand Draft/ RTGS/ bank guarantee for a value equal to two months royalty payment (average royalty of two years) plus applicable taxes (GST) amount in favour of Air India Ltd within 15 days of issuance of LOI, towards interest free security deposit ( Security Deposit or Bank Guarantee ), this will be in addition to the two months interest free advance royalty payment payable to Air India. The Security Deposit/ Bank Guarantee will be refunded / discharged after three months of the successful completion of the Contract after adjustment / settlement of Damages, if any, that may be imposed under the terms of the Contract. Notwithstanding anything mentioned to the contrary in this Tender or the Contract, upon any default or breach of obligations by the Selected Bidder under the Contract, Air India may at its sole discretion invoke the Security Deposit / Bank Guarantee to satisfy its claims against the Selected Bidder by way of imposition of Damages or otherwise, irrespective of any other remedy under this Tender or the Contract. In such an event, the Selected Bidder shall be obligated to ensure that the Security Deposit / Bank Guarantee is restored to its original value within seven (7) working days from such invocation, failing which the same shall be deemed as a material breach by the Selected Bidder and shall entitle Air India to terminate the Contract. 5. Release of Contract: Contract will be finalized from the Registered Office of Air India Ltd, New Delhi. 6. Price negotiation:

12 Page 12 of 25 As it is not the general norm for Air India to carry out price negotiations following evaluation of the Commercial Bids, the Bidders are advised to submit their best quotes in response to this Tender. Air India however, reserves the right to carry out negotiations in exceptional cases with the Selected Bidder. 7. Validity of Tender prices: a) The price quotations should remain valid for a period of 120 days from the date of opening of Commercial Bid. 8. Documentation: All relevant documents (whether required under the Tender or sought for by Air India at a later stage) will be submitted by the Bidders and/or the Selected Bidder, as the case may be, at their own cost. Air India reserves the right to verify all statements, information and documents submitted by the Bidders in response to the Tender and the Bidder shall, when so required by Air India, make available all such information, evidence and documents as may be necessary for such verification. Any such verification, or lack of such verification, by Air India shall not relieve the Bidder of its obligations or liabilities hereunder nor will it affect any rights of Air India hereunder. 9. Confidentiality Information relating to the examination, clarification, evaluation and recommendation for the Bidders shall not be disclosed to any person who is not officially concerned with the process or is not a retained professional advisor advising Air India in relation to, or matters arising out of, or concerning the Tender process. Air India will treat all information, submitted as part of the Bid, in confidence and will require all those who have access to such material to treat the same in confidence. Air India may not divulge any such information unless it is directed to do so by any statutory entity that has the power under law to require its disclosure or is to enforce or assert any right or privilege of the statutory entity and/ or Air India or as may be required by law or in connection with any legal process. 10. Inspection Clause: As part of the evaluation of the Technical Bids, Air India reserves the right to inspect at its own cost the facility / facilities of the Bidders in order to assess their infrastructure and capability for carrying on the Contract as indicated in this Tender. In case it is found during the evaluation or at any time before signing of the Contract or after its execution and during the period of subsistence thereof, that one or more of the Pre-qualification conditions have not been met by the Bidder, or the Bidder has made material misrepresentation or has given any materially incorrect or false information, the Bidder shall be disqualified forthwith if not yet appointed as the Selected Bidder and if the Selected Bidder has already been issued the Letter of Empanelment or has entered into the Contract, as the case may be, the same shall, notwithstanding anything to the contrary contained therein or in this Tender, be liable to be terminated, by a communication in writing by Air India to the Selected Bidder without Air India being liable in any manner whatsoever to the Selected Bidder. In such an event, Air India shall be entitled to forfeit and appropriate the EMD or Security Deposit or Bank

13 Page 13 of 25 Guarantee, as the case may be, as Damages, without prejudice to any other right or remedy that may be available to Air India under the Tender documents and/ or the Contract, or otherwise. 11. Misrepresentation of Facts: A Bidder shall not misrepresent any material facts that affect the Tender process. Any Bidder found to be misrepresenting facts shall be disqualified. In the event of disqualification, Air India shall be entitled to forfeit and appropriate the EMD or Security Deposit or Bank Guarantee, as the case may be, as Damages, without prejudice to any other right or remedy that may be available to Air India under the Tender documents and/or the Contract to be entered into or otherwise. 12. Rejection of Bids (Technical Bid & Commercial Bid): The response to the Technical Bid & Commercial Bid will be rejected forthwith without evaluation of the Bids submitted on the following grounds: i) If the Technical Bid or the Commercial Bid has been received after the Bid Due Date; ii) iii) iv) If only the Technical Bid has been received and Commercial Bid has not been received, and vice versa; If the Technical Bid or the Commercial Bid has been received by fax or ; If the Technical Bid has been received without relevant data details and documents or in incomplete form; v) If the Bid has been received without the EMD; vi) vii) viii) ix) If the Technical Bid or the Commercial Bid has been received unsigned; If the Bid contain any condition (conditional bids will not be accepted) If the Technical Bid has been received without EMD, or the EMD has been submitted in a mode other than specified in the Tender, or a valid proof of exemption from submission of EMD has not been provided;\ The validity of Bids is lesser than 120 days from the date of opening of Commercial Bid. x) If the information given in response to the Tender is incomplete, ambiguous, without requisite supporting documents, unverified, unattested and/or submission of illegible copies or unexplained materials and/or Bids not received as per the desired formats & bidding instructions. xi) xii) xiii) The above list is only illustrative and there can be other relevant grounds of rejection of Bids. If the Bid has been received without the undertaking of acceptance of all terms & conditions. No clarification(s), information is provided by a Bidder, upon being required to do so by Air India.

14 Page 14 of 25 xiv) xv) xvi) At any time a material misrepresentation is made or uncovered in the Bid or any information provided by a Bidder; The above list is only illustrative and there can be other relevant grounds of rejection of Bids. AIL, in its sole discretion and without incurring any obligation or liability, reserves the right, at any time, to: 13. Errant Bidders a) suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the Bidding Process or modify the dates or other terms and conditions relating thereto; b) consult with any Bidder in order to receive clarification or further information; c) retain any information and/ or evidence submitted to the AIL by, on behalf of, and/ or in relation to any Bidder; and/ or d) independently verify, disqualify, reject and/ or accept any and all submissions or other information and/ or evidence submitted by or on behalf of any Bidder. In case after Commercial Bid opening the Successful Bidder is not awarded the Contract for a reason solely attributable to such Successful Bidder, for reasons as mentioned in this Tender, thereof leading to re-tendering, AIL shall forfeit EMD paid by the Bidder and such Bidder/s may be debarred for a period of two (2) years from participation in re-tendering of the same Contract as well as against any tender enquiry for any service sought by AIL and its sister concerns at all locations. 14. Black listing The Bidder may be black listed from participating in any tenders of AIL, or its parent company or its subsidiaries, for next two (2) years in case: 15. Jurisdiction i. It adopts fraudulent practices as cited above and against errant Bidders as specified herein. ii. It withdraws after the award of the Contract / LOI and fails to commence within the specified stipulated period and perform the contractual obligations during the currency of the Contract. Any dispute whatsoever shall be subject to the exclusive jurisdiction of the Courts of New Delhi, India. 16. Royalty Payment Clause: i. Mode of Payment: All payments to Air India will be made through RTGS (to the bank as communicated by Air India in writing to the Successful Bidder from time to time) or through a DD in the name of Air India Ltd. payable at Delhi. ii. Payment Schedule: The Successful Bidder shall pay two months interest free advance payment (average royalty of two year plus applicable taxes) to Air India at the time of entering into the Contact and thereafter, shall pay one payment every month in advance (before 6 th day of every month). The two months advance payment would be adjusted against the last two royalty payments due under the Contract.

15 Page 15 of 25 This payment of advance royalty shall be in addition to the Security Deposit/Bank Guarantee to be submitted by the Bidder. iii. Penalty in Delay / Default in Payment: If there is any delay in payment by the Successful Bidder, the Successful Bidder shall be liable to pay interest on the delayed payment at the rate of 18% p.a. from due date of payment till actual date of payment made. The interest on delay payment shall be subject to the terms of the Contract. 17. Damages for delay in delivery/deficient/non-performance: i. Selected Bidder should ensure that the Magazines should be delivered to Air India offices (to be informed at the time of Contract) atleast two days before the last day of the relevant month. ii. In case of delay by Successful Bidder in delivery of the Magazines, after the due date, damages will be levied as half ( ½%) percent of the royalty payment of that month per working day for the first three days and thereafter one and half percent (1.5%) per day. The Successful Bidder shall be liable to pay the damages, only if the delay is attributable to the selected Bidder. In the event of deficiency in service of the selected Bidder, Air India reserves the right to terminate the Contract and claim damages from the selected Bidder, in case it does not perform/deliver and also reserves the right to award the Contract to another agency at the cost and risk of the selected Bidder. 18. CONTENT AND EDITORIAL i. Content and Editorial text should be submitted to Corporate Communications Department of Air India well in advance (as specified in contract) for the approval. ii. Editorial Board: Editorial board will comprise representatives of Air India and representative of selected Bidder. Air India may also nominate outside experts in the editorial board. iii. The contents of the Magazine shall include articles of historical interest and cultural heritage of India / abroad, features on tourism related subject including destinations in India and abroad, article on Indian / International cuisine, art and science and similar subject. Air India will guide / advise the Successful Bidder regarding relevant articles / features to be included as and when required. iv. The ratio of the written content and advertisement content shall be 55:45 and the parties further agree that at no stage the ratio of the content of advertisement exceed the ratio of written content in the Magazine. v. Advertisement of competitors, liquor / tobacco products, religion / faith related/ act of violence and surrogated ads for these items will not be taken in the Magazine. In addition, Air India may reject any advertisement based on its policy in its sole discretion. vi. It shall be the sole responsibility of the Selected Bidder to ensure that all the articles and transparencies / photographs / illustrations meant for publication in the Magazine are free from any infringement of copyright or infringement of any intellectual property rights of any third parties. Air India or any of its representatives on the editorial board are not responsible for the same.

16 Page 16 of HARD DRIVE / CD FOR WEB & ARCHIVES: After publishing the issue all contents of that issue, including photographs, to be given in a CD in PDF format (Or in the specified format required by Corporate Communications Department) and also as open file (Page Wise) for uploading on the website, social media sites and for archives. 20. Termination of Contract: The Contract may be terminated under the following circumstances: i. In the event of unsatisfactory performance of the Contract / deficiency of service by the Selected Bidder, Air India will have the right to terminate the Contract by giving three (3) month prior written notice. ii. If there is a change in Air India s requirement, Air India will be entitled to terminate the Contract by giving three (3) months advance notice in writing. iii. If the Selected Bidder desires to terminate the Contract a minimum of 6 (six) months prior notice must be given to Air India in writing.
