1 NEWSLETTER JULY - AUGUST 2018 We paid a last tribute to an outstanding shipbuilder On July 24, 2018, Jerzy Pawlak died after a long illness. Among the condolences was the message from Piotr Soyka, the chairman of the Remontowa Holding Capital Group and the president of the Association of Polish Maritime Industries, who bid him farewell on behalf of himself and the shipbuilding industry community. One may read in condolences message: With great sadness and sorrow I received the news on the death of Jerzy Pawlak - co-founder, long-time president and member of the supervisory board of Stocznia Wisła Ltd. An outstanding shipbuilder has left. A man of great knowledge and diligence - meritorious for the development of maritime economy and shipbuilding. Family, Friends and a very large community of people of the sea said goodbye to him on July 27 this year participating in his last journey at the Catholic Cemetery in Sopot. NEWS FROM FORUM OKRĘTOWE MEMBER COMPANIES NEWBUILDINGS The construction of a multi-purpose vessel for the Polish Maritime Authority has commenced at Remontowa Shipbuilding SA On August 20, this year, at Remontowa Shipbuilding SA, a member of the Remontowa Holding capital group a ceremony of the first steel cutting for the construction of the newbuilding no. B 618/1 was held, inaugurating the construction of a pair of multi-purpose vessels ordered by the Maritime Office (Polish Maritime Authority) in Szczecin, under a contract signed on March 5, The model (towing tank) tests took place at the end of June at the Ship Technology Centre (CTO) in Gdansk. The contractor has built a wooden model of the unit on an appropriate scale (around 1:10), with hull lines resulting from the design. During the trials taking place in the CTO towing tank, the values of wave resistance at the assumed unit transit speeds were measured. At the beginning of July, maneuvering trials were also carried out on the open lake of Wdzydze Lake. During the tests the model was remotely controlled. 1 NEWSLETTER FORUM OKRĘTOWE

Photo: Sławomir Lewandowski Fig.: RMDC The ships are being built according to the design developed by Remontowa Marine Design & Consulting, member of Remontowa Holding. The units are intended, among others for: navigational marking, hydrographic works, firefighting, search and rescue, towing, icebreaker functions and control of oil spills. Modern, universal units built with financial support from the European Union (from the funds of the Operational Program Infrastructure and Environment ) will be delivered to the shipowner in mid-2020 and replace the now worn, 35-year-old ships operated by the Maritime Office in Szczecin and the Maritime Office in Gdynia. Fig.: LMG Marin Remontowa Shipbuilding, a member of the Remontowa Holding capital group, signed two contracts for the construction of four double ended diesel electric hybrid ferries for Norled. The first contract was signed on 11th July 2018 and the second one a few weeks later - on 1st August The new ferries will be equipped with an innovative and highly efficient Diesel Electric Hybrid system. In normal operation the entire required power will be taken from two battery packs installed on board. The batteries will be recharged from the land grid during the vessels stay at quay which will typically be abt. 11 minutes. A fast charging solution of pantograph or plug-in type will therefore be used to ensure that the required state of charge of the batteries is maintained. The shore charging system will be integrated with an automatic mooring system (of vacuum or magnetic type) holding the ferries when at quay and giving the green light for the charging process to start. The intention is to use the generating sets that the vessels will be equipped with (running on 100% Biodiesel), only in case of emergency. The electric system will be, however, prepared to operate them alongside batteries, e.g. in peak shaving mode. The two ferries contracted first (B619/1-2) will service the Festøya-Solavågen connection. The equipment on board will be selected based on maximum efficiency criteria. A good example are the thrusters which will be pulling type units with integrated permanent magnet motors ensuring high efficiency even at very low loads. They will be delivered in the fourth quarter of The vessels of the latest contract will be near sister vessels to yard nos. B619/1-2 but they will operate on the Mannheller-Fodnes connection and, as compared to the above-mentioned ones, will feature two modifications. Since the Mannheller-Fodnes route is shorter, the capacity of the battery pack will be reduced by approx. 20%. At the same time, the vessels will be certified to carry more passengers with the maximum 2 NEWSLETTER FORUM OKRĘTOWE

3 being 395 persons. Therefore, the number of lifesaving appliances will be increased in accordance with the regulatory requirements and an additional Marine Evacuation Station will be added. Yard nos. B619/3-4 will be delivered in the First and Second Quarter of 2020 respectively. The ferries will be built according to LMG 120-DEH design developed by LMG Marin. Norled is one of the leading Norwegian ferry operators. The company was formerly known as Tide Sjø and has been conducting its activities under the current name since Norled s fleet consists of abt. 80 ferries of which 6 have been built at Remontowa Shipbuilding. Among these are Ryfylke and Hardanger, both delivered in 2013, which are the first two vessels in the world not carrying diesel fuel at all - the main fuel is LNG while CNG (stored in pressure gas cylinders on the open deck) is used in case of emergency. The B619 type ferries - principal characteristics: length over all m, breadth m, depth to main deck m, draught m; max. passenger capacity - 296, max. personal cars capacity - 120, max. road trailers / trucks capacity A contract was signed for the construction of two icebreakers for RZGW Szczecin The State Propriety Authority Polish Waters - Regional Water Management Board (RZGW) in Szczecin and Remontowa Shipbuilding SA signed a contract on July 20, under which the investment will be implemented as follows: Design, construction and delivery together with the equipment of two linear ice breakers as part of the task: Continuation of the icebreaker program for RZGW Szczecin. The task is implemented as part of the Operational Program Infrastructure and Environment in priority axis II Environmental protection, under measure 2.1, i.e. Adaptation to climate change along with security and increasing resilience to natural disasters, in particular natural disasters and environmental monitoring. Ice tank tests. - We may say that there is a generational exchange in the fleet of icebreakers of the Regional Water Management Board in Szczecin, because new units will replace the worn-out icebreakers that have participated in ice-breaking operations for decades. Newly ordered units are modern, well-equipped and will significantly support the improvement of flood protection for residents of our city and region. From a technical point of view, their service will be a great facilitation of work for operators and crews working during the icebreaking operation - says Tomasz Pietras, a director of the Regional Water Management Authority in Szczecin. A linear icebreaker is supposed to move behind the front (head) icebreakers, widening the fairway cut in the ice, and crushing the ice floe resulting from the icebreaking to prevent it from clustering and creating secondary ice jams. The function of this icebreaker is significant considering the specifics of the Odra River and the occurrence of bends and narrowings in many of its locations, which could easily lead to the formation of congestion arising from the flowing ice floes. The technical parameters of the linear icebreakers being constructed will be considered binding on the basis of the final technical documentation (classification design), during which the hull optimization calculations will have to be made, then confirmed by model tests, including those carried out in the ice test tank. The value of the investment is PLN million. SHIPBUILDING SUBCONTRACTING A fishing vessel from the Wisła Shipyard, launched at Remontowa Shiprepair Yard The Wisła Shipyard of Gdansk has delivered a partially outfitted purse / danish seiner fishing vessel Nordhavet, newbuilding no. Pumped out from the net, the catch is stored in seven RSW (refrigerated sea water) tanks with a total capacity of 490 m³. The ship, m long and 9.25 m wide, is to be operated under very difficult conditions in the Norwegian Sea and the Barents Sea. Launching took place at the Remontowa SA shipyard. On July 12 a pontoon-barge was towed from the Wisła Shipyard in Gdansk to the Remontowa Shiprepair Yard with a fishing vessel on board. Launching was carried out in the No. 6 dock of Remontowa yard. After launch, towing the unit, delivered at a high degree of outfitting, from the Wisła Shipyard and from the port of Gdansk to the Larsnes Mek. Verksted in Norway began on August 13. The Norwegian shipyard is responsible for the installation of remaining equipment, test runs and commissioning, sea trials and handover of the ship to the shipowner. Launching a partially equipped trawler at Remontowa Shipbuilding On Friday, August 17, 2018, at the Remontowa Shipbuilding SA shipyard belonging to the Remontowa Holding capital group, the hull of a trawler built for the Danish client Karstensens Skibsværft A/S was launched. Newbuilding no. Karstensens 445 is to receive the name Strand Senior, and its final recipient will be Strand Havfske from Alesund. The trawler, 75 m long, m wide and featuring 4880 kw main propulsion power, is being built in Gdańsk as a partially-outfitted unit, built to the client s design, under the supervision of DNV GL. The vessel will be used to catch bottom fish using bottom and pelagic trawls drawn behind the ship. The ship with + 1A Ice C Fishing Vessel class notation, will allow to fish in waters that overlap seasonally with sea ice or have an all-year ice cover. The shape of the hull characterized by the appropriate ratio of main dimensions, high bow height and transom stern will enable very high sea prowess guaranteeing good stability and fast navigation in all weather conditions. 5 Beginning of the construction of another fishing vessel at Wisła Shipyard On June 21, 2018, in the presence of the shipowner s and the Norwegian shipyard s representatives, the first steel cutting took place at Gdańsk based Stocznia Wisła (Wisła Shipyard) for the construction of a 63-meter longliner. The unit, newbuilding no. Vaagland 158, as partly equipped unit, is being built - according to the ST-156 XL design of consulting naval architects Skipsteknisk from Ålesund - for the shipyard Vaagland Båtbyggeri from Halsa, and the ultimate recipient will be the Norwegian shipowner HP Holmeset. The ship, which is to be named Geir, will be m long, m wide and will be equipped with fishing Fig.: Skipsteknisk gear for approximately 70,000 hooks. The capacity of the cold store is to be 500 tons, and the processing plant is to produce both headed and gutted fish as well as fillets. Freezer capacity is 60 tons per day. The crew consists of 22 people. The main propulsion power onboard Geir longliner will be 2500 kw. The ship, with a contract value of approximately 250 million Norwegian kroner, is to be delivered to the shipowner from the Norwegian shipyard in December At the time of entry into service, it is about to be the largest longliner in the Norwegian fishing fleet. Second Ampere with a hull from Gdansk Photo: Svendborg Bugser A/S Photo: Morten Christiansen (Bukser og Berging) The world s first fully electric ferry is considered to be the Ampere catamaran, put into service in It transports cars and passengers across the Norwegian fjord. It features a gross tonnage of 1598 and a deadweight capacity of 199 t, with a total length of 79.4 m. Its partly (to a small extent) equipped with an aluminum hull with a superstructure, built in the area of former Gdansk Shipyard, delivered to the Norwegian shipyard Fjellstrand AS, from the Aluship Technology company from Gdansk. Quite recently, in June this year, the same Gdansk based shipyard has handed over the hull of a slightly larger catamaran, which was the successor and development of the Ampere design, intended for the Halhjem-Våge line in the Hordaland region. Finishing and fitting works on the vessel, newbuilding no (Fjellstrand) / P155 (Aluship Technology), are underway at the Norwegian shipyard Fjellstrand AS in Omastrand. The hull was supplied in June this year by Aluship Technology Sp. z o.o. of Gdansk (the keel was formally laid on October 2, 2017, the hull was towed from Gdansk on June 18). It is an aluminum catamaran with electric and battery drive. Under normal conditions, the main drive will be supplied from rechargeable batteries when the vehicle is berthed, but in emergency conditions, the bio-fuel diesel generators will be run. 5 NEWSLETTER FORUM OKRĘTOWE

6 ZeroCat new Ampere has a total length of m, m beam, 2053 gross tonnage and 615 net tonnage, with a capacity of 120 passenger cars and up to 12 road trailers. The passenger lounge will accommodate 296 people. In July, the ferry was already painted and a superstructure was mounted on it in Norwegian yard. The unit, after finishing and final outfitting, is to be delivered by the Norwegian shipyard at the end of The final recipient is the Norwegian ferry operator Fjord1 AS. Photo: Maciej Bielesz At Remontowa Shiprepair Yard SA, belonging to the Remontowa Holding capital group, at the end of July this year the conversion and upgrade of the Sylur - the ship owned by Lotos Petrobaltic (purchased from the second-hand market and taken over by the Polish company in December 2016) was completed. Prior to the reconstruction, Sylur was a typical PSV (platform supply vessel) serving the offshore oil & gas industry, mainly through supply functions, transporting bulk, liquid and general cargo to drilling and production platforms and other offshore objects. The ship was built in 2003 at the Simek AS shipyard in Norway, is 72 m long, with main propulsion power of approx HP and a DP2 dynamic positioning system. Now, after completion of the upgrade, Sylur can perform a variety of other functions. As a diving support vessel, it will support the activities of divers who will carry out underwater work. Another function is the possibility of drilling and geotechnical research (core sampling). Conversion and upgrade of the Sylur was a complex and difficult task. As for the small size of the ship, the scope of work was wide ranging and extensive, while the time for execution was short. The most visible effects of the reconstruction is the moonpool (with dimensions of approx. 3.5 m 3.5 m). It is possible to perform drilling and geotechnical tests with the aid of a specialized drilling rig installed during the conversion. When the moonpool is not used, it remains closed by a hydraulically controlled cover, manufactured by one of the Remontowa Holding group companies. Another device installed by the shipyard, at the stern of the ship, is the A-frame, with help of which test devices are lowered, and which can also be used for laying various elements on the bottom of the sea (light subsea construction works). The ship is now about to work on securing an 80-kilometer subsea gas pipeline connecting the B8 field in the Baltic Sea with the Energobaltic heat and power plant and transporting natural gas from the Lotos platform working on the B8 Baltic field to the Władysławowo heat and power plant. Vehicle carrier brought to Remontowa SA after an accident off the coast of Sweden On August 16, Makassar Highway vehicle carrier entered Gdansk based Remontowa SA for emergency repairs. At the end of July, the ship ran aground on the east coast of Sweden during a cruise from Germany. Makassar Highway, which departed Oskarshamn in Sweden on August 13, towed by the AHTS Blue Antares, was supervised by the Swedish Coast Guard vessels until it left Swedish territorial waters. The Taurus, Tytan and Vega tugs as well as Strażak-6 fi-fi boat assisted the vehicle carrier to Remontowa SA yard. One of the main causes of the accident, which took place on July 23, was the failure of the navigation system and difficult weather conditions - the ship left the proper course and settled on the bottom. 7 ports that 14,000 liters of oil escaped from the damaged hull to the Baltic Sea. Part of the vessel s crew were Poles. Photo: Sławomir Lewandowski MARINE EQUIPMENT Saab contracts Gdynia-based HG Solutions to supply equipment for Royal Swedish Navy s special purpose ship Saab has signed a contract with HG Solutions, based in Gdynia, Poland, to produce and deliver equipment for the Royal Swedish Navy s SIGINT ship, currently being built in the PGZ SW shipyard. The company will be responsible for supplying equipment vital for electrical distribution onboard the vessel. HG Solutions will manufacture and deliver bridge- and engine-room consoles, stand-alone and rackmounted distribution panels and electrical cabinets. These will house electrical breakers as well as automation equipment used to control and monitor important functions within the vessel. This includes equipment necessary to propel and control the vessel inter alia in terms of steering, navigation, and CMS systems. The SPS project is subject to extremely tough demands on EMC (electromagnetic shock) requirements and HG Solutions demonstrateddeep understanding of these requirements during the supplier selection phase. Saab signed the contract for the construction of the Swedish SIGINT vessel with the Nauta Shiprepair Yard, a part of the Polish Armaments Group (PGZ) in The keel laying ceremony for the ship took place in June, MISCELLANEOUS IDA with full control over Gdańsk Shipyard and GSG Towers Shares sale/purchase agreement signing. Agencja Rozwoju Przemysłu SA (Industrial Development Agency JSC - IDA) acquired % of shares in Stocznia Gdansk SA and 50 % of shares in GSG Towers Sp. z o.o. from Gdansk Shipyard Group Sp. z o.o., controlled by the Ukrainian investor Serhiy Taruta. As a result, the former cradle of Solidarity now has a chance to become one of the pillars of the shipbuilding industry in Poland - according to official news releases. Previously, IDA has held % of Gdansk Shipyard and 50 % of shares in the associated GSG Towers, a manufacturer of wind turbine towers. Since 19 July this year, Gdansk Shipyard and GSG Towers are fully owned by companies from the Industrial Development Agency group. The transaction had previ- 7 NEWSLETTER FORUM OKRĘTOWE

8 ously obtained all the necessary corporate as well as formal and legal approvals, including the approval of the Office of Competition and Consumer Protection for the shares in GSG Towers to be concentrated by the companies from the IDA Group (in the case of Gdansk Shipyard, such an approval had not been necessary). We have very long negotiations behind us. After a year of difficult talks, we were now able to obtain satisfactory terms reflecting the value of both companies. Now, we must quickly undertake development activities related to the implementation of our business plan to rebuild their potential and competitiveness, taking advantage of the economic situation in the shipbuilding and wind energy sectors, especially in the offshore energy sector - says Andrzej Kensbok, acting president of IDA JSC. The acquisition of ownership control by IDA will enable Gdansk Shipyard and GSG Towers to fully stabilise their situation, providing them with access to the market financing they need to conduct their current operations. This will in turn translate into higher revenues for both companies and a balancing of revenues and costs. Gdansk Shipyard and GSG Towers employ almost 860 people in total. The first stage of INNOship - interest exceeded expectations On July 30 this year The National Centre for Research and Development (NCBiR) informed on the completion of the call for proposals in the 1st competition of the INNOship Program implemented under Measure 1.2 Sectoral R&D programs, Competition 1/1.2/2018. As many as 25 applications for project financing totaled PLN with the value of eligible costs in the amount of PLN The amount of funding planned in the first stage was PLN 120,000,000. Therefore, applications were submitted for a total amount exceeding the pool of available funds by over 30 percent - emphasizes Jerzy Czuczman, director of Forum Okrętowe. Such a great interest in the INNOship program can already testify to the success and high development potential of the shipbuilding industry in Poland. Let us recall the Poland s first program of sectoral support for research and development that works in the shipbuilding industry sector, called INNoship, was created at the request of the Association of Polish Maritime Industries, owing to the involvement of companies belonging to this organization. The preparation of the application along with conducting the necessary market research and analyzes was supported financially by Remontowa Holding. It is one of 13 sectoral programs currently implemented by NCBiR under the Intelligent Development Operational Program. Representatives of the Ministry of Science and Higher Education and NCBiR announced the start of its pilot stage in Gdynia, on March 7, According to the NCBiR official communication, the formal evaluation of submitted applications is being carried out at present. According to the rules of the competition, the entire evaluation process should take up to 90 calendar days. MPL Techma on the new premises As announced by MPL Techma, from August 1st the company operates in its new, own office. The property consists of offices, manufacturing and warehouse spaces. The construction phase has been completed. Works related to the development of the area around the building are in progress. The decision to build new headquarters was a consequence of the dynamic development of the company, increasing employment and work on more and more advanced projects. The investment in the new headquarters will bring benefits to MPL Techma s clients by providing an increased, improved machinery park and more convenient conditions for construction, design and testing of machines - as official news release says. GUT Solar1 among the best solar boats in the world The seventh position in this year s general classification of the solar boat world championships was taken by students associated in the scientific club KORAB from the Faculty of Ocean Engineering and Ship Technology at the Gdansk University of Technology. It is the best result among all representatives of Polish universities! GUT Solar1 is a project implemented and developed for six years now. The boat is currently being modernized and serves as a research model allowing to collect data and experience while building a hydrofoil powered by solar energy, the project of which is being carried out with a view to the subsequent editions of the regatta. 8 NEWSLETTER FORUM OKRĘTOWE

9 - The construction and operation of a solar watercraft are big challenges, but also very good experiences, combining knowledge from all fields of science related to education at the Faculty of Ocean Engineering and Ship Technology at the Gdańsk University of Technology - dr eng Wojciech Leśniewski from the Chair of Maritime Mechatronics, WOiO PG, supervisor of the scientific club KORAB, explains. Remontowa LNG Systems at Oxford In September ( ) at the premises of University of Oxford the 27th International Cryogenic Engineering Conference took place. The conference was organized by the British Cryogenics Council and the University of Oxford in partnership with the Science and Technology Facilities Council. Remontowa LNG Systems was present during the exhibition accompanying the event, promoting the research and development project that has been already carried out for a year named: Optimization of power supply systems for marine, road or rail drives which use natural gas in liquified form. More information on the project is available at: Gender equality in the shipbuilding industry In Brussels on July 3 this year a meeting of the European Commission s EIGE (European Institution for Gender Equlity) was held. Jerzy Czuczman - a director of the Association of Polish Maritime Industries Forum Okrętowe, who attended the seminar, presented - within a panel discussion - a presentation on the implementation of solutions that would provide equal opportunities regardless of gender in the area of marine industries. Presentation material was acquired, among others, from Forum Okrętowe members: Remontowa SA yard, Polish Register of Shipping, Deltamarin ship design office, the Gdansk University of Technology, Siemens and Zink Power, as well as the Gdansk Region of the Solidarity trade union and a number of interviews, among others - conducted by Youth branch of Forum Okrętowe. We hereby express our thanks to all those who helped in the preparation of the presentation. Vistal for sale? The judge commissioner of the sanation proceedings for Vistal Gdynia SA in restructuring, approved the restructuring plan of the company on 25 June. The latest, already approved, version includes a new element: Vistal Gdynia decided to undertake activities aimed at entrusting a professional entity with seeking an investor. In the company s official statement, one may read that point 4 related to the investor s search was placed on tab 23 of the restructuring plan in the scope related to the activities undertaken during Stage 2 Capacity building. According to the company s plans, the debtor is to build new competences necessary for further effective functioning on a larger scale. Solutions and procedures will be designed and introduced to create an effective organization. The debtor will seek to build a portfolio of orders for a period of 6-12 months. The Restructuring Plan was announced by Vistal Gdynia at the beginning of the year. According to forecasts, the revenues for 2018 are expected to amount to PLN million in the realistic scenario or up to PLN million in the optimistic version. Return on EBITDA, on the other hand, is expected to reach a level of - 6% to 0%, depending on the variant. The document also assumes adoption of the We build bridges strategy, in which Vistal Gdynia intends to focus its activities on the Scandinavian market and on the construction of railway bridges in Poland. We have already informed in the FO Newsletter that Vistal intends to reduce or refrain from involvement in the maritime and offshore sectors. The restructuring plan also reads: firstly, the organizational structure will be changed and the debtor will directly control the whole production cycle (production within one entity). However, in the case of the latter, they will not employ them on the basis of an employment relationship, but on the basis of flexible service contracts (the person performing the welder s work runs a business). Concentration of economic activity in one entity will for better monitoring, lower costs and resignation from additional activities, which were deemed unnecessary at this stage, thus eliminating a number of risks that contributed to the current situation of the debtor. 9 NEWSLETTER FORUM OKRĘTOWE
