5 INTRODUCTION This handbook has been carefully prepared for presentation to Members of Midwest Outdoor Resorts, the developers of Hidden Bluffs Resort, Rushmore Shadows Resort, Soo Line Trail Campground, St. Croix River Resort, and coming in 2018 Ham Lake Resort. You will find the information contained in it a valuable supplement to your Membership Purchase Agreement. We encourage you to read it thoroughly. You will discover that the Developer has taken exceptional care to provide true value for Members by providing Resort amenities along with valuable reciprocal benefits. 6 MEMBERSHIP MARKETING AND SALES Midwest Outdoor Resorts which is wholly owned by Hart Ranch Development Company ( Developer ) has the exclusive right to market all memberships which includes the usage of Hidden Bluffs Resort, Rushmore Shadows Resort, Soo Line Trail Campground, St. Croix River Resort, and coming in 2018 Ham Lake Resort. Memberships are offered for sale only through the Developer s Sales Staff. To date, one hundred and four (104) camping sites have been developed on the one hundred ninety five (195) acre property at Hidden Bluffs; one hundred eighty two (182) camping sites have been developed on the fifty (50) acre property at Rushmore Shadows; forty nine (49) camping sites have been developed on the fifty eight (58) acre property at Soo Line Trail Campground; one hundred seventy six (176) camping sites have been developed on the seventy five (75) acre property at St. Croix River Resort; one hundred forty seven (147) camping sites have been developed on seventy three (73) acre property at Ham Lake coming in Additional sites may be added at a later time to accommodate future growth of Members. 6 P a g e

7 DISCLOSURE STATEMENTS SD REAL ESTATE COMMISSION REGISTRATION # The memberships will be offered by Midwest Outdoor Resorts through either an on-site or off-site sales program in both South Dakota and Minnesota. 2. Developer will not exceed 20 memberships per site and rentals combined. 3. Currently 182 sites are developed at Rushmore Shadows, 104 sites are developed at Hidden Bluffs, 49 sites are developed at Soo Line Trail and 176 sites are developed at St Croix River Resort, and 147 sites are developed at Ham Lake Resort coming in 2018, which allows for 13,160 members. 4. Additional sites are required to be developed prior to exceeding 13,160 members. 5. All improvements have been made to the Resort. The Developer is not escrowing any funds for additional improvements nor is the Developer promising any additional improvements beyond existing improvements. 6. All monies received for purchase of membership are held in escrow as required by either the SD Real Estate Law or by the MN Department of Commerce. 7 P a g e

12 Special Categories: Both Rushmore Shadows Resort and Hidden Bluffs Resort have prior membership types which are no longer available for sale but are grandfathered memberships with specific privileges in accordance with their Membership Purchase Agreement. Other Categories: The Developer may create other categories of membership consistent with use of the Resort facilities and the Resort s ability to market memberships up to the total number authorized. Memberships, such as vacation packages, to attract potential buyers will not be accompanied with full membership privileges. Such sales of other categories shall not reduce or impair the usage rights of existing members Transfer of Membership: Ultimate, Premier and Lodge Memberships may be transferred, by the Member, under the following circumstances and conditions upon submission of a request to the Resort to do so, provided the membership is current, or is caused to become current, in all payment obligations of any kind to the Resort and/or agent of the Resort and the membership has not been forfeited: The Member is deceased and has willed his/her/their membership to another. The inheritor(s) shall submit a request together with a copy of the deceased Member s death certificate or other substantiating document. The Member has secured a buyer for his/her/their membership. A Transfer will be effected only after approval by the Resort has been obtained and a copy of the bill-of-sale or sales agreement is submitted, and then only to one person, male or female. 12 P a g e

13 No Transfer shall become effective until the transferee has entered into a Membership Agreement and, if needed, an installment sales contract with the Resort or its Agent. All Transfers shall be subject to the payment of a transfer fee to the Resort, amount as determined periodically by the Developer. Forfeiture of Membership: The Developer will have control of the Resort environment at all times. In the interest of fairness, steps are outlined that must be followed prior to Termination and/or Forfeiture of a membership. o Within 5 days of violation the Member must be notified in writing, by certified/registered mail that Termination/Forfeiture proceedings are being initiated. If the incident(s) involves physical damage or arrears, the amount to be recovered must be in the letter. o The Member must respond within 14 days of notification in (A) above, and set a date when he/she/they will be available for a fact finding hearing with the Developer. The hearing must be held within 3 months of the violation or delinquency date. The person filing the charge will be notified of the date of the hearing. The individuals, not the Developer, are responsible for expenses to attend the hearing. o A fact finding hearing will be held with the Member and the person filing the charge. Both will be entitled to be heard and to present witnesses, or they may submit a brief in writing. Failure of either to appear or to submit a brief in lieu of appearing shall be construed as a desire on the part of that person to withdraw the charge(s) or as an admission that the alleged violation(s) is/are correct and will not be contested. Neither the Developer, the Member, nor the person filing the charge shall have legal representation at the hearing. o The Developer shall determine if the Member shall be absolved, terminated, or undergo Forfeiture. The Member will be notified in writing by certified/registered mail of the 13 P a g e

14 Developer s action. Membership agreement, card and privileges are voided as of the date of receipt of the certified/registered mail if the charges are substantiated. o The ex-member shall not be allowed to purchase another membership at any time. There shall be no remuneration paid in part or in total, by the Developer, to the defaulting or violating Member for the value of the forfeited membership. A membership may revert to the Developer under the following circumstances when the Developer determines that: o Flagrant violation of use of facilities, theft from the Developer/Resort, unbecoming conduct has violated the intent of providing a family oriented environment or continued (more than one incident) disregard of Policies and Rules and Regulations has occurred. o Member has dues, membership installment contract payment(s) or other fees assessed Members, in arrears for ninety days and notification of such arrears has been sent during the ninety days. Forfeiture of membership privileges will not relieve Members from obligations under the Membership Purchase Agreement. Maintenance and other fees: Annually, a bill will be mailed to each membership for the amount of the Maintenance Fee for that year. Members may pay a lump sum or elect to pay monthly, for an additional fee. The Developer shall determine the amount of the Maintenance Fees annually. 14 P a g e

15 Reinstatement of Membership: At the option of the Developer, a Member having been terminated, placed on Probation, or inactive status may under the following conditions re-instate his/her membership: The membership has not been re-sold. Reinstatement is initiated within three (3) years of Termination, Probation or Inactive status. In all cases, the Member must pay all Maintenance Fees and Developer approved assessments that would have been applied to that membership, as well as any outstanding amounts that were due at the time of Termination/Suspension/Probation and applicable interest for monies due. 15 P a g e

16 RULES AND REGULATIONS Midwest Outdoor Resorts (the Resort ), in conjunction with Hidden Bluffs Resort, owners of a vacation camping resort in Spring Grove, Minnesota, Rushmore Shadows Resort owners of a vacation camping resort in Rapid City, South Dakota, Soo Line Trial Campground owners of a vacation property in Onamia, Minnesota, St. Croix River Resort owners of a vacation property in Hinckley, Minnesota, and coming in 2018 Ham Lake Resort owners of a vacation property in Ham Lake, Minnesota have adopted the following Rules and Regulations pertaining to the use of facilities within the Resort by Members, their families and Guests. The rules and regulations will enable all Members, their families and Guests to realize maximum enjoyment from the use of the Resort Facilities while simultaneously protecting the health, safety and privacy of all users. The Resort Manager or staff shall, at all times, have the authority to enforce these rules by a means appropriate to the situation at the discretion of the Manager. Any waiver of any rule may be authorized only by the Developer. These Rules and Regulations may be amended from time-to-time by the Developer without prior notice. Your cooperation in observing these rules is appreciated. #1 Rule at Midwest Outdoor Resorts-Members ARE required to have fun while at the Resort! Member Rules: These rules may be modified, amended or deleted as Midwest Outdoor Resorts deems appropriate. The following rules serve as guidelines, and are not all inclusive. It is the intent of Midwest Outdoor Resorts to make known all rules which ensure the maximum enjoyment of your Midwest Outdoor Resorts membership. It is the Member s responsibility to be aware of all required rules and regulations. 16 P a g e

17 Copy of Rules: A copy of the rules is available at the office. For additional information on the rules and regulations, call Midwest Outdoor Resorts at ( ). Member Identification: One (1) membership card will be issued per Member. Lost or stolen cards will be replaced by Midwest Outdoor Resorts for a replacement fee. Membership cards may not be loaned to anyone except as provided in these rules. A second form of ID may be requested upon entry. Misuse of membership card will result in its confiscation. Registration: Members, Associate Members, and Guests shall register at the front desk upon arrival at the Resort, and present their membership card and a picture ID if deemed necessary. Day use by Guests requires the Member or Associate to sign the Guest into the Resort at the office and remain with the Guests while they are on Resort property. Season of Resort: Resorts operate seasonal, May 1 thru October 1. Length of Stay: The Resort is designed and intended for vacation use and not for lengthy living accommodations. Permanent residence is not allowed except for certain necessary and authorized Resort employees. Depending on Membership type, use privileges allow for a maximum of 14 or 21 consecutive nights on any one campsite or Resort rental per Membership number. Conduct at the Resort: The Member is fully responsible for the supervision and conduct of themselves, their Associates & their visitors. Members, Associates and Guests shall not indulge in unruly or offensive conduct. Activities, games or sports which may bring the Resort into disrepute or interrupt the harmony of the 17 P a g e

18 community will not be allowed. In order to promote the safe and harmonious enjoyment of Midwest Outdoor Resorts premises by everyone, all persons entering these premises are expected to abide by the following general rule of conduct and agree to do so as a condition of entering these premises: NO PERSON SHALL ENGAGE IN DISORDERLY CONDUCT WHICH INFRINGES UPON THE PEACEFUL ENJOYMENT OF THE MIDWEST OUTDOOR RESORTS PREMISES BY OTHERS. SUCH CONDUCT INCLUDES, BUT IS NOT LIMITED TO, ANY BEHAVIOR OR ACTIVITY WHICH CREATES, OR TENDS TO CREATE, AN UNSAFE OR HOSTILE ENVIRONMENT. If, in Midwest Outdoor Resort s sole judgment, any person who violates this general rule of conduct, Midwest Outdoor Resorts reserves the right to take prompt remedial action. Such action may take the form of suspension or expulsion from membership, expulsion from the premises or any other action Midwest Outdoor Resorts deems appropriate. Resort Speed Limit: All posted signs shall be observed. The speed limit on all roads within the Resort shall not exceed 7 ½ miles per hour, or the posted speed. Clothing: Swimming attire may not be worn in the administration area. Members and Guests shall wear clothing appropriate to their activity. Nudity is not allowed. Skateboards, Scooters and Bicycles: Rollerblades roller-skates and skateboards are not permitted inside the pool area, picnic shelter or any comfort station. A helmet is required. Bicycles, including three-wheeled version, must obey the 7 ½ mile per hour speed limit. Bicycles must have light to operate after dark. Bicycles must have working brakes. Bicycles must operate on the same roadways as regular motor vehicles and are not allowed on paths, sidewalks or in buildings. 18 P a g e

19 Alcohol: Alcoholic beverages are allowed ONLY at your campsite. Alcohol will not be consumed by minors under the age of 21 under any circumstances. Any alcohol-related disturbance or incident will be treated as a serious offense. MIDWEST OUTDOOR RESORTS RESERVES THE RIGHT TO PROHIBIT THE USE OF ALCOHOLIC BEVERAGES AT ANY FUNCTION OR ACTIVITY AND RESTRICT THE USE ON THE RESORT AS DEEMED APPROPRIATE BY MANAGEMENT. Open or exposed alcoholic beverages will not be taken into the store, pool area, any enclosed building and office or area where it could become a nuisance to others. Driving with an open alcoholic container, and/or under the influence of alcohol or drugs is prohibited. Smoking: We have a NO SMOKING POLICY in all public areas of the Resort. This policy prohibits smoking in the comfort stations, laundry and shower rooms, pool area, office area and rental units. Smoking under the age of 18 is prohibited. This policy is strictly enforced. Litter: All debris and garbage shall be placed in the containers provided. Members are responsible for keeping their campsite clean, neat and litter free at all times. Sewage Waste Disposal: Recreational vehicles with water storage tanks must have the outlet plugged except when using the dumping station or sewer connection. All recreational vehicles must have a sealed sewer connection through the use of a sewer donut or other commercial adapter. Sewage will be emptied or drained into the appropriate receptacles at the full hookup site or at the Sewer Dump Station located near the North Shower House at Rushmore Shadows Resort, located directly north of the check in office at Hidden Bluffs Resort, located near the clubhouse at Soo Line Trail Campground, located near the pool 19 P a g e

20 building at St. Croix River Resort and located near the south comfort station near the pet walk area at Ham Lake Resort, coming in Rules governing the dump station use are posted nearby. Draining gray-water or sewage on the ground is strictly prohibited. Violation of these rules will result in suspension or revocation of membership. Firearms & Fireworks: The possession of firearms or other weapons in the park is prohibited except for hunting weapons which must be cased, unloaded, and stored in your unit while on the Resort. Fireworks of any kind are also prohibited in the park as well as connecting properties. Illegal Drug Use Policy: Midwest Outdoor Resorts promotes a drug-free environment. Member, family member or Guest found to be in the possession, or use, of an illegal substance as so defined in State Penal Code, will have the membership revoked without appeal. Attachments: Clotheslines, pets, hammocks and bug-zappers are not allowed to be tied to any trees, picnic tables, sign posts, light poles, electrical pedestals or any other Resort properties. We ask that you please keep clothes-lines neat and orderly and out of sight. Quiet Hours: Quiet hours are from 10 p.m. to 7 a.m. At all times, Members and Guests are requested to be considerate of those around them. Any noisy equipment, such as generators, auxiliary power units, loud music, etc. may not be operated during these hours. Comfort Stations/Shower-houses: Comfort stations are not to be used to clean pets or recreational equipment; they are for your personal use only. Laundry areas are available at Rushmore Shadows Resort, Hidden Bluffs Resort, and St. Croix River Resort. 20 P a g e

21 Privacy: Please observe your fellow Member s rights by not walking through other s campsites to reach common areas of the Resort or your own site. Please respect their privacy. Vehicle Passes and Usage: Recreation vehicles shall be parked only in areas designated for such use. When a Member is using Midwest Outdoor Resorts for the day, they are allowed only one vehicle. One additional pass is available for Member s Guests. Vehicle usage may be restricted in the Resort, at times, due to certain activities and/or functions throughout the Resort. This will ensure the safety of children and others. Prior notification of these events will be provided. Cruising in the park at any time will not be permitted. Abandoned Vehicles on Sites: Vehicles, RVs or other property will not be left unoccupied and unattended on a campsite overnight. Members are prohibited from placing a camp unit on a campsite and leaving the Resort for the sole purpose of saving a site for weekends, holidays or other functions or reasons. Members who leave their vehicle unattended are subject to having their membership suspended or terminated. Graffiti or Defacement of Midwest Outdoor Resorts Property: Midwest Outdoor Resorts has always made every effort to keep the Resort free of unsightly graffiti and vandalism. Graffiti and vandalism will not be tolerated at Midwest Outdoor Resorts! Behavior such as this only drives up membership dues and reduces the enjoyment of one s camping experience. One of our primary goals is to assure a clean and carefree atmosphere. Any Member, family member, or Guest of a Member caught defacing or vandalizing Midwest Outdoor Resorts property, will have their membership revoked, without appeal. Any person, who defaces, injures 21 P a g e

22 or destroys property or equipment of the Resort will be liable for the full replacement cost. Site Savings: Midwest Outdoor Resorts does not pre-assign sites, however, members may request certain areas of the resorts with the understanding that the request is not guaranteed but Midwest Outdoor Resorts will make every attempt to accommodate the request. Members are prohibited from saving full-hookup sites for themselves, other Members or Guests at any time, with one exception. Members who already occupy a site, who must remove their camping unit for repair or other Resort management approved functions may reserve THAT site for the remainder of that day only. Member must return before quiet hours are in effect. Resort management will provide the Member with a dated Occupied by Management Approval place card which will be posted on the electrical pedestal in the campsite to prevent other Members from parking in that space. Members who leave personal possessions in their site to show signs of occupancy do so at their own risk. Members who fail to return to their site by the required time will have all items, if any, removed and stored. Their sites are then first-come, first-serve. Vehicles, chairs, water hoses, sewer hoses or other items present in a full-hookup campsite are sufficient proof that a site is being saved. Under no circumstances will a Member invade the privacy of another to ascertain their departure time with the intent to occupy their site. Group Camping/Special Functions: Members may, from time to time, request permission for special functions. Due to the many different needs and requirements, Members must contact the operations office for specific details or restrictions. All facilities will be by reservation only, and only at a time when it will not interfere with the Resort and Member activities. A nominal charge may be required. Group camping guidelines can be picked up from the operations office. 22 P a g e

23 Limit on Campsite Use: Memorial Day through Labor Day During the Peak Season only two sites (depending upon availability) may be used in conjunction with a membership. Family reunion packages are available. Please contact the front desk. 24 Hour Camping Rules: A recreational vehicle occupying a site on the Resort may not be left unattended for more than 24 hours. If you are not staying overnight on your site, you must move your RV off of the site and to the storage area. Availability of Campsites: Occasionally during such events as Memorial Day, Father s Day Weekend, Fourth of July, and Labor Day, and Sturgis Bike Rally week at Rushmore Shadows the Resort may be full. To ensure a campsite upon your arrival, reservations are strongly recommended and taken no more than ninety (90) days in advance, with the exception of Family Reunions and Sturgis Bike Week which can be made one (1) year in advance. Only one recreational vehicle is allowed to occupy a site at any given time. Following January 1, 2017, any new memberships granted by the Resort shall not have the right to make any reservation at Rushmore Shadows for the period of time that is one (1) day before and one (1) day after the period of time when the Sturgis Bike Rally occurs and may be made available by the Resort in the manner it deems most appropriate, including allowing visitors to use Rushmore Shadows or to require members to upgrade Membership Levels to achieve availability. Reservations: Advance reservations are strongly recommended and may be made no more than ninety (90) days in advance. Advance reservations take priority over drive-ins without reservations. Check-in time is 4 p.m. and check-out time is 11 a.m. Prior approval must be made to stay after 11 a.m. 23 P a g e

24 Failure to arrive by 6 p.m. on the date of reservation will result in the Forfeiture of the entire reservation unless confirmation of the late arrival is received on the date of check-in. Everyone must check-out at the reservation desk when leaving the Resort or by dropping check-out cards at the designated drop box. Following January 1, 2017, any new memberships granted by the Resort shall not have the right to make any reservation at Rushmore Shadows for the period of time that is one (1) day before and one (1) day after the period of time when the Sturgis Bike Rally occurs and may be made available by the Resort in the manner it deems most appropriate, including allowing visitors to use Rushmore Shadows or to require members to upgrade Membership Levels to achieve availability. Pets: Members may bring usual domestic household pets such as dogs, cats and birds. When doing so, the Members must notify the reservationists. Pets are to be well-mannered and kept on a leash, no longer than 6 feet when outside of the recreational vehicle and are not allowed to run free at any time. Noisy or vicious animals are not allowed. All pets will have proof of current vaccinations and licenses as required by law. The Resort manager or staff may request Members to remove unruly, loud or misbehaving animals. Pets are not permitted in any Resort buildings, the swimming pool area or in other recreational facilities; other than other than service animals to assist the handicapped. Members must immediately pick up and dispose of their pet s waste in a sanitary manner. Members may leave their pet unattended while away from their RV for short periods of time, as long as they have informed the front desk staff and provided a cellular phone number so that Resort staff can contact them at all times. 24 P a g e

25 Members whose pet bites any individual in the resort will be liable for any medical or legal expenses incurred. Those who fail to assume responsibility for their pets will have their pet permanently banned from the resort. The Resort manager or staff shall be the sole judge of what constitutes an acceptable pet or acceptable pet behavior. Campfires: Fires are allowed in designated places only. During periods of extreme fire hazards, the facilities may be closed or other precautionary measures taken. Upon notice by the Resort Manager or the County Fire Warden, all Members, families and Guests shall immediately comply with order to take special precautions or to evacuate. Cooking fires are permitted only in barbecues located on campsites. Only charcoal briquettes may be used in barbecues. All barbecue fires must be extinguished after use. Members will not cut, gather or burn trees, wood, sticks, branches or use any Resort property in barbecues. Do not put barbecue coals in any trash receptacle until they are completely extinguished. Motorcycles, ATV s and Off-road Vehicles: Motorcycles, including mopeds and motorbikes, ATV s, and off-road vehicles must remain on developed roadways at all times while at Midwest Outdoor Resorts. Recreational Facilities: All recreational facilities are for use by Members, their Associates, families, Guests and staff. The Resort has the authority to close the pool or other facilities on inclement days, due to threatening weather conditions, or to maintain cleaning of pool or pool area. Children under 12 must be accompanied by an adult, 18 or older, when using the swimming pool and the playground. 25 P a g e

26 All Members and Guests are expected to observe the posted pool rules as well as those rules posted at the other recreational facilities. There are no pool lifeguards. Everyone swims at their own risk. Parents will be responsible for the conduct of their children and it is their responsibility to see that their children observe the rules. No alcohol of any kind is allowed in pool area. No nudity in pool area is allowed. Game Equipment: Recreational equipment to be used for the various recreational activities may be checked out at the front desk and by leaving something that is deemed valuable. The Member is responsible to return the equipment in good condition and will be required to reimburse the Resort for damaged or lost equipment. Equipment shall be returned immediately upon completion of its use so that other Members will also have an opportunity to enjoy the equipment. Use of the recreational facilities will be on a first-come, firstserved basis with no reservations permitted. Signs: Midwest Outdoor Resorts was designed to be a place for safe family enjoyment where Members and their Guests could visit and experience a carefree stay. In order to help facilitate this objective, the following guidelines shall be enforced. There will not be any soliciting of any kind in the Resort. Signs, displays or notices of any kind are to be located on or in a vehicle. Members may, however, display small signs or nameplates with their names, city and state if they so desire. There will be no signs or displays of memberships for sale on the property of Midwest Outdoor Resorts. In light of this, at no time shall any Member visually display or verbally promote any political or cultural view. Hunting: Absolutely no hunting is allowed on Resort property by Members. Members who are hunting in the area shall have all guns unloaded while on Resort property. 26 P a g e

27 Tents: A tent must have its own campsite. Tents are not allowed to share a site with any other tents or campers. Certain areas and campsites are designated as No Tent areas. Members should ensure that a tent or tents are authorized prior to setting up a tent. Overnight Guest Policy: Each Membership number is allowed four (4) guest nights per season (Memorial Day to Labor Day), with the exception of the Lodge Membership which receives (8) guest nights per season. Guests are entitled to the same accommodation privileges as the membership of which they are Guests. Members must be staying at the Resort while Guests are present. Guests pay $10.00 per night for campsites (or current rates). Resort Rental units are available to rent while at the Resort to those having memberships allowing rental privileges. Due to health regulations, pots, pans, dishes and utensils are not provided. Dishes and utensils can be purchased at the Resort. The first set of linens are provided and additional sets can be rented for a nominal fee. Current member rental rates apply. Storage Facilities: Members may rent storage space at Rushmore Shadows Resort, Hidden Bluffs Resort, Soo Line Trail Campground, or St. Croix River Resort on a space available basis for their recreational vehicles and avoid the necessity and additional costs of transportation between home and Resort. Space is limited and only available on a first come first serve basis. A storage agreement must be completed before vehicles are admitted to the storage lot. The storage fee is to be paid on an annual basis only. Resort personnel are available to move your unit between the storage facility and a site. If you would like to use this service contact the Resort as least 24 hours in advance. The fee for this service is outlined in the storage agreement and must be paid at the office upon check-in. It is the responsibility of the Member to connect 27 P a g e

28 and disconnect the unit from hookups before being moved back to storage. Applicable fees apply if this is not done. The Resort assumes absolutely no responsibility for any damage or loss to vehicles or items and a copy of the current Insurance card must be on file at the Resort. For more rules and regulations on the storage facilities please refer to the storage agreement which is available at the Resort. Day Use Guest: Each membership is entitled to bring five (5) Guests per day visit. Preregistration of Guests at the front desk is strongly recommended. Members must be present while day use Guests are at the Resort. Washing of Recreational Vehicles: No washing of RV s allowed on sites at Midwest Outdoor Resorts. Mail/Postal Service: Midwest Outdoor Resorts does accept mail for Members and guests. 29 Resort Employees: Resort employees are not subject to the individual direction or control of Members. No Member or Guest shall reprimand, threaten, strike, mistreat, harass or verbally abuse any Resort employee at any time. The specific direction and control of Resort employees is vested in Midwest Outdoor Resorts and its duly authorized management. Air Conditioning, Electric Heater and Generator Use: Members will not leave the Resort and leave any air conditioner, electric heater or generator running and unattended due to safety and utilities conservation, regardless of the reason or season. In the event of a power outage within the Resort, generators may be operated during quiet hours (10pm & 7am) however, once power has been restored, generators must be turned off. Release of Liability: In consideration for being permitted to enter and use the Midwest Outdoor Resorts facilities, Member understands that the use of recreation facilities involves a certain degree of risk of injury or damage to person and property, and Member and Member s family using Resort facilities, services, or premises assume all risks of loss or injury or damage to person or property resulting from such use. Member agrees to indemnify the Developer and the Resort and hold harmless from all claims, liability loss and expense incurred by reason of injury to person to property, or both, of Member s Guests arising from the use by such Guests of Developer s properties, its facilities or surrounding areas. 29 P a g e

30 DEFINITIONS The following definitions are provided to help in the understanding of the Rules and Regulations. A. Forfeiture-Same as Termination with the exception that due to the Developer s damages or fees, the membership reverts to the Developer. Once Forfeiture action is taken by the Developer, reinstatement by any means is not available to the ex-member. B. Guest-A person not owning a membership, but invited by a Member to accompany the Member to the Resort and utilize entitled facilities of that Member. C. Maintenance Fee-An annual fee, as set by the Developer, assessed for the cost of operating the Resort, to each Member. D. Member-Current holder of a Membership Number, card and membership agreement. E. Member in Good Standing-A Member whose Maintenance Fees and contract payments, if any, are current and he/she is not on Probation or Suspension. F. Membership Number-Each membership sold is assigned a numerical identification of digits, and may have a prefix or suffix attached. The total of these identifications can never exceed the total authorized Members. The numbers are not sequential. G. Peak Season-That period each year from Memorial Day through Labor Day. H. Probation-Member privileges are not suspended; however, Member is notified his/her/their actions/behavior could lead to Suspension. Probation period will be set/controlled by the Resort manager. 30 P a g e

31 I. Re-instatement-Refers to the process of becoming a Member in Good Standing by bringing current all required fees and meeting the other requirements as stated elsewhere in these definitions. J. Resale-Refers to the second, or later, Sale of the same membership. The Membership Number remains with the membership. K. Sale-A membership is considered sold when a membership contract is signed and the buyer s name approved and entered on the membership list by the Developer. L. Suspension-Member privileges are withdrawn for a specified period of time in order to control the behavior of a violating Member. Length of Suspension to be set/controlled by the Resort manager. M. Termination-Removal action taken against a Member. Member is allowed to sell the membership, but privileges are withdrawn immediately upon Termination. The ex- Member is not allowed to purchase another membership. N. Transfers-A membership may be transferred to another person, not currently a Member in accordance with the Rules and Regulations. No other encumbrances may be placed on this process by the Developer or its agents. O. Upgrade-The process of changing category of membership to one with more privileges. 31 P a g e

32 FAMILY REUNIONS DEFINITION OF A FAMILY REUNION: A group qualifies as a family reunion when they require more than one rental unit, or more than three campsites during any given time period. With any family reunion, the "Length of Stay" provisions for each Membership type still applies. For example: -Memberships with 14 day restriction: o -7 units x 2 nights each = 14 days (Allowed) o -7 units x 5 nights each = 35 days (Not Allowed) -Lodge Membership with 21 day restriction: o -7 units x 3 nights each = 21 days (Allowed) o -7 units x 5 nights each = 35 days (Not Allowed) Families are able to use any combination of Rental units that are allowed with their Membership type. Each family reunion is allowed a maximum of 3 rental units (based upon availability). As for the full hook-up camping sites, the only restriction as to the number each reunion can have, is based on availability. We will do our best to get your reunion party as close together as possible, but we can t make any guarantees. If your reunion decides to cancel their reservations, please notify us 7 days prior to your scheduled arrival date. If you don t notify us within that time frame, there will be a cancellation charge, equal to the reserved units and dates. Reunion rental rates are the same as Member charges. If your group is interested in gathering in the picnic shelter during your stay, indicate so on the reunion worksheet. The reunion worksheet will be sent to you after you have called to reserve the dates for your reunion. The clubhouse is not available for usage during the summer months (Memorial Day to Labor Day) because of the high and unlimited usage of the area. 32 P a g e

33 In an effort to make your reunion a more pleasurable and memorable experience for your families, please ensure that the Rules and Regulations of the Resort are explained to all the reunion attendees. If you need more copies of the Rules and Regulations, please contact us and we would be happy to provide them. The Resort staff is here to make your stay an enjoyable one, but also to enforce the Resort s Rules and Regulations. Don t forget to explain the equipment rental program to them. Each membership is allowed to have a family reunion once every other year. There are only two family reunions allowed in the resort at any given time (one reunion per Membership Number). This policy helps to ensure that all the Members have an equal chance to use their memberships to the fullest! Also, most reunions are set-up one (1) year in advance. We encourage you to call early for reunions!! For family reunions, the rule limiting reservations to ninety (90) days in advance does not apply. However, if sites and rental units are available, staff will do our best to work with our Members to accommodate any Family Reunions. Family Reunions cannot be held over major holidays or holiday weekends such as Memorial Day, Fourth of July, Labor Day and Sturgis Bike Week.
