2 Page 2 PREUMINARY CONDITIONAL OFFER OF POLAND CONCERNING INITIAL COMMITMENTS PART I 1. Poland is submitting its preliminary conditional offer during a process of fundamental economic reform. The transition from a centrally planned to a market economy implies a broad opening of the Polish market for international cooperation and is based on non-discriminatory measures for enlarging access to this market. Practically all the constraints inherited from the centrally planned system have been eliminated. However, the process of transition is not yet completed, and the internal regulatory framework is still in a process of change. Some of the remaining barriers to access to the Polish market as well as some other restrictions related to national treatment will be gradually abolished. It cannot be excluded that some new regulations will be implemented with measures intrinsic to the regulatory mechanisms of a market economy. Therefore, this offer does not contain all the implemented measures that will liberalize access to the Polish market. 2. Poland presents her preliminary conditional commitments related to the liberalization of access to the domestic services market and related to the elimination of restrictions to national treatment as a basis for negotiation within the Uruguay Round. At the same time Poland reserves its right to modify, extend or reduce this offer depending on the overall outcome of the negotiations as well as depending on the readiness of the other parties to undertake reciprocal liberalizing measures of interest to Poland. Acceptance of the final commitments will depend on a satisfactory text of the framework agreement and its

Since Poland is a less-developed contracting party it reserves its right - justified by its level of development - to maintain a correspondingly lower level of liberalization of service trade than developed parties. Furthermore, Poland reserves the right to make technical changes as well as to correct possible inaccuracies and omissions. 3. The classification of services trade is that contained in the GATT reference list set out in MTN.GNS/W/50 with minor exceptions related to some detailed service activities described differently in Poland's legal system. 4. Measures which are described within this document solely constitute Poland's offer. Moreover, the scope of the committed liberalization is fully described by this document. 5. Poland is ready to undertake negotiations with other parties concerning enlarged access to its market and scope of restrictions to national treatment only if other parties will be ready to undertake similar commitments of interest to Poland. PART II Following are the principal laws and regulations concerning conditions and restrictions of market access. 1. Cross-border provision of services. a/ In the case of services associated with cross-border trade in goods the relevant regulation is contained in the Custom Law (Ustawa o Prawie Celnym z dnia 28 grudnia 1989 r. - Dziennik Ustaw Nr 75 poz.445) b/ In the case of services provided over telecommunication network the appropriate provisions of Commuication Law are applicable (Ustawa o Lacznosci z dnia 23 listopada 1990 r. - Dziennik Ustaw Nr 86 poz. 504). c/ Postal services are regulated by the provisions of the above mentioned Commmunication Law.
4 Page 4 d/ Technology transfer, patents, licenses and trademarks are regulated by the Law on Innovations (Ustawa o Wynalazczosci z dnia 19 pazdziernika 1972 with subsequent changes - Dziennik Ustaw 1984 r. nr 33, poz. 177) and the Law on Trademarks (Ustawa o Znakach Towarowych z dnia 31 stycznia 1985 r. - Dziennik Ustaw 1985 r. nr 5, poz. 17). 2. consumers. a/ Main regulations concerning movement of consumers are contained in the Passport Law (Ustawa Paszportowa z dnia 29 pazdziernika 1990r. - Dziennik Ustaw z 1991r. Nr 2 poz. 5). b/ Purchasing of services while abroad is constrained by some restrictions imposed by internal convertibility of the Polish currency - zloty - as set out in the Currency Law (Ustawa o Prawie Dewizowym z dnia 15 lutego 1989 r. with subsequent changes - Dziennik Ustaw 1989 r. nr 74, poz. 441). 3. investments (commercial presence). investments to Poland is regulated by the Foreign Investment Law of 15 June 1991r. This law generally provides freedom of establishment on the basis of the Polish legal system eg. foreign owned or foreign controlled entities have to be incorporated as stock companies or joint ventures. Licensing is envisaged for banking, insurance, airport and seaport management, real-estate intermediation, wholesale trade and legal services. 4. personnel Foreign essential personnel at the established foreign-owned or foreign controlled services providers may be employed as set out by the Foreign Investment Law of 15 June 1991 (mentioned above). Employment of foreigners is generally possible upon the licensing of the local employment offices after a labour market test as described by the Employment Law (Ustawa o Zatrudnieniu z dnia 29 grudnia 1989 r. - Dziennik Ustaw 1989 r., nr 75, poz.446).
5 Page 5 PART III Definitions of terms used. The term NO LIMITATIONS OR RESTRICTIONS and NO RESTRICTIONS OR CONDITIONS are used in a situation in which market access is not conditioned or restricted and in which national treatment is assured. It does not mean, however, that there are no limitations, restrictions or regulations in Poland's law concerning the service sector. But it means that they are equally applied to all service providers irrespective of their nationality. The term BOUND means that the Polish Government undertakes a commitment to bind market access or a national treatment schedule as achieved by liberalization measures concerning a given service sector and a given mode of delivery described in this offer which were introduced recently or which will be implemented in a defined future. The term UNBOUND means that the Polish Government has not undertaken any commitment to bind market access or national treatment concerning a given service sector and a given mode of delivery. The term STANDSTILL means that Polish Government decided to maintain the current level of market access and national treatment as achieved by recently introduced liberalization measures and will not introduce new constraints. This however, does not mean that temporarily introduced measures of even greater market access or those regarding national treatment will not be revoked to the level defined by the committed standstill. The term NOT APPLICABLE means that a particular mode of delivery in a given service sector is not viable or has no application under Polish conditions. PART IV The layout of Poland's offer is based upon the pattern described in GATT document MTN. GNS/35.
