VENTURA PORT DISTRICT LEASING OPPORTUNITY IN VENTURA HARBOR VILLAGE LIGHTHOUSE BUILDING 1567 Spinnaker Drive #100 & #200 Ventura, CA 93001 1) INTRODUCTION & BACKGROUND The Ventura Port District is seeking visitor serving proposals for the following property: Location: 1567 Spinnaker Drive, Suite #100 and #200. Rentable Space: Lease Terms: Hours of Operation: Leasing Goal: 6,822 interior square feet and 1,100 patio square feet with current floor plans (See Exhibit A and C). Suite #100 is currently on month to month lease and Suite #200 lease expires July 2018. Minimum Ten (10) Years Tenant agrees to be open for business seven (7) days per week and minimum hours of operation shall be 11:00a.m. to 6:00p.m. daily. Tenant shall abide by seasonal and or holiday hours, special marketing and promotional hours as determined by Landlord. To achieve a new and dynamic concept that may include the following: o Multi-Use tenant providing a variety of retail and/or restaurant uses o Restaurant / Bar o Entertainment and/or family fun components The Ventura Port District is the owner/operator of the Ventura Harbor and Ventura Harbor Village. The Harbor is a 274 acre multiple use recreational and commercial fishing small craft harbor. The Ventura Harbor is a premier recreational harbor in Ventura County offering a variety of amenities for boater enthusiasts and visitors, including easy access to the Channel Islands, recreational fishing activities, boatyards, fuel docks, tours, rentals, cruises, vibrant yacht clubs and a new public launch ramp. Ventura Harbor has five marinas with 1,500 boat slips. 1
The Ventura Harbor Village is a vibrant and mixed-use seaside attraction with boutiques, art galleries, and waterfront restaurants, plus entertainment venues, events, harbor boat tours, and more. The Ventura Harbor is also home to the Channel Islands National Park Headquarters and Visitor Center, along with being one of the largest offloading harbors for squid, commonly referred to as calamari. Fresh seafood dishes and a variety of international cuisines abound. We are also completing a Harbor Village Beautification project within the vicinity of the available suites that will provide a new entertainment stage, fire pit, accessible ramps and seating terraces (See Exhibit G). Proposed or approved developments within the vicinity of the suite(s) include the following: Portside Partners project broke ground in January 2017. The mixed-use development project consists of 300 apartment units, 20,000 sq. ft. of commercial space, 150 boat marina, public park and promenade, public launch ramp. (See Exhibit E). Holiday Inn Express expansion along Harbor Boulevard will add 40 guest rooms, with new lobby and amenities to the existing hotel. Construction is slated for fourth quarter of 2017. BS Taproom The Beer and Sausage, LLC corporation is operated by an investor and entrepreneur who owns and manages commercial real estate, including many restaurants from Athens Greece to Northern and Southern California. This new restaurant will specialize in small plate food along with expertly selected Craft Beer and locally sourced food. They plan on supporting the Ventura County local breweries by showcasing their beer. (See Exhibit H). H. Parker Hospitality (Fess Parker Hotels) was selected on May 24, 2017 by the Ventura Port District Board through a competitive RFP process to negotiate an option and long term lease to develop two new concepts. The concepts are an Adventure Lodge and Harbor Cove Inn (boutique hotel, beach café, restaurant, and events center). (See Exhibit F). 2) PROPERTY DETAILS The suite(s) are located within the Ventura Harbor Village located at 1567 Spinnaker Drive, Suite #100 and #200. The suite(s) is comprised of two separate units. Suite 100 portion is approximately 4,942 sq. ft. Suite 200 is approximately 1,880 interior with 1,100 patio. Potential tenants may consider submitting proposals including both units together as one footprint. 2

SUBMISSION GUIDELINES & REQUIREMENTS Application requirements for all lease proposals: References, minimum of four current business contacts Business Plan that includes the following: o Resume of business experience o Marketing Strategy o Revenue Projections (minimum 5 years) o Operating Cost Breakdown o Photos and proposed conceptual design showing business concept o Sample Menu if submitting a restaurant concept Information to be considered in making a lease proposal includes the following: Lease proposals shall include an offer to lease one or both suite(s). Shall capitalize on the Harbor visitor serving properties and uses in order to achieve the greatest economic impact, operational quality, and space design. SELECTION PROCESS The District s staff is responsible for managing the lease proposal selection process. All lease proposals, submitted in response to this lease opportunity, will be reviewed for their relative strengths and weaknesses, based on the submission requirements and evaluation criteria described herein. The District may consider one or more potential tenants for further consideration. Further consideration may include, but is not limited to such tasks as conducting potential tenant interviews and/or presentations, requesting follow-up responses to proposal questions, performing reference checks and obtaining financial information. The goal will be to recommend one or more potential tenants to the District s Board of Port Commissioners for further consideration. This may lead to negotiations of leases for Board consideration and approval of any lease documents for the premises. The District reserves the right to reject any or all proposals at its sole discretion. EXHIBIT E NEW DEVELOPMENT The Ventura Port District has been working with Portside Partners to create a new development within Ventura Harbor. This project is the catalyst to creating a more vibrant economy within the Harbor for the benefit of the District, businesses and its visitors. The mixed use development will include 300 residential apartments, commercial space, a park and promenade for the public, and a 104 slip marina. The groundbreaking was on December 7, 2016 and will be completed within the next three years. 10
PROPOSED NEW DEVELOPMENTS By Fess Parker Hotels OnMay2,2016,theVenturaPort District released a Request for Proposals to Lease Ventura Port District Property for Development of visitor serving uses. The two parcels for development are Parcel 5; the grass lawn area in Ventura Harbor Village, and Parcel 8; the vacant lot at the end of Spinnaker Drive. EXHIBIT F Three development teams presented to the Board of Port Commissioners and on May 24 th, H. Parker Hospitality was the developer chosen to work with. The concepts are an Adventure Lodge (Hostel) for Parcel 5 and Harbor Cove Inn(Hotel,beachcafé,restaurant,and events center) for Parcel 8. 11
EXHIBIT G Harbor Village Beautification Construction has begun on the Beautification of Ventura Harbor Village around building 1567 known as the Carousel Building. At their November 9, 2016 meeting, the Board of Port Commissioners accepted the $1.6M bid from local construction company Viola, Inc. This new construction will bring elements of the neighboring Pacific Ocean and Channel Islands National Park to Harbor Village. Decorative steel kelp sculptures will be surrounding an inlayed concrete map of the Channel Islands National Park. A sand blasted kelp pattern in the pedestrian walkway will lead you to the Marina promenade where you will ascend a grand stair case or accessible ramp to the new entertainment stage and fire pit. Seating terraces and bistro tables will also be added if you just want to relax and enjoy the view. New Plaza lighting will be a welcome addition for visitors strolling the area in the evenings. Palm trees and other shrubbery will be spread throughout this area for that seaside feel. Businesses are open during construction and the estimated completion of this project is slated for Summer 2017. 12
