BIMAN BANGLADESH AIRLINES LIMITED REQUEST FOR PROPOSAL (RFP) SCHEDULE (Ref: RFP Notice No. DACPM/B777/140/2013/907, Dated: 11 September 2013) 1. INTRODUCTION Biman Bangladesh Airlines Ltd. invites offers/proposals from Airlines, Operators, Owners of Aircraft, Manufacturers and/or Leasing Companies for taking Dry Lease of 02 (two) 777-200ER aircraft. Any of the above qualified agencies or companies having aircraft of its own or legally authorized by the owner to submit the offers/proposals on owner s behalf can only participate in the Lease process. 2. GENERAL REQUIREMENTS a. Name of the Lessor, Operator and Owner To be provided by the bidder b. Number and Type of Aircraft 02 (two) 777-200ER. Both aircraft must have similar configuration, similar type of Engine and Avionics. c. Nature and Period of Lease 60 (sixty) months Dry Lease d. Age of the Aircraft Aircraft should not be more than 15 years of age at the time of offer submission. e. Configuration Two class standard configuration f. Representation and Authorization If the Lessor is not the owner of the aircraft, owner s authorization/mandate must be submitted prior to negotiation g. Aircraft Registration Registration of the aircraft during the lease period will be as per regulations of the Civil Aviation Authority of Bangladesh (CAAB) h. Aircraft Delivery Aircraft must be delivered in full operating condition i Commencement of Lease Mandatory by January 2014 Preferably by November 2013 j. Preference Aircraft from a single source. Offer for one aircraft will be acceptable. However, for selection of aircraft, the criteria at Sl No. 2(b) will be followed. 3. TECHNICAL INFORMATION AND DOCUMENTS Bidders are required to provide/submit detailed Technical Information and Documents of the offered Aircraft as per Annex-I and Annex-II. 4. DELIVERY AND RE-DELIVERY REQUIREMENTS a. Delivery requirements: D Check or Heavy maintenance Check must not fall due during first one year of lease period from the date of commencement of lease. If D Check/Heavy Maintenance Check is due in the second year, then the lessor must pay the difference between D Check/Heavy Maintenance Check cost and accumulated Maintenance Reserves. C Check as per lessors applicable maintenance program shall have to be carried out prior to commencement of lease. b. Before commencement of Dry Lease operations - i. Aircraft - Each Aircraft to be delivered fresh out of `C check. - The aircraft shall have valid C of A. - Major components which are On Condition or Condition Monitored shall be serviceable. - Landing Gear next overhaul due date/cycles. - All wheels and Brakes should have at least 50% remaining useful life. - Hard time components shall have a minimum of 4,750 hours or 1,500 flight cycles or one year (whichever is limiting) until the next scheduled shop overhaul. Components having an interval less than these intervals shall have full life remaining. ii. Engines/APU - Engines and APU life limited parts shall have at least 4,000 flight cycles remaining. - Engines shall have sufficient on-wing take-off EGT margin to allow soft life of at least 2000 cycles of operation. - Major components installed on engines (EBU/LRU items) shall have a remaining life of at least 4,000 hours. - No terminating action requirement of any AD during the Dry Lease period (Repetitive inspection requirements are excluded), if permitted by the AD itself. No Engine/APU will have a reduced inspection interval requirement for a condition of an installed component. c. Redelivery Conditions: To be mentioned by the Bidder in details. 5. GALLEY AND SERVICE EQUIPMENT Each of the offered aircraft should have following Galley facilities and arrangements: a. 02 (two) ship sets Galley Equipment and Inserts including Oven (with Inserts), Hot Cups/ Coffee Maker, Hot Jugs, etc. b. Sufficient facilities should be available for providing 02 major and 02 minor meals for passengers and crew on long-haul sectors. c. 04 (four) ship sets of Service Trays (50% 2/3 and 50% 1/2 trays) shall have to be provided. d. 6. AIRCRAFT LIVERY The aircraft shall be delivered with Biman's Livery as per Biman's specifications at Lessor's cost. 7. AIRCRAFT INSPECTION Prior to finalization of the lease contract, a team comprising of officials of Biman and Civil Aviation Authority of Bangladesh (CAAB) will inspect the aircraft. 8. AIRCRAFT DELIVERY AND REDELIVERY LOCATION The Aircraft shall have to be delivered and re-delivered at a mutually agreed location. 09. OPERATION AND MAINTENANCE OF AIRCRAFT Operation and Maintenance of the leased aircraft will be at lessee s responsibilities. The base of aircraft operation will be at Dhaka, Bangladesh. The aircraft will be operated on mid-haul and long-haul routes. The aircraft must be able to operate direct from Dhaka to London and back with full pay load. 10. FINANCIAL OFFER/PROPOSAL Bidders must quote Monthly Lease rent and Maintenance Reserves for the offered aircraft i Monthly Lease Rent To be mentioned in US Dollar ii Maintenance Reserves To be mentioned item-wise in US Dollar iii Spare Engine Support, if any (optional) Please specify in details the financial terms & conditions including daily usage and maintenance reserves charge for spare engine separately. 11. OTHER FINANCIAL TERMS AND CONDITIONS a. Taxes: Any and all applicable taxes outside Bangladesh in connection with the leased aircraft shall have to be borne by the Lessor. b. Costs/fees: Biman will not be responsible for any costs if not specifically stated in the agreement or not arising directly out of Biman's use or possession of the aircraft. 12. NEGOTIATION Biman will negotiate directly with the Lessor/Owner /Principal or duly authorized person only for the proposed lease. 13. VALIDITY OF PROPOSAL/OFFER The offer/proposal should remain valid for 120 (One Hundred Twenty) days from the date of opening. 14. SUBMISSION OF THE PROPOSAL/OFFER The Offers/Proposals are to be submitted latest by 1000 hours LT (0400 hrs UTC) on 03 October 2013 addressed to General Manager (Corporate Planning), Biman Bangladesh Airlines Ltd., Head Office, Balaka, Dhaka, Bangladesh through Courier Service or E-mail at rfp777-200er@bdbiman.com. No offer/proposal would be accepted after the closing time and date. Biman Bangladesh Airlines Ltd. will not be responsible for late receipt of any offer/ RFP for two B777-200ER Page 3

proposal due to any reason whatsoever. The proposal(s)/offer(s) will be opened on the same day immediately after the closing time and date in presence of the Bidder(s), if any. 15. GENERAL TERMS AND CONDITIONS a. Non-compliance of any condition in the RFP schedule where the word must have been used will render the offer/proposal as non-responsive. b. No unsolicited paper/document/information/approach will be entertained at any level. Bidders are required to comply with the stipulated terms and conditions of the RFP Schedule, failing which the offer/proposal may be rejected at the option of the Lessee. c. Biman Bangladesh Airlines Ltd. reserves the right to accept or reject any or all the offer(s)/proposal(s) partly or wholly at any time and/or stage without assigning any reason whatsoever and no claim shall be entertained in this regard. 16. A list of Hard Time components, showing Part No., Serial No., Hours/Cycles/ Calendar period logged since last overhaul and when next due. A copy of certificate from the Airworthiness authority of the State of Registry of the aircraft approving the maintenance check schedule followed by Lessor. A statement from the owner/operator that the aircraft fully complies with the airworthiness requirements of the State of Registry. Details of maintenance program followed and approved by the airworthiness authority of the country of Registry. The aircraft and their documents will be inspected. Please indicate when and where the inspection can be made. The current balance or startup reserves in the amounts equal to the product of time logged and the corresponding maintenance reserves are made available by the Lessor to the Lessee to undertake the maintenance during the lease term. Annex-II DOCUMENTS A. The following documents are to be submitted along with the offer/proposal: i. Valid Certificate of Registration, ii. Valid Certificate of Airworthiness, iii. Valid Certificate of Insurance, iv. Valid Certificate of Maintenance (Maintenance Release to Service), v. Radio Station License, vi. Aircraft Noise Certificate, vii. Type Certificate and Type Certificate Data Sheet, viii. Certificate regarding ownership of the aircraft duly notarized, ix. Owner's authorization/mandate in owner's letterhead for leasing the aircraft to Biman (applicable if the bidders is not the owner of the offered aircraft), x. Airworthiness Directive Compliance Report, xi. Brief Maintenance Activities for the last 12 (twelve) months, xii. Maintenance Check-Cycle interval, xiii. Any other documents as may be required by the Civil Aviation Authority of Bangladesh (CAAB) and other Civil Aviation Authorities concerned. B. Bidder will have to submit the following documents at the time of aircraft delivery: i. Standard package of technical documentation for normal airline flight operations and maintenance planning (hard copies and CD) ii. Component list of life controlled items iii. MPD, MMEL, MEL, CDL, Weight & Balance Manual, Interior Drawings/ LOPA iv. CMMs of BFE equipment such as Galleys, Passenger Seats, Impact activated ELTs v. Database for DFDR recorded parameters, etc. vi. Flight Safety Manual, Flight Safety Equipment List, their description and layout diagrams vii. Aircraft major repair data history viii. External Repairs and Damage Report (Repair Mapping/Charts) ix. Updated list of ADs and SBs incorporated on aircraft with Statement that no AD/mandatory SB would be due within the 12 months beginning lease x. Complete Engine Records including: - LLP Listing and Back-to-Birth History (upto zero document) - Updated AD/SB Listing with Statement that no AD/mandatory SB would be due within the 12 months beginning lease - Last 2 Shop Visit Report (if applicable) - Log Book - Updated Engine Accessory List (Time/Cycles for reasonable numbers) xi. Complete APU Records including: - LLP Listing and Back-to-Birth History (upto zero document) - Updated AD/SB Listing with Statement that no AD/mandatory SB would be due within the 12 months beginning of lease. - Last 2 Shop Visit Report (if applicable) - Log Book - Updated Engine Accessory List (Time/Cycles for reasonable numbers) xii.
