VICTOR RÍOS SALAS Attorney (L.L.B), Universidad Gabriela Mistral, Santiago, Chile, Member of the Bar Association and of the Santiago Chamber of Commerce. Master in Business Law (MBL), Universidad Adolfo Ibañez, Santiago, Chile. Regular Professor of business Law at Universidad FinisTerrae, Santiago, Chile. Between 1992 and 1995, he holds the position of legal adviser of the Ministry of Justice in legislative subjects. In 1993 he is invited to work in Paris, France by the French Ministry of Justice, in a professional scholarship of interchange between both Ministries. Practicing law, his main area of specialization are related to Litigation, Corporate Law, Comemercial Law, Construction, Concessions and Telecommunications.
Advice Experience In 1996 he creates, as partner, the Firm Molina, Ríos, Silva y Cía.; today Molina Ríos Abogados. In such position, he firstly works in environmental topics, being in charge of the preparation of legal reports regarding the Studies of Environmental Impact of projects such as Metrogas, Gasoducto Gasandes, Santiago s Airport, Santiago s Subway and Termoeléctrica de Renca, among others. Likewise, he advises important foreign fishing companies who develop activities in the austral south zone of Chile, undertaking as legal adviser, the establishment of ANAPESCA Labor Union. Subsequently, he attends the Fishing Industrialists World Summit, representing the fishing companies, which took place in Hobart, Australia, in 1997. Performing such duty, he successfully assumed the representation of such fishing industrialists before the Courts of Falkland Islands, in a trial with Great Britain regarding the fishing quotas in the South Pacific. In the telecommunications area, he has applied for patents of telecommunications, carrier and telephone intermediate services, for national and foreign companies, as well as its representation before the Telecommunications Subsecretary (Subtel). In this field, he advices important companies of foreign capitals who develop activities in Chile. Regarding infrastructure matters, he has advised several companies in the development of works, construction and engineering. His experience as legal adviser surpasses the 50 executed construction projects, both public and private works, from the bidding stage up to its construction and subsequent operation. Gas pipelines, slurry pipelines, water pipelines, reservoirs, hydroelectric plants, roadway, highway, railroad, airport works and edifications of great importance, outstand among such projects.
In the corporate advice field, he has incorporated several foreign companies in Chile, whose investments have entered through the Decree Law 600 or Chapter XIV of the Central Bank s Compendium of Foreign Exchange Regulations. He has participated in several companies Due Diligence, merges and acquisitions procedures. Among other areas, he represents corporations before the securities authority (Securities and Insurance Superintendency SVS). At the present time, he is member of the Board of Directors of several companies. Moreover, he is director of Fundación Vicente Huidobro and Fundación Origen, nonforprofit entities. Experience in Litigation He has participated in several arbitration trials, both national and international. International Arbitration in Air Matter (filed against Boeing, Aeroperú airline and its international reinsurers, after the air accident occurred in Lima, Perú). -Arbitration because of the construction of the gas pipeline Argentina Chile (filed against Gasandes, belonging to the French Group Totalfina Elf, representing the international Consortium formed by the construction group Pipesa from Spain, Iecsa from Argentina and Mendes Junior from Brazil). -Arbitration regarding compensation for damages and losses suffered as consequence of the earthquake that affected the Santiago Los Vilos Highway granted under concession (filed against Compañía de Seguros Chilena Consolidada, representing the Concessionary Company belonging to the Spanish Group Sacyr)
-Arbitration because of the construction of gas pipeline Fundición Chiquicamata Codelco (filed against Distrinor, subsidiary of Tractebel Belgium, representing the international construction Consortium IPSA). -Arbitration between Sociedad Concesionaria and the Ministry of Public Works, because of the Concession of the Fiscal Public Work Aeropuerto Carriel Sur de Concepción. -Arbitration because of the performance of casting walls in the MERVAL Railroad Project (filed by the German Company BAUER, representing the OHL Construction Group from Spain). -Arbitration regarding guarantee insurance (initiated by the Financing Group Factorline S.A., representing Mapfre Garantías y Crédito S.A., Compañía de Seguros). -Arbitration because of the tailing dam s impulse line construction of Mina Disputada de Las Condes (filed by Pipelines United USA, representing the Brazilian Construction Group Mendes Junior), -Arbitration regarding rehabilitation and maintenance of railroads of Empresa de Ferrocarriles del Estado (filed against the railroad company Transap S.A., representing Obrascón Huarte Lain, OHL, from Spain).
