Vale Joint Venture Agreement Vale International S.A. Option & Joint Venture Agreement Southern Arc and Vale are exploring the East Elang project (adjacent to Newmont s Elang deposit) under an option and joint venture agreement whereby Vale can earn a 75% interest (Southern Arc retaining 25%) by funding project expenditures through to completion of a bankable feasibility study. To exercise its option, Vale must fully fund advancement of the East Elang project through to completion of a bankable feasibility study. Should Vale choose not to exercise its option, Southern Arc will retain its 100% ownership of the project at no cost. 39
