MESSAGE FROM OLIVIER GINON, Chairman Year 2003 was a turning point in GL events operational growth. Twenty-five years after our creation, we have consolidated our unique range of expertise. As a result, we are now able to offer global solutions for every type of project and customer regardless of the territory of intervention. As an event engineering partner to all market participants, GL events proposes a global approach by fully exploiting all commercial, operational and financial synergies. This synergy guarantees the quality of the solutions proposed in response to international invitations to tender involving engineering services for large events. Its success is illustrated both by the major achievements completed in 2003 in the field of sports, politics and culture and promising advances by subsidiaries in Hong Kong, North America, the United Kingdom and Spain, priority markets for future growth. To maintain our strong positions in the event industry, GL events regularly strengthens its teams of managers, encouraging their initiative and commitment to a threefold objective: customer satisfaction, optimisation of operating teams and strengthening group expertise to meet the needs of tomorrow's events. Through these measures, GL events will continue to benefit from the long-term growth prospects of this market. In 2003, our group achieved sales of 340 million, an increase of 12.6%. This performance was boosted by the adoption of our new identity that strengthened the group s shared focus to meet the challenges of the event industry market in today's world. Based on our common history and illustrating our shared goals, this new identity reflects the multicultural dimension and values of GL events 2,085 employees in 12 countries in Europe, Asia and North America. We are confident about the outlook for 2004. The year in progress will be marked by the organization of major events including the Athens Olympic Games and the Forum of Cultures held at the Barcelona International Convention managed by GL events. INTERVIEW WITH OLIVIER ROUX, Vice-President WHAT WERE THE MAJOR EVENTS OF 2003? There were many major international events in 2003, notably in the field of politics and sports. GL events participated in the 9 th World Athletics Championship in Paris and the All African Games in Nigeria. In the political arena, GL events installed the Franco-African Summit in Paris, the G8 Summit in Evian and the European Summit of Thessalonica. The group also contributed to the Grande Armada de Rouen, Formula 1 Grands Prix and the Cannes Film Festival. Venue and event management was strengthened by the addition of Europa Organisation, specialized in trade shows and conventions as well as the addition of new venues: the Paris Floral Park and the Grande Halle d Auvergne which includes an Exhibition Center and a Zénith concert hall. GL events also participated in a number of trade shows and exhibitions including the Première Vision, Maison et Objet, Batimat, the Paris International Air Show, the Paris Trade Fair, Equip hotel, Pollutec, Sirrha, Vinexpo etc. The recurring nature of these events contributes to the group's financial strength, the development of customer loyalty and the optimisation of the turnover of our assets. HOW DO VENUE AND EVENT MANAGE- MENT COMPLEMENT EACH OTHER? By providing an opportunity to identify event industry opportunities combined with an ability to offer a complete catalogue of event equipment, Venue management makes it easier to propose global solutions to customers. Event management, through trade shows and conventions that are organized, further contributes to the growth of our venues. In 2003, major group achievements included the launch of the Renault Megane Scenic, the World Summit of Cities and the Information Society, the Third World Life Sciences Forum (Biovision), Euro PCR, the Hopipharm convention or Equita Lyon. HOW WILL GL EVENTS OFFER EVOLVE? The group is evolving from a provider of products and services to global solutions covering engineering, venues and services. This strategy allows us to be closer to end customers while increasing both the visibility and profitability of our businesses. With a market offering solid long-term growth prospects and a reinforced financial situation, the group's outlook is promising. GL events remains faithful to its historical values of the last 25 years: respecting commitments, devotion to customers and local service, employees and shareholders and the imagination of our teams. 2003 BUSINESS HIGHLIGHTS FEBRUARY 2003 > Signature of the contract for a new venue: the PARIS FLORAL PARK. This concession will generate revenue of between 60 and 70 million over 11 years (venue management and associated services) > GL events installed TEMPORARY STRUCTURES FOR THE FRANCO AFRICAN SUMMIT held in Paris. APRIL 2003 > GL events was entrusted the management of two venues GRANDE HALLE D AUVERGNE which includes an exhibition center and a Zénith concert hall. This eight-year concession should generate sales of 60 million. MAY 2003 > GL events announced its acquisition of EUROPA ORGANISATION, a trade show and convention specialist. Europa Organisation has organized more than 35 trade shows and conventions in France generating sales of 14 million. JUNE 2003 > GL events strengthened its presence at major international summits. The group installed all temporary structures for the G8 SUMMIT AT EVIAN and the press center for the THESSALONICA EUROPEAN SUMMIT. > GL events announced a capital increase of 13.4 million which raised 15.4 million. This equity issue has given GL events additional financial resources to pursue its development strategy under optimal conditions. AUGUST 2003 > GL events was the national supplier for temporary structures for the World Athletics Championship in Paris for which it installed on the offices, VIP areas, press bleachers, media centers, etc. OCTOBER 2003 > GL events installed for the ALL-AFRICAN GAMES IN NIGERIA structures of 16,000 m 2 destined for the international village, the VIP restaurant and sporting facilities. NOVEMBER 2003 > GÉNÉRALE LOCATION BECOMES GL EVENTS confirming its position as a major international event industry company. As a partner and adviser, the group assists customers from the conception of their projects to completion. In this environment GL events has reinforced its historical expertise in event industry services by proposing a portfolio of venues (Palais des Congrès, Parc d Expositions, Zénith) and event ORGANIZERS CORPORATIONS VENUE MANAGEMENT SERVICE PROVIDERS Key players in the event communications market include: > Organizers, exhibitors, communications agencies > Service providers > Exhibition and convention centers, concert halls, auditoriums, stadiums > Corporations (exhibitors at trade shows, organizing conventions and internal events, sponsors, etc.) engineering services to provide organizers global solutions. With this range of venues, event engineering and services, GL events acts as a partner for organizers to assure the success of their events: TRADE SHOWS AND EXHIBITIONS represent a solid market in which GL events has historically occupied a very strong position. Estimated at 8 billion in Europe (with services accounting for 30%), this market represents significant volumes and is an important contributor of recurring revenue (approximately 85%). EVENTS are temporary and diverse in nature (sporting, cultural, institutional, political or corporate), in scale (local, national or international) and the profile of organizers (corporations, associations, local governments, etc.). The market in Europe is estimated at 7 billion (20% for services). The share of recurrent event business serviced by the group is estimated at approximately 60%. THE TRADE SHOWS AND CONVENTIONS MARKET is expanding, and the positioning of the group offers significant synergies. In France, more than 3,500 trade shows and conventions are organized every year. GL events also has a complementary business of fittings, systems and services to companies. Providing permanent or semi-permanent fittings and durable goods, this niche has experienced strong growth in the last five years. GL EVENTS IS A MAJOR PARTNER OF SPORTS, POLITICAL AND CULTURAL EVENTS

Contributing revenue of 187.5 million it accounted for 55.2% of total sales in 2003. Global services cover the following areas of expertise: general installations, stands, structures and bleachers, furniture, lighting, audiovisual services, electricity, computer systems, access control, hospitality services. These global services are supported by significant expertise in design, engineering event logistics and management. Through a dual strategy of vertical and horizontal integration, GL currently proposes a unique range of expertise. As a partner and adviser to organizers of events, the group occupies a distinctive place in a market which remains fragmented. TRADE SHOWS AND EXHIBITIONS Trade shows and exhibitions in 2003 accounted for 65% of services. The group has a significant market share among trade show organizers and high growth potential among exhibitors. This business provides recurring revenue through multiyear contracts (3-6 years) with major organizers such as Première Vision, Reed Exhibition, Comexpo, as well as many contracts subject to tacit renewals that the group has honoured for several years. The rate of recurrent business in this market is estimated at 85%. The market of conventions and exhibitions which has registered sustained growth of between 2% and 5% per year is estimated in France at 2 billion. EVENTS Services for events in 2003 accounted for approximately 35% of group sales of this division. This segment is characterized by the importance and increasing number of sporting, economic, political or business events (conventions, shows for clients, hospitality villages, etc.). GL events' solid reputation and the quality of its services assure it access to both local and major international events, fuelling regular annual gains in market share. These events call on the full range of the group's technical expertise and in particular, temporary fittings and the installation of removable structures and grandstands. In 2003, GL events participated in several major events: the Franco African summit in Paris, the G8 Summit in Evian, the World Athletics Championship in Paris, the All African Games in Nigeria, the Grande Armada de Rouen and several Formula 1 Grands Prix Events and the Grands Prix de Tennis. Driven by sustained growth trends, this segment offers GL events a profitable growth market. The group's international operations provide a source a stable source of revenue sustained by major sporting, political or economic events. GL events IN 2003 < 13

VENUE AND EVENT MANAGEMENT PROVIDES GL EVENTS WITH GOOD VISIBILITY IN RESPECT TO BUSINESS VOLUME

VENUE AND EVENT MANAGEMENT Venue management covers two markets: an upstream segment, involving management concessions to operate venues for local governments and a downstream segment which consists in leasing venues and providing services to organizers JEAN-EUDES RABUT EXECUTIVE MANAGER, VENUE MANAGEMENT > 252 EMPLOYEES > 17.5% OF SALES 2003 VENUE MANAGEMENT An axis of the group s strategic growth, this business consists of managing, generally through concessions, venues for events, conventions, trade shows and exhibitions. The group's presence in these two markets - upstream and downstream - offers several advantages both for local governments, traditionally owners of the sites, and organizers. It allows local administrations to outsource to specialists the management of their convention or exhibitions centers destined to host a variety of events (congress, conventions, seminars, exhibitions, etc.). Cities in this way enhance their image while generating positive economic returns notably in terms of hotel and tourism business. The venues are generally marketed via an organizer client acting as an intermediary vis-à-vis the endclient. The venue manager may also be the organizer itself. For organizers, GL events serves as a single provider proposing both the venues and global services. Venue and event management provides GL events with good visibility in respect to business volume. Future revenue streams are assured through public service delegation agreements for periods ranging between 6 and 20 years. The network of venues managed by GL events represents 312 000 sqm. GL events manages the following venues: Exhibition Park of Toulouse, Congress Center Pierre Baudis of Toulouse, International Convention Center of Barcelona, Congress Center of MARC DONCIEUX CHAIRMAN, EUROPA ORGANISATION JACQUES DANGER CHAIRMAN, PACKAGE Lyon, Polydome in Clermont-Ferrand, Grande Halle d Auvergne (composed of an exhibition Park and a Zenith), Saint Priest Castle (near Lyon), Congress Center of Saint Etienne, Battersea Park of London and a partner venue: the Paul Ricard High Tech Test Track of the Castellet. EVENT MANAGEMENT Event management consists in organizing studies, consulting, the creation and development of projects specifications, managing the registration, technical coordination, in sum, all the phases necessary to organize and hold a trade show, business convention or event. The commercialisation of venues under management: the group has developed since 1997 expertise in the management, maintenance and promotion of infrastructures. Specialized subsidiaries in the field of event management are Europa Organisation and Package, and the communication agency Esprit Public. GL events IN 2003 < 15

SYSTEMS AND SERVICES FOR COMPANIES Expertise in the design and manufacture of aluminium sections and structures destined for storage offer other group businesses opportunities to adapt standard equipment to customer specifications. FITTINGS The markets covered by this activity include: the fitting of points of sale, show rooms, reception halls, museums, cultural venues, cruise ships. The quality of services offered enables the group to serve as an assembler for specific events requiring the creation of temporary installations of a quality comparable to that offered by permanent installations (Summit of Heads of State, etc.) GL events IN 2003 < 17
