Foreword Bilfinger SE 3 Ladies and Gentlemen, At Bilfinger, sustainability means putting the implementation and achievement of economic, environmental and social goals on equal footing. It is a core element of the Group s Vision Statement and shapes our relationship with employees, customers and other stakeholders. Bilfinger has a large proportion of sustainable products and services. For many years, we have provided our customers solutions that help them achieve their own sustainability objectives. In particular, this concerns the issues of efficiency, lifecycle optimization, conservation of resources and the expansion and use of environmental technology and renewable energies. With this report we also want to make our own ecological and social commitment transparent. Our objective is to make an active contribution to the conservation of resources, to the advancement and development of our employees and to the continuous improvement of social conditions. We are proud to have recorded important achievements in these areas in the past year. These include, in particular, the implementation of a new compliance regulatory framework, the extension of our HSEQ activities and a further improvement in the framework conditions for compatibility between career and family. Company portrait Bilfinger SE 5 INDUSTRIAL BUSINESS SEGMENT Bilfinger provides services for the construction, maintenance and mod - ernization of industrial plants. The services provided include piping construction, machine and apparatus service, plant assembly, machine and apparatus engineering, electrical, instrumentation and control technology, laboratory and analysis technology, insulation, scaffolding and corrosion protection. POWER BUSINESS SEGMENT We are active in maintenance, repair, efficiency enhancements and useful life extensions at power plants as well as in the design, manufacture and assembly of components for power plant construction. Our services comprise engineering, supply, installation and maintenance over the entire lifecycle. BUILDING AND FACILITY BUSINESS SEGMENT The Building and Facility business segment covers technical, commercial and infrastructural real-estate services including consulting and the design and construction of buildings. Products and services in the areas of water and wastewater also make up part of the portfolio. The consistent focus of our services is the lifecycle approach. CONSTRUCTION BUSINESS SEGMENT A high degree of technical expertise and decades of experience enable Bilfinger to design and execute demanding civil engineering projects in the fields of mobility and energy. Key areas cover tunnel, road and bridge construction, hydraulic engineering, prestressing technology, steel construction and foundation engineering.

6 Bilfinger SE Our sustainability strategy Assuming responsibility As a company with a corporate history of over 130 years, we feel we have a special connection to the concept of sustainability. Our top priority is to secure Bilfinger s future. As a result, company policy is not built upon short-term goals, it focuses on medium and long-term success. Such success can only come about, in our opinion, if our business activities also take non-economic factors into account and are able to reconcile the needs of employees, customers, suppliers, shareholders and other social groups. Considering the entire lifecycle We consistently focus on the lifecycle approach in all of our projects, taking into account the various phases in the service life of plants and real estate. We aspire to define ourselves by means of quality, to set standards with regard to sustainability and to further solidify our market position through the continuous expansion of our service range. Highlights 2012 In the past year, Bilfinger made important progress in the implementation of its sustainability strategy. Some of the outstanding results include: _ Implementation of a new compliance regulatory framework and extensive employee training _ Expansion of HSEQ activities and establishment of the Groupwide HSEQ management system _ Improvement of the framework conditions for compatibility between career and family Goals for 2013 For the current financial year, we are planning: _ Implementation of the occupational safety campaign SAFETY- WORKS! _ Further development of measures for promoting women to management positions _ Structuring our service range in the area of energy efficiency _ Intensifying internal and external communication on the issue of sustainability Medium and long-term goals It is our objective to position ourselves as a sustainable company and to further expand our competitive advantage. _ We will increase the share of sustainable products and services and ensure that our clients meet their sustainability goals. _ We want to create innovations for power plants, industrial facilities and real estate that are targeted toward climate protection, service life extension and resource conservation. _ We will further optimize health protection and working conditions for our employees. _ We will reduce the negative environmental impact of our business activities and expand our sustainability requirements along the value chain. _ We seek inclusion in sustainability indices. To this end, we are working on our central management system for the control and development of sustainability activities. At the same time, we are extending the regional and content-related coverage and are optimizing the sustainability reporting system in the corporate units in order to generate key sustainability figures that are comparable.

Our sustainability strategy Bilfinger SE 7 2 1 4 3 1 OCCUPATIONAL SAFETY 3 SUSTAINABLE PRODUCTS AND SERVICES Mothers smiles shine from the walls wherever Bilfinger Industrier Norway is at work. In workshops, factories, refineries, industrial buildings and offshore installations, they cast friendly but scrutinizing glances at what is going on and implore: Be careful! The posters make up part of an occupational safety campaign for which the company was awarded the Bilfinger Safety Award in 2013. Bilfinger Mauell developed the Smart Grid control system. The system is capable of measuring the quantity of electricity generated locally and of providing data for the optimal utilization of the grid. In May 2013 the Smart Grid project was awarded the Hessian State Prize for intelligent energy. 4 SOCIAL RESPONSIBILITY 2 RESOURCE PROTECTION Bilfinger Construction is building major tunnel sections for the new XFEL x-ray flash facility in Hamburg. We treat the accumulated construction and ground - water to nearly drinking-water quality before it is returned to the Düpenau river. To this end, we developed a six-stage purification process. As part of a Knowledge Factory project in Halle, Bilfinger HSG Facility Management supported school children in founding their own company. The students developed a concept for a small juice shop as a fun way to familiarize themselves with economic processes including personnel, financial and sales planning.

8 Bilfinger SE Ecology acting responsibly The consideration of ecological requirements takes a high priority for us whether we are supporting and advising clients or planning and optimizing our own processes. We have put management systems in place to serve this aim. All units of the company are certified in accordance with the environmental management standard ISO 14001 or integrate environmental goals in the framework of other management systems such as ISO 9001. The proportionate share of ISO 14001 certifications increased substantially in 2012. Further expansion is planned for 2013. Certification in accordance with ISO 50001 (Energy Management Systems) is also in preparation for certain companies. Materials Our aim is to utilize materials economically and efficiently. We therefore pay attention to local availability in order to keep transport expenses as low as possible. When selecting materials, we take their entire lifecycle into account, examining aspects such as maintenance-friendliness, durability, health hazards and recyclability. We also consider and discuss a range of different material alternatives with our customers, examining the impact on people and the environment. Group-wide, we purchased raw materials, auxiliary materials, supplies and goods valued at approximately 1.5 billion in 2012. They primarily consist of steel, concrete and insulation. Energy and emissions When it comes to energy efficiency, we do not just optimize our products and services, but our own processes as well. The following electricity, natural gas and district heating consumption figures are based on energy consumption in Germany, where Bilfinger generated 39 percent of its output volume in 2012. The total amount of energy required amounted to 164,948 megawatt hours. CO2 emissions totaled 110,677 tons. The Greenhouse Gas Protocol, an internationally recognized reporting standard for companies, is used as the basis for calculating our CO2 emissions. We seek to keep the amount of energy we require as low as possible and to reduce the CO2 emissions we cause. And so we encourage the use of low CO2 vehicles by means of a bonus/malus system. Water and wastewater Water is an indispensable resource for people, nature and economic growth. The conservation of water counts among our most important tasks. We therefore utilize water efficiently within the scope of our activities. Waste We take into consideration the type and amount of resulting waste as early as the material selection phase. If it is not possible to avoid waste, we try to initiate a recycling or recovery procedure. We accordingly plan collection and disposal concepts at an early stage. Biodiversity As early as the tendering stage, we develop solutions that neutralize or mitigate the impact on nature wherever possible. We take precautions at an early stage to reduce noise, vibrations, dust and exhaust gases. Ecology Bilfinger SE 9 1 1 TRANSPORT BY SHIP INSTEAD OF TRUCK Instead of sending 130 trucks on a 1,300 kilometer journey, Bilfinger Construction transported all of the site equipment for the construction of the Norwegian Dalsfjord bridge via waterway. Just under 5,500 tons of equipment including excavators, floating pontoons and rotating tower cranes departed Hamburg on two boats bound for Norway in early 2012. Ship transportation may be logistically more complex than using trucks, but it costs less and dampens the environmental impact substantially. 2 2 FISH LADDER ON THE MOSEL BARRAGE When rivers are made navigable with barrages, it brings about advantages for people and the economy. However, the barrages block the upstream path for fish. It is for this reason that fish ladders, fish transfer systems or fish passes are built. As part of the expansion of the Mosel barrage near Koblenz, Bilfinger Scheven assumed responsibility for the hydraulic steel and steel construction as well as delivery and assembly of the technical systems for the new fish pass including an electronic counting system.

10 Bilfinger SE Employees realizing potential Our employees are our most important resource. We develop their skills, promote their performance and deal with each other with respect, fairness and loyalty. This is perhaps one of the reasons why we have been consistently ranked among the most attractive employers in our industry for many years. Equal opportunities As an internationally-positioned Group with a highly diversified range of activities and services, we rely on employees with differing experience, qualifications and perspectives. We respect for the personality of each individual employee and reject discrimination in any form. For Bilfinger the support of and compliance with human rights is as much a matter of course as the observance of employee rights. As of December 31, 2012, 10,849 women were employed by the Bilfinger Group. This represents 16 percent of our employees (in Germany: 25 percent). We aim to increase the percentage of women in our workforce and raise the percentage of women in management positions to between 15 and 20 percent by 2020. That percentage is now just under 7 percent. Focus areas include the compatibility of career and family, making working conditions more flexible, personnel development for women as well as school/university marketing and employer branding. Work-life balance Bilfinger set the improvement in the compatibility of work and family as a primary Group objective in 2011. Solutions include, in particular, flexible working time models as well as programs for the care of children and relatives with special needs. The comprehensive range of sport and other health-related initiatives at Bilfinger are met with high demand among employees. Training We give our employees the skills they need to meet ever-greater challenges and achieve their professional goals. In addition to external training, Bilfinger offers a range of training and qualification measures through the Bilfinger Academy. Occupational safety No task is so urgent or so important that safety precautions can be ignored. We are convinced that it is possible to completely avoid accidents. That is why we continue to concertedly pursue our aim of zero accidents. Reporting on the Group-wide recording of HSEQ events was further extended in 2012. Management software was implemented that records HSEQ events in accordance with uniform standards worldwide. We developed a concept for a behavior-based safety program (SAFETYWORKS!) that will be implemented throughout the Group starting in 2013 to further improve the safety culture at Bilfinger. In the 2012 reporting period, the Bilfinger Safety Awards were presented for the first time to Bilfinger operating units that distinguished themselves through their outstanding commitment. Employees Bilfinger SE 11 1 1 OCCUPATIONAL SAFETY AWARD Bilfinger Construction is building large sections of the 3.4-kilometer-long Wehrhahn line, a new underground rail line in Düsseldorf. Bilfinger initiated a competition among the sub-projects of the construction site: each month a sub-project receives an award for achieving the best results in the area of occupational safety. Not only does the safest construction site get a certificate, but also a snack for the entire team. 2 VOCATIONAL TRAINING IN SOUTH AFRICA At its plant near Pretoria, Bilfinger Power Systems manufactures components for coal-fired power plants. We train our employees in our own facilities to enable us to manufacture these components in South Africa. This concept means that we can make an important contribution to education and ensure the quality of our work. 12 Bilfinger SE Society meeting obligations We see ourselves as part of society. We therefore get involved as corporate citizens wherever our business activities are located. In particular, we support projects in the areas of education, culture and sport as well as social projects. Our corporate units decide for themselves which concerns are locally important and select the projects they wish to support. Our commitment to social issues is based to a great extent on the volunteer work of our employees at all hierarchical levels even members of the Executive Board get involved. They show their commitment in the context of community days, provide training, give lectures and actively participate in local initiatives. Our responsibility is also reflected in aid campaigns for charity organizations and for those in need. Frequently initiated by individual staff members and supported by management, these campaigns raise large sums of money for the respective aid organizations. Fundraising is carried out by collecting donations, holding draws or raffles as well as by donating the registration fees for sporting events. Society Bilfinger SE 13 1 THE BRONNBACH SCHOLARSHIP The Bronnbach Scholarship provides socially active students of law and business in Mannheim and Bochum the opportunity to engage in a dialog with artists and others involved in cultural activities and gain insight into creative processes and problem solving. Bilfinger is among the seven partners supporting and funding the project. 2 EDUCATION PROJECTS IN EMERGING COUNTRIES 1 The Education & Training department at Bilfinger VAM specializes in education projects for people in emerging and developing countries. The focus is on the dual-training program in automotive, electrical and welding technology as well as mechanics and mechatronics. The company equips training centers, develops curricula and provides training for the teachers. 3 COMMITMENT TO THE SPECIAL OLYMPICS A number of employees from Bilfinger were actively involved as voluntary helpers at the 2012 Special Olympics in Munich. A total of 70 apprentices, trainees and BA students from 13 Group companies supported the 5,000 athletes who competed in 19 sports. Bilfinger Industrial Services was the top sponsor of the National games for people with mental disabilities. 4 SPONSORING MANNHEIM S NATIONAL THEATER 2 Bilfinger is sponsoring National Theater in Mannheim for a three-year period. The company is the main sponsor of the film documentation of the so-called New Mannheim Ring. This will be a significant contribution to a large-scale project to document the new production of the opera cycle marking the Wagner anniversary year in 2013. 3 4

14 Bilfinger SE Sustainable products and services creating value Renewable energies The importance of renewable energy sources has increased rapidly over the past decade. As a longstanding partner to the energy and process industries, Bilfinger supports this change process. We draw up individual solutions based on cutting-edge technology on behalf of our customers. In particular, our expertise lies in professional engineering and premium services for generating and utilizing bioenergy, wind power, solar energy and hydropower. Bioenergy Bilfinger is an expert in the manufacture of components for the construction of biomass power plants and in maintaining, repairing, increasing the efficiency and extending the life span of existing facilities. We are one of the key players in this market in view of our experience of international projects. Wind power Bilfinger has specialist expertise in the construction of wind turbines. Bilfinger Construction is the market leader in the construction of offshore wind power turbines in the North Sea and Baltic Sea. In collaboration with partners, we have won total orders to construct the foundations of 530 wind turbines in this region since 2004. Onshore, we have many years of experience in the approval, production, delivery and assembly of specialized prestressing technology for the construction of wind turbines from prefabricated concrete components. Since Bilfinger attaches substantial importance to the further development of its range of sustainable services, more than 200 research and development projects are currently in progress. We have research projects in the area of wind energy, for example, that focus on external prestressing (onshore) as well as on noise protection during the construction of wind parks (offshore). Hydropower Bilfinger specializes in the manufacture of highly sophisticated impellers and control systems that enable significant increases in the efficiency and effectiveness of existing hydroelectric power plants. We also have a leading position in the construction, modernization and maintenance of pumped-storage power plants. We supply and install key components such as pressure piping systems, isolating valves and other specialized parts. As one of just a handful of companies, we can deliver engineering, manufacturing and assembly from a single source.

Sustainable products and services Bilfinger SE 15 1 3 1 FOUNDATIONS FOR LONDON ARRAY OFFSHORE WIND PARK In cooperation with Danish partner Per Aarsleff, Bilfinger Construction built the foundations for 175 wind turbines and two transformer stations for the London Array offshore wind park. In its first development phase, the wind park has an output of 630 megawatts. 925,000 tons of CO2 will thus be averted each year. 2 AGRICULTURAL WASTE FOR ENERGY PRODUCTION At the end of 2012 one of the world s largest biomass power plants went into operation in the Polish town of Polaniec. Bilfinger Industrial Services fireproofed the giant boiler, which burns exclusively wood chips and pellets from agricultural waste. The climate-neutral biomass power station can avert 1.2 million tons of CO2 emissions otherwise released by burning fossil fuels annually. 2 3 PRESSURE PIPES FOR HYDROELECTRIC POWER Bilfinger VAM is one of the few European companies capable of both manufacturing and assembling pressure piping for hydroelectric power plants. The company is manufacturing the pressure tunnel plating and other piping system components the Reißeck II pumped-storage power plant in Austria. The modernization means that the output of the entire facility increases by over 40 percent to 1,500 megawatts.

16 Bilfinger SE Sustainable products and services Energy efficiency and pollution reduction Bilfinger s core competencies include increasing the energy efficiency of industrial plants, power stations and buildings. For our customers, we deliver complex industrial services for the entire lifecycle of a plant, modernize and expand conventional power plants and reduce the energy demand of real-estate properties. The result is not only substantial cost savings, but also an increase in the efficiency level and a reduction of emissions that are environmentally harmful. Bilfinger Power Systems offers many innovative and wellestablished technologies for the purification of waste gas. We have been designing and constructing high-performance waste gas purification plants since the mid-1980s and rank among the pioneers in this field. We undertake the complete project management and implementation of such plants for power stations, incinerators and other production and combustion processes. Our purification solutions can be used for SO2, SO3, NOx, HCl, HF, dust and other relevant pollutants. We also supply highly-efficient waste gas purification systems for smaller incinerators.

Sustainable products and services Bilfinger SE 17 1 2 1 DISTRICT HEATING ACCUMULATOR AS BUFFER Bilfinger VAM is currently building Germany s most powerful district heating accumulator for the Mannheim Power Plant. With this system, it is possible to react more flexibly to fluctuating demand for conventional energy. Because the heating accumulator serves as a buffer, it will no longer be necessary to put the power plant into operation at short notice. 2 INSULATION OF INDUSTRIAL PLANTS Together with the European Industrial Insulation Foundation (Eiif), Bilfinger has developed a standardized consulting program for the insulation of industrial facilities. Following consultations at Wacker Chemie, the insulation of one boiler alone, including peripherals, led to a reduction of CO2 emissions of 4.5 tons per year. 3 3 USAGE OF WASTE HEAT FROM FLUE GAS Photo 1: Heiner Merkel The new 670 megawatt block of the Boxberg coal-fired power plant in Germany s Lausitz region has an extremely high level of efficiency as compared to older coal-fired power plants. Thanks to the flue-gas desulfurization system from Bilfinger Power Systems, this coal-fired power plant achieves a reduction in CO2 emissions totaling 46,000 tons per year.

18 Bilfinger SE Sustainable products and services Water supply and disposal Water is one of our most important resources. Our portfolio of services gives us a leading position in many areas of water and wastewater technology. Bilfinger offers customers from municipal authorities and industry efficient and cost-effective solutions for water treatment, wastewater purification, sludge processing, recycling management and sewage plant optimization. Among other things, Bilfinger produces mechanical components for the separation of solids from liquids and gases and provides associated services. In the field of wastewater engineering, Bilfinger Water Technologies provides various solutions for collecting and treating wastewater. Vacuum sanitary technology uses air as a transport medium and requires significantly less water than conventional systems. In order to improve operations at wastewater treatment plants, we have developed software for the management of measurement and control systems capable of achieving significant improvements in energy efficiency while reducing the addition of chemical agents to eliminate phosphates in wastewater. In the Arabian Gulf region we have been actively involved in the modernization and optimization of seawater desalination plants for decades and thereby contribute to securing the supply of drinking water. The objective of our work there is a reduction in the energy consumption of plants while at the same time increasing the amount of water produced.

Sustainable products and services Bilfinger SE 19 1 2 3 1 VACUUM TECHNOLOGY FOR KIEV 2 WASTEWATER TECHNOLOGY FOR MEXICO CITY The 2012 European Football Championship final was played in the Olympic Stadium in Kiev, the Ukranian capital. Bilfinger Water Technologies installed a vacuum system in the basement of the stadium. The system allows the wastewater of the 70,000-capacity arena to be transported through a vacuum system, thus reducing water consumption significantly. Whereas between seven and twelve liters of water per person are flushed through washbasins and toilets at similar major events, the figure in Kiev stands at just 1.3 liters. Emisor Oriente, the new 60-kilometer wastewater tunnel will ensure that Mexico City is not flooded by its own wastewater during the rainy season. It is currently considered one of the most important infrastructure measures in the world. For two of the five pumping stations, Bilfinger Water Technologies delivered both fully-automatic rake screens and sluices with which the canals can be completely closed for maintenance or in cases of emergency. 3 SEAWATER DESALINATION FOR KUWAIT At the Shuwaikh desalination facility in the Arabian Gulf, Bilfinger Power Systems has increased the performance of the system by carrying out a complete overhaul of three blocks. The efficiency of the plant thus increases by up to 15 percent and secures the supply of drinking water for the population.

We construct and manage office buildings, production facilities and public buildings sustainably, energy-efficiently and in a cost-optimized manner on behalf of real estate users and investors. This is achieved through our comprehensive approach which takes all phases of a building s lifecycle into consideration. Consulting, design and certification We support our clients from idea generation to concept development, develop operation and lifecycle cost estimates and investigate options to optimize the interaction between architecture, structural engineering, technical building equipment, façades and operation. Thanks to our own accreditation for the common certification systems such as the DGNB (German Sustainable Building Certificate), LEED (Leadership in Energy and Environmental Design) and BREEAM (British Research Establishment Environmental Assessment Method), we are also able to provide our clients with support and advice during the certification process. Since 2013 our subsidiary Bilfinger Industrial Technologies has also had accreditation as a Cradle to cradle consultant through the Internationale Umweltforschung GmbH EPEA. Construction and revitalization Construction brings with it responsibility for the future. We support our customers in developing and implementing office, administration and production buildings in a resource-efficient manner. Together with turnkey construction, our core services also include the energy modernization of older buildings. We support our customers from the selection of environmentally friendly construction materials, the planning of a space-efficient construction process to the implementation of a building that guarantees energy-saving operation and optimal comfort. Management and operation Bilfinger assumes responsibility for the commercial and technical administration as well as the operation of buildings for real estate owners and the public sector. We advise and support customers on all issues relating to energy efficiency, energy saving and meeting sustainability requirements. Our services include the analysis of technical systems, the concepts and management of energy efficient measures, energy measurement and control, the introduction of energy management systems in accordance with DIN EN ISO 50001 as well as ensuring sustainable building operation. We provide integrated facility management with extensive energy management and energy-optimization measures for clients such as Deutsche Rentenversicherung, IBM, ING DiBa and Pricewaterhouse-Coopers, among others. one the lifecycle concept With one, Bilfinger offers clients complete transparency as far as the costs of a property over its entire lifecycle are concerned. The concept capitalizes on Bilfinger s comprehensive project and process competences, which not only include design and construction in their more traditional forms, but also energy management and facility services. Forward-looking planning that takes all cost factors into consideration, the use of modern technology to save energy, the intelligent selection of high-quality and sustainable materials as well as a flexible overall concept all combine to deliver a property with high environmental compatibility and longterm returns. Bilfinger implemented the concept for the first time at its administration building in Oberhausen. The Group s planned new headquarters in Mannheim and a real estate project for BASF are also based on the one concept.

Sustainable products and services Bilfinger SE 21 1 REAL ESTATE PERFORMANCE GUARANTEE 3 LOW-COST ENERGY CONCEPT In Oberhausen, Bilfinger built a new administration building which was implemented in line with the one lifecycle concept and in accordance with the latest sustainability standards. The property was awarded a pre-certification in silver by the German Sustainable Building Council. 2 LEED CERTIFICATION IN CHINA In Changun, Northeast China, Bilfinger Industrial Technologies supported DSM, a Dutch life-science company in the design and construction of LEED certified laboratories and administrative buildings. The buildings are part of a production facility for antibiotics. Bilfinger HSG Facility Management developed a new energy concept for the St. Josef Hospital in Troisdorf: the hospital now covers nearly half of its energy requirements with a combined heat and power plant, thus reducing costs by 20 percent. At the same time CO2 emissions have been reduced by approximately 1,200 tons per year. 4 PROTECTED STUDENT HOUSING BUILDING Under the careful consideration of the building s protected status, Bilfinger Hochbau modernized a student dormitory in Leipzig in 2012. Targeted measures were used to reduce the primary energy requirements of the building by 90 percent. The CO2 savings amount to approximately 140 tons a year. 2 1 4 3
