ELECTROMECHANICAL ASSEMBLY VALE - PA PROFILE Formed in 1997 as a holding company, UTC Participações S.A. controls the companies UTC Engenharia, Constran, UTC Óleo e Gás, UTC Desenvolvimento Imobiliário, UTC Defesa and UTC Construction. Through these subsidiaries, UTC Participações offers to clients throughout Brazil and in some foreign countries, solutions and projects, mainly in industrial construction, infrastructure, oil and gas (onshore and offshore), real estate development and technology areas, associated with its business areas. UTC ENGENHARIA S.A. UTC Engenharia is an industrial engineering company, which for 40 years has been significantly operating in the segments of oil & gas production and processing, installation of refineries, terminals, ducts, fuel distribution bases, petrochemical plants, (hydro, thermal and thermonuclear) power generation, steel plants, paper & pulp, construction and industrial maintenance. Departure from P-63 RIO GRANDE - RS The Company operates in the execution of contracts for industries and integrated industrial complexes, with a portfolio of services including management, engineering, construction and erection, commissioning, assistance to the start-up and maintenance, thus being one of the main players in the market for client service. The Company is guided by an Integrated Management System (IMS) and maintains a structure that encompasses administrative headquarters in São Paulo (SP), commercial offices in the states of Rio de Janeiro, Bahia and Minas Gerais, and two offshore operating bases in the State of Rio de Janeiro, in the vicinity of Campos Basin and the Shipbuilding Pole of Guanabara Bay. The Operating Base of Niterói is located in an area of 112,000 m 2 and includes the simultaneous construction of modules for offshore platforms and other components. The Macaé Base, with 91,000 m 2, focuses on offshore supporting services, assembly, maintenance, technical assistance, finishing and modifications in oil and gas platforms. UTC Engenharia has an Equipment Department, responsible for supplying and providing for its contracts, as well as for the consortia in which it participates, equipment, tools and instruments necessary for the execution of projects. The Company acquired a land of 121,000 m 2 in Mogi das Cruzes, Grande São Paulo, where a new and modern Equipment Department is being constructed. The location is strategic, near major highways, including access to the coast, which will facilitate the transport of equipment needed to implement the projects.

CONSTRAN Acquired in 2010, the Company is dedicated to the heavy civil construction with operations throughout the country in various engineering segments, such as subway, airport, railway, hydropower, petrochemical, mining, and oil and gas pipelines. NORTH-SOUTH RAILWAY - LOT 4 SÃO SIMÃO - GO Responsible for large infrastructure works, such as Road/Railway Bridge under the Paraná River, which connects the states of São Paulo and Mato Grosso do Sul; Hydroelectric Power Plant of Xingó; the Cable-stayed Bridge over the Tocantins River, which connects the states of Maranhão and Tocantins; and the South Section of the Rodoanel highway in São Paulo (SP), and various works of São Paulo Metro. Since 2012, Constran takes part of the extension works of Guarulhos International Airport in Campinas (SP), in the future one of the largest and most modern airports in Latin America. Also, it integrates the Consortium Move São Paulo, as a company of UTC Participações, for the construction of Line 6 - Orange of São Paulo Metro, undertaking the commitment to contribute to improvements in urban mobility in the city of São Paulo. The Company also develops, with UTC Engenharia, the São Manoel Hydroelectric Power Plant project, on the border of Mato Grosso and Pará, strengthening its position as an important and competitive player in the national electric sector. UTC ÓLEO E GÁS MOSSORÓ - RN UTC ÓLEO E GÁS UTC Óleo e Gás, formed in 2009, is dedicated to the exploration and production of onshore oil, in addition to providing services in oil and gas sectors. Based in Mossoró (RN), in an area of 10,000 m 2, the company is able to keep pace with the expansion of its market. In 2013, the Company acquired three onshore exploration blocks in the 11th round of the Auction of the National Petroleum Agency, Natural Gas and Biofuels. UTC Óleo e Gás will have five to eight years to develop its projects and 30 years to explore the fields. UTC DI UTC Desenvolvimento Imobiliário focuses on the realization of structured businesses (built to suit) and the incorporation of commercial and/or business projects. The ease of the company to adapt projects to the needs and characteristics of different regions is one of its strengths. In 2013, its performance was highlighted by the launch of the corporate dental-medical project Dual Medical & Business in Lauro de Freitas (BA), and the completion of the project in the capital of São Paulo, the Unique Trade Center. UTC INVESTIMENTOS Formed in 2012 as a project structuring company, UTC Investimentos is the company for development and participation in projects of the infrastructure sector. It worked on various projects, in which UTC Participações is a shareholder, namely: Enseada Indústria Naval S.A. - With a focus on building and integrating offshore units, such as platforms, specialized vessels and drilling units, it is responsible for the construction of Enseada do Paraguaçu Shipyard, Bahia, and for the operation of Inhaúma Shipyard in Rio de Janeiro Aeroportos Brasil Viracopos This concessionaire is responsible for public expansion, maintenance and exploration services of the airport infrastructure of Viracopos International Airport in Campinas (SP). Over 30 years of the concession, the cycles of investments in improving infrastructure, security, new processes and services for passengers will reach, at the end, the operational capacity to serve more than 75 million users. UTC DEFESA Formed in 2013, the Company is focused on the activities of research, design, development, industrialization, provision of basic industrial technology services, creation and modernization of strategic defense product in Brazil.
