AUTHORISATION FOR USE OF IMAGE Madrid,. 201.. Ms Mar de Miguel Colom, on behalf and in representation of MADRID DESTINO CULTURA TURISMO Y NEGOCIO, S.A., acting in her capacity as General Manager of said company (hereinafter MADRID DESTINO), whose Fiscal Identification Code No. is A84073105, and whose address for the effects of this agreement is in Madrid, at Plaza Mayor nº 27, postal code 28012. AUTHORISES (hereinafter, the Assignee ), with Fiscal Identification Code No.: and address at.,.. to use the images provided and whose list of contacts is attached as Appendix I to the present document (hereinafter, the Photographs ) under the following terms and conditions: ONE. AUTHORISED USES The present authorisation includes a nonexclusive licence for the use of the Photographs, including the rights of synchronisation, transformation, reproduction, distribution and public communication and, in general, any other right that is strictly necessary for the graphical illustration of any kind of informative or promotional publications regarding the City of Madrid (hereinafter the Purpose ). The assignment of rights is done with a comprehensive scope, for a period of one (1) year and with the power of assignment to third parties. Notwithstanding the foregoing, should the photo dossier specify that the rights are assigned for a more restricted geographic or time scope, the scope of the assignment with regard to said photograph shall be limited to that specified in the photo dossier. The power of assignment to third parties is contingent upon compliance by the third party with the requirements established in this authorisation, and particularly, the Purpose. The images provided shall be used for promotional and informative purposes only. Commercial use is not contemplated under any circumstances and is expressly excluded from the present authorisation. The advertising use of the Photographs in mass media or major media (such as by way of example only and not limited to TV, marquees, transport, vinyl billboards or other external advertising) is expressly forbidden. Their use in the press, magazines, Internet, smaller publications (e.g., guides, pamphlets) or graphic displays is authorised within the scope of the Purpose. The authorisation is valid only and exclusively for the Purpose and for authorised media. Authorisation for any other use is expressly excluded, in particular, the use of images of any person appearing in the Photographs in a clearly identifiable way in association with any product or service, whatever the media and/or means of broadcast, publication or transmission may be. The authorisation is subject to the Assignee exercising the rights transferred under this contract with regard to the moral rights of the authors. TWO. PRICE The present authorisation of rights shall be free of charge. 1 The English version is not a formal translation, this is, it is not sworn from the Spanish version. In case of contradiction between the versions the Spanish one shall prevail over the English one.
THREE. MODIFICATIONS MADRID DESTINO authorises the Assignee to introduce whatever modifications are strictly necessary to adapt the Photographs to the needs of the broadcast, publication or transmission means or media to be used. Performing any other modification shall be contingent upon prior approval by MADRID DESTINO. Without prejudice to the aforementioned, the modifications shall never violate Organic Law 1/1982, of 5 May, on civil protection of the right to one s honour, personal and family privacy, and own image, or that of MADRID DESTINO, which shall not be used for pornographic or illicit purposes nor for fraudulent, misappropriating, slanderous or libellous uses or with the intention of violating the right to one s privacy or image or to breach any right to intellectual or industrial property of any legal person or individual, especially the moral right of the author. FOUR. COPYRIGHT The Photographs shall include at all times the copyright of the photographer provided in the photo dossier in legible print that is consistent with the size of the photograph. The assignee shall include in the publication or media in which the Photographs are reproduced or communicated the following reference "Images of Madrid provided by MADRID DESTINO CULTURA TURISMO Y NEGOCIO, S.A. For more information www.esmadrid.com". FIVE. AUTHORISATIONS The licence granted does not comprise in its scope, nor does it include in the rights assigned, any right and/or power managed, licensed and/or invoiced through third parties, whether authorisations or rights to an image associated with a third party, or property rights that are accrued due the exploitation or use of the Photographs (including, such as by way of example only and not limited to, the socalled rights of simple compensation and others of compulsory collective management) that, under current legislation on intellectual property, can be managed only through collective copyright management organisations. These rights shall be authorised, licensed and/or paid through the owner of the right at the expense of the Assignee or, in the absence thereof, of the entity carrying out the use of the Photographs in accordance with the provisions of this authorisation. SIX. PERSONAL INFORMATION For the purposes of Organic Law 15/1999 of 13 December on the protection of personal information, each of the Parties shall inform the other of the registration of the personal data of its representatives and liaisons provided by the latter in enforcement of this present agreement that are incorporated into the database owned by the former, as well as of the data processing to which they shall be subjected for the purpose of being used in any of the operational and commercial activities of its owner. The recipients of the information contained in the file shall be the operational and commercial services of each of the Parties. MADRID DESTINO, with the abovementioned address and the party responsible for the files, guarantees the representatives and liaisons of the Supplier the exercise of their rights of access, correction, cancellation and opposition to the information provided. Likewise, MADRID DESTINO agrees to respect confidentiality in the use of the information included in the file and to use it in agreement with the purpose of said file. For its part, the Supplier, with the abovementioned address and party responsible for the files, guarantees the representatives and liaisons of MADRID DESTINO, the exercise of their rights of access, correction, cancellation and opposition to the information provided. Likewise, the Supplier agrees to respect confidentiality in the use of the information included in the file and to use it in agreement with the purpose of said file. 2 The English version is not a formal translation, this is, it is not sworn from the Spanish version. SEVEN. INDUSTRIAL PROPERTY Under no circumstances shall the present authorisation imply the transfer of the ownership of the rights of industrial property over the brands, distinctive marks or any other element subject to protection in this sense, nor does it grant any right of intervention or interference in the management of said elements. EIGHT. JURISDICTION The present agreement is expressly subject to Spanish law and, especially, in compliance with this agreement, with the provisions in Legislative Decree 1/1996 by which the revised text of the Intellectual Property Law is approved and, subsidiarily, in accordance with the provisions in the Civil Code, and the Parties expressly renounce any other jurisdiction that may correspond to them, subjecting themselves expressly to the laws of the Courts and Tribunals of the City of Madrid.
