FibraHotel ( FibraHotel ), the first real estate investment trust specialized in business-class hotels in Mexico, announces its financial results and distribution corresponding to the second quarter of 2016. Mexico City, July 20 th, 2016 --- FibraHotel (BMV: FIHO 12), the first real estate investment trust specialized in business-class hotels in Mexico, announces its results and distribution corresponding to the second quarter of 2016. Except where noted, all figures included herein were prepared in accordance with IFRS and are stated in nominal Mexican pesos. 2 nd Quarter 2016 Highlights FibraHotel ended the second quarter of 2016 with 83 hotels and 11,525 rooms, including 70 hotels in operation (9,782 rooms) and 13 hotels in development (1,743 rooms). During the quarter, FibraHotel added 662 rooms in operation with the opening of three hotels, Live Aqua Monterrey Valle, Grand Fiesta Americana Monterrey Valle and AC by Marriott Guadalajara, and the acquisition of the Fiesta Americana Hermosillo hotel. FibraHotel also announced the development of two hotels, the Fiesta Inn Buenavista (Mexico City) and a full service hotel in Veracruz, adding 309 rooms in development. On a comparable property basis of 55 hotels 1, the average daily rate ( ADR ) was Ps. $994, representing an increase of 6.2% versus the second quarter of 2015, the occupancy rate was 67.9%, representing an increase of 399bp versus the second quarter of 2015 and the revenue per available room ( RevPAR ) was Ps. $675, representing an increase of 12.8% versus the second quarter of 2015. For the Total FibraHotel Portfolio of 70 properties, average daily rate was Ps. $991, the occupancy rate was 62.7%, and revenue per available room was Ps. $622. During the second quarter of 2015, RevPAR of the Total FibraHotel Portfolio of 57 properties was Ps. $590. For Non Stabilized FibraHotel Portfolio of 15 properties, the average daily rate was Ps. $969, the occupancy rate was 39.4%, and the revenue per available room was Ps. $382. Total revenues for the quarter were Ps. $635 million. Lodging contribution 2 for the quarter was Ps. $201 million. Adjusted funds from operations ( AFFO ) 3 for the quarter were Ps. $119 million. 1 Includes 47 stabilized properties as of the December 31 st, 2015 plus the following eight hotels: One Monclova, Gamma Ciudad Obregón, Gamma León, Gamma Tijuana, Fiesta Inn Lofts Monclova, Fiesta Inn Lofts Querétaro, Camino Real Hotel & Suites Puebla and Fiesta Americana Hermosillo. 2 Lodging contribution equals total revenues (room rental, food and beverage, leasing and other) minus costs and general expenses directly related to the hotel operation, excluding real estate expenses and FibraHotel s administration expenses. FibraHotel will pay a distribution of Ps. $119 million, equivalent to 24.08 cents (Ps. $0.2408) per CBFI 4. As of June 30 th 2016, FibraHotel had a net cash position of Ps. $543 million, or Ps. $753 million including the reimbursement of VAT, and a Ps. $1,611 million indebtedness. Net debt position (including recoverable VAT) is Ps. $859 million. As of June 30 th 2016, total owner s equity of Ps. $9,454 million. The second quarter of 2016 continued with a positive trend for the stabilized hotels in our portfolio with a 12.8% RevPAR growth resulting from a 6.2% growth in average daily rate and a 399 basis point increase in occupancy. During the quarter we opened three hotels that will be very important and valuable for FibraHotel over the next few years including the best hotels in Monterrey, the Live Aqua and Grand Fiesta Americana Monterrey Valle hotels as well as the AC by Marriott Guadalajara hotel. These hotels represent 442 full-service rooms and an investment of over one billion pesos. Overall, since the beginning of the year, we have opened eight hotels with over 1,100 rooms representing an investment of almost two billion pesos. This means that if you add up the investment in recently opened hotels with the investment in developments under construction, FibraHotel currently has around three billion pesos generating almost no returns. Given this situation we have reached an inflexion point where several important hotel openings have been achieved and we are focusing on stabilizing these hotels as quickly as possible to reach their expected profitability over the following quarters which in turn will show the company s true earning potential. During the quarter we continued to grow our pipeline of hotels in mixed use projects with leading developers including Artha Capital in their Villa del Mar project and GICSA in their Forum Buenavista shopping center. Additionally, we signed a new credit line for one billion pesos of debt to finance our pipeline. The AC by Marriott Guadalajara hotel opened on May 31 st and the Grand Fiesta Americana Monterrey Valle hotel as well as the Live Aqua Monterrey Valle hotel opened June 13 th. On July 19 th 2016, FibraHotel announced the opening of the Fiesta Inn Lofts Monterrey with 48 extended stay rooms. During the quarter we announced two new development projects, the Fiesta Inn Buenavista hotel with 130 select service rooms inside GICSA s Forum Buenavista shopping center in Mexico City, and a 179-room full service hotel with a brand to be announced inside Artha Capital s Villa del Mar mixed-use project in Veracruz. On May 2 nd 2016 we announced the acquisition of the Fiesta Americana Hermosillo hotel with 220 full-service rooms. As part of the agreement, this initial investment of Ps. $85 million will be destined for the renovation of the public areas and approximately 123 rooms. FibraHotel will fully acquire the hotel in 2020 once conditions are met and will pay the price based on a formula of ten times the average EBITDA generated by the hotel during 2017, 2018 and 2019, minus the initial investment by FibraHotel. During the quarter we finished the renovations of: (i) Public areas of the Fiesta Inn La FE Monterrey, (ii) Public areas and rooms of Fiesta Inn Perinorte hotel, and (iii) Public areas and part of the rooms in the Sheraton Ambassador Monterrey hotel. Signing of an additional credit line On July 19th, 2016 FibraHotel signed a third Ps. $1,000 million credit line from one of the main financial institutions in Mexico. FibraHotel has 24 months to make disbursements, and the credit line has 10-year duration since the signing, a 24-month grace period after disbursement. The average spread over TIIE is 213bps, starting at 130bps and ending at 250bps The credit line will be used for the acquisition and development of new hotels, giving, alongside with the other available credit line (Ps. $1,000 million) FibraHotel flexibility to achieve its growth objectives while maintaining conservative leverage levels. - Fiesta Inn Los Mochis: The 124-room select-service Fiesta Inn hotel is located inside the Paseo Los Mochis shopping center and will be operated by Grupo Posadas. The structure of building is complete with works on the façade almost complete and installations at 25% of progress. Work is beginning for finishings and public areas. The estimated opening is in the fourth quarter of 2016. - Via Vallejo (Courtyard and Fairfield Inn & Suites Vallejo): The 125-room select-service Courtyard hotel and the 121-room limited-service Fairfield Inn & Suites hotels will be operated by Marriott International, and will be located in the Via Vallejo mixed use project which opened to the public on July 2016. The structure is complete with works on the façade almost complete and installations at 40% of progress. Work is underway for finishings and public areas. The estimated opening is by the end of 2016. - Fiesta Inn La Isla Puerto Vallarta: The 144-room select-service hotel is located inside the La Isla Puerto Vallarta shopping center and will be operated by Grupo Posadas. The steel structure is complete with masonry work in progress and beginning work on installations. The estimated opening is by the end of 2016. - Courtyard Toreo: The 130-room select-service Courtyard hotel will be operated by Marriott International and is located in Mexico City. The steel structure is complete with masonry work in progress and beginning work on installations. The hotel includes seven parking levels over which the hotel will be developed. The estimated opening is during the first quarter of 2017. - Aloft Veracruz: The 166-room select-service hotel in Boca del Río Veracruz will be operated by Starwood Hotels and Resorts. The building s foundations are finished with structure work in process and two parking lot concrete slabs complete. The estimated opening is during the first half of 2017. - Fiesta Inn Forum Buenavista: The 130-room select-service hotel inside GICSA s Forum Buenavista shopping center will be operated by Grupo Posadas. The hotel is in preparations to begin construction. The estimated opening is in second half of 2017. - Via 515 (Fiesta Inn Viaducto and Fiesta Inn Lofts Viaducto): The 214-room select-service Fiesta Inn hotel and the 72-room extended stay Fiesta Inn Lofts hotels will be operated by Grupo Posadas and will be located in the Via 515 mixed use project in Mexico City. The project is currently in the process of obtaining permits and licenses, and construction is estimated to finish by the end of 2017. - Full-service Veracruz: The 179-room full-service hotel with a brand and operator to be announced will be located inside Artha Capital s Villa del Mar Veracruz mixed-use project. Results for the second quarter of 2016 FibraHotel started the quarter with 66 hotels in operation and ended the quarter with 70 hotels in operation thanks to the opening of three hotels (AC by Marriott Guadalajara, Live Aqua Monterrey Valle and Grand Fiesta Americana Monterrey Valle) and the acquisition of the Fiesta Americana Hermosillo hotel. Total Revenues During this period, FibraHotel s total revenues were Ps. $635 million: Ps. $493 million of room rentals (77.6% of total revenues). Ps. $118 million of food and beverage (18.6% of total revenues). Ps. $17.7 million for the lease of (i) three hotels 6 and (ii) retail and other leases in hotel properties (combined, 2.8% of total revenues). Ps. $6.2 million (1.0% of total revenues) corresponded to other revenues. Compared with the second quarter of 2015, total revenues increased by 26.7%. Costs and General Expenses During this period, FibraHotel s costs and general expenses were Ps. $434 million: Ps. $269 million of administrative costs and expenses including the payment of the operators fees (62.1% of costs and general expenses). Ps. $95.5 million of room expenses (22.0% of costs and general expenses). Ps. $68.8 million of food and beverage expenses (15.9% of costs and general expenses). Lodging Contribution Lodging contribution was Ps. $201 million, representing 31.7% of total revenues: Ps. $183 million corresponded to managed hotels (the margin was 29.8%, versus 29.7% for the second quarter of 2015, even with a larger number of hotels in ramp-up period during the second quarter of 2016). o It is noteworthy that, on one hand, the margin of stabilized hotels was 32.1% and on other hand, hotels in ramp-up period generated positive cashflow. Operating Profit Other operating expenses of Ps. $112 million consisted of: (i) real estate expenses of Ps. $8.1 million; (ii) administrative expenses of Ps. $13.0 million; (iii) advisory fee of Ps. $26.1 million; and (iv) depreciation of Ps. $64.5 million. The operating profit was Ps. $89.8 million, or 14.1% of total revenues. Compared with the second quarter of 2015, the operating profit increased by 24.6%. Adjusted Operating Profit During the second quarter, FibraHotel had Ps. $39.7 million of non-operating expenses, which corresponded mainly to one-time pre-opening expenses of the full service hotels opened over the last few months (AC by Marriott Queretaro and Guadalajara, Fiesta Americana Pabellon M, Grand Fiesta Americana Monterrey Valle and Live Aqua Monterrey Valle hotels). The adjusted operating profit was Ps. $50.1 million. Compared with the second quarter of 2015, the operating profit decreased by (23.1)%. Comprehensive Financial Cost FibraHotel ended the quarter with a cash position of Ps. $1,069 million and a total indebtedness amounting to Ps. $1,611 million. During the quarter, the debt position generated a financing cost of Ps. $20.1 million. In accordance with the IFRS, financing costs related to development projects are capitalized as part of the investment in each project. Once each development is open, its interest expense will stop being capitalized and the expense will be part of the profit and loss statement, in accordance with the IFRS. For example, during the third quarter of the year, the interest expense of approximately Ps. $400 million in debt that is linked with the Trebol Monterrey and AC by Marriott Guadalajara projects will not me capitalized anymore and will generate interests in the P&L during the full quarter. During the quarter, the comprehensive financial cost was (Ps. $2.3 million), of which (Ps. $1.1 million) correspond to fees related with the Banorte credit line drawdown. Regulation applicable to FIBRAs Leverage level FibraHotel ended the second quarter of 2016 with a Ps. $1,611 million indebtedness and total assets value of Ps. $11,464 million, resulting in a 14.1% leverage level (LTV). Please note that FibraHotel s trust agreement establishes a maximum leverage of 40%, while the regulation for FIBRAs in general establishes a maximum leverage of 50%. Debt service coverage ratio As of June 30 th, 2016, the debt service coverage ratio for FibraHotel was 1.2x, complying with the required regulation of >1.0x. For FibraHotel, the estimated obligations correspond to: (i) debt service (principal and interests); (ii) capital expenditures (maintenance CapEx in hotels); y (iii) non-discretionary capital expenditures (developments), and available resources correspond to: (i) cash and cash equivalents (excluding restricted cash); (ii) VAT receivable; (iii) Operating result after distribution payment (including depreciation and interest income); and (iv) available credit facilities. Metrics used are as follows: Obligations: o Debt service: Ps. $247 million. o Estimated capital expenditures (maintenance): Ps. $239 million. o Estimated non-discretionary capital expenditures: Ps. $668 million 8. During the second quarter of 2016, FibraHotel had the following relevant capital expenditures: Maintenance CapEx: Ps. $22.8 million. CapEx investment in hotel repositioning: FibraHotel constantly analyzes opportunities to make capital investments in hotels which have an opportunity to increase cash flows. During the second quarter of 2016, FibraHotel invested Ps. $36.4 million in renovation and repositioning CapEx. Renovation CapEx was mainly invested in the following hotels: o Fiesta Americana Hermosillo: (i) improvements in rooms, (ii) improvements in hallways, and (iii) improvements in common areas. The project has a budget of Ps. $85.0 million of which Ps. $22.3 million has been invested as of June 30 th, 2016 (Ps. $22.3 million during the second quarter). o Fiesta Inn Perinorte: (i) improvements in rooms, (ii) improvements in hallways, and (iii) improvements in common areas. The project has a budget of Ps. $24.8 million of which Ps. $24.1 million has been invested as of June 30 th, 2016 (Ps. $4.2 million during the second quarter) o Lat20 by Live Aqua: improvements in common areas. The project has a budget of Ps. $30.7 million of which Ps. $20.1 million has been invested as of June 30 th, 2016 (Ps. $4.2 million during the second quarter). o Sheraton Ambassador Monterrey: (i) improvements in rooms, (ii) improvements in hallways, and (iii) improvements in common areas. The project has a budget of USD 5.0 million of which Ps. $69.7 million has been invested as of June 30 th, 2016 (Ps. $4.2 million during the second quarter). Distribution corresponding to the second quarter of 2016 9 FibraHotel looks to generate value for its certificate holders, and therefore on July 19 th, 2016, FibraHotel s Technical Committee approved a distribution of Ps. $119 million, equivalent to 24.08 cents (Ps. $0.2408) per CBFI, calculated based on the outstanding CBFIs excluding the CBFIs which currently do not have economic rights. This distribution is based on the results and operations of FibraHotel between April 1 st and June 30 th, 2016. The distribution will be paid on August 5 th, 2016.
