Porto Alegre International Airport Salgado Filho Airline Incentive Program - 2018 Fraport Brasil S. A. Aeroporto de Porto Alegre, the concessionaire and operator of Porto Alegre International Airport Salgado Filho ( Fraport-POA ), by this instrument, presents its Airline Incentive Program - 2018 to the Airline Carriers ( Incentive Program ). The objective of Fraport-POA, as an airport operator, is to provide the Airline Carriers and their business with the best possible support. In addition to professional services, this Incentive Program for 2018 offers financial support to help the Airlines establish new routes, increase their capacities and employ innovative technology. The following conditions are applicable to the Airline Incentive Program - 2018 for Porto Alegre International Airport Salgado Filho: 1. General requirements: All regular Airline Carriers are eligible to this Incentive Program, Brazilian and International Airlines, operating international flights, on a regular basis, to / from Porto Alegre International Airport, to the extent they comply with all the following requirements: a) Slots: slots must be approved, by Authorities, for the operation; b) Regularity of Operation: each flight, under the Incentive Program, must have, at least, a regularity of 95% per Season, as defined by IATA; c) Punctuality of Operation: each flight, under the Incentive Program, must have, at least, a punctuality of 80% per Season, as defined by IATA; d) Consistency of Operation: flights must operate during the entire period of the Incentive Program, as defined in Clause 4, without reduction of seating capacity and / or number of weekly frequency. 2. Specific requirements: 2.1 The Incentive Program covers new international routes (Europe and North America) to / from Porto Alegre International Airport Salgado Filho: a) To be eligible to the incentive corresponding to this modality, in addition to the provisions of Clause 1, Airline Carriers shall operate to the European and North American markets, which have not been served from Porto Alegre Airport in the previous three flight schedule periods, according to IATA definition. b) The incentive corresponds to the reduction of 25% (twenty five percent) of the landing and takeoff fees and waiver (100% reduction) of the passenger connection fee / transfer fee for new

European routes; the incentive will be valid for a period of 2 (two) years starting from the first fight operation. 3. Application to the Incentive Program: 3.1 Airline Carriers that fulfill the general and specific requirements may request Fraport-POA their participation in the Incentive Program, submitting the following documents: a) Incentive Program Acceptance Term attached hereto as Annex I, complete and duly signed by the legal representatives of the Airline Carriers; b) Authorization (slot) of the Regulatory Agency for the intended operation - flight, route, type of aircraft, weekly frequencies, departure time and arrival time; c) Corporate documents and powers of attorney demonstrating the powers of legal representatives to sign agreements and any other documents. 3.2 Fraport-POA reserves the right to request other documents if necessary. The admission to the Incentive Program shall be confirmed by Fraport-POA within a maximum of 10 working days after receiving and analyzing the required documents. 3.3 The benefits will be applied in the end of the month, considering the performance of the new international route agreed by the Airline Carrier and applicable against the monthly invoice sent by Fraport- POA to the Airline Carrier. 3.4 To grant the concession of the incentive, the Airline Carrier must inform Fraport-POA, in writing, the number of flights contemplated by the present Incentive Program, at least 30 (thirty) days prior to the starting operation of each flight. In case of any change in any flight number, the new number must be informed to Fraport-POA at least 30 (thirty) days in advance, otherwise the benefit will not be applied to such flight. 3.5 The benefit will not be applied if the Airline Carrier chooses to substitute an aircraft that operates the new international route in the Airport agreed under the Program Acceptance Term, by another aircraft with lower seat capacity. 3.6 In the event that is verified that the Airline Carrier has any financial debt with Fraport-POA, the benefit will be immediately suspended until the full settlement of the liability. 4. Term: 4.1. The eligible airlines that are interested in joining the Incentive Program must submit the documents provided by item 3.1 of this instrument by the date of 25 th of March 2018. The operation must be started during the period of the IATA Season (S18), immediately starting after 25 th of March 2018. 4.2 The Incentive Program will be valid for 24 (twenty-four) months of the new international route operations, starting at the first date of operation. 4.3 The Incentive Program does not cover, under any circumstances, retroactive incentives.

4.4 At the end of the period of 24 (twenty-four) months, the rules, fees and payments shall be charged normally as per the fees and charges published by Fraport-POA, without applying any of the incentives provided by the Incentive Program. 5. Final Considerations: 5.1 Fraport-POA cannot enforce the Airline Carriers to adjust their air fares according to the Incentive Program. However, this instrument is also an attempt to offer to the Airline Carriers the possibility of creating better offers to the passengers and favorable commercial conditions for their operation at the Airport. 5.2 The present Incentive Program refers solely and exclusively to the benefit granted in the landing and take-off fees and waiver of the passenger connection fee / transfer fee, being excluded other fees charged by Fraport-POA, in addition to charges and taxes of any nature which might be applicable or come to be applicable to the services. 5.3 Matters related to this Incentive Program shall be addressed to Fraport-POA. In case of dispute, the Courts located in the city of Porto Alegre, State of Rio Grande do Sul, shall have exclusive jurisdiction and venue concerning all matters related to arising out of this Incentive Program. Annex I to the Airline Incentive Program 2018 Porto Alegre International Airport Salgado Filho Program Acceptance Term By means of this Program Acceptance Term, [name of the company that is accepting the program] with its principal place of business in the Municipality of [ ], State of [ ], at [address], Corporate Taxpayer CNPJ No. [ ], (the Airline Carrier ) represented in accordance with its Bylaws, hereby declares, for all legal purposes, that it is a legally constituted company, as well as that it accepts and comply with all the requirements, terms and conditions of the Incentive Program - 2018 (the Incentive Program ), dated of, attached hereto, for Porto Alegre International Airport Salgado Filho, (the Airport ), accepting and adhering, to its full content, being submitted to the rights and obligations arising there from. 1. The Airline Carrier commits to perform the following new European international route from / to the Airport, to be entitled to the benefit provided in the Incentive Program: Destination 1: Flight numbers: Equipment and configuration (seats): (aircraft equipment and total number of seats) Effective date of the new international route: (month, day, year) Departing from XXX and landing at the Airport. If, during the term of the Incentive Program, any requirements or conditions imposed by the program or any specific condition for the modality is no longer maintained by the Airline Carriers, the Incentive Program will automatically terminate, and the regular fees as published by Fraport-POA will apply automatically. In addition, in this case, the Airline Carriers shall pay to Fraport-POA the amount corresponding to the incentives received until such date, adjusted by inflation. 4. Fraport-POA reserves the right to modify, exclude or revoke the conditions of this Program at any time through written notification 30 (thirty) days prior to the change and / or exclusion. In such situation, no indemnification will be due to the Airline Carriers, including with respect to indirect damages or loss of profit. The Airline Carrier by it(s) legal representative(s) indicated below, expressly declares that it has read, understood, accepted and will comply with all the requirements, terms and conditions of the Incentive Program. The Airline Carrier execute this Program Acceptance Term in two (2) counterparts of equal form and content for one sole effect.
