Message from the Chairman and Managing Director CDG Développement is currently a major player in territorial development, boasting strong commitments in all of its fields of activity. CDG Développement Holding was created following the adoption of a broad strategic restructuring plan for the Caisse de Dépôt et de Gestion Group (CDG), that embodies the headquarters commitment to fields of activity related to regional development. Currently, the way in which CDG Développement manages all its subsidiaries historically involved in territorial development, including such areas of activity as engineering, territorial development, real estate and tourism, is conducive to ensuring greater cohesiveness of the operations of each of the subsidiaries, most notably as a result of the synergies enabled. It has also facilitated the implementation of modern methods of governance. Building on the CDG Group s vision based on consolidating its activities in sectors where it is already established and turning towards new sectors of activity and business areas, CDG Développement holding brings together a number of high performance stakeholders that contribute directly and substantially to national economic development. By relying on the research departments Novec for expertise and engineering, MEDZ with the structural development of various fields of activity, and CGI with large urban development projects, CDG Développement has positioned itself as a highly performing key player in territorial development. It aims at consolidating this position by fostering closer ties with local authorities and by promoting strategic partnerships between the public and the private sectors. In addition to these areas of activity, CDG Développement also aims to explore and establish itself in new sectors directly related to sustainable territorial development, and particularly those associated with new means of transport, renewable energy and protection of the environment. 3

Governance CDG Développement is a limited liability company governed by a board of directors. Versatile expertise at the service of regional development A key player in sustainable regional development in Morocco, CDG Développement is active in various fields of activity. In an effort to optimize CDG Développement s overall performance, these fields of activity are managed through clusters of expertise that which group similar or complementary activities. The Incubation, Design and Development cluster Project incubation MEDZ ensures project incubation within this cluster (opportunity identification and analysis, initial project set up, design, land acquisition and sanitation, selection of partners, etc.). Land development MEDZ is a key development player in Morocco. This subsidiary designs and develops new generation zones of activity for Tourism, Industry, Logistics, Off-shoring and New Technologies. 10

Off-shoring Casanearshore carries off-shoring activities, which is home to the first business park in Morocco dedicated to BPO (Business Process Outsourcing) and ITO (Information Technology Outsourcing) activities. Technopolis is the new technology park in Rabat-Salé that sets up a BPO module. Fes Shore Park is dedicated to information technology services, data processing and business processes. Engineering and consulting Novec covers the engineering and consulting activities in the following fields : building and civil engineering, urban planning, water and environment, agriculture, transportation and bridge infrastructures, drinking water and sanitation, energy, industry, maritime engineering, geology and hydrogeology, hydro electro-mechanics, etc. Camerounaise des Eaux (Cameroon Water Authority) operates in the hydraulic sector, which aims at providing access to and distributing drinking water in the Republic of Cameroun. Advanced Technologies Nemotek Technologie specializes in providing image sensor packing, designing camera components modules and assembling devices such as phones and laptop computers. Creative Technologies operates in the niche of Geographical Information Systems (GIS), Computer- Aided Design (CAD), and Electronic Document Management (EDM). Cala Iris Project 11

The Development cluster Real Estate Development CGI (Compagnie Générale Immobilière)operates in a broad range of expertise in highly diversified areas of activity (residential, commercial and development contracts.) Al Manar is dedicated to supervise and manage large projects as the following : (Casablanca Marina Project), Arribat Center (Agdal Multipurpose Center Project) and Morocco Dream Resort (Marrakech Chrifia Project). Dyar Al Mansour is an important player in low-income and social housing. Through its major slum eradication projects, the subsidiary was able to develop substantial expertise in social engineering, urban requalification and city management. Rental Management Dyar Al Madina manages rentals for low-income residential housing units. It is also positioned in other segments of the rental market, in particular, the rental of student housing. 12

The Service Management Cluster Facility Management Exprom consists of managing property-related services for tenants and various technical services. This includes a variety of services : property management, surveillance, security, reception, cleaning, upkeep, technical maintenance, maintenance of green areas, hotel-like management, etc. These services are available to office spaces, shopping centres, parking lots, student housing, industrial facilities, tourist accommodation, etc. Property Management Exprom offers full rental management services for real estate properties. Services include appraisal of rental value, rental, conclusion of contracts, rent collection, payment of expenses, management and monitoring of repair work, etc. Parking Lot Construction, Management and Operation Compagnie Générale des Parkings (CG Park) ensures building, managing, and operating parking lots (General Parking Company or CG Park). This subsidiary offers communities a comprehensive management solution to their parking problems, integrating all data relating to road systems, design, financing and operation of off-road structures or equipments. Management of Resorts and Tourist Accommodation Properties Maroc Tourist is in charge of managing holiday resorts, second residences, and tourist accommodation facilities, etc. Casa Green Town Project 13

The Hotel Management and Operation Cluster Sogatour manages the hotels owned by CDG and the Société Hotelière de Nador (Nador Hotel Company), a subsidiary of CDG Développement. It is also in charge of developing and implementing a development strategy for the hotels in the network. The Timber industry Cluster Timber production Eucaforest is a forestry fund specialized in managing forest concessions, manages approximately 30.000 ha of eucalyptus plantation. It meets Morocco s for industrial cloned eucalyptus cellulose. Pulp manufacturing Cellulose du Maroc is the first and sole producer of cellulose pulp in Morocco. Paper production Med Paper manufactures paper and is specialized in the production and transformation of paper for printing, publishing, writing and packaging (food and industrial). It offers a board array of products including finished products for office and school use. Management of Forest Assets SFCDG (Société Forestière CDG) is in charge of administrating and exploiting land, forest, agricultural and natural assets. It manages Eucaforest Fund and the Morocco Forest Fund. 14

A catalyst for large, defining and innovative territorial projects CDG Développement has at its disposal dedicated subsidiaries enabling it to carry out major, highly symbolic projects as well as to undertake decisive action for the country such as creating new cities, urban upgrading, etc. The Territorial Projects Cluster AUDA, The Anfa Urban Planning and Development Agency is in charge of a major development plan for the old Anfa airport area which would contribute to making Casablanca a top international destination ranking among the most attractive cities in the world. Sonadac addresses all matters related to land ownership of the area selected for the construction of the Royal Avenue in Casablanca. It is also in charge of developing, renovating, restructuring and rehabilitating the areas surrounding the Hassan II Mosque and the new Casablanca beachfront. Zenata Development is in charge of developing the new city of Zenata, the first Casablanca satellite town. Patrilog builds social housing for all categories of active military personnel. These are integrated urban centers including not only housing but also various facilities, recreational areas, green spaces, etc. Jnane Saïss Développement develops large, integrated urban areas in the region of Fes Boulemane. Two major projects are under consideration in the local communes of Aïn Chkef and Aïn Cheggag. Anfa Project 15

Privileged Partner of Local Communities CDG Développement s goal was to foster strong partnerships with cities and towns. Therefore, it established Private and Government Owned Companies, grouped in a dedicated cluster The Private and Government Owned Companies Cluster Casa Développement and Temara Développement were created in partnership of the city of Casablanca and Temara urban commune respectively, in order to create a pool of resources and the means necessary to carry out projects designed to serve local communities and citizens of Casablanca and Temara. Sothermy is jointly owned by local authorities and communes. It manages two natural spas in Moulay Yacoub : the traditional spas including pools and a tub complex and a modern facility offering wellness and medical treatments. 16 Moulay Yacoub Project
