The deal, announced at the height of the summer holiday season, is perpleing because Minoan, which already owns over 48% of Hellenic shares, had more than once made the highest offer in the hope of taking control of HSW and plugging it into the worldwide Grimaldi network. It is difficult to see the logic behind the announcement, which is likely to face opposition regulatory authorities. Not only were Hellenic shareholders prevented obtaining the best price, but any future cost savings a merger between HSW and an Attica group company will be impossible to achieve. Minoan s stake means we can veto any such merger, and we will do so unless a satisfactory outcome can be found. Customers could also lose out. A combination of Attica and HSW would reduce competition, which should be a concern for the millions of tourists who visit the Greek islands every year. We will be soon eplaining these points to the competition authorities in Brussels. We refuse to take part in the creation of any kind of tacit cartel. We believe in free competition, without the distortions brought about by state subsidies and lossmaking banks which prefer to put the interests of management above depositors and other stakeholders. A joining of forces between HSW and Minoan/Grimaldi, already number one operator on routes between Italy and Greece, would have made sense. Sadly, this logic did not prevail. Let us see if regulators have better ideas. Sound economic principles should also apply to services between the Italian mainland and Italian islands. Maritime links to and big islands are perfectly viable without government subsidies. Why, therefore, should some operators be propped up yearly with 75 million by the State to serve Sardinia and over 13 million the island of Elba? Grimaldi regularly calls bigger islands like Sicily or smaller ones like Crete without need of subsidies, and still remains competitive. Subsidies amount to a bad deal for the Italian tapayer, all the more so when you consider that even when we compete with state-subsidised services, we take market share them. Tapayers are as a result of this unfair competition forced to throw money down the drain. If any public money should be poored in insular traffic flows then it should not be given to single operators, but rather to clients who should be put in the position to choose the most competitive carrier. In this way the subsidy would be neutral to shipping market and would avoid costly distortions of competition. Elsewhere in this G-News edition you can read about the delivery of the Baltimora the Jinling shipyard in China. She is the first of a series of three sister ships and will fly the Italian flag on routes between the Mediterranean and North America. Our Group has been serving the vessel s namesake port with regular services for the last 50 years. You can also see photos and read a report the 70 th birthday party of our sister company, Finnlines, which took place on board the MS Finnmaid in May. It was a large-scale celebration: around 1,300 guests were entertained, including customers, authorities, politicians, former employees, media and even a few competitors. For those who are not familiar with the Finnlines history, we ve included a potted guide. In other news, Minoan Lines landed four separate distinctions at this year s tourism Awards in Greece.

FLEET The Baltimora delivered The PCTC will be deployed on the Mediterranean-North America route During a short ceremony held last 17 th of July at the Chinese shipyards of Jinling in Nanjing, the Pure Car & Truck Carrier Baltimora was delivered to the Grimaldi Group. First of a series of three sister units ordered by the Group to the Jinling shipyards, the Baltimora has a length of 199.90 metres, a beam of 32.26 metres, a gross tonnage of 63,000 tonnes and a service speed of 19 knots. The new Italian-flag unit can transport 6,700 CEU (Car Equivalent Unit) or, in alternative, 4,000 linear metres of rolling units and 2,500 CEU. She is equipped with four hoistable decks which make her a very fleible vessel, able to load any type of rolling freight such as trucks, tractors, busses, ecavators, etc., up to 5.2 metres high. Moreover, the vessel is fitted with a side ramp and a quarter stern ramp, the latter allowing the loading of freight units with a weight of up to 150 tonnes. The Baltimora is a highly performing ship an environmental point of view. She is, in fact, fitted with an electronically-controlled (Man Diesel & Turbo) main engine, allowing her to meet the new regulations for the reduction of nitrogen oide emissions (NO), and with a hybrid ehaust gas cleaning system for the abatement of sulphur oide emissions (SO). Moreover, she is equipped with a ballast water treatment unit which will allow her to meet the future international regulations. The Baltimora is another demonstration of the commitment of our Group to strengthen further our services between the Mediterranean and North America with the deployment of even more modern, fleible and environmentally friendly vessels, declared the Group s managing director Emanuele Grimaldi. This new unit is named after the US port where we have been present for the last 50 years with regular services to Europe, concluded Emanuele Grimaldi. The Baltimora will sail the port of Nanjing on the 20 th of July with destination New York where she will be deployed on the ly ro/ro service operated by the Group between the Mediterranean and North America. The ports served by the maritime link are: Gemlik (Turkey), Gioia Tauro, Civitavecchia, Savona, Halifa, New York, Baltimore, Veracruz and Antwerp. GNEWS 3

EVENTS Celebrating 70 years of Last 15th of May, the celebration for the 70 th birthday of Finnlines, Grimaldi s daughter company, took place in Helsinki. Customers, suppliers, partners, crew and office staff, both former and current, attended the party on board MS Finnmaid, which was repositioned to the South Harbour of the city. About 1,300 guests were welcomed while boarding the vessel by Emanuele Grimaldi (CEO), Staffan Herlin (Head of Group Marketing, Sales and Customer Service Line Manager Germany, North Sea), Kielo Vesikko (Head of Passenger Services Line Manager HansaLink & Hanko Rostock), the Captain and the Purser of the Finnmaid. All guests had the opportunity to eplore the vessel and were delighted by a delicious buffet. A wide range of stakeholders, customers, authorities, organizations, financial institutions, politicians, media, and a few 4 GNEWS

EVENTS a Grimaldi Group company competitors, enjoyed the party on board the Star-Class vessel. In addition, former Finnlines employees and pensioners were celebrating the Company s longevity, they were also enjoying the fruits of a remarkable turnaround, which makes this carrier a pillar of the Finnish economy for its coastal trades. On video screens lining the walls of the Finnmaid s cargo deck, images of vessels decades past the Finnamer, the Finnsailor, the Finnjet scrolled by party-goers who had flown in Germany, Sweden, Russia, Italy, the UK, Estonia, the Netherlands and Belgium. Among various authorities attending, there were the Finnish National Conciliator Minna Helle, the Italian Ambassador in Finland Gabriele Altana, the Director General of the Finnish Transport Agency Antti Vehviläinen. Just five years prior, who would have imagined that Finnlines would celebrate in such style. The management at that time were tasked with avoiding bankruptcy, and simple survival. If it were not for the deep involvement of the Grimaldi Group, which injected millions of Euros and completely re-organized the Company, Finnlines may have not achieved this success. The three key shareholders, CEO Emanuele Grimaldi, his elder brother Gianluca and brother-in-law Diego Pacella, all came to Helsinki for the celebrations. As a part of Grimaldi s worldwide network, Finnlines is also shipping freight northeastern Europe to the Gulf of Meico, West Africa and the Middle East on a single bill of lading. In the past it was a regional player; now it is part of a global team, contributing a healthy share of the Group s bottom line. GNEWS 5

FINNLINES The history of Grimaldi s sister company at a glance In its 70 years of history, Finnlines has often gone through difficult times. Today it is a healthy company, leader in ro-ro and passenger transport in the Baltic and North Seas Finnlines, Grimaldi s sister company, is the leading shipping operator of ro-ro and passenger services in the Baltic and North Sea. Passengerfreight vessels offer services Finland to Germany and via the Åland Islands to Sweden, as well as between Sweden and Germany. The Company has subsidiaries and sales offices in Germany, Belgium, Great Britain, Sweden, Denmark and Poland. In addition to sea transportation, the Company provides port services in Helsinki and Turku, which are critical seaports in Finland. During the past ten years, the Company has focused on developing business operations, renewing its fleet and investing in efficient technology. Finnlines today provides more than 170 ly freight and 80 passenger. Herebelow is a brief overview of Finnlines history. 1940 s The Finnish merchant fleet goes through massive losses due to World War II and is at its lowest point in 1945. Finnlines is founded in 1947 and purchases si steamships which are placed into a Europe- United States East Coast Service. 1950 s In the 50s new ships are built as new routes are opened and business grows. Vessels load paper, wood pulp, and other forest industry products in the ports of Southern Finland bound to the United States, and coal on return trip. The same service line is soon launched between the UK and Finland. Finnlines responds to increased demand by lengthening four vessels Grimaldi s daughter company signs an agreement with Remontowa shipyard with a total investment of 70 million Euros Finnlines, the Finnish Company part of the Grimaldi Group, has recently signed a contract with the Gdansk-based Polish shipyard of Remontowa: starting in September 2017, Finnlines will lengthen four of its Breeze series units, with an option of two additional vessels. This will increase vessel capacity by around 1,000 linear metres. The yard is committed to perform this work in less than two months per vessel, and the lengthening programme will be completed by May 2018. The close to 30% capacity increase 1960 s In 1962 Finnlines launches a passenger service, when MS Hansa Epress begins sailing between Hanko, Gotland and Travemünde. The first year clearly demonstrates the need for this kind of new service direct passenger and car ferry connection to Continental Europe. In those days, passenger traffic is almost completely confined to the summer season. The 60s are characterised by shipbuilding activity, much of it to meet demand for the East Coast US Services. In the end of the decade, a cargo-handling system called the Finnflow is developed and the first ro-ro vessels MS Finncarrier, MS Hanz Gutzeit and MS Finnfellow are built. With containers becoming common in Western Europe and the US services the late 60s onwards, Finnlines vessels are will considerably reduce the energy consumption per transported unit compared to the original vessel, improving energy efficiency further and thus contributing more to reducing emissions. Remontowa S.A. Shipyard is also involved in several other energy efficiency projects for the m/vessel Finneagle. The above investments will amount to approimately EUR 70 million. Finnlines customers will therefore benefit more environmentally friendly and sustainable services. The company places great emphasis on environmental and safety matters and these works are just another milestone in a long series of investments in sustainable growth. 6 GNEWS

FINNLINES lengthened in order to add special holds for containers. 1970 s In the 70s, US eports to Europe develop vigorously and the Company adapts by building a series of three 14,270 dwt multipurpose universal super liners (MS Finn-Amer, MS Finnbuilder and MS Finnsailor) at Emden. The first Finnlines-operated vessel to trade in polar waters is the bulk carrier MS Finntimber, which calls at Marmorilik in Greenland to load zinc ore and lead ore for Antwerp and Ykspihlaja (Finland). Gas-turbine vessel GTS Finnjet is delivered and MS Finlandia is rebuilt as a cruise ship and renamed MS Finnstar. It is the first and the only ship of Finnlines meant purely for cruising. 1980 s The decade sees the end of Finnlines cruise program as well as Enso-Gutzeit s shipping activities. Finnlines vessels are sailing around the world as the formation of Finnlines Group starts when Effoa (Finland Steamship Company) decides to separate off its cargo services and the relevant company holdings. In 1982 the Company introduces the jumbo ro-ro vessel Arcturus. 1990 s After a series of mergers, diffusions and name changes, the Finnlines Group Oy Ab consortium is born. This new Finnlines is listed on the Helsinki Stock Echange. In the early 1990s, a series of four "combination ro-ro" vessels is built in Poland. In 1995, Finnlines starts a liner service to Russia under the name TransRussia- Epress. In 1998, the Company s trading performance worsens as the Russian crisis hits and Finland's economic growth stuttered. By now, Finnlines is operating on average 66 vessels, both owned and chartered, a figure that increases to 85 by the end of 2001 with the acquisition of TeamLines. 2000 s In the millenium, the stevedoring company Finnsteve is born and business deals are made in other sectors as well. More ships are ordered, among which five Star Class ro-pa vessels Italy s Fincantieri in 2004. Grimaldi Group s shareholding in the Finnlines Group begins in 2005, as an interest based on a project of industrial cooperation, business development and strategic alliance. In 2007, Finnlines orders si new ro-ro vessels the Jinling shipyards in China. In the same year, Emanuele Grimaldi, already a member of the board, is joined by his older brother Gianluca and his brother-in-law Diego Pacella. The chairman and vice president of Finnlines are replaced. Business is challenged by strikes and eventually by the economic crisis that begins in 2008. The Grimaldi Group becomes an increasingly meaningful part of Finnlines, realizing a plan to reduce the fleet s size and increase its loading capacity and efficiency. In June 2009, Emanuele Grimaldi moves to the position of Eecutive President. 2010 s Economic depression still has its effects but the situation seems to stabilize. Grimaldi takes a stronger hold on the Company. Synergies with the Grimaldi Group are continuing to emerge. The Company is connected not only to the Grimaldi Mediterranean network but also to the US East Coast via Atlantic Container Line, another Grimaldi Group Company.. Russian and other Baltic shippers are given access to the Group s West Africa and South America services via transhipment in Antwerp. The ro-ro vessels Finnbreeze, Finnsea, Finnsky, Finnsun, Finntide and Finnwave are introduced. In 2013 Emanuele Grimaldi becomes the new CEO of Finnlines and the Company headquarters move to Vuosaari Harbour. In the following years, the Company realizes several investments in environmental technology and starts an etensive refurbishment programme of the passenger areas on si of its ro-pa vessels. On August 25, 2016, Grimaldi Group S.p.A. gains title to all the shares in Finnlines Plc, completing an acquisition process which started back in 2005. By 2017, a total of 20 out of 22 ro-ro and ro-pa vessels are equipped with scrubbers, nine have been rebladed and two repainted with silicone anti-fouling. Finnlines responds to increased demand by lengthening vessels: Starting September 2017, Finnlines will lengthen four of its Breeze series vessels, with an option of two additional vessels. This will increase vessel capacity by around 1,000 lane metres. GNEWS 7

ACHIEVEMENTS Group gets Ford Q1 Certification for the 18 th year in a row The Grimaldi Group was recently recognized by Ford Motor Company as a preferred supplier and has been awarded the prestigious Ford Q1 Award for the operating year 2016; this is the 18 th year in a row the Group receives this internationally acknowledged recognition, given by the automotive firm to its suppliers. Grimaldi s first time was back in 1999, the first ever to be granted to a European Maritime Transport company. Spaceship bound to Baltimore L ast 14 th of June the Grimaldi chartered vessel Hoegh Singapore transported the CYGNUS PCM9, a spaceship manufactured by Thales Alenia Space, Savona to Baltimore. The unmanned module contained supplies and scientific materials for eperiments aboard the International Space Station (ISS). The vessel transported the cargo to Baltimore, home port of the Grimaldi MED/USA service, which regularly calls Halifa, New York, Baltimore, Jacksonville, Veracruz, Savannah, Houston and Galvestone. Due to the etraordinary size and the fragility of the shipment it was an operational challenge that made the Group proud. Increasingly the Grimaldi fleet is called upon to ship cargo to the USA, at the service of Italian manufacturers of high-quality, high-tech machinery, automobiles, aeronautical stabilizers, finished helicopters, transformers, special alloys. Special Shipments Grimaldi Lines adhere to Marevivo s campaign #EmergenSea Grimaldi Lines recently joined #EmergenSea, the campaign against pollution launched by the Italian environmental NGO Marevivo. Recycle, reduce, reuse is the slogan chosen to promote the small actions and virtuous behaviors to safeguard the environment and the sea. Among them: dispose of waste only where it is allowed and not in the environment; recycle and recover; preserve resources; consume responsibly; have a correct behavior on the beach. «The sea is in fact the blue lung of the Earth declared Rosalba Giugni, president of Marevivo -, it produces 80% of oygen and absorbs 1/3 of carbon dioide only when it is healthy». On board vessels it will be possible to find informational materials and more and more ferries will host compacting machines for plastic bottles and cans in order to separate the materials, making them ready for recycling. The compliance to the campaign is a confirmation of the increasing sensivity to environmental issues by the Grimaldi Group. Humanitarian aid transported on board Cruise Europa Last 29 th of July the vessel Cruise Europa carried a humanitarian aid transport Ancona to Patras. The Grimaldi Group provided complimentary tickets to Feg Auslandshilfe, the German NGO which distributes relief goods. These good are free of charge in the name of the Federaration of Free Evangelical Churches in Germany, to hospitals, children s homes, orphanages, homes for the elderly and disabled as well as other needy people. Food packages, tables, chairs, detergent, nursing home beds, clothing, refrigerators, sewing machine, wheelchairs were part of the transport carried on the vessel with destination Greece.
