Exhibitor Terms and Conditions EXHIBIT SPACE ASSIGNMENT All exhibits will be located at the Phoenician Grand Ballroom ( Hotel ). Exhibit space cannot be assigned without a signed application and payments made in accordance with the payment Terms and Conditions (for applications received after June 8,, 100% payment is required). Exhibit space is assigned as follows: i) first, based on sponsorship level; ii) second, based on years of continued sponsorship; iii) and thereafter in the order the applications were received. Exhibitors may submit preferences as to the location of their booth but Sunquest shall make final determinations as to booth locations. Sunquest reserves the right to change show hours, rearrange the floor plan and relocate any exhibit as necessary at any time. Exhibitors shall be notified of their booth location on or before June 8,. EXHIBIT SPECIFICATIONS Each exhibit booth includes: 8 feet high background draping Draping on each side, 3 feet high One sign identifying the Exhibitor One 6 table and (2) chairs DISMANTLING OF EXHIBITS Dismantling or removal of displays before the close of the conference may result in the loss exhibition privileges at future conferences. This rule will be strictly enforced. EXHIBITOR PERSONNEL All Exhibitor personnel must be registered with Sunquest to attend. All registered personnel of Exhibitor will be issued an Exhibitor badge. Each Exhibitor is allotted (2) complimentary badges per 10 x10 booth purchased unless sponsoring at a higher level. Additional badges may be purchased for $300 each. Exhibitor badges can be picked up on-site at Registration during published registration hours. PAYMENT TERMS AND EXHIBITION SPACE FEES All exhibition fees will be invoiced via email. Payment is due by June 8,. CANCELLATIONS Exhibitor may cancel any time on or before June 1,, and receive a refund of any amounts paid in excess of the deposit amount of 50% of applicable fees included with its application. No refunds will be issued for cancellations received after June 8,. Cancellations must be made in writing. SHARING SPACE No subletting or sharing of exhibit space is permitted without written authorization from Sunquest. EXHIBITOR RESPONSIBILITIES Exhibitor understands and agrees that: (i) it will be solely responsible for obtaining any necessary licenses or permission to perform, broadcast, transmit or display any copyrighted works (including without limitation, music, audio or video recordings, art, etc.) that Exhibitor may use or request to be used at the Hotel; (ii) storage space is not available for display materials and/ or show merchandise and that all related equipment, crates, trash, etc. must be removed from the Hotel no later than the last day of the exhibit show period; and (iii) Exhibitor and its respective employees, agents and patrons agree to abide by Hotel s Production Company Information Guide, a copy of which will be provided upon request. Exhibitor clean-up is from 2:00-6:00pm on Wednesday, July 24. USE OF EXHIBIT SPACE A. No spotlight may be directed toward the aisles, or so directed that it may be distracting to neighboring exhibit booths or guests. B. Droplights or special lighting devices must be hung at a level or positioned so as not to be an irritant or distracting to neighboring exhibit booths or guests. C. No strobe light effects are permitted. D. Projectors, computer screens or TV screens must not be positioned such that attendees viewing the displays may block an ingress or egress aisle. Computer screens and TV screens are considered part of the overall booth components and may not protrude into the aisle. E. Loudspeakers or equipment producing excessive noise may be disturbing to neighboring Exhibitors or guests. Any sound that consistently exceeds 80 decibels measured at the edge of an Exhibitor s booth or is clearly identifiable more than 80 feet from that booth is considered objectionable and the Exhibitor will be asked to adjust the volume of such equipment. F. Exhibitors are prohibited from taking videos or photographs of any booths on the show floor, other than their own. G. No Exhibitor shall cause any copyrighted music to be played or performed without obtaining applicable licenses. Exhibitors are responsible for individual ASCAP/BMi music licensing fees if applicable. INDEMNIFICATION Exhibitor assumes the entire responsibility and liability for any and all losses, damages and claims arising out of or related to Exhibitor s, and its employees, agents, or contractors activities on the Hotel premises, and Exhibitor will indemnify, defend and hold harmless the Hotel, Sunquest and each of their respective owners, management companies, agents, contractors and employees from any and all losses, damages and claims related directly or indirectly to or arising out of Exhibitor s activities. Exhibitor understands that neither Sunquest nor the Hotel maintain insurance covering the Exhibitor s property or personnel and it is the sole responsibility of the Exhibitor to obtain such insurance. 5
