Supervision by the BOD over the Board of Management: In the first 6 months of 2016, the BOD has instructed and supervised the activities of the Board of Management as follows: - Instructing and supervising the production and business activities of the Company to ensure the well protection and maintenance for the plantations of rubber tree, oil palm tree and sugar cane; - Instructing and supervising the implementation of resolutions of the BOD, especially regarding to the management of the Company to improve the labor productivity, cost saving; - Instructing and supervising the completion of private placement of 59,000,000 (fifty-nine millions) Company s shares for investors, the registration depository and additional listing of the new d shares. - Instructing and supervising the implementation of debt structure of the Company; - Instructing and supervising the cash flow management, maintaining the liquidity of the Company. 3. Surveillance activities of the Board of Supervision toward the BOD, Board of Management and shareholders - Reviewing the appropriateness of the resolutions and decisions made by the BOD and the Board of Management of the Company to ensure the compliance with the regulations of the Law and the Charter of the Company; - Supervising the business activities and financial situation of the Company; - Evaluating the quarterly financial statements, interim financial statements; - Supervising the execution, the information announcement of the Company in accordance with the regulations of the Laws and other relevant legal documents 3. The coordination among the Board of Supervision with the BOD, the Board of Management, and other managers: - The Board of Supervision has been received the close coordination by the BOD through getting full information related to the business operations, corporate governance in the meetings of the BOD. The BOD also takes note of the comments of the Board of Supervision to make the optimal decisions on the benefits to the Company in line with the regulations of the Laws; - In the process of supervising the implemention of the Company s activities, the Board of Supervision has been provided the information as requested in time and facilitated by the BOD and other managers to complete the tasks. 4. Other activities of the Board of Supervision - Discussing with the independent auditors on the audited interim financial statements. IV. Training on corporate governance The training courses on corporate governance which members of the BOD and the Board of Supervision, the General Director, other managers and the Secretary of the Company were involved in accordance with regulations on corporate governance. The members of the BOD and the Board of Management have attended and obtained the Certificates of training courses on corporate governance for the Public Joint Stock Company. 4/7 of members of the BOD and 2/7 of members of the Board of Management have been granted the Certificates. In the next time, the Company is going to arrange for the members of the BOD, the Board of Supervision and the Board of Management, managers and the Secretary of the Company to take part in the training courses on corporate governance V.
