Administration and Projects Committee Meeting STAFF REPORT Meeting Date: July 3, 2014 Subject Summary of Issues Recommendations Authorize s to Various Agreements Over the years, the Authority has contracted with various consulting firms to perform engineering services for projects. While some agreements have previously been amended to increase the total agreement value or to extend the term of the agreement, there are a few agreements which are currently active and are either approaching or have passed their expiration dates. Staff has identified the agreements and seeks to extend them to allow for completion of tasks. Authorize the Chair to execute the attached separate s to extend the term of the Agreements. AMENDMENT No. 17 Agreement No. 107 With URS Corporation (formerly Washington Division of URS Corporation) for State Route 4 Widening - Bailey Road to Railroad Avenue Design Services During Construction and Right-of-Way Engineering July 16, 2014 WHEREAS, the Contra Costa Transportation Authority and MK Centennial (subsequently Washington Infrastructure Services, subsequently Washington Group International, Inc., subsequently Washington Division of URS Corporation, and now URS Corporation) entered into Agreement No. 107 on June 14, 1999; and WHEREAS, No. 1 to Agreement No. 107 was approved on September 19, 2001 to extend the term of the Agreement through June 30, 2003; and WHEREAS, No. 2 to Agreement No. 107 was approved on November 21, 2001 to increase the compensation by $50,000 for a new Total Agreement Value of $325,000 to include right-of-way monumentation, record map, record of survey, noise measurements, computer modeling, sound wall analysis, public meetings, geotechnical borings, compaction tests, and geotechnical summary reports as eligible activities; and WHEREAS, No. 3 to Agreement No. 107 was approved on June 18, 2003 to transfer all rights and obligations under this Agreement from MK Centennial to Washington Infrastructure Services, increase the compensation by $100,000 for a new Total Agreement Value of $425,000 to include revisions to right-of-way appraisal maps, monumentation, record of survey, preparation of legal descriptions, Record Map, ancillary closeout activities, retrieval of specific CADD files for construction As-Builts, a Letter of Memorandum for the north sound wall, and an Initial Site Assessment (ISA) for the Rifle Range parcel exchange; and WHEREAS, No. 4 to Agreement No. 107 was approved on June 16, 2004 to transfer all rights and obligations under this Agreement from Washington Infrastructure Services (the subsidiary) to Washington Group International, Inc. (the parent company), an Ohio corporation, increase the compensation by $47,000 for a new Total Agreement 13-3

Value of $472,000 to include out-of-scope right-of-way activities, and extend the term of the Agreement through June 30, 2005; and WHEREAS, No. 5 to Agreement No. 107 was approved on July 20, 2005 to increase the compensation by $60,000 for a new Total Agreement Value of $532,000 to include additional revisions to right-of-way appraisal maps, hard copy maps, record map, record of survey, plat maps, and legal descriptions as a result of modifying the Rifle Range Road right-of-way parcel exchange strategy, and extend the term of the Agreement through March 31, 2006; and WHEREAS, No. 6 to Agreement No. 107 was approved on February 15, 2006 to extend the term of the Agreement through December 31, 2006; and WHEREAS, No. 7 to Agreement No. 107 was approved on December 20, 2006 to extend the term of the Agreement through December 31, 2007; and WHEREAS, No. 8 to Agreement No. 107 was approved on December 19 2007 to increase the compensation by $52,843 for a new Total Agreement Value of $584,843 to include additional activities, agree to the transfer of all rights and obligations from Washington Group International, Inc. to Washington Division of URS Corporation, and extend the term of the Agreement through December 31, 2008; and WHEREAS, No. 9 to Agreement No. 107 was approved on December 17, 2008 to extend the term of the Agreement through December 31, 2009; and WHEREAS, No. 10 to Agreement No. 107 was approved on December 16, 2009 to extend the term of the Agreement through December 31, 2010; and WHEREAS, No. 11 to Agreement No. 107 was approved on November 17, 2010 to extend the term of the Agreement through December 31, 2011; and WHEREAS, No. 12 to Agreement No. 107 was approved on January 19, 2011 to increase the compensation by $22,725 for a new Total Agreement Value of $607,568 to include additional right-of-way close-out activities and transfer all rights and obligations under the Agreement from Washington Division of URS Corporation to URS Corporation; and WHEREAS, No. 13 to Agreement No. 107 was approved on November 16, 2011 to extend the term of the Agreement through December 31, 2012; and WHEREAS, No. 14 to Agreement No. 107 was approved on April 18, 2012 to increase the compensation by $19,000 for a new Total Agreement Value of $626,568 for additional right-of-way closeout activities to facilitate the right-of-way transfer acceptance process by Caltrans; and 13-4

WHEREAS, No. 15 was approved on December 19, 2012 to extend the term of the Agreement through December 31, 2013; and WHEREAS, No. 16 was approved on December 18, 2013 to extend the term of the Agreement through June 30, 2014; and WHEREAS, the parties now wish to further extend the term of the Agreement for on-call right-of-way closeout services during the title transfer acceptance process by Caltrans; therefore be it MUTUALLY AGREED: (1) That Article II of the Agreement is amended to extend the term of the Agreement to June 30, 2015; and (2) That all other items and conditions of the Agreement shall remain in effect.
