REQUEST FOR PROPOSAL (RFP) FOR DRY LEASE OF 02 (TWO) 777-300ER AIRCRAFT 01. INTRODUCTION Biman Bangladesh Airlines Limited ( Biman ), the national flag carrier of Bangladesh, was established in February 1972. At present, Biman is operating flights to 07 Domestic and 15 International destinations. Out of the International destinations, Biman operates flights to 02 destinations in the SAARC countries, 04 destinations in the South East Asia, 08 destinations in the Gulf & Middle-East and 01 destination in Europe. At present, Biman has a fleet of 13 (thirteen) aircraft comprises 04 (four) 777-300ER, 02 (two) 787-8, 04 (four) 737-800 and 03 (three) Dash8-Q400 aircraft. Biman took delivery of four brand new 777-300ER, two 787-8 and two 737-800 aircraft from Boeing under the purchased agreement signed for 10 aircraft in 2008. Remaining two 787-8 aircraft are scheduled to be delivered in September 2019. Out of 05 (five) leased aircraft, Biman has taken lease of 02 (two) 737-800 from GECAS, 02 (two) Dash8-Q400 from Smart Aviation and 01 (one) Dash8-Q400 from NAC on long term Dry lease basis. Biman is in the process of inducting 02 (two) 737-800 from ALAFCO on long term dry lease basis by January 2019. Biman has concluded a purchase agreement with the Canadian Commercial Corporation (CCC) for 03 (three) brand new Dash8-Q400 aircraft in August 2018, with delivery schedule in March, May and June 2020. Biman has increased its weekly frequencies to some potential routes and is also planning to extend its services to prospective new destinations (like Guangzhou, Medina, Colombo & Male ) along with resumption of flights to New York. 02. PURPOSE Biman Bangladesh Airlines Limited (Biman) invites Proposal/Offer for Dry Lease of 02 (two) 777-300ER aircraft for a minimum period of 60 (sixty) months or more with delivery schedule on or before 31 May 2019. The aircraft will be operated in Biman s network using its call sign and under Bangladesh Registration. 03. SUBMISSION OF THE PROPOSAL/OFFER The Proposal/Offer may be submitted to the Dy. General Manager (Corporate Planning) at dedicated e-mail dacpm179@bdbiman.com by 1000 hours BST (0400 hours UTC) on 20 January 2019. Proposal/Offer may also be submitted through Courier Service or dropped in the Box placed in the Office of the General Manager (Corporate Planning), Biman Head Office, Balaka, Kurmitola, Dhaka- 1229 within the stipulated time. The Proposal(s)/Offer(s) will be opened immediately after the closing time in presence of the Bidder(s), if any. No Proposal/Offer will be accepted after the closing time. Biman Bangladesh Airlines Limited (Biman) would not be responsible for late receipt of Proposal/Offer due to any reason, whatsoever. 04. BASIC/MANDATORY REQUIREMENTS Reputed Leasing Companies having aircraft of their own or legally authorized by the Owner may participate in the RFP meeting Terms & Conditions as mentioned in the RFP Schedule. Proposals received through Agent or Broker will not be entertained at any stage. A. Basic Information The Bidder must provide the following information along with the submission of offer Sl. a. Note Biman may decide to take both or any one of the offered aircraft at its discretion c. Seat Configuration at Delivery 400+ seats in 02 (two) Class Configuration All seats must be in good condition. Bidder to provide existing LOPA along with offer. d. Age of Aircraft Age of Aircraft must not be more than 13 years old on 31 May 2019 (date of manufacturing to be mentioned) e. Nature and Period of Lease Dry Lease for a minimum period of 60 (sixty) months or more with delivery schedule on or before 31 May 2019. f. Owner s Authorization If the Bidder/Lessor is not the owner of the aircraft, owner s authorization/mandate for leasing the aircraft to Biman must be submitted with the offer. Without proper authorization, offer will not be considered for evaluation. g. Certificates The offered aircraft should preferably be included in current AOC with Ops Spec, valid C of A and C of R. Sl. h. Scheduled Tasks and C Checks/Heavy Maintenance Any Scheduled Tasks and C Checks/Heavy Maintenance applicable to the offered aircraft having maintenance interval equal to or more than 03 (three) years/3000 FC/12000 FH must not fall due within the first 12 months of the lease period. If above mentioned Tasks or Maintenance Check is due in the 2 nd or 3 rd year, the Lessor must pay the difference between the Maintenance cost and the accumulated Maintenance Reserves. i. Landing Gears next overhaul shall not be due during the 1 st year of the lease period. Next overhaul due date and at cycles to be mentioned. If Landing Gear overhaul is due in the 2 nd year, the Lessor must pay the difference between the Landing Gear overhaul cost and the accumulated Maintenance Reserves. j. C -Check as per Lessor s applicable maintenance program must be performed prior to commencement of Lease. Please provide information/tick in the appropriate box and comment, if any k. Delivery Before delivery of the aircraft, Bidder must comply with the below mentioned requirements (please comply/attend each item) Sl. a. Aircraft must be delivered in full operating condition. Each Aircraft must be delivered fresh out of `C -Check. b. Major components which are On Condition or Condition Monitored shall be serviceable. c. No Engine/APU will have a reduced inspection interval requirement for a condition of an installed component. d. Terminating action requirement of any AD must not remain due during the dry lease period (repetitive inspection requirement are excluded) e. On-wing take-off EGT margin of each Engine must be minimum 20 Degree Celsius at time of delivery. Please provide information, tick in the appropriate box and comment, if any Page 4 of 13

Sl. f. Wheels and Brakes All wheels and Brakes shall have at least 50% remaining useful life. g. Life Limited Parts All life limited parts for Both Engines and APU must have 5000 Flight Cycles remaining during delivery. h. Engine Cycles In case of first run engine, engines must not exceed 1500 Flight Cycles since New during delivery. Otherwise engines must not exceed 1000 Flight Cycles since last Overhaul during delivery. i. Component Life All Hard time components including Emergency Equipment should preferably have 10000 hours or 2000 Flight Cycles or two years (whichever is higher) of life at time the of delivery. Components having an interval/life less than these intervals shall have full life remaining. j. Repair All repair embodied must be permanent as per manufacturer manual/instruction. k. Livery Aircraft to be painted in Biman's Livery as per Biman's specifications at Lessor's cost. l. Seats Cockpit Crew, Cabin crew and Passenger seats must be serviceable, fully functional and passed any test/task per CMM and/or AMM and must meet specifications/ requirements of CMM and/or AMM. m. Galley and Catering Equipment (per aircraft) i. FMC 02 ship set ii. HMC 03 ship set iii. STD Unit 01 ship set iv. Ship/Baby Bassinet 01 ship set + Extra 02 Nos. v. Aisle Chair 01 ship set vi. The aircraft must be fitted with PAX Chemical Oxygen Generation System. vii. Flight Data Monitoring (FDM) system. One downloading device must be delivered to Biman during delivery of the aircraft. viii. Engine Health Monitoring (EHM) data downloading system must be installed and full functional. ix. Software uploading and downloading system via CD/DVD/UMD. x. GNSS/GPS System for RNAV1 must be incorporated and full functional. xi. ADS-B out. xii. The offered aircraft must be delivered in fully airworthy condition and with all applicable Airworthiness Directives (AD); Alert or Mandatory Service Bulletins (SB)/Modifications complied effective on the date of delivery. ii. If any AD/ Alert or mandatory SB issued prior to delivery of the Aircraft and any modification fall due within the first 06 (six) months of the lease period, the Bidder (Lessor) shall be responsible for the cost associated with such modification. The aircraft will be operated in domestic, regional and international sectors of Biman Bangladesh Airlines. iii. Biman will be responsible for provision of Maintenance, Crew and Insurance. iv. For HMV/Refurbishment/Overhaul of Landing Gear/APU, Engine or its modules; access to available Maintenance Reserves/Supplemental Rent to be provided based on utilization since last HMV/Overhaul/Refurbishment. v. Registration of the aircraft during the Dry lease period will be in Bangladesh as per regulations of the Civil Aviation Authority of Bangladesh (CAAB). viii. Inspection of The Aircraft S/ i. Prior to finalization of the lease contract, a team comprising of officials of Biman and the Civil Aviation Authority of Bangladesh (CAAB) will inspect the aircraft. 05. NEGOTIATION Biman will negotiate directly with the Reputed Leasing Companies having aircraft of their own or legally authorized by the Owner of aircraft for the proposed lease. Negotiations will take place in Dhaka, Bangladesh. 06. GENERAL TERMS AND CONDITIONS a. Non-compliance of any condition in the RFP where the word must have been used will render the offer as non-responsive. b. No unsolicited paper/document/information/approach will be entertained at any stage of the bidding process. Bidders are required to comply with the stipulated terms and conditions of the RFP, failing which the proposal/offer may be rejected at the option of Biman. c. Before delivery of the aircraft, the successful bidder will have to execute a Lease Agreement containing standard and customary terms & conditions not inconsistent with the provisions of this RFP. d. All other industry standard terms & conditions will be provided in the lease agreement. e. No Proposal/Offer will be accepted after the closing time. Biman Bangladesh Airlines Limited (Biman) would not be responsible for late receipt of Proposal/Offer due to any reason, whatsoever. f. Biman Bangladesh Airlines Limited (Biman) reserves the right to accept or reject any or all proposal(s)/offer(s) partly or wholly at any time and/or stage without assigning any reason, whatsoever, and no claim shall be entertained in this regard. 07. A copy of certificate from the Airworthiness authority of the State of Registry of the aircraft approving the maintenance check schedule followed by Lessor. A statement from the owner/operator that the aircraft fully complies with the airworthiness requirements of the State of Registry. Details of maintenance program followed and approved by the airworthiness authority of the country of Registry. The aircraft and their documents will be inspected. Please indicate when and where the inspection can be made. The current balance or startup reserves in the amounts equal to the product of time logged and the corresponding maintenance reserves are made available by the Lessor to the Lessee to undertake the maintenance during the lease term. Standard package of technical documentation for normal airline flight operations and maintenance planning (hard copies and CD). ii. Component list of life controlled items; List of all installed components with relevant history. iii. MPD, MRB, MMEL, MEL, CDL, AFM, FCOM, QRH, Nonessential Equipment & Furnishings (NEF) Program, Weight & Balance Manual, Interior Drawings/ LOPA. iv. CMMs of BFE equipment such as Galleys, Passenger Seats, Impact activated ELTs. v. Provide configuration control software list. vi. Flight Safety Manual, Flight Safety Equipment List, their description and layout diagrams. vii. Aircraft major repair data history. viii. External Repairs and Damage Report (Repair Mapping/Charts). Provide dent and buckle chart. ix. Updated list of ADs and SBs incorporated on aircraft with Statement that no AD/mandatory SB would be due within the 12 months beginning lease. x.
