Our Commitment The Exhibit Show will be staged in an attractive and orderly manner and will be well promoted throughout the conference. Our staff and volunteers will be on hand to facilitate setup as well as answer questions. Your Commitment We request that as Exhibitors you will send out a minimum of two email blasts to your network advertising your presence at the 2019 Break Forth One conference. Please also include the Break Forth One logo and hyperlink to the website. Content for email blasts can be provided. You will also provide training for your exhibit booth staff, product for draws or giveaways at your booth, shipping as well as the return of your booth, product and display, electrical power, internet, video and special booth accessories. While public wifi is available at the Shaw Conference Centre, Break Forth One cannot guarantee its reliability so we recommend booking internet access if it is needed for your booth. Exhibitor Contract Terms January 25-27, 2019 General Information & Policies THE GENERAL INFORMATION, RULES AND REGULATIONS, hereinafter stated, comprises the legally binding terms and agreements between the Exhibitor and Break Forth Canada. By submitting the Break Forth Canada Exhibit Booth Contract registration, you agree to honour and abide by the terms of this agreement as hereinafter stated and as applies to Break Forth Canada, January 25-27, 2019 in Edmonton, Alberta. 1. Break Forth Exhibit Show: The Exhibit Show is sponsored and managed by Break Forth Canada, herein referred to as BFC. 2. Exhibit Show Location: The Exhibit Show is located at the Shaw Conference Centre (Hall C), 9797 Jasper Avenue, Edmonton, Alberta, T5J 1N9. Exhibit Booth Contract 3. Contract Policies & Guidelines: Registration submissions do not guarantee space. This is an application only. Contracts are considered on the basis of: Booth and product presentation Product balance at the site Uniqueness, appeal, and suitability of product(s) Location availability 4. Admissions: BFC reserves the right to decline or prohibit any exhibit or part thereof which in its opinion is not in keeping with the character of the conference. In addition, BFC reserves the right to refuse exhibit space to any Exhibitor, if, after the acceptance of the Contract, information should come to the attention of BFC, which in the reasonable judgement of BFC, demonstrates that the proposed exhibit would be inconsistent with the principles espoused by BFC or unfavourable to the public reputation of BFC. In the event BFC should exercise this right, any deposit and exhibit fees paid to BFC shall be refunded. If the denial of exhibit space shall be for failure or refusal of the Exhibitor to comply with the terms set forth elsewhere in this Contract, the denial of exhibit space shall be treated as a cancellation by the Exhibitor. In the event of fire, strikes or other unavoidable circumstances which make the building unfit for use or make it prohibitive for BFC to lease said space, the Exhibitor contract shall be binding to the extent of services and expense incurred. 5. Assignment of space: BFC will assign to Exhibitors on a first come, first served basis according to the BFC booth contract selection policies. BFC reserves the right to shift space at any time if, in BFC s judgment, it becomes necessary to do so. BFC reserves the right to make modifications to the published floor plan as may be necessary to meet the needs of Exhibitors and the Exhibition as a whole. 6. Subletting: No Exhibitor shall assign or sublet the space allotted. 7. Use of Space: Exhibitors will not block the line of sight to the next exhibit by having exhibits along the divider wall which protrude more than one foot above the divider walls. Exhibitors must confine all exhibit activities to within the limits of the space allocated. No soliciting or advertising for any purpose will be permitted on the grounds except from within the space allocated. The playing of loud music, videos, films, or the like, or any other loud or distracting activity that could be objectionable to neighbouring Exhibitors is prohibited. Aisles may not be used by the Exhibitor. The Exhibitor is responsible for maintaining a neat and clean booth. 8. Booth Volume Level: Volume levels will be monitored throughout the weekend. The prescribed volume level of 75 decibels or lower must be maintained at all times. 9. Exclusions: Companies or organizations not assigned space in the exhibit area will be prohibited from exhibiting or soliciting business within the Exhibition or Conference area. Smoking and alcoholic beverages are not permitted within the building. Payment & Refunds 10. Booth Fee: Your booth fee includes the provision of the following: backdrop and side wall draping, one table draped & skirted, two chairs (maximum), Exhibitor name listing on the BFC website, and two exhibitor passes. 11. Booth Payment: Booth payment is due at the time the exhibit registration is submitted. Charges will be applied when the application has been approved by BFC. Contracts must be received online by the appropriate deadline date in order to receive advertised pricing. 12. Exhibitor no-show or early tear down penalty: If conditions of set-up and tear down of Exhibit Booth are not met, a separate penalty of $250 will be applied to Exhibitor s credit card, post-conference. Cheques are not accepted. The penalty payment is only processed post-conference, if required. Exhibitors who abide by the conditions of the Exhibitor Contract will not be charged the $250 set-up or tear down penalty. 13. Cancellations: If Exhibitor desires to cancel the contract, and written notifications is received by BFC on or before November 30, 2018, BFC will refund the Exhibitor fees paid to BFC minus a $50 administration fee. If cancellation notification is received after November 30, 2018, no refunds will be given. 14. Default of occupancy (Exhibitor no-show/early tear down penalty): Any Exhibitor failing to occupy their exhibit space contracted for, but not cancelled, by 2:00 p.m. Friday, January 25, 2019 is obligated to pay the full cost of the space. In the event of default of occupancy, all obligations of BFC to Exhibitor hereunder shall cease and BFC shall have the right to use said space to suit its own convenience, including selling the space to another Exhibitor without any rebate or allowance to the defaulting Exhibitor. The $250 exhibitor no-show/early tear down penalty shall also apply and will be processed immediately (refer to term #12). Merchandise Sales 15. Exhibit Booth Sales & 10% Sales Commission: Sale of merchandise is permitted subject to BFC review and approval. Break Forth Canada receives 10% commission on all exhibit booth merchandise sales conducted on-site at the Exhibit Show. The commission is charged on all monies received for on-site merchandise sales, tickets, and/or catalogue orders or 11

advance orders. Complete beginning and closing inventory details for each item must be recorded and handed in to the commission collection table located in the Exhibit Hall, prior to checking out Sunday, January 27, 2019. Cheque, cash, or credit card accepted for commission payment. General Show Information 16. Booth Space Decor, Rules and Regulations: Exhibitor agrees to conform to all rules and regulations of the Exhibition s official decorator as detailed in the official service kit provided by that company. Where union personnel are required by the decorator, and/or Shaw Conference Centre, the Exhibitor must comply with union requirements. BFC is not responsible for decorator, and/or Shaw Conference Centre personnel, nor can BFC guarantee services and/or utilities promised by the decorator and/or venue shall be available during the exhibition. Call the decorator directly for specific information relating to your exhibit space requirements, labor rules and regulations, deadlines, and other questions. All accessories ordered are at the exhibitor s expense. 17. Shipment of Exhibit Materials: Exhibitor shall make all arrangements for shipment and delivery of materials consigned to the decorator s warehouse and NOT to the Shaw Conference Centre, nor to BFC. Neither the Shaw Conference Centre nor BFC assumes any responsibility for display materials shipped to them. Refer to the official decorator s service kit for shipping deadlines and instructions, or call the decorator directly. Exhibitor Arrival & Departure 18. Exhibit Set-Up and Opening Time: Exhibit space will be ready for exhibitor move-in during the following dates/times: Early set-up: Thurs, Jan 24th Email info@breakforthcanada.com or call 844.546.8150 to book early set-up. Regular Set-Up: Friday, Jan 25th, 8:00 AM. - 11:30 AM All booths must be in complete and proper order, ready to open to the public by 11:30 AM Friday. Under no circumstances will the delivery or removal of any portion of an exhibit be permitted during the Exhibition hours without permission first being secured in writing from BFC. 19. Exhibit tear down: Tear down will commence promptly at 11:00 AM Sunday. All booths must be completely disassembled and moved out of the exhibit space by 5:00 PM Sunday, January 27, 2019. If exhibitors begin move out before designated time, the $250 early tear down penalty deposit will be processed immediately by BFC. The 10% sales commission must be paid on all exhibit booth sales and sales orders prior to exhibit move out. Security 20. Exhibitor responsibility: Exhibitor assumes entire responsibility and liability for losses, damages, and claims arriving out of injury or damage to exhibits, displays, equipment and other property brought on the premise of the Shaw Conference Centre and shall indemnify and hold harmless BFC, its agents, servants and employees from any and all such losses, damages and claims. 21. Exhibit Booth Security: Because exhibit booths will be located in a public access area, exhibitors are responsible for their own security of materials and goods. It is recommended that you attend your booth at ALL times. The building is secure after hours and, while the Shaw Conference Centre security staff maintains a watch after hours, neither BFC nor the Shaw Conference Centre and its employees shall be liable for any damage or theft to the Exhibitor s display or property. Insurance & Regulations 22. Care of Building: Exhibitor must return, in the same condition as found, all Shaw Conference Centre property and space used during the exhibition. Exhibitors will be held responsible for any damage done by them or their representatives. No nails tacks or screws may be driven into the walls or woodwork of the Shaw Conference Centre. No open flames or flammable or explosive substances are allowed in the Shaw Conference Centre. Smoking is not allowed in any area of the Shaw Conference Centre. Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and save BFC, the Shaw Conference Centre and their employees and agents harmless against all claims, losses and damages to persons and property, governmental charges or fines and attorney s fees arising out of or caused by exhibitor installations, removal, maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability caused by the sole negligence of the Shaw Conference Centre and its employees and agents. 23. Insurance: It shall be the responsibility of the exhibitor to provide for insurance needs. 24. Limitations of Liability: Neither BFC, its employees, officers, agents, volunteers or affiliates shall be liable for any injury, loss or damage to person or property of exhibitor, its employees, agents and invitees except to the extent that such injury, loss or damage is caused directly and proximately by substantial negligence on the part of BFC or its employees. Exhibitor, by this execution of registration, expressly waives the right to claim any such excluded liabilities against BFC and its respective employees, officers, agents, directors or volunteers and acknowledges that it will neither hold nor attempt to hold the organization or any such person liable for any cause whatsoever other than injuries or damages occasioned directly and proximately by the substantial negligence of such person. Further, neither BFC nor its respective agents, employees, officers, volunteers or directors shall be liable for any failure or unavailability of utilities or any Shaw Conference Centre or decorator services personnel. In the event that BFC, or any of its agents, shall receive a claim or complaint, which in part or in whole arises from Exhibitor s actions or failure to act, Exhibitor shall indemnify and hold BFC and its respective agents, employees, officers, volunteers, or directors harmless from any claim, loss or liability resulting therefrom. 25. Conformance to Laws: Exhibitor agrees to use contracted space for lawful purposes only and will conform to all laws, ordinances, and regulations. The exhibitor MUST comply with all local safety, fire, and health ordinances regarding installation and operation of equipment. 26. Fire Regulations: Exhibitors are responsible for obtaining their own fire or other insurance. If an Exhibitor uses any type of fuel such as gas, oil, or propane in its exhibit, the Exhibitor must contact the City of Edmonton Fire Department, Fire Prevention Branch at 780.496.3850 to discuss all matters pertaining to the installation of such equipment. 27. Outside Food and Beverage: the Shaw Conference Centre is the sole provider of food and beverage at the event. Wrapped candy or chocolate can be brought from outside, but any open food or beverage for promotional purposes must be arranged through the Shaw. 12
