ASX / Media Release July 31, 2017 Kingsland Global to develop Phnom Penh City Centre Highlights: Kingsland Ventures Co Ltd (Kingsland Ventures), a wholly owned subsidiary of Kingsland Global Ltd (Kingsland Global), has entered into a joint venture agreement to undertake a development in the Phnom Penh City Centre The project will be a mixed development with office towers, restaurants, banking / medical services, a hotel, a convention centre, and an IT and media hub Kingsland Global is committed to delivering quality projects and anticipates that the project will value-add to Cambodia s business landscape Kingsland Ventures, a wholly owned subsidiary of Kingsland Global, has entered into a joint venture agreement to develop 10,000 square metres of prime real estate in the new Central Business District (CBD) of Phnom Penh, Cambodia (Project). The Master Co-Operation Agreement with Urban Global Co. Ltd (Urban Global), a wholly owned subsidiary of Shukaku Inc., will provide for the development of a one-stop business centre in Phnom Penh City Centre (PPCC). A wholesome planned development, the Project will provide multifaceted facilities and functions comprising office towers, restaurants, banking services, medical centres, a hotel, a convention centre, and an IT and media hub and will also serve as a connecting point for businesses to enjoy enhanced communication while harnessing opportunities and improving productivity. Under the terms of the joint venture: A new joint venture entity will be incorporated to undertake the development of the Project; Urban Global will procure the land title for the Project and obtain all such licences and permits necessary for the Project; and Kingsland Ventures will have primary responsibility for the management of the Project and will procure the required capital to fund the Project of approximately $71 million in tranches over a 6 year period (it is envisaged that Kingsland Venture will procure initial funding by way of issue of redeemable preference shares in Kingsland Ventures (the terms of which are to be determined) and subsequently through pre-sales of the Project). Following the provision of the capital requirements to develop the Project, the ownership in the joint venture entity will be as follows: Kingsland Ventures 49%; and Urban Global 51%.
Upon completion, the Project, being a mixed used development, will: Offer office spaces in the prime location of central Phnom Penh, Cambodia; Foster a productive community of stakeholders through its cross-selling of amenities and services; Enable tenants and visiting clients to enjoy the added benefit of having multiple essential amenities; and Provide alternative meeting venues for office tenants and their clients, while at the same time ensures patronage for businesses within the premise. In addition, the Project will also comprise of: A convention centre, which will be a hybrid venue between traditional convention halls and ballrooms and will accommodate exhibitions, conferences, concerts and other major events; A modern hotel equipped with an infinity pool and a rooftop restaurant; and An IT and media hub with a synergistic business environment to suit the rapidly developing digital landscape of the business industry with an aim to leverage on increasing digital opportunities to create greater economic impact for Cambodia.
