1 P: E: W: ServiceIQ.org.nz MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding is made on the... day of Between Tokikapu Marae ki Waitomo Gateway Camp (the Marae/provider) and ServiceIQ
2 Background ServiceIQ and the Marae/provider wish to form a cooperative alliance in order to promote tourism Māori opportunities and careers to Year 13 students. This entails the development and delivery of an exciting camp experience at the Marae/provider and learning materials provided by ServiceIQ. There is a commitment from both parties to establish the ServiceIQ Gateway programme in Cultural Tourism and to make this an on-going and successful experience. Party Definitions The Marae/provider is an Adventure Tourism & Cultural experience operator which embraces it s surrounding community and beautiful landscapes. There are a number of tourism opportunities within a short distance offering experiences for everyone with accommodation offered. ServiceIQ is an industry training organisation under the Industry Training Act, covering the sectors of Aviation, Tourism, Travel and Museums. It is a national standards setting body which develops qualifications, organises training and assessment and provides quality assurance to ensure standards are met. Objective of co-operation To develop and organise an interactive cultural tourism gateway programme and Marae based camps that are held at Tokikapu Marae ki Waitomo Gateway Camp during each 2015 school holidays and then on-going for the term of this agreement. In consideration of this intent, it is agreed as follows: 1. Term of Memorandum of Understanding: This MOU shall take effect from the date of signing and shall continue until 31st December 2015, or longer if agreed to in writing by the parties within two month of termination. 2. The Services The services provided by each party under this agreement are listed in Schedule 1 and can be added to during the period of the agreement, as agreed from time to time by the parties. 3. Financial considerations Fees for service provision by each party are detailed in Schedule 2. These will be reviewed before the commencement of each cultural tourism gateway programme and Marae based camp. 4. Alliance Management The alliance will be managed by nominated senior staff from ServiceIQ and the Marae/provider, with service provision coordination also assigned to nominated operational staff at ServiceIQ and the Marae/ provider. 5. Meetings Any party may initiate a meeting on matters of mutual interest. Regular meetings will occur between appointed contract managers and service provision coordinators. 2 of 7 ServiceIQ Published February 2015

Indemnity and Insurance 6.1 The Marae/provider must unconditionally and irrevocably indemnify ServiceIQ against: a) Any direct loss suffered by the ServiceIQ, which may arise out of a breach of the Ministry of Education s EOTC Guidelines (available from the MOE website EOTC-Guidelines ); b) Any liability incurred by students or trainers in respect of injuries to persons or damage to property caused by the Marae/provider, students or trainers while performing the services set out in Schedule 2 attached. c) The payment of any taxes, fees, penalties or other charges imposed on ServiceIQ or the Marae/ provider arising out of or in relation to this MOU. 6.2 If ServiceIQ is or becomes, or reasonably forms the view that it may be, or may become liable for the payment of any taxes, fees, penalties or charges for which the Marae/provider required to indemnify ServiceIQ in accordance with the Ministry of Education s EOTC Guidelines, ServiceIQ may charge or deduct the amount of its liability or prospective liability for such taxes, fees, penalties or charges from any amount due from the ServiceIQ to the Marae/provider under this MOU. 6.3 If for any reason the Marae/provider cancels the camp within three (3) weeks of the camps the Marae/ provider is to refund ServiceIQ the full amount of any fees paid in advance. ServiceIQ will also charge a cancellation fee of 30% of the total of all fees received from registrations. 7. Termination Either party may terminate this agreement with just cause and give three (3) months written notice to the other party. 8. Notices 8.1 All notices or other communications to be given under this MOU shall be given at the recipient s last known place of address (or such other address as that party may have specified in writing), and shall be deemed to have been duly given or made: a) In the case of a communication by letter on the third business day after being posted by mail, correctly addressed and stamped; b) In the case of a communication by facsimile or when transmitted with no indication of incomplete transmission to the recipient s last known facsimile number. 5 Schedule 1 Provision of services Services provided by ServiceIQ shall include: 1. Developing and organising the Cultural Tourism Gateway programme in consultation with the Schools, Tokikapu Marae ki Waitomo Gateway Camp and any associated Tourism operators. 2. Promoting the Gateway programme to the Schools to meet agreed targeted numbers of students and programmes, per holiday period, and ensuring information is provided to all attendees in preparation for the Gateway camp. 3. ServiceIQ will confirm paid registration (ie. numbers) three (3) weeks prior to the camp commencing. 4. ServiceIQ will invoice the Schools for the Gateway programme during the time at Tokikapu Marae ki Waitomo Gateway Camp and pay out accordingly to Tokikapu Marae ki Waitomo Gateway Camp as stated in Schedule 2. Services provided by Tokikapu Marae ki Waitomo Gateway Camp shall include: 1. Delivering the Gateway Camp experience alongside ServiceIQ and providing the manaaki to the students in regards to welcome, food and comfortable accommodation (as per attached example itinerary Schedule 3). 2. Provide the nominated staff to deliver the Gateway programme as an ServiceIQ partner, to ensure a long term viable programme for ServiceIQ, Tokikapu Marae ki Waitomo Gateway Camp and the regional secondary schools. 3. Ensure the nominated staff (teacher) completes an Evaluation Form within 7 days of the completion of the camp. 4. Ensure adherence to services as per the Ministry of Education s EOTC Guidelines. 5. Arrange transport and the safe return of any students to their parents/custodian in the event of unacceptable behaviour or in the event of a health and safety issue. 6. Complete Evaluation Form within 7 days of the completion of the camp. Services provided by the School: 1. Schools will ensure students receive briefing information provided by ServiceIQ on the Gateway camp, including cultural protocol. 2. ServiceIQ will report credits achieved as per normal in Gateway programme support services. Schedule 2 Financial Considerations and Fees for Service Payments to Tokikapu Marae ki Waitomo Gateway Camp for the Gateway Camps: Tokikapu Marae ki Waitomo Gateway Camp will be paid $ incl. GST per student for the services they will provide including, but not limited to the activities outlined in Schedule 3, food, accommodation, practical learning in the Tokikapu Marae ki Waitomo Gateway Camp and additional tour and/or outdoor experiences. The marae/provider invoices ServiceIQ once numbers are confirmed and said invoice will be paid within 7 days.
