2 I. Purpose The Depository Trust and Clearing Corporation (DTCC), in consultation with the industry, has launched the Shortened Settlement Cycle (SSC) Initiative to mitigate risk for all industry participants and foster a reduction of systemic risk by reducing: credit risk and counterparty exposure; pro-cyclicality; and liquidity risk to DTCC s subsidiary, National Securities Clearing Corporation (NSCC). The purpose of the Industry Steering Committee (ISC) is to oversee the SSC initiative on behalf of the industry; drive the deliverables of the Industry Working Group (IWG), support the initiative and the building blocks; make recommendations to DTCC; and communicate changes required to the industry. II. III. ISC Mission: Provide guidance, direction and support for the SSC initiative to shorten the U.S. trade settlement cycle for equities, municipal and corporate bonds, and unit investment trusts (UITs). Responsibilities The key responsibilities of the ISC are: A. Drive the change to achieve T+2 in the US Market. B. Recommend a target date for a move to T+2 after having considered the challenges of both the T+2 enablers and the industry s overall capacity to effect such a change. C. Define the scope of the building blocks to implement a T+2 settlement cycle. D. Maintain oversight of the delivery of the SSC Initiative. The ISC will monitor and communicate performance against agreed plans (requirements gathering, development, testing, etc.) of SSC to the industry. E. Select the Co-Chairs and members of the ISC and IWG. F. Take oversight responsibility for the Industry Working Group(s), formed to address the required building blocks. G. Be a sounding board for key analyses, evaluate trade-offs and provide final input and recommendations. H. Make decisions on escalated issues. I. Review and approve metrics defined to assess Industry Readiness to implement business changes supporting T+2. J. Take ownership of recommendations and syndicate to market constituents. K. Work closely with the regulators to facilitate required rule and regulatory changes. L. Champion the shortening of the Settlement Cycle to industry constituents. M. Review and approve any quotes or press releases representing ISC that might be provided by any of the ISC members. (Official ISC communication should be vetted and approved by the ISC members.) N. Meet at least twice a year, depending on the calendar and needs. Page 2 of 6
3 IV. Committee Co-Chairs Co-Chairs for the ISC will be nominated by the ISC members at the initial kick-off meeting for a term of no less than one year and then selected by majority vote thereafter. Each of the Co-Chairs will lead the ISC meetings with the role of Chairperson rotated between the two individuals. In the absence of the Co-Chairs at any meeting of the Committee, those members of the Committee present shall designate a Committee member to serve as the Acting Chair. The Committee Chair is responsible for: a. Setting and managing meeting agenda b. Meeting schedule c. Tracking meeting attendance d. Facilitating discussion and issue resolution e. Reviewing and approving meeting minutes f. Assessing members conformance with ISC Member Profile (section VII) and member engagement (section VIII) criteria g. Leading ISC self assessment to ensure consistent compliance with the ISC Mission. V. Composition The ISC should include senior executives representing various associations and organizations impacted by SSC initiative. The target size of the group is No substitutes will be permitted without the express prior approval of the ISC Chair. Initial composition of the ISC will be decided with recommendations from the industry associations and based on criteria defined in section VII A and by majority vote of the Committee. To ensure representation from all industry segments, the composition of ISC should include the following: Association of Global Custodians (AGC): 1 Association of Institutional INVESTORS (AII): 1 Investment Company Institute (ICI): 1 Managed Funds Association (MFA): 1 Risk Management Association (RMA): 1 Securities Industry and Financial Markets Association (SIFMA): 1 Securities Transfer Association (STA): 1 Asset Managers: 3 Broker-Dealers: 3 Stock Exchanges: 2 Retail Broker-Dealers: 3 Global Custodians: 3 Page 3 of 6
4 DTCC: 1 Omgeo: 1 DTCC will have at least one non-voting representative on the ISC to provide administrative support as noted in section X. Industry Associations will select their representatives. Other members of the ISC will be nominated by DTCC and the associations and selected by the ISC members by a majority vote. VI. Governance A. The ISC will be a self governing body. B. The ISC will maintain records of meeting minutes and metrics collected on member engagement. These records will be made available only to the ISC members and to the regulators, if requested. C. ISC will define a mechanism to ensure that member profile (section VII) and member engagement (section VIII) requirements are maintained and reported. D. A quorum is required to ratify key decisions supporting the move to T+2 settlement cycle. A quorum will require at least 75% of the voting members to be present. Members can send a delegate in their place, but the delegate would not be able to vote (unless the delegating member had notified the Chair in advance of their vote) and as such, do not count towards the quorum. E. On an annual basis, the ISC will review its charter and effectiveness against its charter. ISC members will then determine any changes to the charter or Committee procedures. VII. Member Profile A. ISC members should satisfy a number of the following criteria: 1. Firm, represented by the member, is impacted by the SSC initiative and the member has strong understanding of the changes proposed with the initiative. 2. Member holds a strategic position in their firm or the industry association they represent and have a broad knowledge of the securities industry. 3. Member should effectively represent the views of their respective industry segment or industry association. 4. Industry cross-platform responsibility that allows the ISC member to view industry issues broadly. B. Members will be reviewed twice a year by the ISC Chairs to ensure on-going conformance with the membership profile criteria. C. Members should represent the best interests of the industry and not necessarily views of their respective firms. Page 4 of 6

Where the ISC Chair determines that a member no longer meets the identified membership criteria, he/she will discuss with the relevant member and make a recommendation to the ISC regarding appointing an appropriate replacement. E. Nominations for new / replacement members may be made by any ISC member. Where no vacancies exist, these nominations will be placed on a waiting list for future consideration. F. The final decision to replace a member will be at the discretion of the ISC Chair, with ratification by the ISC. G. With prior approval of the ISC Chair, firms can have representation from respective legal teams at the ISC meetings. These legal representatives will not be considered when assessing the target size of ISC. VIII. IX. Member Engagement A. Member engagement will be determined having regard to the following criteria: 1. Meeting attendance 2. Participation and contribution during meetings 3. Participation in related Shortened Settlement activities (e.g., thought-leadership events, industry advocacy etc.) B. Members will be reviewed twice a year by the ISC chairs to ensure on-going conformance with the membership engagement criteria. C. Where the ISC Chair determines that a member does not meet the identified engagement criteria, the Chair will discuss with the relevant member and make a recommendation to the ISC (remedial actions, replacement of the member firm / member etc.) Tenure A. Member tenure will target a term of three years or successful implementation of the SSC (T+2) initiative, whichever comes first. B. Should an individual member leave their firm or change roles, ISC will consider whether the proposed replacement individual member satisfies the membership criteria described in Section VII A (i.e., In the event of personnel or organizational change, member firms cannot transfer membership to a new individual member without approval from the ISC). X. Administrative Support DTCC will provide administrative support to the ISC Chair and the group. Responsibilities of DTCC in this respect include: 1. Assist ISC Chair with preperation of the meeting agenda. 2. Draft press releases and manage press engagement. 3. Manage all ISC specific communications and meeting requirements. 4. Maintain membership records and facilitate membership renewal. Page 5 of 6
6 5. Provide metrics on meeting attendance. 6. Produce and distribute minutes for each meeting. 7. Maintain records of minutes from ISC meetings and metrics collected on member engagement. XI. Meetings A. Meetings will be held twice a year and ad hoc, depending on calendar and needs. B. There will be at least two in-person meeting per calendar year supplemented by ad-hoc in-person or virtual meetings as required. C. DTCC shall maintain minutes of all Committee meetings. Page 6 of 6
